RTO vs SPAC A reverse takeover (RTO) or reverse merger takeover is the acquisition of a public company by a private company so that the private company can obtain public status while bypassing the lengthy and complex process of a traditional IPO. The transaction typically requires the reorganization of capitalization of the acquiring company. Conversely, the private company can also be bought by the public listed company through an asset swap and share issue. SPAC IPOs, though seemingly similar to RTOs, have multitudinous advantages over the latter in terms of structure, expenditure, and other areas. An RTO process usually requires significant transaction fees to lock down an optimal target “shell company”, and may involve additional due diligence fee paid to intermediary agencies; SPAC IPOs, however, construct blank-check companies to raise capital in order to merge private companies with high potentials, therefore bypassing the need for hefty due-diligence and transaction costs. 6 months, 6 months since Covid-19 came along and turned our world inside-out. Now honestly the virus doesn’t scare me nearly as much as the idiots running the show. You have politicians using the virus as a reason to divide instead of unite. Mainstream media spread misinformation with their own controlling agendas. Pharmaceuticals using Covid treatment and vaccine press releases to drive up their stock prices while salivating at the prospects of selling us all $3,000 Covid treatments, NOT cures. I could go on and on…… But I think you get the point. So where does that leave us? It leaves us with a choice - a choice to wake up and realize that we’ve been - conditioned. Conditioned to treat symptoms with pharmaceutical drugs before looking at natural remedies and trying to fix the root cause. I think we’ve all been programmed - programmed to eat poorly by companies pushing products filled with sugar, preservatives and other forms of toxins. How much is your life worth? Not a whole lot Based on the actions of Pharmaceuticals, Junk food companies and Politicians. The Covid19 pandemic, is arguably humanities biggest test. It turns out Trump may have been on to something without having a clue. It’s time we sanitized the inside of our bodies, but not by drinking bleach, but by reducing the toxins we take in, build our immune systems so we have the strength needed to fight illness of all kinds. “I can’t breathe, I can’t breathe, I cannot breathe, please, please” those were among the last words uttered by GEORGE FLOYD as police officers clearly used excessive force resulting in his murder. The murder of George Floyd was extremely tragic and represents the straw that broke the camels back. It has brought outrage from people across the globe who have condemned the officers involved and the system that created them. For decades the black community has protested, pleaded, kneeled and many died asking for a single basic human right - the right to be treated equally. Is that really too much to ask? Instead we are given SYSTEMIC RACISM a lack of opportunity, white supremacy, discriminatory laws designed to disproportionately incarcerate people of color and if that wasn’t enough we have police that consistently break their sworn oath to protect and serve with little or no accountability. In society we have all signed a contract, a contract that lays out the rules. However the contract is only as strong as the people who abide by it, but if you’re black you see that contract being broken by systemic racism on a daily basis. Ask yourself a question is it time for us to negotiate and write a new contract, a contract that truly works fairly for all Americans. If you don’t believe a new contract is necessary ask yourself why? Because more than likely it means that you are a part of the problem. Dr. Vanessa Cumming Bio Vanessa is a senior clinical research coordinator for adult and pediatric sickle cell services at the University of Miami School of Medicine. She graduated from the University of Western Ontario with a BSc in Biology in 1994 and then moved to Jamaica and joined the TMRU, UWI where she completed an Advanced Diploma in Nutrition in 1995. During her medical degree she obtained a Commonwealth Scholarship for her elective period of study with Dr Paul Telfer, haemoglobinopathy specialist, at the Royal London Hospital in London, England. Upon completion of her medical degree, she finished her internship period with the Government of Jamaica at the Kingston Public Hospital. She returned to the University of the West Indies in 2004 and was involved in both clinical and research practices at the Sickle Cell Unit, Mona. Dr. Cumming then moved to the United States and continued working in biomedical research and hemoglobinopathies at the University of Miami, her work focussed on academic medicine rather than clinical practice while in the USA. She is also currently enrolled in a Master of Science in Public Health degree program while working full time at the University of Miami. Research Interests Vanessa’s first research interest was in asymptomatic bacteriuria in sickle cell disease. She has since completed some retrospective work on chronic leg ulceration in HbSS disease. She also pursued interests in aspects of metabolism and nutrition in patients with different types of sickle cell diseases while at the Sickle Cell Unit, TMRI. Since joining the sickle cell team at the University of Miami she has focused primarily on industry sponsored research in sickle cell, but has also been involved with some smaller investigator-initiated research projects and guiding clinical fellows during their research rotations through pediatric hematology/ oncology. During her MSPH studies, she has expanded some of her research to include public health and environmental health initiatives throughout the southern USA and the Caribbean Region. There is no question that the Cannabis Industry is maturing, but despite all the rules and regulations - it is truly reminiscent of the Wild Wild West - where you have the settlers looking for a better life, the bandits looking to rob and steal, the law trying to keep up and the snake oils sales man selling everything from treasure maps, fake land deeds and elixirs that promise to cure all. A more recent parallel would be the .COM bubble of the 90’s where every website was the next big thing. These delusions of grandeur are generally not just fueled by the Entrepreneur but most times by false prophets still peddling snake oil - looking to make a fast buck at the expense of the entrepreneurs or the unsuspecting investor. The Cannabis industry has the potential to be largest global industry of our generation with some projecting market sizes larger than the beverage and tobacco markets combined. This kind of potential makes fertile ground for the snake oil sales man or lets be politically correct snake oil sales person to work. But there is clearly one big difference these bad actors are much harder to identify, they come in all sizes, genders, roles and colors but the most common ones are lawyers posing as cannabis consultants or investors who say they will help you raise capital but really are just trying to overly leverage your company or game the stock market by taking you public before you have even earned a penny. Now to be fair, like every industry there are good subject matter experts who can really deliver for you and having personally gone through the process of vetting many of these individuals and companies I thought it important to share my experience and some of the methods I used to spot these bad actors coming from a mile away.
