Fehlende Compliance als Haftungsfalle: Der Fall Siemens/Neubürger 1,3 Milliarden Euro schwarze Kassen, elf beklagte Organmitglieder und ein Urteil, das Compliance im deutschen Aktienrecht von einer Empfehlung zu einer Rechtspflicht gemacht hat. Dr. Christian Rosinus bespricht in dieser Folge der Reihe „Cased closed“ das Urteil des LG München I vom 10. Dezember 2013 gegen den ehemaligen Siemens-CFO Heinz-Joachim Neubürger. Neubürger wurde verurteilt, obwohl er weder nachweislich an Schmiergeldzahlungen beteiligt war noch sich persönlich bereichert hatte. Ausschlaggebend war allein das Fehlen einer funktionierenden Compliance-Organisation. Das Gericht hat klargestellt: Vorstände sind nicht nur zur eigenen Gesetzestreue verpflichtet, sondern auch zur aktiven Verhinderung von Mitarbeiterverstößen, obwohl Compliance als Begriff zum damaligen Zeitpunkt noch nicht wie heute etabliert war. Hinzu kommt die Beweislastumkehr nach § 93 Abs. 2 S. 2 AktG: Ohne dokumentiertes Compliance-System trägt jedes Vorstandsmitglied Mitverantwortung – das Ressortprinzip greift hier nicht. Dr. Rosinus erläutert außerdem, wie sich die Grundsätze aus der Siemens/Neubürger-Entscheidung weiterentwickelt haben und welche Relevanz die Entscheidung auch im Jahr 2026 noch hat. Die Lederspray-Entscheidung des BGH vom 6. Juli 1990 hat die strafrechtliche Produktverantwortung in Deutschland grundlegend neu vermessen. Dr. Christian Rosinus bespricht in dieser Folge von „case closed", warum das Urteil des BGH bis heute als Ausgangspunkt für die persönliche Haftung von Unternehmensverantwortlichen gilt. Im Mittelpunkt stehen die Kausalität beim Unterlassen, die Garantenstellung aufgrund betrieblicher Funktionen und die bis heute kaum befriedigend gelöste Frage der Zurechnung von Kollegialentscheidungen – mit der Folge, dass auch derjenige haften kann, der in einem Gremium gegen einen gebotenen Rückruf stimmt oder sich enthält. Für die Unternehmenspraxis zieht Dr. Rosinus klare Schlussfolgerungen: Produktbeobachtungspflichten, funktionierende Eskalationswege für Schadensmeldungen und ausgearbeitete Rückrufpläne sind keine Frage guter Organisation, sondern persönlicher Haftung auf der Leitungsebene.
