本文章首发订阅号：百车全说，订阅号阅读更加方便，欢迎关注。2023已俨然过半，1-6月，我国汽车总销量达到了1323万多台，其中新能源车卖出了374万多台，差不多占到了快3成。也就是10台里面有3台都是新能源。而在这么多新能源车中，我相信有非常多的比例依旧是咱们的国产品牌。因为不管是合资还是豪华品牌，上到BBA，下到丰田本田等，除了特斯拉以外，真的没有一个能打的。所以当下消费者买新能源车，消费者主要考虑的还是国产品牌。而就在最近，一条消息的爆出更是让咱们国产新能源车再一次得到了肯定，那就是大众入股了小鹏汽车。大众和小鹏，一个是传统的德国汽车品牌，一个是国产新势力，按理说八竿子打不着的两个品牌竟然有了合作，这个确实令人意外。这两天互联网上无论车圈媒体，还是各路关注汽车新闻的网友，都无比兴奋，提到小鹏，评论区最多的回复就是牛x。原因其实也很简单，这是真正的x丝逆袭案例，历经中国汽车70年历程，我们不再是拿市场换技术，我们有技术、有平台，我们不仅可以合作卖车，还可以单独打包技术去卖。百年不遇的历史大变革的机会被中国品牌抓住了，能不兴奋吗？所以今天这期节目就来好好大众入股小鹏一事。事件概况在7月26日晚，大众汽车集团负责中国区业务的管理董事贝瑞德（Ralf Brandstaetter）发了一条微博说道：“今天，我们同时宣布了两项重要合作：大众汽车品牌与小鹏汽车，以及奥迪品牌与上汽集团，分别达成战略合作。这是我们‘在中国，为中国'推进电动化战略的又一里程碑”。与此同时，小鹏董事长兼CEO何小鹏也发了一条朋友圈，图片是他和内瑞德的合影，并配文说“这张照片拍了好久了，一直没有放出来。今天官宣，感谢Ralf和大众所有朋友的信任，说到努力做到是最基础品质，我期待大和小的携手，将最好的技术，最好的产品，最好的品牌带到全球。”从照片中能看得出来，何小鹏真的笑得很开心。不过这次的重点还在于双方企业上的合作，大众汽车集团将出资约7亿美元，以每ADS（美国存托股票，每股ADS代表两股A类普通股）15美元的价格，收购小鹏汽车约4.99%的股权。交易完成后，大众汽车集团将获得小鹏汽车董事会1个观察员席位。照片里两位老大穿的都是长袖，也许就是去年四季度的初次见面合影也是有可能的。官宣后，小鹏汽车内部人士也表示，“这次合作是效率优先，所以能少动的就少动。”另外，这次大众汽车7亿美元投资，仅获得董事会观察员席位（有知情权与表达权，但没有决策权与投票权）。其实大众和小鹏已经洽谈了长达数月，不过8个月就已经谈妥了，目前双方已经签署长期合作技术框架协议，虽然只是框架协议，但是可以确定的是小鹏和大众已经牵手成功。这就像领证了一样，虽然未来的路还有很长，但是双方的合作已经开始，具有法律效应了。并且就在7月26日当晚，小鹏汽车美股股价一度涨超40%，收获年内迄今最高涨幅，截至美东时间7月26日收盘，小鹏汽车报收27.2亿美元/股，同比增长26.69%。7月27日，小鹏汽车港股开盘后一度涨近30%。可以看得出，资本对于大众收购小鹏是绝对看好的。而且网友们的评论也都是清一色的表示支持小鹏，甚至有不少网友说大众+小鹏=大鹏。这次合作双方都有什么好处？其实，双方合作的消息在业界炸了锅，主要是之前的保密工作做得太好了。之前的传闻是大众可能与华为合作，没想到转身已经跟小鹏变成了好兄弟。但是细想大众这套“在中国，为中国”的战略早已开始了。之前陆续宣布与中国本土的地平线、中科创达展开合作，这次选择与小鹏合作也是这个思路。可以肯定的是，这次合作对于小鹏来说几乎是躺赢。而对于大众汽车来说，还不好说。因为前有丰田与比亚迪bZ3的合作案例，很难说是成功之作。第一，为什么要找个国产新势力车企合作？其实，对于固执的德国人来说，这个转变是艰难的。众所周知，大众汽车一直是全面电动化转型的激进分子，但是结果不尽如人意。一切问题的根源，或者说罪魁祸首还是老生常谈的那个大众软件部门CARIAD。想当初，ID.3的上市因为软件问题一直在推迟。后来的事情大家都清楚，不仅让大众ID.系列蒙上车机表现糟糕的口碑，甚至还拖累了奥迪、宾利等全新车型的发布计划，让大众汽车人倍感无力。作为最早进入中国的合资品牌，在曾经在燃油车市场，大众在中国市场赚得满盆满钵。但面对如今看着中国新能源市场，大众品牌却明显落后了。今年上半年，大众在华共交付新车145.19万辆，出现了1.2%的跌幅。所以大众汽车调整了战略，不要想着什么都要自己搞，一定要积极向外寻找。尤其是补短板，合作见效最快，而且降本增效。在赤裸裸的生存面前，主动伸出友谊之手才是唯一出路。小鹏汽车也一样，这两年跌跌撞撞的过往写过很多次就不赘述了。当大众来敲门的时候，何小鹏心里肯定闪过一道光。因为彼此需要，因为时机恰恰好。大众底盘，设计功力毋庸置疑，但三电、座舱就是拉跨；而小鹏现在扶摇架构下，无论是智能座舱、智能驾驶还是800v 4c充电，都是目前以大众为首的海外电车垂涎欲滴的技术。大众汽车与小鹏汽车合作的主体公司是新近成立的大众汽车（中国）科技有限公司（VCTC）。这一科技公司100%大众集团控股，集研发、创新及采购功能，是大众汽车集团除沃尔夫斯堡外最大的研发基地。在协议中提到，“与当前的车型项目相比，通过联合开发及采购，合作双方将实现显著的协同潜力及成本优势。”7亿美元的注入确实可以让小鹏回一波血。小鹏最近大家也都知道，局面一度非常低迷，不管是销量还是资金都达到了低谷。尤其是在定位不清的P5和配置选装混乱惨遭“翻车”的G9相继上市后，小鹏的销量不增反降，自2022年6月1.5万的高光之后，月销量再也没有突破一万过。2022年四季度小鹏仅交付了 22204 辆汽车，环比下降 24.9%。到了2023年一季度，小鹏汽车交付量更是跌到了 18230 辆，甚至比去年四季度还要少了 17.9%。截至今年一季度，小鹏已累计亏损 276.84 亿元，在今年一季度其账面资金只剩341.2亿元，和同期理想的650亿的现金差了快一倍。并且今年上半年小鹏汽车销量仅为41435辆，同比大跌40%，落在了理想、哪吒、蔚来、零跑等同行背后。所以小鹏的状况确实岌岌可危，半只脚已经入土了。而大众集团的这波回血看起来好像只有7亿美元，但是换算下来也有50多亿人民币，如果按小鹏现在卖得最好的P7或G6算，一台25万，50多亿那就是2万台，几乎是现在小鹏一个季度的销量。如果算上成本，估计就是小鹏接近半年的收入。所以大众的这波输血来的非常及时，在资金上绝对是雪中送炭。第二，小鹏还将获得额外的长期收入。这次收购不仅仅是单纯的收购股份，对于小鹏来说，这就是技术变现。根据技术框架协议，在合作初期阶段，大众和小鹏计划面向中国的中型车市场，共同开发两款大众汽车品牌的电动车型。随后，小鹏在发出的公告中透露，与大众合作并非简单的项目合作和IP转让，双方的战略技术合作将利用彼此的核心能力以及小鹏汽车的车型平台、智能座舱以及高阶辅助驾驶系统软件来共同开发全新车型。简单来说，不仅仅是智能驾驶系统，小鹏还将电气架构、智能软硬件等一系列方案打包出售给了大众汽车。因此大众看上的还有小鹏汽车的整车平台，更是小鹏的综合素质。同时，大众提供工程设计能力和供应链，负责上车体和车型设计及内外饰。所以除了大众入股的50多亿人民币以外，小鹏后期还会从大众汽车那里获得其他的两笔收入。首先是技术服务费。其次，小鹏出售给大众汽车的是电气架构、智能软硬件等原始技术，所以后期大众每卖出一台车，小鹏汽车都会从中得到一笔分红。这才是最赚钱的，因为后期没有任何的成本，完全是净利润。大众要技术、要销量、要市场份额；小鹏更是可以借机向大众学习制造工艺、共享产业链、迎来走向世界的更多机会，最重要的是相比大众真金白银的投入，小鹏的投入是比较轻资产的，都是已经量产的东西，必将带来高利润。可以说，小鹏通过十年努力为自己打开了另外一扇窗。第三，这次大众收购小鹏，除了能给小鹏带来直观的收入之外，小鹏的名气将大增。因为不管是国内还是国外，大众的知名度都是非常高的。当大众愿意和一家中国车企合作，关键是用的平台和技术还是对方的时候，足以可见小鹏汽车在新能源汽车界的造诣有多深。所以这也是变相在说明小鹏汽车得到了传统车企的认可，在新能源汽车界的地位也将完全不一样了。对于大众来说，这也绝对也是利大于弊的。首先，尽管相比于小鹏来说，大众是大规模企业，但是最近的日子也并不好过，尤其是自从排放门过后。2022年大众集团全年新车销量828.26万辆，同比下滑7.0%，是近11年来最低。中国市场又是大众全球最大的单一市场，在全球市场市占率为38%。2022年大众在中国市场交付量318.45万辆，同比下滑3.6%，上汽大众更是在2019~2022年年度零售销量连续4年下滑。而大众的新能源车就更不用说了，即便ID.3的国内售价比欧洲售价便宜了一半，但是月销一直很不好，甚至ID系列都没有哪款车型单月销量超过5000台的。现在看起来每个月还有三四千台的销量完全是靠优惠砸出来的，要是没有优惠，不夸张，我猜只有三位数。所以资金有限，如果直接能购买成熟的电气架构、智能软硬件等原始技术，那将为大众省下一大笔研发费用。要知道，现在ID系列用的是大众自己花巨资研发的MEB平台，不仅没有得到市场的认可，当初光研发这个平台就花了70亿欧元，相当于551多亿人民币，和入股小鹏的这50多亿人民币来说，直接差了整整十倍。而且这70亿元还只是开始，因为大众往新能源的转型的决心非常坚定，后期还将继续投入1800亿欧元，所以MEB失败了，后期大众也不会将这1800亿欧元再继续投入进去。其次，就像刚说的，大众的智能化一直是它的短板之一，不管是油车还是MEB平台的ID系列，车机都很拉胯。这就要归错于大众集团旗下软件子公司CARIAD，它是集团智能化转型的关键角色，负责智能座舱、自动驾驶等技术研发。但正是因为CARIAD并没有顺利完成任务，导致保时捷Macan、奥迪纯电等新车型都因软件问题推迟上市。并且在2022年，亏损20.68亿欧元后，软件开发依然进度缓慢，漏洞频出。所以一气之下，就有了之前大众怒裁5000人软件团队的事件。所以小鹏在这方面，恰恰又是行业的第一梯队。在电动车转型方面，相比大众品牌，奥迪应该更着急。大众品牌至少有ID系列还是合资品牌最畅销的电动车在支撑，而奥迪方面没有一款可以拿来说说的。之前，奥迪把PPE平台已经给了一汽奥迪的情况下，本来还没有立足的上汽奥迪对于电动车的未来更是一片渺茫，总不能一直抱着MEB去打市场，那样显然是竞争力不足的。这次与智己合作是个不错的选择，更有利于未来上汽奥迪与一汽奥迪的产品区隔。不过还有很多具体的合作细节有待持续关注。比如，奥迪与上汽集团的具体合作模式、最终合作成果是否是上汽奥迪与一汽奥迪共享等等。按照大众汽车集团的计划，大众汽车品牌纯电动轿车ID.7将于下半年上市，另一款大众汽车品牌纯电动车型计划将于2024年上半年在大众安徽下线；奥迪品牌方面，昨晚奥迪e-tron GT宣布上市，并将在2025年至2026年推出三款基于PPE平台的新车型。大众为什么会选小鹏？而为什么会选小鹏其实也很简单，首先是绝对不可能找传统车企，因为肯定会存在直接竞争关系，所以出现“卡脖子”的概率会很高。早期大众就是被丰田搞怕了，丰田断供爱信变速箱，直接逼大众自研出了DSG双离合。所以后期也不会找传统车企。其次，这家车企在技术上一定要够硬，就像小鹏。首先是它的智能驾驶技术。小鹏的智能驾驶XNGP是国内智能驾驶第一梯队的水平，我认为仅次于华为的ADS2.0智能驾驶系统。二是高压充电技术。小鹏G9是首款基于800V高压SiC平台的量产车，可实现充电5分钟，续航200公里的充电速度，行业领先。三是扶摇架构。SEPA 2.0 扶摇架构集成了研发、制造、技术、智能等各方面能力，小鹏花了5年时间，投入上百亿研发打造。所以小鹏确实足够有实力。同时，这个车企也要一定的影响力，但不能太过强势，不然后期也会很棘手。目前看来，只有蔚来和小鹏符合选择。而从技术上来看，明显是小鹏更硬核。因此想要省钱省力省时，目前来看，深处困难之境的小鹏是最合适的选择，没有之一。双方合作后，会出什么车？根据小鹏汽车的官方声明，双方后期合作开发的B级电动车型将采用小鹏G9的平台、智能座舱以及高阶辅助驾驶系统软件，2026年投产后以大众汽车品牌的名义在中国市场销售。所以大胆猜测，在2026年大众将推出至少一款中大型纯电SUV，用于取代途昂、揽境等大型燃油SUV的地位。预计售价也会在30万左右。其次，除了这个已经透露的，我猜测后期G6的平台大概率也会拿去用，以取代大众途观或者探岳的位置。包括下一代的P7平台，也可以拿来给帕萨特、迈腾用。写在最后其实大众在新技术领域一直在对外合作，比如之前和福特在自动驾驶纯电平台上的合作，包括与博世、地平线的合作等。包括几十年前和上汽合作一起生产了桑塔纳，都说明大众在某些方面的前瞻性还是有的。只是这次的重点在于，之前一直是被牵着鼻子走，以市场换技术的中国品牌，几十年后竟然靠技术来反哺这些曾经的老师傅，这种反差感确实让人有些惊讶，也激发了更多国人的民族自豪感。而且我相信，这次大众和小鹏的合作，应该是算是开创了一个新的先河，大众也是给了其他传统车企一个好的表率。后期也会有越来越多的国产品牌来技术反哺这些老师傅们。作者：三刀、新一编辑：新一可以添加微信46415254加入我们的社群音频图文更新在订阅号：
