Last fall, the SEC issued long-awaited rules for investment crowdfunding. FINRA also issued its rules. The new rules become effective on May 17, 2016. It’s time for entrepreneurs to start thinking seriously about whether and how to take advantage of the them. I’ve invited three experts to comment and offer suggestions. Richard Swart, CSO of NextGen Crowdfunding, notes that “Regulation Crowdfunding is far from perfect – but it will allow the first inning of retail equity crowdfunding to begin. Expect legislative changes soon, but at least we now have opportunity for local and community oriented crowdfund investing.” “The single biggest misconception about Regulation Crowdfunding is that is is somehow an alternative to Venture Capital,” he adds. “Regulation CF will function at the seed round – or as an alternative to debt. Rapidly scaling high-growth potential technology firms are unlikely to use it.” “Congress made one huge mistake,” he says, referring to the fact that unlike Title IV of the JOBS Act, the new rules issued under Title III don’t allow for entrepreneurs to “test the waters” or solicit expressions of interest in an offering prior to conducting a full offering. The U.S. Securities and Exchange Commission last week finalized rules on crowdfunding that opens the door for the participation of non-accredited investors. The rules complete a long process for the commission set into motion by the passage of the JOBS Act. We spoke to Richard Swart, director of research for the Program for Innovation in Entrepreneurial and Social Finance at the University of California at Berkeley and chief strategy officer for the crowdfunding investment site NextGen Crowdfunding, about the new rules, how this will change the investment landscape, and what it all means for the biotech industry.

This presentation was given by Dr. Richard Swart from UC Berkeley, who is an expert in crowdfunding regulation. The crowdfunding market opportunity is $4 Trillion in revenue and $410 Billion in profits. In terms of initiatives, Berkeley recently signed a partnership with Tsinghua University to get more insight into the China market, and they believe the key to continued growth in China over the next generation will be financial innovation. Berkeley will also be creating a forum where the top schools can interact on real estate crowdfunding. Furthermore, the Journal of Disruptive Finance will be launched, and Berkeley will be contributing to that journal.

Companies across America are partnering with community organizations and crowdfunding platforms to leverage their social reach and extend their CSR messaging. It's becoming an accepted CSR activity, with very little downside and incredible potential. For Richard, crowdfunding happens when people are asked to vote with their wallets to support a product or project - instead of with their "likes" or social media impressions. It began in the arts community in 2008 when groups used crowdfunding to get their films backed. From there it was adopted by nonprofits and for-profits alike.
