Dr. Sebastian Bojemski graduated from the Institute of History of Warsaw University and gained his doctoral degree at The Cardinal Wyszyński University in Warsaw. At the Institute of World Politics (Washington, DC) he attended individual courses in geography and strategy, geoeconomy, strategic influence and propaganda. He was awarded scholarships by the Kosciuszko Foundation (USA) and the M. Grabowski Fund (UK). Mr Bojemski also has extensive experience in strategic communication, marketing, sales and management. For over 15 years (2003-2018) he had owned a Warsaw-based consulting firm. Between 2018-2024 he was an executive director for marketing at PKN Orlen – the largest oil company in Central Europe, a vice chairman at Lotos Fuels, the second largest oil company in Poland and a vice chairman at PERN, the largest fuel and logistics company in the region and critical infrastructure operator. He is currently affiliated with the University College of Professional Education as a member of the Center for Research on Disinformation and Cybersecurity and a senior fellow at the Eastern Flank Institute, a Brussels-based think tank. The start of the Russian invasion in 2014 changed the security architecture in Central and Eastern Europe. These changes deepened in 2021 after Belarus launched a border operation targeting Poland. Another milestone in this process was Russia's full-scale aggression against Ukraine. The level of security on Poland's eastern border has significantly decreased. In this situation, it is necessary to make changes in the area of national security. This includes the development of the armed forces, the assignment of new strategy to the secret services, and the strengthening of critical infrastructure protection. This lecture is part of the 18th Annual Symposium of the Kosciuszko Chair of Polish Studies. The Kościuszko Chair serves as a center for Polish Studies in the broadest sense, including learning, teaching, researching, and writing about Poland's culture, history, heritage, religion, government, economy, and successes in the arts, sciences, and letters, with special emphasis on the achievements of Polish civilization and its relation to other nations, particularly the United States. Itziar Pernía, de Legal por Naturaleza, explica en el consultorio de herencia de hoy las herencias digitales. Este tipo de herencia son los bienes, derechos y obligaciones de carácter digital que pueden pertenecer a una persona, y pueden tener valor económico o no. En cuanto a valor económico contamos con todo lo que produce ingresos, como por ejemplo, alguna cuenta de YouTube, criptomonedas, NFTs… El testamento digital debe tener un inventario de los activos digitales, sin contener las claves de los contenidos digitales, pero sí informar de dónde se encuentran estas claves. Cabe destacar que el testamento aún no está regulado, pero es recomendable que en el testamento ordinario indiquemos cuáles son los bienes digitales, cuáles son transmisibles y qué queremos hacer con ellos para que estos bienes no se pierdan. No todos los bienes se pueden transmitir, solamente son transmisibles los que se pueden cuantificar de alguna manera y se pueden integrar en el caudal hereditario. En el consultorio de herencias, desde Legal por Naturaleza, Itziar Pernía explica cuáles son este tipo de bienes transmisibles dentro de las herencias digitales, en un entorno en el que ya “todos tenemos bienes digitales”. Pernía define algunos conceptos relacionados con la temática de hoy cómo qué es el exchange y los monederos “fríos y calientes”. Responde a dudas sobre si los podemos incluir en el caudal hereditario o si pagan impuestos. Itziar Pernía, de Legal por Naturaleza, explica en el consultorio de herencia de hoy cómo planificar correctamente una herencia para proteger a los herederos forzosos —hijos y cónyuge— y evitar conflictos futuros. La idea central fue clara: la herencia no debe verse como un simple trámite ni como algo que “cae del cielo”, sino como una verdadera herramienta de estrategia patrimonial. Uno de los instrumentos más destacados desde Legal por Naturaleza fue el seguro de vida. A diferencia de otros bienes, no forma parte de la masa hereditaria porque tiene un beneficiario designado. Eso significa que quien lo cobra lo declara en su propio Impuesto de Sucesiones. Esta figura puede resultar especialmente útil cuando existe un patrimonio elevado pero falta liquidez para afrontar impuestos, cuando la herencia es internacional y los trámites se alargan, o cuando se desea equilibrar el reparto entre hijos. Itziar Pernía insistió en que no puede utilizarse para vulnerar las legítimas: si se perjudica a un heredero forzoso, este podrá impugnar y reclamar su parte. Además, en régimen de gananciales, el 50% del seguro corresponde al cónyuge y tributa por IRPF, no por Sucesiones. El testamento fue presentado como otra herramienta clave de gestión patrimonial. Más allá de recoger las últimas voluntades, permite ordenar el patrimonio, minimizar riesgos y facilitar la sucesión, especialmente en casos de empresas familiares o estructuras patrimoniales complejas. También se analiza el papel de las donaciones en vida, que pueden ser útiles si se planifican adecuadamente. Entre las fórmulas más habituales están la donación de la nuda propiedad con reserva de usufructo, las donaciones condicionadas o el adelanto de bienes que previsiblemente se revalorizarán. No obstante, desde el punto de vista fiscal, las donaciones dependen de la comunidad autónoma y del grado de parentesco, y pueden implicar el pago de plusvalía municipal y posibles ganancias patrimoniales en el IRPF del donante. En relación con la empresa familiar, Pernía recomienda realizar primero un inventario detallado y calcular correctamente las legítimas antes de adjudicar el negocio a uno de los hijos, para evitar futuros conflictos. Explica que las donaciones pueden ser colacionables (computables en la herencia futura) si se documenta, preferiblemente en escritura pública.

Con Itziar Pernía Gómez, socia directora de Legal por Naturaleza, hablamos del contrato de comodato, un acuerdo que, aunque suena técnico, es más común de lo que parece en la vida diaria. Como explica Pernía, “el comodato es un contrato de uso gratuito. El Código Civil lo regula y tiene las características de ser gratuito, temporal y es una figura en la que hay comodante, el que cede o presta, y el comodatario, que es quien lo disfruta”. Es decir, no hay dinero de por medio ya que lo que se cede es el uso de un bien, no su propiedad. La abogada subraya además que se trata de una cesión con fecha de inicio y de fin, y que el bien debe devolverse en el mismo estado en el que fue entregado. “Es un hecho que lo que consiste es usar ese bien, pero no ser el propietario”, aclara Itziar Pernía Gómez, insistiendo en que este punto es clave para evitar conflictos entre las partes.

Con Itziar Pernía Gómez, socia directora de Legal por Naturaleza, abordamos la figura de la desheredación, un mecanismo jurídico poco habitual pero plenamente regulado en el Código Civil. “La desheredación consiste en privar a un heredero forzoso de su legítima”, explica Pernía Gómez. Para que sea válida, añade, “debe recogerse expresamente en testamento, ya que es un derecho que asiste a cualquier persona cuando quiere dejar constancia de sus últimas voluntades, ya sea en un documento público o privado”. Los herederos forzosos y, por tanto, los únicos que pueden ser objeto de desheredación son, tal y como aclara la experta, “los ascendientes, los descendientes y el cónyuge”. Ahora bien, no se trata de una decisión libre o arbitraria. “Existen causas tasadas en el Código Civil para cada uno de los casos”, subraya. En el caso de los descendientes, Pernía Gómez señala que “pueden ser desheredados cuando han negado alimentos a su padre o a su abuelo, que en ese momento es el testador, siempre que no exista un motivo que lo justifique”. Respecto a los ascendientes, la socia directora de Legal por Naturaleza apunta que “pueden ser desheredados si han perdido la patria potestad por sentencia judicial, si han incumplido sus deberes como buen padre de familia o si han negado alimentos sin causa aparente a sus descendientes”.

Con Itziar Pernía Gómez, Socia Directora de Legal por Naturaleza, hablamos sobre donaciones previas en el momento de la partición de herencia. Para ello, lo primero es conocer qué es una donación. Se trata de entregar parte de los bienes de la herencia en vida. Según cuenta Pernía, “normalmente se utiliza mucho entre padres e hijos, pero siempre se entiende que puede ser más beneficioso que esperar el momento de la herencia”. Además, es importante saber que se dividen en colacionables y no colacionables. En el caso de que una persona quiera ayudar a un hijo pero no quiera que condicione esa donación a su herencia sería una donación no colacionable. En cambio, según la experta, “la colacionable sería un adelanto de su herencia”, es decir, una cantidad que deberá tenerse en cuenta cuando llegue el momento de repartir el caudal hereditario entre todos los herederos. Pero, ¿qué ocurre si los herederos no se ponen de acuerdo en la formación del inventario porque quieren traer al caudal hereditario una donación realizada por la madre hace diez años? En ese caso, señala Pernía, “hay que dilucidar si era una donación colacionable o no colacionable”. Por eso, insiste en la importancia de documentar adecuadamente, preferiblemente mediante escritura pública. “Si no lo hacemos, hay que acudir a un acta de manifestaciones donde se recoja ese carácter no colacionable”, añade, subrayando que también es fundamental determinar si la donación se hizo con dinero ganancial o privativo, ya que este detalle puede ser clave para evitar conflictos entre los herederos en el futuro.
