Arizona's Alternative Business Structure (ABS) Arizona changed legal industry rules through ABS reform. Historically: Only attorneys could own law firms Non-lawyers could not receive equity or profit-sharing The new Arizona model allows: non-attorney ownership, outside investment, operational partners, and more scalable business structures. Other regions experimenting with similar models: Utah Washington DC Internationally: UK and Australia already use versions of this structure Industry resistance Ryan noted that some traditional firms oppose these changes because: legal firms have operated similarly for 100+ years, entrenched firms fear competition, and fee compression threatens legacy models. States like: California Illinois have reportedly pushed back on similar reforms. In this episode, Tim and Randy will be joined by Adam Trenk, an attorney and partner at Rose Law Group based out of Scottsdale, Arizona. Adam represents both tenants and landlords in a lot of cases and is going to talk about landlord lease agreements especially in the context of all the changes that have been going on in the gym ownership community due to the COVID-19 pandemic. Tim and Randy invited him over to the show to help gym owners navigate the uncharted waters they’re in right now, so they can hopefully get out of this ahead.Adam is already working with gym owners, and he recently negotiated on a gym owner’s behalf with their landlord to get them a smooth deal for their gym. He got a three-month moratorium on rent payments and an agreement that the lease would then be extended by three months, and the landlord also agreed to waive some of the common area maintenance charges and reduce the base rent for the next 12 months once the gym owner restarts rent payments. That may turn out to be a smoking deal only if the economy is able to turn back on, but if not, then Adam may have to go back and try to renegotiate with the landlord. In that particular instance, the gym owner wanted to seize the moment because the governor of Arizona had just issued an executive order putting a moratorium on all commercial evictions and the renegotiation worked really well to the gym owner’s benefit. On this episode, my guest is Dan Gauthier of the Rose Law Group in Scottsdale, AZ. We are talking about Opportunity Zones. We discuss what they are, how they can be a tax advantage investment. Dan has written about these previously in national media and I thought he would be a great resource to learn more about them. He is not selling anything which is why I wanted him to explain it in an unbiased way. Opportunity Zones are geographic areas designated by the states and approved by the federal government which qualify for specific tax breaks that we discuss on the show. Investments can be in real estate or qualifying businesses. The tax breaks are 3 fold: Defer realized capital gains. Reduction of existing capital gains by up to 15% if opportunity zone investment held for 7 years. No tax on future capital gains if opportunity zone investments if held for 10 years. As we discuss, these benefits can make a good deal better but do not make bad deals good, so please really vet the deals that are being presented. Remember this show is for educational purposes only.
