The Existing Group currently operates in the Philippines, Indonesia and Hong Kong and from Admission the Enlarged Group will also operate in the UK following completion of the acquisition of Pouncer (the operator of Tablepouncer.com, a UK restaurant reservation platform). The Enlarged Group’s business model is to derive revenue from a booking fee from restaurants per diner seated who have booked through the BigDish App or website. The Company also recently acquired the assets relating to a Philippines restaurant discovery platform which included the looloo.com website, a mobile app and the data of the associated users.
