In this episode, host David Mandell welcomes Bob Goettling, a seasoned investment banker and legal expert with over 30 years of experience in healthcare transactions, to discuss the emerging relevance of ESOPs (Employee Stock Ownership Plans) for physician practices. Goettling shares his professional journey, from early M&A work to helping physician groups explore monetization options, including ESOPs as a potentially powerful but underutilized tool. Bob breaks down the core structure and history of ESOPs, describing them as trust-based leveraged buyouts that allow physicians and employees to own their practice while benefiting from significant tax advantages. He explains how the Bloom Organization itself became an ESOP nearly a decade ago, and how his team has since developed a tailored hybrid ESOP model for medical practices, especially as interest in private equity has cooled due to rising interest rates and negative post-deal experiences. While ESOPs offer clear advantages—like retaining control and optimizing tax outcomes—they also come with complexity. Goettling stresses the importance of choosing the right advisors and ensuring a strong internal management structure. Not every practice is a good fit; size, structure, and strategic alignment are critical factors. The episode offers high-level insight into how ESOPs work, who they benefit, and what red flags to watch for in considering this alternative to traditional M&A routes. KEY INSIGHTS ESOP stands for Employee Stock Ownership Plan and enables employees to become beneficial owners through a trust structure. Originally introduced in the 1950s, ESOPs gained traction in the 1970s due to government incentives. Goettling and his team at Bloom implemented an ESOP for their own firm nearly 10 years ago and now advise physician groups on doing the same. Tax benefits are significant: ESOP sellers can defer or eliminate capital gains, and the entity itself becomes tax-exempt. ESOPs allow physicians to monetize their practice without surrendering control, unlike private equity deals. The model is ideal for larger practices (15–20+ physicians) with existing governance (boards, CEOs, CFOs). Complexity is a key barrier—ESOPs involve oversight from both the IRS and Department of Labor. Hybrid ESOP models can account for partners, junior doctors, staff, and even future hires. Mistakes often stem from poor advisory choices; experience with ESOPs is essential to avoid pitfalls. ESOPs can be a game-changer for practices looking to stay independent while scaling strategically. I loved this conversation with this week's guest – it went deep into topics like what happens to lost souls and ghosts (your jaw will be on the floor) and to help them transition to the other side and natural trance shamanism (yes please!). I sat down on The You-est You® Podcast with Julie Kramer, a grounded light worker with years of experience — as a gifted shamanic healer, teacher of teachers, and someone who has spent over two decades guiding people into relationship with the unseen world of helping spirits. Julie believes (and I do too!) that we all have access to these compassionate beings — whether we call them spirit guides, ancestors, or allies in the invisible realms. And even more incredible? We can learn to partner with them in deeply transformative ways. This episode felt like a reunion with truth — the kind that brings goosebumps, peace, and the kindest yes from your soul. Julie is an expert at teaching people how to partner with compassionate helping spirits by way of natural trance states. Every flower has a root—and so does every artist. In Episode 171 of Paper Talk Podcast, we - Quynh Nguyen, Sara Kim, and Jessie Chui - sat down to reflect on the winding paths that led us to paper flowers. From music studios to courtrooms, finance offices to wedding aisles, our stories are as unique as the blooms we now craft. What binds them together is the quiet but powerful realization that creative joy, purpose, and community can truly transform a life. “Without knowing why, it's hard to say yes to the right opportunities.” - Jessie Here, we share highlights from that conversation, in the hope that our stories will inspire you to reflect on your own journey and perhaps even find or realign with your own "why." Sara's Journey: From Violin to Petal Sara Kim, founder of Handmade by Sara Kim, began as a trained violinist. "My creative outlet from my job as a musician was making crafts," she shared. What started as simple paper cards and flowers sold for a dollar each eventually blossomed into a business that caught the attention of Anthropologie, thanks to a single Instagram tag. She emphasized the value of small beginnings, community, and leaning into joy. “It wasn't until I came back to paper flowers that I found my true why: the simple magic of turning paper into something meaningful.” Jessie's Journey: From Courtroom to Creation Jessie Chui, of Crafted to Bloom, had a thriving career in law, but a period of personal grief changed her perspective. The passing of her beloved aunt led her to reassess what truly mattered. “I wanted to express myself, to create beauty and hope.” Paper flowers became her therapy, starting with bouquets for her wedding. Over time, her practice evolved into intentional, small-batch artistry that allowed her to prioritize her family and mental well-being. “I couldn't live by deadlines anymore. I needed my business to align with the values of my life.” Quynh's Journey: From Excel Sheets to Exhibition Spaces Quynh Nguyen, founder of Pink and Posey, came from a finance and event planning background. Her journey began when a friend asked her to create paper flowers for a wedding, using sheet music and school colors. “At the time, I had never made a paper flower in my life.” That first commission sparked a series of commercial opportunities, and with her husband's encouragement, she leaned into the work full time. “I wanted to build a community because the more people making paper flowers, the more visibility we have—and the more we all thrive.” Her business acumen and deep love for collaboration have shaped not only her art but also projects like the Paper Talk Podcast, her new book, and the Paper to Profits program. Common Threads: Why Your Why Matters Through all our stories, one theme echoes loudest: finding your "why" is the key to building a sustainable, fulfilling creative life. Whether you're starting out, navigating a career shift, or simply craving deeper meaning in your work, we encourage you to reflect on: What lights you up? What kind of life do you want your art to support? Who do you want to impact? And if you don't know yet? That's okay. Your why can evolve. As Sara said, “Sometimes your why is simply: I like making beautiful things.” That's enough to begin. What inspires you most about Naomy's story? We'd love to hear your thoughts - share your insights with us on Instagram @papertalkpodcast or join our Facebook community discussions. Stay tuned for more inspiring episodes, and don't forget to subscribe to Paper Talk wherever you listen to podcasts.

Dawn Richard, a former member of Sean "Diddy" Combs' music groups Danity Kane and Diddy - Dirty Money, has filed a lawsuit accusing Combs of sexual abuse and alleging that she witnessed him physically assaulting his then-girlfriend, Cassie Ventura. Richard's attorney, Lisa Bloom, stated that Richard was "absolutely terrified" of Combs, citing instances where he groped and physically assaulted her, withheld promised payments, and prevented her from eating and sleeping.Combs, currently held in Brooklyn on sex trafficking and other charges, has denied these allegations, with his attorney dismissing Richard's claims as false. Bloom also mentioned representing another individual with similar accusations related to Combs' "freak-off" parties. Combs' attorney refuted the claims, labeling them as fabrications made for financial gain.(commerial at 8:50)to contact me:bobbycapucci@protonmail.comsource:Diddy's protégée Dawn Richard who accused him of sexual abuse was 'absolutely terrified' of him | Daily Mail Online
#190// What do you see with your eyes closed? What do you see when you allow your spirit to set vision as it's connected to the Spirit of God?Listen, Sister . . . if we're actually going to BEHOLD the things of God in the natural, we've got to get good at seeing it with our spirit first. This past weekend, I had the opportunity to speak to and exhort over 300 women at our REVIVE Woman Conference 2025 about what it looks like to BEHOLD with God... to perceive the new thing He is doing in this coming season (see Isaiah 43:19). The truth is: We BECOME what we BEHOLD!If we are continually beholding our Savior -- the way He walked and talked and related to others -- we will become more and more like Him. If we allow ourselves to behold the negative, the swirl, the chaos or overwhelm, we will continually see that all around us. And here's the part no one wants to say out loud: We can't BECOME on our own because it's hard for us to BEHOLD on our own. We NEED other faith-filled, godly women of purpose around us -- cheering us on, calling us up higher, discipling and challenging us -- for our GOOD and for the GLORY of God!And you better believe the enemy is going to do everything in his power to keep you from beholding. Because he doesn't want you to BECOME! That makes you a BIG threat to his kingdom of darkness. But I've got his schemes in my sight and I'm going to share with you The Four Strategies the Enemy Uses to Keep Us from Beholding:
Hear exclusively from Hearts CEO Andrew McKinlay as he discusses Derek McInnes being named head coach, the mistakes around Neil Critchley's appointment, his relegation fears, the future of Lawrence Shankland, Tony Bloom's possible investment, challenging for the Scottish Premiership title and more.

Lisa Bloom, representing Dawn Richard in her lawsuit against Sean "Diddy" Combs, has shared several key details about the case:Inhumane Treatment: Bloom alleges that Richard endured severe working conditions, including extended shifts lasting up to 48 hours without sufficient food or rest, during her time with the group Diddy Dirty Money.Sexual Harassment and Assault: The lawsuit claims that Combs repeatedly entered Richard's dressing room uninvited and groped her, which Bloom asserts amounts to sexual abuse and harassment.Witness Tampering: Bloom has raised concerns that Combs may have attempted to influence potential witnesses in the case, which could affect their willingness to testify truthfully.Bloom has also drawn parallels between Combs' case and other high-profile industry abuse cases, expressing hope that justice will be served, similar to other instances of accountability within the music industry.(commercial at 7:35)to contact me:bobbycapucci@protonmail.comsource:Dawn Richard's Lawyer Addresses Sean "Diddy" Combs' Criminal Charges

Instructors are supported with time-saving resources such as lesson templates, scenarios, practice activities, and a downloadable test question bank.Additionally, Bloom's Taxonomy labels lessons, activities, and assessment items to enable an appropriately diverse set of learning for students. Instead of reducing copyright to simple recall, the lessons and information in this text will help instructors develop higher-level thinking about copyright and assist them in measuring learners' abilities not just to remember, but also to analyze and evaluate copyright dilemmas. Guest: Dr. Sara E. Wolf is an Associate Professor of library media and educational technology at Auburn University. Host: Dr. Michael LaMagna is the Information Literacy Program & Library Services Coordinator and Professor of Library Services at Delaware County Community College. Learn more about your ad choices. In her message A Life in Bloom, Pastor Lydia Osborne reminds us that true growth comes not from rushing ahead, but from trusting God's perfect timing. Drawing from Romans 1:19–20 and Ecclesiastes 3:11, she invites us to embrace the sacred pace of our personal purpose and to view waiting not as punishment, but as a privilege of the faithful. With wisdom from Scripture and the beauty of creation as a metaphor, this message encourages us to shift our focus from outcomes to intimacy with God. When we place our trust in Him, we find peace with time, strength for the season, and hope that blooms from the inside out. No matter what winter you've come through, it's your time to bloom—differently, faithfully, and beautifully.
Part 2 of 2: Howard Bloom:
Alan Skorski recently interviewed the National Ambassador of Jexit - Jews who left the Democratic Party - and best-selling author, Daniella Bloom, who herself, was a VIP guest at Turning Point USA, and was able to meet one on one with it's founder, Charlie Kirk, one of the leading Evangelical pro-Israel voices in America today, to talk about Israel's weak PR, and the onslaught of lies being perpetrated against Israel with no visible and forceful pushback. His campus tours around America promoting and advocating for conservative and Judeo/Christian values have made him one of the largest YouTube sensations today. His open debates have been well-documented, where college students can ask him questions on any topic, the most frequent are about his support for Israel. On his podcast, Alan Skorski and Daniella Bloom discussed a number of statements made by Kirk on his radio show, including his calling Israel's PR very “cringe” as they have allowed the Hamas narrative to be adopted with little to no affective responses. He expressed his deep frustration as he finds himself, a Christian who deeply loves Israel, being told by campus Jewish leftists that he should stop supporting Israel. Kirk also warned of the dangers that lie ahead for Israel if there is not an effective Jewish student body to properly support Israel and the truth. During the interview, Bloom recalled her private conversation with Mr. Kirk, who told her that if Jewish advocacy doesn't become more effective, there is a strong chance that conservative support. that Jews have relied on so heavily until now, may not be there in the future with the new generation of conservatives who are less informed about Israel than our current leaders, and whose focus is more on domestic issues.

Something for nothingDo rewards and incentives damage our humanity? In much of our personal and professional lives, we receive rewards for good behaviour and carrying out our responsibilities. But, evidence now suggests there are risks to this approach. Studies show rewards can damage wellbeing, fostering dependence and undermining our own sense of control. And neuroscientists have shown those more prone to seeking reward have a 70% higher risk of addiction, with addictive behaviour now present in almost half of the U.S. population. So, should we move away from rewards-based systems, and instead learn to value doing the right thing simply for the sake of, well, doing the right thing?Paul Bloom is a Canadian-American psychologist, bestselling author, and celebrated speaker. Bloom has written widely on human nature, and he won the Klaus J.
