Kieran Poole is joined by White & Case's Tom Matthews and Sonica Tolani as well as Insightia's Rebecca Sherratt to discuss Corporate Governance in Europe 2023.  Tom heads up the firm's European shareholder activism practice, while Sonica is a specialist in public company M&A, ECM, and shareholder activism.  Among the top findings: Emissions reporting takes centrestage: CSRD has ushered in a new era of ESG accountability, mandating European issuers with upwards of 250 employees annually report on sustainability policies and targets, including their Scope 1, 2, and 3 emissions, starting in 2025.  The cost-of-living crisis drives investor revolts: FTSE 350 executive pay hit record highs in 2022, with total CEO realized pay averaging 3.03 million pounds ($3.76m), compared to 2.1 million and 2.6 million pounds in 2020 and 2021, respectively.   Activists push for sales amid depressed stock valuations: Activist intentions have shifted from blocking deals to demanding the sale of long undervalued companies, at a time when interest rates and inflation are limiting other growth options. Fifteen companies faced demands for a sale and/or acquisition of a third-party last year, an increase from 13 in 2021, while the number of companies facing opposition to M&A transactions fell to 15 in 2022, from 29 in 2021. Hello and welcome to podcast 42. We kick off the show at Park Hall following the recent celebrity charity game. The organiser, Graeme Sutton, joins us making his debut on the TNS Radio Football Show. Then it's current, as we focus on the England v Wales game that we ran on the screens at The Venue. What a great day it was! We were awash with media, both national and local. Did you hear the one about the Englishman, the Scotsman, the Welshman and the Irishman? No, it's not a joke. We chatted with Chris Marriott, Steve Saunders, Chris Mullock and Ryan Brobel before the game. We also get predictions from them. Then just as the game kicks off we chat with Charlotte Ruscoe and *just waiting for confirmation of spelling* on how the day had gone organisationally to that point. Finally, it's post-match reactions from disappointed Welshman, Connell Rawlinson, and a very happy Englishman, Tom Matthews.

Welcome to episode 39 of our weekly podcast. We kick off at Oswestry Leisure Centre as we catch up with new signing, Tom Matthews. The players are back in training this week and they'd just been in the pool. We chat about his background and also ask him the question, 'What can TNS fans expect from you?' Then it's back to more familiar territory as Ian Williams joins us at The Venue. We look back to the season just gone, forward to the one ahead and also, of course, the upcoming Champions League campaign. Our Chief Operating Officer also shares his thoughts on our new signing. Finally, it's the man of the moment, Brian Jones, who joins us to complete this week's podcast. It's an honour to have one photo chosen for the Dafabet WPL shot of the year competition but to have two out of the five is a real honour indeed. That's exactly the position the TNS lens-man finds himself in at the moment.

Gratitude is an Attitude Hi Goal Getters, I really want to thank you for being with me today for this episode. This is our 39th weekly episode of Goal Getting Podcast. It is also the day before Thanksgiving here in the United States. I, thankfully, have a four day weekend coming up. My department at work doesn't have to work on Thursday or Friday, and we have the usual Saturday and Sunday off. This is a great break from work. If you want to learn more about the "Thanksgiving" holiday and why it is celebrated you can Google it. This episode is not about the holiday itself but the attitude that I believe we should have during this time of celebration. To me, I believe it is a time for having gratitude. To me Gratitude is an Attitude. I believe I should have be grateful for the things I have, whether it be physical, material possessions, health, a sound mind, everything, including life. Having Gratitude is one thing that will set us up for leading a rich life, a life of significance and purpose. So I am going to reflect on some of the things I am grateful for this year and some that I am always grateful for. I am grateful for you, for listening to my podcast. If you didn't come to listen, I would have no reason for doing this show. My goal in starting Goal Getting Podcast was to be able to share the things I have learned about setting goals effectively so that we can change our subconscious mind into a Goal Getting Machine.  I have learned through training in hypnosis and hypnotherapy various techniques that can reprogram a subconscious mind that has limiting, goal stifling beliefs into a mind that will allow you to draw success and achievement to you. I am grateful for the additional listeners that started listening to the podcast after I started doing the Goal Getting Quote of the Day on July 1st. I know that I am inspired by quotes that I hear or read and wanted to share some of those quotes with you to help inspire or keep you motivated. I felt that talking about these quotes and what they mean to me and how they inspire or effect me might help people that listen. When I started the podcast on my birthday in February, I hoped it would do well. I made it to iTunes New & Noteworthy and was actually able to make it into the top 10 in a couple of the categories I was listed in. I was happy. After the usual 8 weeks on New & Noteworthy, the number of listeners seemed to drop, which is normal. I started thinking about how to reach a greater audience and started the Quote of the Day on July 1st. It has been great. Listeners like you loved it and my audience grew. I was happy and I am still happy.  I was helping more people. So, Thank You all for listening to the show. I Am Grateful I am grateful for the opportunity that I have in this country to be able to do things like this podcast. I am grateful that I started taking classes in marketing at UC Berkeley Extension in 2013. Had I not started that program, I would not have taken the Social Media Marketing Course taught by Michael Brito ( @Britopian ). I am grateful for Michael Brito. His teaching style and the information he shared lit a new fire in my belly, a new passion for social media marketing. I also was able to overhear a couple fellow students behind me one class talk about listening to podcasts and that they were on iTunes. If you've listened to some of my other episodes, you know that I did my first podcast in 2004/2005. I stopped after about six months because I did it for fun just to do it after I heard some other podcasts. I knew then it would one day be big. This is getting into a longer episode that I really want today because I have so much to be grateful for. I have two beautiful daughters that have grown from my little girls to intelligent, compassionate, healthy and good women. I am very proud of them for all they have accomplished in life and for what they continue to do. I am grateful that I now have a wonderful son-in-law after my oldest daughter go married this year. Walking my daughter down the aisle was a highlight of my life. I am grateful for a loving wife that I have been married to for over 28 years, that continues to put up with me and love me. I am grateful for a loving family. I am grateful that my sister has been beating the cancer that has tried to take her away from us. We will do everything we can to stop it. I am grateful for my health. It isn't the best and I don't take care of myself the way I should, but I am grateful that I have the ability to change the things I do wrong. I am grateful for the company I work for and the people I work with,. They saw the potential in me to allow me to do a complete career change into an area that I love and now I am grateful that I have the ability to do work that I enjoy and can get paid well for it. I really am grateful this year for a great year. There were tough times where I really thought things were not heading where I wanted and I wanted to change. I am grateful for the people I have been hanging around in my podcasting and entrepreneurial community that have supported me. One of those that I am grateful for is Joel Boggess, that saw I was fighting the Impostor Syndrome at the  beginning of this year and told me to kick him out of the house and get moving with my podcast. I am grateful for one of my mentors in life, Tom Matthews. He helped to mentor me when I started my networking as an entrepreneur and Loan Officer. He taught me much about how to meet and treat people. He helped guide me in my Coffee New business when I started my marketing and advertising career. Tom informed me recently that he has stage 4 pancreatic cancer with limited time left this year. Please pray for Tom and his family. My Mom passed away from the same cancer in 2012.  I am grateful for life. So I am Grateful for so much this year, and every year, to be honest. As you listen to this, please think about what you have to be grateful for. Gratitude is an Attitude. It is one that will help you enjoy life. It will help you enjoy the journey as well as the destinations. We all have much to be grateful for. Think about that this week and every week throughout the year.
