Le doliprane vendu aux américains ? C'est le scandale industriel qui a occupé les politiques la semaine dernière. Le géant pharmaceutique français Sanofi a annoncé la cession potentielle de 50% de sa filiale Opella, qui produit des médicaments grand public sans ordonnance dont le doliprane, à un fonds d'investissement américain : Clayton, Dubilier & Rice. L'entreprise s'explique : “Le projet potentiel d'indépendance d'Opella s'inscrit dans la stratégie de Sanofi de se concentrer sur les médicaments et les vaccins innovants.” Il y a quelques mois, Sanofi avait déjà supprimé 330 emplois en recherche et développement en France. Ils assuraient à ce moment là que "la France sera au cœur" de ses futurs projets de recrutements avec au moins 500 recrutements CDI d'ici 2026 et 300 créations de postes sur des métiers en tension. Le fonds français PAI a remis 200 millions sur la table, hors délais, après le scandale, et espère revenir dans la course. Avec cette vente, plusieurs centaines d'emplois français sont de nouveau menacés. Les syndicats ont lancé une grève illimitée depuis jeudi dernier. Les réactions politiques n'ont pas manqué. Le PS demande l'activation du décret Montebourg, qui permet à l'État de bloquer une vente une fois finalisée. Marc Ferracci, Ministre de l'Industrie, dit vouloir “ne pas bloquer par principe” mais demander des garanties comme le maintien de l'emploi ou de la recherche en France. Thomas Porcher critique la stratégie industrielle d'Emmanuel Macron. “Nous sommes dépendants et avons connu des pénuries de médicaments”, regrette l'économiste. Acheter les agriculteurs pour faire passer le traité de libre-échange avec le Mercosur ? Politico révèle que la commission européenne travaille sur un fonds de compensation pour les agriculteurs pour pallier les conséquences négatives de l'accord UE-Mercosur et faire plier la France qui se positionne contre. “De la viande contre des voitures, c'est non ! Message au gouvernement et à la Commission européenne : nous ne sommes ni à vendre ni à acheter !” affirme la Confédération Paysanne. Emmanuel Macron lui a réitéré son refus à Bruxelles. « Le libre échange ne fonctionne plus au 21e siècle » dépeint Thomas Porcher. If you thought the battle between machines and jobs – the dislocation of labor and society resulting from digitization or automation – has been one-sided so far, just wait. The next wave of attack is well underway, and it’s called AI. Artificial Intelligence, most simply, refers to computers that perform tasks that normally require human intelligence – things like visual perception, speech recognition, even decision-making.Earlier this year the management consulting firm McKinsey famously wrote that “25 percent of the global workforce will either need to find new professional activities by 2020 or significantly broaden their technological skills. The World Economic Forum’s “Future of Jobs Report: 2018” states, “By 2022, the skills required to perform most jobs will have shifted significantly… [and] no less than 54% of all employees will require significant re- and upskilling.”The greatest concerns are not just that AI destroys jobs, but that it increases inequality – that low-wage employees get displaced, while high-wage employees maintain or even extend their value that’s more difficult to replace with a machine.Of course, new technologies have disrupted existing processes for centuries. Steam engines. Electricity. Microprocessors. Will the experience with AI be different than with previous technologies? Most importantly, what can governments, corporations, small businesses and individual workers do to not just avoid massive disruption, but rather position themselves to take outsized advantage of the opportunities?To find out, I recently hosted an excellent roundtable discussion at Clayton, Dubilier & Rice with NYU Professor Robert Seamans.Prof. Seamans’ studies how technology and governance structures affect strategic interactions between firms, affect incentives to innovate, and ultimately shape market outcomes. Previously he served under President Obama as a Senior Economist at the White House Council of Economic Advisers. He also co-authored an important review titled, simply, “AI and the Economy,” which explored the potential impact of AI on productivity and labor, and considered the various roles for regulation around antitrust, wages, data portability, and even immigration.

Private equity, of course, is a core part of most large institutional investors’ portfolios. How core? As of last year, some 90% of large U.S. public pension funds maintained allocations to private equity – an investment amount that totalled nearly 10% of all U.S. pension assets. In fact, for some global endowments, public pension systems and sovereign wealth funds around the world, the dollar-weighted average proportion of total AUM invested in private equity had increased from 6% to 12% in just the previous two years. But while private equity continues to grow as an asset class, many LPs seek new strategies, moving beyond the traditional fund investments, including co-investments, co-sponsorships, and even direct investments – bypassing the PE firms completely. Within this evolution of investment opportunities, a new approach has quietly been gaining traction. It’s called Solution Capital — highly customised transactions tailored for sellers who want to keep a substantial minority interest in the business being sold. How does Solution Capital work?
