A Texas transplant who has always been in pursuit of art as a career, Andrew Sherman found his calling behind the lens.He has shot bands from Sting and the Eagles to local bands you haven't even heard of yet. Andrew spent most of his adult life in Los Angeles where he pursued music and acting. He was also a part of Andy Dick and the Bitches of the Century (led by the group's namesake member, Andy Dick).In 2016 Andrew took a few video editing classes at community College and landed a gig as the editor of the Chevy Music Showcase. There should be enough that, after adding in the ending, each player will get an equal number of card draws and the scene will last an appropriately dramatic length of time. Also, shuffle your deck of cards. The game starts with one player describing the geocacher fleeing out the entrance of the mine. From there, players take turns drawing cards and adding to the scene with: a hint of the monster, based on the prompt associated with the card; and the next piece of description of the geocacher fleeing. Be careful of each others' limits - this is a horror game, you don't want to accidentally cross lines - but being mindful of that constraint, be vivid with your descriptions. Do not reveal or establish too much about the monster, however. This is a podcast on Joint Ventures comparison with M&As with Ivan Golubic. Show Notes: Comparing and Contrasting JVs (Joint Ventures) and M&As (Mergers and Acquisitions). The concept of the transaction is very similar between JVs and M&As. You go through the same assessment, due diligence, and planning exercises. The biggest difference is that JVs are relationship-based. It is not won-and-done. It is two independent parties who work together for a common purpose and goes over many years (planning, running, and dissolving). JVs like M&As are also susceptible to not achieving their results either. Lack of alignment on the approach to achieve goals or poor execution of plans may cause JVs to fail. It is important to include potential members of an implementation team in the due diligence process. In order to control and influence, the most important part of a JV is a governance structure. The governance structure would monitor the objectives and KPIs in such a way that it maximizes the goals of all the parent companies involved. Sometimes it is better to engage a 3rd party to set up neutral governance. When companies create brand new JVs, they should create a JV-specific culture within that organization. This is one aspect where a lot of JVs fail to create and continue to extend their own parent's culture into the JV creating issues and conflicts. Relationship and trust are two components of a successful JV. Many JVs last longer than the tenure of senior managers in specific roles. Those who had initiated the JVs with specific goals, move on to other roles and thus the initially planned goals may get diluted with new people in the JV roles. We start out the episode with a brief background from both Dr. Sherman and Andrew Sherman. We then set in to pre-thought out questions which are a culmination of questions and concerns brought up to both Andrew and San in regards to bar prep every examination cycle. The first question has to do with what Dr. Sherman refers to as “micromanaging the past” with having regret in the responses after a bar exam has been submitted.
