1. Risk Management Framework Components:- Risk Culture - Established by board and management, sets tone from top- Risk Appetite - Formal statements and limits that define acceptable risk levels- Risk Management System - Including the three lines of defense2. Risk Appetite:- Should be commensurate with institution's size and complexity- Must be supported by capital levels- Requires clear metrics and reporting systems- Needs documented processes for when limits are approached or breached- Should be consistently communicated throughout organization3. Three Lines of Defense:- First Line: Front-line business units conducting transactions and operations- Second Line: Risk management department (in larger institutions) led by Chief Risk Officer- Third Line: Internal audit function testing controls and verification4. Key Risk Management Principles:- Risk management culture is foundational to effectiveness- Smaller institutions can accomplish goals without full three lines structure- Need to avoid managing risks in silos- Importance of aggregating risks across organization- Chief Risk Officer role should support but not have veto power5. Best Practices:- Document and communicate risk appetite clearly- Establish appropriate metrics and reporting- Have action plans for when limits are approached- Ensure staff feels comfortable raising risk concerns- Maintain independence of risk oversight functions6. Resources Available:- OCC Director's Reference Guide contains useful guidance on risk governance- Includes questions to consider and potential red flags- Contains comprehensive references on risk and corporate governanceThe episode emphasized that while sophistication levels vary by institution size, core risk management concepts remain consistent and should be applied appropriately based on each credit union's specific circumstances.

Born in Belgium in 1954 to conservative, Catholic parents, Lucy Sante migrated to New York in the 1960s, where she became associated with the Bohemian artistic milieu of the city. After producing several highly acclaimed works of history such as Low Life and The Other Paris and translating Félix Fénéon's feuilletons for NYRB as Novels in Three Lines, she announced in 2021 that she was transitioning: ‘Yes, I've known since at least age 11 but probably earlier and yes, I suppressed and denied it for decades', she wrote at the time. In I Heard Her Call My Name (Hutchinson Heinemann), ‘a generous, fearlessly revealing book' (Samantha Hunt), she describes with great grace, wit and humility her decision to begin living the life she knew was truly hers.Sante is in conversation about her memoir with writer and filmmaker Juliet Jacques. Our guests today are Peter Wakkie and Tjeerd Wassenaar, talking about trust, crisis management, and corporate governance, leveraging their extensive experience in legal and corporate roles. They emphasize the critical importance of maintaining trust, highlighted through an example of an M&A transaction impacted by the COVID-19 pandemic, demonstrating how unexpected events can complicate negotiations and the importance of adaptability and integrity in such situations. They show the importance of proactive risk management, advocating for a strategy that involves staying ahead of potential threats to protect the company's reputation and maintain trust. They discuss the necessity of a "trust but verify" approach and highlight the value of clear, enforceable rules over ambiguous principles to ensure consistent corporate behavior, reflecting on how these practices integrate into a company's DNA. Peter shares his cautious stance on using communication experts during crises, stressing the conflict between the need for transparency and the potential legal repercussions, advocating for a balanced approach to crisis communication. A significant focus is given to the practical application of the Three Lines of Defense model in risk management, emphasizing the need for active involvement and regular checks across company units to prevent crises effectively. The podcast wraps up with reflections on the evolving business climate in the Netherlands, particularly discussing the challenges posed by the disconnect between business expectations and governmental actions. They explore how different corporate governance approaches, like the stakeholder model prevalent in Europe, impact business operations and decision-making, particularly in contrast to the shareholder-focused models in the UK and the US.

What are the lines of defense you've established in your business? What are the lines of defense against scarcity thinking? What about your lines of defense against being disconnected? There are two approaches in your business, offense and defense. Just like in a football, basketball or hockey game, you need to be strong in both to win. If you're just strong on offense, you might score lots of points, but if you're weak on defense, you'll also allow the other team to score lots of points and win the game. If you're only strong on defense, you might keep them from scoring, but it's possible you don't score enough to win the game. It's true that your business is not exactly like sports - you're not playing against another team - but it is like sports in a lot of ways. What are your lines of defense? Why does he get so excited about working with the blindspot 10:15 – What do we mean by authentic self and transformation? 17 – The First Line of Work – working on yourself – what strategies have John and Kara been exploring? 30:30 – The Second Line of Work – Working with others consciously and “Being” in a group 41 – The Third Line of Work – Working for the sake of the work and paying the debt of our existence 44:30 – What are our egos working for and how do we “suffer consciously”
