On today's episode of the podcast I chat with Joey Vitale, trademark lawyer and owner of Indie Law. Copyrights vs trademarks Copyrights protect your content, trademarks protect your brand. For example, when you walk down the cereal aisle of your business, the trademarks are the packaging (things like business name, logo, slogan, title of your podcast, etc.) and the stuff inside the cereal box (the content you're taking, the posts on your website, etc.) and that's where the copyrights come in. Trademarks are not to protect you, they're to protect consumers. For example, imagine there was no rule and any tech company could call themselves Apple, consumers wouldn't know who they could trust. The sign of a trademark, lawyers refer to it as source identification, when a name or phrase is mentioned and people can automatically identify the source behind that. For example, Disney having the trademark behind Hakuna Matata. Why do I need a trademark, especially if I'm not having any problems of my brand/product being copied? Even having an LLC or domain name does not give you trademark naming rights. It's important to not only protect ourselves, but make sure that what we're doing is not already stepping on the toes of other copyrights without us realizing it. At what point do you initiate the trademark process? It depends on what you envision for the future of your company. In the beginning of your company, if you receive a cease and desist letter, it is easier for you to change your name and brand than it would be if you were far into the growth of your company and had already created a well-known brand name. How quickly can you pivot? Trademark registration is different than getting an LLC or domain. It's an audition, not a file and it's yours. If you do get a trademark, in addition to a piece of paper, here's what it can give you: To boil it down, there are a few different layers, and the first is Common Law Trademark Rights - Just by being in business you get these automatically you own those trademark rights by being first. These are geographic-based, bigger than a city, much smaller than a state. For example, pre-Internet this was enough for a corner bakery who didn't sell online. Right now, over half a million applications are being filed a year so the timeline is 12-24 months to get an answer. A trademark can also implement attorney fees, meaning if someone is using your trademark and you need to get an attorney, that person may also be responsible for the fees. It also can allow you to file to companies like Instagram if someone is using your trademark as their account name. Over half of trademark applications that get filed get rejected and the main reason is a likelihood of confusion issue. You have to look at not just the trademark but also the description of the services being provided. If the names are similar but they are offering completely different things, that can be okay. The more generic your business name is for example “Brilliant Photos” versus “Kodak” the more you will have less to stand on and if you do get a trademark, the more of an uphill battle you will be fighting against people who don't realize they're using it. If someone is doing their own trademark research, the searches you run have an immediate expiration date because people file all the time. There is a secret weapon and it's an Intent to Use Trademark application. This episode is a MUST LISTEN! Don't make the mistake of picking a sugary sweet name for your biz without learning more from our guest, Joey Vitale from Indie Law. When Joey Vitale was in college, he was bribed by his father to go to law school with a new car. He quickly realized he was not the ‘shark.' Due to it not fitting, he started his own graphic design business. Through networking, he realized how many people in business had questions. So, he started a law firm to fill the need in order to help cut out the noise.Many people go with less expensive solutions. The problem with that is there is one solution for everyone--which is not the right solution for everyone. Instead, Joey works with people to educate and empower them in their business decisions.His law firm focuses on the must haves for a business and has solidified the process into programs for those starting their business. There are two beliefs that are very common among business owners:I can be under the radar while getting startedI am confident in startingThese two concepts cannot coexist. What ends up happening is you wake up one morning to an expanding business that has duct tape. It isn't protected because when that step should've been completed, you were too small. One of the first steps they need to do is acknowledge that this business is separate from you. It is very easy to take it personally. But absolutely none of it is attached to your worth as a human. That goes both ways--positive or negative. As long as you stay a sole proprietorship, you are connected to the business. This is why it is recommended that you start as an LLC and establish your business is important enough to be its own entity. Beyond the mental state of mind of being a separate entity, being a Limited Liability Company protects you. In the worse case scenario, if you are ever sued, your personal assets are protected. Once you are committed to forming an LLC you will find it is quite easy to setup. In Joey's business, he has resources available to help guide you through the process.Next--trademarks. With sugaring being our service, we get to have a ton of fun with the names. But here is the thing we all assume, an available domain name means the name isn't taken. Wrong! A trademarked may exist and down the road, you may be told to change your business name. Trademarks actually exist to protect the consumer more so than the business. Owners tend to think they are ‘calling dibs' on the name and they don't want anyone else using it. But, what trademark protections are really about is the consumer. So they get the brand that they are trying to get. For instance, someone selling shoes that are spelled “Nikee” instead of “Nike.” I myself as the Sugar Mama ran into this at a tradeshow. I sent someone that was new to sugaring to a vendors table. That person said, “the Sugar Mama sent me.” And the vendor's response was, “Which one?” I actually had to interrupt and make sure it is known that I am THE Sugar Mama and am protected with that trademark. I was able to do that with your guidance, Joey, so thank you so much!The key is--protect and focus on your business. Take the time to learn how to properly search for available names. Open that LLC. Start your trademark process. And be the legitimate business! You can flex behind having your ducks in the row. Last pro tip--do your LLC first! There is actually a difference between the technical name of your LLC and your trademark. When you get an LLC, that name is the backstage business name. Your trademark can be your brand name. If you are overwhelmed, use your name for the LLC and let the trademark be your public facing name.

Because investments are still one of those “mysterious” topics that not a lot of people have exposure to, it can be really hard to know who to trust and whose advice to actually follow. When you have a cousin, friend, or fellow business owner who has made a series of investments and seen (or told you they’ve seen) great returns, it can be tempting to follow in their footsteps or take their experience as fact. But as Dustin and Danielle explain in this episode, that can be a huge mistake. In general, entrepreneurs and business owners tend to have a number of professionals they rely on and trust. Your bookkeeper or Certified Public Accountant may help you manage your day-to-day business income, pay taxes, and even cut overhead costs. But none of that means they’re qualified to give you investment advice. Executive coaches can help you grow your business and even resolve some of your mindset blocks around money. But that doesn’t mean they have experience with investments and, therefore, shouldn’t be giving you investment advice. Attorneys are extremely useful, especially when it comes to helping you structure your business or apply for trademarks, like Joey Vitale of Indie Law can. But they’re not experts in investments. Insurance agents will help you protect your business, home, and life… but they’re also not investment advisors. Friends and business owners who have a “great investment idea for you” are — you guessed it — not to be trusted for investment advice. Of course, Dustin and Danielle aren’t saying you should listen to these experts’ opinions and experiences with investments. You just shouldn’t take their advice as your own plan of action. Especially when these people benefit from your decisions. CPAs, for example, may only recommend investments that save you on taxes, which doesn’t always benefit you in the long run. Attorneys may recommend investments with a certain professional with whom they have a referral agreement. Friends and business owners with investment ideas are usually just hoping to get money to support their business or ideas. At the end of the day, it doesn’t matter who these people are. If they’re not qualified to offer investment advice, Dustin and Danielle recommend that you take what they say with a grain of salt. Then find a real professional who can offer you the guidance you need. CERTIFIED FINANCIAL PLANNER™ PROFESSIONALS ARE LIKE QUARTERBACKS Dustin and Danielle break down your advisory team in this episode, explaining that each of the professionals above all play their own role. But sometimes, you don’t have these roles filled yet. If that’s the case, a CERTIFIED FINANCIAL PLANNER™ can serve as your advisory team’s quarterback; they know about taxes, estate planning, insurance, etc. but they’re looking at the high-level picture. Once they know the play, your CERTIFIED FINANCIAL PLANNER™ can pass the ball to other experts who can help make the most informed decisions that are right for you. A CERTIFIED FINANCIAL PLANNER™ can also tell you, based on your situation, which other members you need on your advisory team. You’ve got your team in place when it comes to your staff and daily operations, but you need to make sure that you have the right experts on your side as well. Recruiting the wrong advisory team can be a lot more detrimental to your business (and yourself) than just hiring the wrong assistant, for example. You don’t get exclusive rights to your name unless you have a federal registration in place. The first step is to make sure that you’re not infringing on anybody else’s trademark. If you are using a name and you will be in business two years from now, then you should invest in trademark protection. Not everything that we create is protected by copyrights. Legal documents that should be added to your website are a Privacy Policy, Terms of Use and Conditions. For newbies, the first big thing is awareness. You don’t have to learn everything in detail, but you should understand the difference between patents, trademarks and copyrights. Treat your business as a real business and not just an extension of you.
