OTC Markets Group EVP of Corporate Services Jason Paltrowitz joined Steve Darling from Proactive to share some compelling findings from a study conducted by the OTC Markets. This study aimed to evaluate the performance of all Initial Public Offerings (IPOs) that took place on the NASDAQ CM and NYSE AMEX markets in 2022, totaling 91 deals. One striking aspect of the study was the snapshot of the market cap of these companies the day after the offering, which averaged at an impressive $213 million. However, a mere 28 days post-IPO, this average had dipped significantly to $102 million, and the current average currently rests at a more modest $56 million. These figures underscore the dynamic nature of the market and the challenges these newly listed companies face in maintaining their initial valuations. The study's findings revealed some alarming statistics, with a staggering 92% of IPOs experiencing negative rates of return from their offer price. The overall average total return across all these IPOs stood at a daunting -64.8%. Even more concerning was the fact that 34% of these companies found themselves on an exchange non-compliance list post-IPO, highlighting the difficulties they encountered in meeting regulatory requirements. Additionally, 51% of these newly listed firms resorted to reverse stock splits, either before or after their IPOs, raising questions about the alignment of interests within these companies. Amidst these findings, the study underscores several crucial takeaways for companies contemplating an exchange raise. Companies need to carefully assess whether they are well-positioned for success post-capital raise, considering factors such as their size and stage of development. Equally important are considerations related to advisory fees, compliance expenses, and the potential dilution costs for existing shareholders. Another critical consideration is the investor base, as companies should identify the type of investors participating in the offering – whether they are long-term holders or short-term intermediaries seeking to quickly flip discounted shares. Larsen said the decision to trade on the OTCQX was to make it easier for US investors who have shown an interest in the company. He explained that the airline commenced long-haul flights between Europe and the US in June 2022 with a few routes and is gradually expanding. "We are taking it slowly to ensure that we walk before we run and also to make sure that we are getting known and are able to fill our seats before heading into the winter which I thing is going to be rough for everybody," Larsen said.

Perhaps, unlike most of her professional peers, when Bea Ordonez first interviewed for a CFO role, she got the job. At the time, perhaps no one was more surprised than Ordonez, whose finance resume—while impressive for a 26-year-old—still lacked a number of C-suite prerequisites. Twenty years later, she still resides in the C-Suite, having filled a number of consecutive CFO and COO roles over the years. Nonetheless, she credits her first CFO tour of duty with having opened the door for everything that has followed. “On paper, at least, I was woefully underqualified for the job. I interviewed, landed the role, and then worked really, really hard to learn the business from the ground up,” says Ordonez, whose first CFO stint was with a joint venture originally formed with Bloomberg Tradebook known as G-Trade. Located on the island of Bermuda, the broker-dealer start-up no doubt found Ordonez an attractive hire in part because she was at the time an island resident. Still, for all of those trying to decode shortcuts to the C-suite or uncover a coveted secret behind becoming a 26-year-old CFO, we’d wager that Ordonez’s words “worked really, really hard” perhaps best reveal her world of both today and 20 years ago. As G-Trade grew, Ordonez became tasked with quickly adding talent to help answer the organization’s growing demand for financial and operational support. “We were providing support for trading activities across close to 90 global markets and at the same time building a culture and creating a work ethic that even to this day I am very proud of,” recalls Ordonez, while once more drawing our attention to her unwavering appetite for the work itself. “At times in my career, I didn’t have any personal life, and what time I did have, I used for sleeping,” confides Ordonez, who adds that today—more than ever before—she is achieving a positive work/life balance. –Jack Sweeney

Last fall, the IPO market “fizzled” and 2016 has seen the broader market fall well into “ correction” territory (representing more than a 10% drop from the peak). That hasn’t stopped Elio Motors from raising over $16 million in a “mini-IPO” with help from StartEngine. Elio Motors, founded by Paul Elio, is developing a sub-$7,000, three-wheeled vehicle that seats two people and gets 84 miles per gallon. Last summer, Elio “tested the waters” and found interest of over $27 million (a spokesman says the tally reached $45.6 million). With the SEC’s official sanction, Elio launched their regulation A offering, something of a cross between a traditional IPO and investment crowdfunding, just as the market began to stumble. Elio explains that as with a traditional IPO, the shares will trade publicly, “ Shares in Elio Motors will soon become eligible to be traded on the OTCQX, the top tier of the three marketplaces for trading over-the-counter stocks provided and operated by the OTC Markets Group. This will provide liquidity for investors who purchase stock through the Regulation A+ offering.” “Elio Motors will close out the current Regulation A+ stock offering on Feb. 1, 2016, as one of the steps needed to allow for OTCQX trading,” he adds. For clarification, “OTC”, stands for “Over-the-Counter”, which means, as Investopedia defines it as, “a security traded in some context other than on a formal exchange such as the NYSE, TSX, AMEX, etc…” Investopedia breaks it down even further, when it states, “the reason for which a stock is traded over-the-counter is usually because a company is small, making it unable to meet exchange listing requirements.” That sounds a lot like, MicroCap Stocks, right?However, because of advances in new technology and growing interest in MicroCap stocks, I wanted to find out if the relationship has gotten more complex over the years.
