How2Exit: Mergers and Acquisitions of Small to Middle Market Businesses
Watch Here: https://youtu.be/2Q11T0Dnvu4About the Guest: Mike Finger is the founder of Exit Oasis, a platform dedicated to helping small business owners prepare for successful exits. A former business owner himself, he learned the hard way that not every business is sellable. After a wake-up call from brokers who told him his company wasn't worth buying, he spent years transforming it into a sellable asset. Today, he coaches owners on how to create businesses that are both profitable and sellable, whether they want to exit or simply work less.Summary: Most small business owners believe they'll sell their business whenever they're ready. The harsh reality? Most businesses don't sell. In this eye-opening episode, Mike Finger, founder of Exit Oasis, sits down with Ron Skelton to expose the myths around small business exits. With personal experience transitioning from burned-out owner to successful seller, Mike breaks down the three fundamental questions every owner must answer to create a sellable business. This conversation is a wake-up call for entrepreneurs who assume their business is ready for sale—when in reality, it may not be sellable at all.Key Takeaways:Most businesses never sell – The industry loves success stories, but the real numbers show that most owners fail to transition their businesses.Sellability starts long before you decide to sell – Owners should focus on making their businesses ownable first. If you can step away without the business collapsing, it's far more attractive to buyers.Three critical questions determine sellability – Does your business generate desirable results? Can a buyer duplicate those results? Can you document those results?Tax strategies can sabotage sellability – Owners who “minimize” profits for tax purposes are also minimizing the value buyers see in their business.Buyers want proof, not promises – Handshake deals and back-of-the-napkin accounting don't inspire confidence. If it's not on your tax return, it doesn't exist to a buyer.Cash-heavy businesses raise red flags – Many owners say, “a lot of cash walks in the door.” Buyers hear: “I don't report my real income.” If you want top dollar, run a clean operation. You can't replace decades of knowledge overnight – Many buyers overestimate their ability to replace an owner who has spent years mastering their business. Experience matters.Start preparing now, not when you're burned out – Most owners wait too long to think about an exit, and by the time they're desperate to sell, they've already devalued their business.--------------------------------------------------Contact Mike onLinkedin: https://www.linkedin.com/in/mike-finger/Website: https://exitoasis.com/--------------------------------------------------

EPISODE 65: THIS WEEK'S GUEST - MIKE FINGERIn this episode, Mike highlights the three elements all small business owners should focus on when building a company for a future M&A exit: Are your business results desirable? Will an acquirer see value and opportunity in what you have built? Can a buyer duplicate your results? Can the buyer run the business without you? Can you document your results? Is there a playbook written that can be followed once you are gone? GUEST BIO:Mike Finger is a serial entrepreneur and business advisor who's built and sold four companies. His first exit was not for the faint of heart and provided expensive lessons for the rest of his entrepreneurial career. Mike built his first company to 50 people, and after ten years of growth, he decided to sell. However, after several attempts to work out deals with multiple buyers, Mike's investment bank told him that his business was just not in a position to sell.Although this is something any decent investment bank or M&A Advisor should know before taking a company on as a client, Mike spent the next four years fixing the mistakes in his business and eventually sold the company. Resigned to not letting other small business owners go through his pain, today, Mike shares with us how to position small businesses for successful exits at Exit Oasis. We hope you enjoy the conversation with Mike Finger.WHERE TO FIND MIKE FINGER:LinkedIn

Over the last 25 years, Mike has bought, built, and sold multiple businesses. Building his first business was a rewarding challenge, but what really captivated him was selling his first business. But that sale almost didn't happen. Mike was 10 years in with 50 employees when he found out the business he had built was unsellable. It was devastating. But he moved forward and focused on changing a few simple elements in the business. Those changes made that first sale possible, and he says it changed his life. Now Mike works to help other small business owners change their business so they can experience their own life-changing sale when the time comes.--------------------------------------------------Contact Mike onLinkedin: https://www.linkedin.com/in/mike-finger/Website: www.exitoasis.comIf you'd like additional ways to support this podcast, you can become a patron here: https://www.patreon.com/bePatron?u=66340956----------------------------------------------------------------------------------------------------Reach me to sell me your business, be on my podcast or just share some love:Linkedin: https://www.linkedin.com/in/ronskelton/Twitter: https://twitter.com/ronaldskeltonFacebook: https://www.facebook.com/How2ExitInstagram: https://www.instagram.com/how2exitpodcast/Have suggestions, comments, or want to tell us about a business for sale call our hotline and leave a message: 918-641-4150----------------------------------------------------------------------------------------------------Watch it on Youtube: https://youtu.be/frm2fs3p3Jk----------------------------------------------------------------------------------------------------Other interviews:Lane Carrick - serial entrepreneur and sold multiple businesses in his career: https://youtu.be/cAEGiqiieQwCarl Allen - M&A Expert with Over $47 billion in deals: https://youtu.be/VIU2Lqj_FY4Walker Deibel - the best-selling author of Buy Then Build: https://youtu.be/xoUH_IxeookMike Mausteller - Business Coach, Executive Coach, Trainer, and Speaker: https://youtu.be/yYLEAfafxWcSimon Bedard - Founder and CEO of Exit Advisory Group, M&A firm in Australia: https://youtu.be/obNiIbx5mJ0Kison Patel - CEO and Founder of DealRoom and and M&A Science Academy: https://youtu.be/VR4nSM8HT18--------------------------------------------------

The How of Business - How to start, run & grow a small business.
Is your small business sellable, and what you need to have the freedom to sell your small business when and if you choose to, with Mike Finger, a successful small business owner and the founder of Exit Oasis – providing coaching services and resources to help small business owners prepare for the sale of their business. Henry Lopez is the host of The How of Business podcast – helping you start, run and grow your small business. The How of Business is a top-rated podcast for small business and entrepreneurs.
@MikeFinger from @exitoasis has been a #businessowner and #businessbroker. He's had 4 successful business sales of his own and now coaches owners to help them build more sellable businesses. Mike is based in the US and in the discussion we cover;why owners need to 'learn to leave' their business more successfully.the different perspective Mike can bring from being able to sit on all sides of the table i.e he's, sold, and brokered small business sales, and seen the pluses and minuses in each of those chairscreating the freedom for the business owner to make the choice when they're readythe downside for owners in the existing #businessbroking model for selling businesseshow the #businessbroking industry is compensated based on complexity; The reason most small business owners fail to sell is because of something simpleWhy owners really want to sell – because "I've got these 3 problems in the business and I'm just tired of dealing with them." Why you can't sell unless we solve that problem The irony that comes when that problem starts to get solved - the owner starts to fall back in love with their business. “Hey, this isn't so bad. I'm actually making some money. Hey, this isn't so bad. I don't have to be there every day.”The key to all = Ownable is Sellable. Create a business that gives the owner of the flexibility to make either choice. How too many owners think that selling their business is their worst-case scenario. They think that's their my fallback, that's my safety net when they're not aware that best stats available show that 80 percent of small businesses will never sell.3 key questions Mike ask's owners to work out how well progressed they are to selling; Are your results desirable? Can I buy or duplicate your results? And can you document your results? When your retirement plan is based on the sale of your business His dislike of the term #exitplanningHis preference for small business owners giving themselves choicesBeing into a business for years and years and then woking up one morning, and I just I don't want to do this anymoreFeeling toasted - looking in the mirror and seeing a piece of toast looking backMike's most important pieces of advice; Not leaving things too late to get started on getting prepared to sellSet a half an hour a month, make a lunch date with your future self every month, and spend that half an hour learning about selling a business. Learning about what this topic means. If you're lucky enough to do it, it's the single biggest financial transaction you're ever going to have, how about spending half an hour month learning about it? The magic of the space that occurs right after you sell a business. It is magical, what happens there. You've got this massive thing that consumed your life for so long. You get a successful completion of that effort. You get rewarded for that effort and you get this open landscape in front of you of opportunity. I love that space. I'm talking a little bit about the money, but I'm mostly talking about that freedom to clear your brain. I carry ownership pretty heavily, right? It was always on my mind. It was always in my head. So to be set free from that, that's a fabulous thing. www.kerrcapital.com.auwww.smallbusinessbanter.com

Mike Finger is the founder of Exit Oasis, a firm that specializes in helping business owners identify problems with their businesses that might make them less appealing to potential buyers. Mike is himself an entrepreneur who at one time felt trapped in his own previous business, desperate to sell but unable to find buyers. He had to learn essential skills and a different perspective to understand why nobody was interested in his business, and now he and his firm help other business owners avoid that same trap. Exit Oasis has one goal, and that is to help business owners learn how to leave. Exiting a business isn't just the owner's last deal, it's also probably the most important deal they'll ever do. What You Will Learn: Mike shares a story from his father about when Mike was a kid and his father left him a list of chores to do while Mike's father was at work, and Mike subsequently hired neighborhood kids to do those chores for him. Mike discusses his first business that he and his wife began five years after he'd left college. He talks about the process of learning how to run a business by diving into the deep end. Mike shares how he simultaneously grew his two businesses, a business management and financial support firm that focused on schools and a consultancy focusing on nonprofits and associations. Mike talks about why he decided to leave his business, and he shares the awful moment when he realized his business was unsellable. He talks about feeling trapped in a "self-constructed prison cell". Mike discusses the work he and his team at Exit Oasis do to eliminate the complexity of creating exit strategies and teach business owners how to successfully leave their businesses when the time is right. Mike shares the steps business owners need to take to extract themselves from the daily operations of their business to make the company more attractive to potential buyers. Mike explains why there is a huge gap between the number of business owners who intend to sell their businesses to fund their retirement and the number of business owners who actually do eventually sell.
