Donald Trump has threatened to scrap America's Constitution, has denied the results of the last election, and has been charged with inciting a riot. His rival, Kamala Harris, is none of those things. Yet, after a high-voltage entry into the US presidential race, Harris seems to be losing momentum and is deadlocked at the polls. This is despite the Harris campaign raising a staggering 1 billion dollars, more than half of what the Trump campaign has raised. In the second episode of the three-part series Mandate 2024: US Edition, Sreenivasan Jain reports from a Harris rally in #GroundZero at Michigan – a key swing state – to understand the dynamics of why the US election has become a kante ki takkar.Jain speaks to Hispanic voters who are leaning Trump, despite Trump's anti-immigrant rhetoric, to Muslim Americans, angry with the US support to the war in Gaza. As Ilhan Omar, a Muslim Democrat Congresswoman, tells Jain, the Gaza conflict could cost Harris the election.Watch our compelling ground report. Hosted on Acast. This week on Rational Security, Alan, Quinta, and Scott got together to talk over the week's big national security news, including:“Is Revanchism a Dish Best Served Cold?” Russia boosters seem to be feeling bullish for the first time in a long time. This week, its forces captured the strategic town of Avdiivka from Ukrainian forces, who have been weakened by bickering among their Western allies. And imprisoned Russian dissident Alexei Navalny met with a tragic and highly suspicious end, just as Western governments came together at the Munich Security Conference. Is Russia right to be feeling its oats at this moment?“Bibi Steps.” As Israel prepares to mount a controversial military operation against Rafah—the last refuge for many displaced civilians in Gaza—there are cracks between the government of Prime Minister Bibi Netanyahu and the Biden administration, who in recent weeks have shown an increased willingness to target settler violence in the West Bank with sanctions, impose some conditionality on U.S. security assistance, and turn to the U.N. Security Council for possible support for a “temporary ceasefire,” even over Israeli objections. Are these signs of a bigger divide to come? And what will the impact be on the trajectory of the Gaza conflict?“Won't Somebody PLEASE Think of the Children?!” The Kids Online Safety Act (or KOSA) is back in somewhat modified form, promising to introduce new regulations into how our children engage with online platforms—this time with broad bipartisan support, including from the Biden administration. But will it actually help protect children online? Or only put vulnerable communities more at risk? For object lessons, Alan recommended the Oscar-nominated Jeffrey Wright vehicle, American Fiction. Quinta endorsed “The Book of Love,” a spooky fantasy mystery and the debut novel by celebrated short story author Kelly Link. And Scott urged mid-Atlantic listeners to take their toddlers to Baltimore's National Aquarium and spring for the wonderful family sunrise tour. Who could have imagined that Red Lobster's endless shrimp promotion might have unintended financial consequences?Does distress at retailers like Express, Jo-Ann's and The Children's Place mean the US consumer is in trouble? Is ‘liability management' a better term than ‘credit-on-creditor violence'? And why is communications firm C Street starting a new group dedicated to it?We answer all these questions and many more in the latest episode of our Cloud 9fin podcast. Come for the silly headline, stay to meet the leaders of our new US distressed team: Max Frumes and Rachel Butt.
US leveraged loan borrowers are repricing their debt at a frenetic pace, and it's starting to hurt — in some credits, they're testing the base limits of the CLO managers holding their debt.Himani Trivedi, head of structured credit at Nuveen Asset Management, has seen a lot of history in the CLO market, so she's perfectly placed to put this intense period of repricing in historical context. How are managers coping, and what does this trend mean for syndicated loan issuance this year? For this week's podcast, she sat down with our US managing editor Will Caiger-Smith to talk about the repricing wave, as well as delving into captive equity funds, CLOs versus private equity and private credit, and the promise of ETF structures.
Loan repricings came thick and fast in the US market this week, with borrowers looking to slash their borrowing costs on more than $30bn of debt — but bonds are also coming back in a big way.Companies such as Hilton and Chobani highlighted the compelling value on offer in the high yield bond market, which could help define the shape of some hefty debt syndications that are waiting in the wings. In this week's episode of the podcast, our US managing editor Will Caiger-Smith and deputy editor David Bell peek under the hood of the primary markets.
The collapse of wood pellet producer Enviva last month was swift and brutal. The story's not over yet for all of the company's investors (for an extremely thorough analysis, check out our distressed team's deep-dive report) but it is for at least one of them: Inclusive Capital.Founded just a few short years ago to great fanfare, Jeff Ubben's much-vaunted ESG activism fund closed its doors around the same time that Enviva's capital structure fell apart. What can the implosion of these two entities tell us about the state of ESG in America? For this week's episode of Cloud 9fin, our US managing editor Will Caiger-Smith quizzes senior reporter Sasha Padbidri on these interlinked stories. Listen now to end the year on a cheery note.
Commercial real estate is in crisis — specifically, office buildings. The pandemic unleashed an unpredictable torrent of changes in how people work and live, and the dramatic rise in interest rates over recent months has broken funding models for many property owners. That's extremely bad news for a lot of investors in the real estate market, but it also creates opportunities for savvy lenders. On this week's podcast, Will Caiger-Smith asks Rich Byrne, president of Benefit Street Partners, what we can learn from the distress in CRE.

Life insurance, on the face of it, is not the most exciting industry. The secondary market for life insurance policies, however, presents the perfect subject for a spooky Halloween special edition of Cloud 9fin.On this week's episode, Will Caiger-Smith quizzes Sami Vukelj — who explains how and why private credit firms are buying life insurance portfolios, and tackles some of the awkwardness involved in this morbid segment of specialty finance. While the trade, which revolves around the ‘death benefit' payout, leaves a bad taste in some people's mouths. On the flip side, why shouldn't you be entitled to the cash value of your literal life while you can still spend it?Tune in to learn everything you need to know about the death capital markets.
Jess Larsen is in the right place at precisely the right time: after a tough period last year, investor interest in private credit is exploding once again, and his placement agency Briarcliffe Partners is perfectly positioned to benefit from this surge in popularity. The denominator effect is easing, and LPs are once again finding room for private credit. The asset class gives investors an attractive way to benefit from higher interest rates, but its popularity is also to do with the underperformance of private equity and a proliferation of new strategies. For this episode of the podcast, we invited Jess to the studio to talk about a rollercoaster year for private credit — and to celebrate the official launch of 9fin's new Private Credit product!
Can banks really compete with the big guns of private credit? Many are trying — but there are multiple constraints holding them back, from regulation all the way through to organizational structure and culture. This is just one of the topics we discussed in our podcast with Eric Muller of Oak Hill Advisors, a seasoned veteran not just of the direct lending market but also of the banking industry.Along the way, we quizzed him about increased regulatory scrutiny of private credit firms, the clampdown on tax-minimizing ‘season and sell' structures, the quest for the $10bn unitranche, and the growing trend of private lenders taking the keys to struggling companies.
It's been a hot and heavy summer, and the pipeline is looking encouragingly full for next month — especially compared to this time last year. For this week's episode of the podcast, Will Caiger-Smith and William Hoffman take a tour through the primary calendar and evaluate each deal's chances for a smooth syndication.Featuring: Worldpay, Vistra, Syneos Health, Simon & Schuster…and many more. Check out our piece from earlier this week for the full slate.
Casino operator Penn Entertainment is betting that a $2bn partnership with ESPN will supercharge the company's foray into the online sports wagering market. It could be an expensive gamble: online sportsbooks have been a hotspot of growth in the US gambling industry, but competitors such as DraftKings and FanDuel are already starting to pivot to profitability from a “growth by any means” mentality after spending big to take market share. Will Penn's investors have the patience for another growth story? And how could a regulatory backlash against online gambling impact the industry? On this week's US edition of Cloud 9fin, US deputy editor David Bell quizzes senior reporter William Hoffman on Penn's new tie-up with ESPN and what it means for leveraged credits in the sector.
Sometimes it feels like the next wave of distress in the debt markets is always two quarters away. What if it's already here — less of a tsunami and more of a gradual rise in the sea level?Chris Wright runs the private markets group at Crescent Capital, and has plenty of experience as a junior capital provider to stressed credits. As we reported this week, tapping third parties for instruments such as preferred equity and holdco PIK debt has become an increasingly popular strategy for borrowers facing tricky maturities. In this week's episode of the podcast, Will Caiger-Smith quizzes Chris on what these types of situations can teach us about distress, and how the markets deal with it in 2023.
Credit ratings are one of the foundations of modern credit markets — and the National Association of Insurance Commissioners wants in on the action.Several months ago, the regulatory association announced plans to adjust the capital charges for insurance companies investing in CLO debt and equity, by developing an in-house rating methodology instead of relying on the big three agencies. The plans were already controversial within the CLO industry. But in a recent update, the NAIC has expanded the scope of these new rules, sparking broader outrage from industry observers as well as several Republicans on the House Financial Services committee. The NAIC says it's looking to prevent “regulatory arbitrage”, but critics see the rules as a “land grab” for rating fees. For this week's podcast, Will Caiger-Smith sits down with US deputy editor David Bell to unpack the controversy.

The infamous J.Crew maneuver was a bombshell, setting a blueprint for contentious liability management deals and sparking a wave of efforts to block such maneuvers. Now, some direct lenders are worried they've found a way around those blockers. As we wrote earlier this week, securitization baskets in some credit agreements could be loose enough to allow borrowers to securitize assets like intellectual property. How realistic is this idea, and what can people do about it? Will Caiger-Smith quizzes covenant expert James Wallick to get the answers.

The end of Libor is a little over a week away, and some US corporate borrowers are still racing to switch their floating rate loans to SOFR ahead of the 30 June deadline. The loan market's transition away from the old reference rate has been slow, but increasingly contentious in recent months. Borrowers, lenders and financial sponsors have tussled over the compensation offered to loan investors to swap into the lower-yielding SOFR benchmark. In this week's edition of Cloud 9fin, US deputy editor David Bell sat down with Dan Ko, a senior principal and portfolio manager at Eagle Point Credit Management to talk about how CLO equity investors rallied loan buyers to resist off-market SOFR amendments — as well as the challenges and opportunities in CLO equity as more deals exit their reinvestment periods.
Private credit is attracting plenty of new faces these days, but as we wrote in this week's Unicrunch newsletter, a handful of household names dominate fundraising and dealmaking.Craig Packer is one of those names. Owl Rock, the direct lending firm he co-founded back in 2016, was already a power player in direct lending before it merged with Dyal Capital in 2021 to create Blue Owl; he's now at the helm of one of private credit's biggest brands, as investor interest in the sector is going mainstream. For this week's episode of the podcast, our private credit editor David Brooke sat down with Craig to talk about deals, documentation, retail investors and the threat of a recession — and Blue Owl's efforts to dictate terms and keep lending standards tight.
Ever pulled an all-nighter to prepare a pitch, or had your weekend ruined by a last-minute fire drill from your MD? Imagine if artificial intelligence could crunch the numbers and format the slidedeck for you. What would you do with the extra free time? But also, what valuable, formative experiences might you miss out on if you could outsource rote tasks to technology? And how might that change the culture of your institution?Everyone's talking about AI, and how it could revolutionize basically everything. We wanted to figure out what it might mean — both good and bad — for the debt markets, so 9fin reporters William Hoffman and Shubham Saharan hit the phones for some philosophical conversations. In this week's episode of the podcast, we're asking: is AI coming for your finance job?
When is a change in control not a change of control? That is the question some Focus Financial lenders are asking after the company managed to finance its $7bn buyout without refinancing its existing debt.It all hinges on the wording of the credit agreement — so for this week's episode of Cloud 9fin, Will Caiger-Smith sat down with 9fin's debt covenant expert James Wallick to talk about this strange situation and its possible implications.
These days, private credit is becoming so popular that you could be forgiven for thinking it was a recent invention. But some people were doing private credit before it was cool. Tim Lyne is one of those people — when he and a group of colleagues founded Antares Capital back in the nineties, the idea of a jumbo unitranche must have seemed like a pipe dream. For this week's episode of the Cloud 9fin podcast, our private credit editor David Brooke sat down with Tim to discuss the growth of the market, how managers are preparing for the credit cycle to turn, and where the biggest risks are right now.
It's kind of debt, and kind of equity. It's been around for decades, but has recently come back into fashion. What is it? It's convertible debt.Convertible bonds are a clubby and often overlooked corner of the corporate finance world. Last year, plunging equity valuations made for some notable horror stories — like Peloton, Ocado and Affirm — but in recent months the market has become popular once again. For this week's episode of Cloud 9fin, our US managing editor Will Caiger-Smith sat down with David Hulme of Advent Capital Management (whose president, Tracy Maitland, wrote a book on converts) to get the lowdown on the asset class's resurgence.

Unlike liquid leveraged loans, private debt is not frequently traded (although there are signs that this might be changing) and thus can be hard to value. But the funds that hold those private loans still have to find a way to value their books. How do they make their marks? In this episode of our Cloud 9fin podcast, deputy editor Bill Weisbrod sits down with Brian Garfield, a managing director in Lincoln International's valuations and opinions practice, who helps private credit funds value their holdings in illiquid debt instruments. What's the process for valuing an illiquid private loan? How are rising rates impacting private credit borrowers? And what does the rest of the year hold for asset performance?
As Mike Tyson once said, everyone has a plan until they get punched in the mouth. Who knew he was predicting the policy response to the first big bank failures since the 2008 financial crisis? Some of us at 9fin are old enough to remember the alphabet soup of rules and specially designed capital instruments that was cooked up in the wake of the GFC, to ensure that banks could melt down in an orderly fashion and without regulatory intervention. So: what on earth happened to the plan?!In this week's episode of our Cloud 9fin podcast, editors Will Caiger-Smith and Owen Sanderson do their best to explain the fallout from the recent drama at Silicon Valley Bank and Credit Suisse, and what it might mean for credit markets going forward.

Everyone knows interest rates are higher than they were last year. No-one can say for sure where they'll be this time next year, but people have a fairly good idea.Given those expectations, it's no surprise that some brokerage companies are using rate-related adjustments to boost their EBITDA. But is there a way these adjustments could go awry? This week, Will Caiger-Smith and Emily Fasold dig into Cetera Financial's latest loan deal, and the add-backs the company is using to flatter its credit profile.

The US auto lending industry is a finance juggernaut, but not all auto loans are made equal. In this episode of Cloud 9fin, Will Caiger-Smith sits down with reporter William Hoffman to dig into two of the high yield market's best known subprime auto lenders. What does the future have in store for these companies as consumer credit quality teeters on the brink of a downturn?
...but in the end, does it even really matter? Leveraged loan investors are railing against suboptimal credit-spread adjustments as borrowers transition their coupons away from Libor to SOFR. Some of them are even considering legal action. Do they have a case? Will Caiger-Smith and David Bell dive into the niche administrative issue that suddenly became a new battleground in leveraged credit.
It's our first US episode of 2023, and January is off to a flying start — at least for the high yield bond market. But what about loans, where bankers are still stuck with billions of hung bridge debt and private credit continues to eat up would-be syndicated supply? Will Caiger-Smith dials up deputy editor David Bell to decode the year so far.
The holidays are upon us, but sanctions never sleep. This week, 9fin's Bianca Boorer has been in court covering Veon's creative use of UK restructuring law to pay down its Russian bondholders and cut ties with VimpleCom, its Moscow subsidiary. She explains this complex transaction for Will Caiger-Smith.

What does MFN stand for? Why does it appear in corporate credit agreements? Why would borrowers try to get around it and what happens when they succeed? And what does all of this mean for the private credit market after years of hot dealmaking? Will Caiger-Smith and Bill Weisbrod break it all down.
