Navigating the Descent: John Leonetti on Protecting Wealth and Legacy in Business ExitsIn this episode of the Exit Planning Coach podcast, host John F. Dini interviews John Leonetti, founder and CEO of the International Exit Planning Association (IEPA). Leonetti shares his journey from working in his father's textile business to founding the IEPA after experiencing firsthand the lack of succession planning resources. After obtaining law and finance degrees and working in M&A and wealth management, he wrote "Exiting Your Business, Protecting Your Wealth" and established the IEPA (originally Pinnacle Equity Solutions). The IEPA distinguishes itself by focusing on practical implementation and requiring members to submit actual exit plans for certification. Leonetti emphasizes that successful exit planning isn't just about financial outcomes but about transforming entrepreneurs' lives by helping them prepare for life after business and preserve their legacy.

Cross-border e-commerce (“CBEC”) is an umbrella term for cross-border e-commerce retail imports and exports. Cross-border e-commerce retail import refers to the process whereby consumers in China purchase goods from abroad through a cross-border e-commerce third-party platform operator and transport them into the country using either online bonded import (Customs Supervision Mode Code 1210), online bonded import A (Customs Supervision Mode Code 1239) or direct purchase import (Customs Supervision Mode Code 9610). In recent years, China's cross-border e-commerce retail import and export has grown rapidly, due to the expansion of the 2020 cross-border e-commerce retail import pilot program to 86 cities and the Hainan Island. The program has not expanded to all Pilot Free Trade Zones (FTZs), cross-border e-commerce pilot zones, comprehensive bonded zones, import trade promotion innovation demonstration zones, and bonded logistics centers in the city and region. Today will focus on the legal and fiscal matters involved in cross-border e-commerce retail imports under the model of online bonded import. Kaitlin Ferris: Australian law firm Slater & Gordon investigating class action against A2 Milk

Law firm Slater and Gordon is investigating a possible class action claim against a2 Milk in relation to its disclosure over a nine-month period when it announced four earnings downgrades.During this time the shares slumped around 60 per cent, plunging its market cap from $8.2 billion to $4.2b.Slater & Gordon alleges a2 Milk may have engaged in misleading or deceptive conduct in breach of the Corporations Act; and possibly breached continuous disclosure rules pointing to four downgrades, according to the Australian Financial Review."Our investigation is considering whether or not all of the information that's been dripped out by the company over the last nine months was actually not in the company in August when they gave that initial full-year guidance."A2 Milk responded in a statement to the NZX saying it was not aware of any legal proceedings, although it was aware of the AFR report."The company is not aware of any legal proceeding having been filed at this time," it said."The company believes that it has complied with all applicable disclosure obligations and denies any claim to the contrary. The company will respond further if and when any legal proceedings are commenced."On May 10, a2 slashed its revenue and earnings forecasts for the 2021 financial year in a fourth consecutive downgrade and said it was reviewing its key China business amid fresh provisioning of more than $100m of inventory. The dual listed company is now targeting revenue for 2021 of $1.20 billion to $1.25b, down from an earlier forecast of $1.4b, and group EBITDA margins of 11-12 per cent, compared to 30-31 per cent. The company said the trading dynamics in the China infant nutrition market have been and continue to be challenging for a2 Milk and many international competitors."While a2 Milk's third quarter trading was broadly in line with plan, it is clear that the actions taken to address challenges in the daigou/reseller and CBEC channels will not result in sufficient improvement in pricing, sales and inventory levels to meet its previous guidance," it said.

A2 Milk's share price dropped sharply after the company reported a drop in first half earnings.By late morning, the stock was down $1.97 or 17.7 per cent at $9.16.The company earlier said its net profit dropped by 35 per cent to $120m in the first half due to Covid-19 disruption in the unofficial daigou trade into China, and the flow-on impact of that on cross-border e-commerce channels. At an operating level, a2 Milk's EBITDA dropped by 32.2 per cent to $178.5m.Revenue eased by 16 per cent to $677.4m, slightly better than its December guidance of $670m.A2 Milk's EBITDA margin came to 26.4 per cent, a touch down on its guidance of 27 per cent.Looking ahead, a2 Milk said it expected its revenue to come in at the bottom of a previously advised $1.4b to $1.55b range for the year to June. Its EBITDA margin forecast for the year was pitched in a range of 24 to 26 per cent, down from its previously advised range of 26 to 29 per cent.Inventory at the end of the six months came to $198.6m, $51.2 million higher than at the end of 2020, and the consequence of managing the uncertainties and complexities of Covid-19 and its impact on supply chains. The alternative milk company, which has appointed David Bortolussi as its new chief executive to replace the outing Geoff Babidge, said it had been a challenging first half, with revenue falling by 16 per cent."This was driven by performance through the daigou and cross-border e-commerce (CBEC) channels being significantly impacted due to disruption resulting primarily from Covid-19 related issues," the company said."This was partially offset by another period of strong growth for China label infant nutrition products, with sales of $213.1m, an increase of 45.2 per cent."Further growth in the liquid milk businesses in both Australia and the USA was achieved.Australian sales were up 16.3 per cent to $86.9m.Changes in the approach in the United States, focusing more on affordable premium pricing, resulted in sales increasing 22.0 per cent, driven by improved in-store sales in established stores as well as an expanded store footprint.A2 Milk balance sheet remained in a strong position with no debt and a closing cash position of $774.6m.The cash position was $79.5m lower than June 2020 due to negative operating cash flow, participation in the recent Synlait capital raising and the acquisition of the Kyvalley milk processing facility.text by Jamie Gray, NZ Herald

Shares in a2 Milk plummeted after the company took a big knife to its first half and full year 2021 sales forecasts due to disruption arising from the Covid-19 pandemic.By late afternoon a2 Milk - one of the NZX's biggest stocks - was trading at $11.02, down $3.10 or 22 per cent, and shaving more than $2 billion off its market cap.The decline was a factor in taking the benchmark S&P/NZX/50 index down 1.77 per cent to 12,661.A2 Milk's 20 per cent owned supplier, Synlait, saw its share price drop by 25c or 5 per cent, to $4.75 on the back of the downgrade. In today's release, a2 Milk said it now expects its first half revenue to be in the order of $670m and group earnings before interest, tax, depreciation and amortisation (ebitda) margin to be around 27 per cent.It now expects full year 2021 revenue to come to $1.40 billion to $1.55 billion and group ebitda margin of between 26 per cent and 29 per cent.At the end of September, a2 Milk had forecast revenue for the first half of $725m to $775m.Revenue for the year then was forecast at $1.80 billion to $1.90 billion, with an ebitda margin of 31 per cent.A2 said in a statement the effect of the disruption in the daigou channel, which represents a significant proportion of its infant nutrition sales in the company's Australia and New Zealand businesses, had proved to be more significant and protracted than previously thought."While this has predominantly affected infant nutrition sales, sales in our other nutritionals segment have now also been impacted," the company said."We had expected a moderation of the disruption to this important channel during the second quarter. While there has been some improvement, with infant nutrition sales through this channel expected to be higher in the second quarter than the first quarter, the acceleration of the recovery in recent weeks has been slower than we had previously expected.""Notwithstanding our recent focus on activating the CBEC [cross border e-commerce] channel in a manner which complements our daigou business, the disruption we are experiencing in the daigou channel is now having a more significant impact in CBEC.The daigou channel plays an important role in stimulating demand across multiple sales channels, including CBEC."While our performance in CBEC in the competitive online sales event showed year on year growth, sales in the CBEC channel in the period following that event have been below expectation."Slower recovery"With the recent sales performance in the daigou channel not being as strong as previously expected, we now consider that the recovery in this important channel through the balance of the fiscal year will also be slower."A2 Milk said Covid-19 related travel restrictions would will continue to negatively impact the reseller channel due to reduced travel between Australia and China through the remainder of FY21, with limited prospect of a return of a significant number of international students and tourists to Australia during the period. The company said it continued to target ebitda an margin of 30 per cent over the medium term.

Patients with severe covid-19 disease need hospital care, intensive care. Some of them will need to be put on a ventilator. According to an April 2020 report of the Centre for Disease Dynamics Economics and Policy, there are an estimated 19 lakh hospital beds in India, 95,000 ICU beds and 48,000 ventilators. Most of these are concentrated in the metros of seven states. These were not enough before covid-19. Public hospitals have always been overburdened. Now with the pandemic, they are overwhelmed. There are distressing accounts of exhausted healthcare providers trying to cope with the flood of patients with this disease. Without protective equipment and safety protocols, they are getting infected in large numbers.  And health professionals faced with crowds of sick people and limited resources may be forced to decide who to treat first, and when to withdraw treatment. This dilemma is faced by healthcare providers across South Asia.  In April this year, the Centre for Biomedical Ethics and Culture (CBEC) in the Sind Institute of Urology and Transplantation in Karachi, Pakistan published guidelines for ethical healthcare decision-making in the COVID-19 pandemic in Pakistan.
