Here's what you need to know about using an escalation clause. What is an escalation clause? It's crucial to know how the escalation clause works and that the real estate agent on the other side of the deal knows as well. We've run into that a bit, where the other agent didn't quite understand. If it's not presented well, it can work against you. “If you're committing to an escalation clause, you need to show proof of funds.” An escalation clause is an agreement to pay a certain amount more than the highest offer the seller has received. When writing an offer for a home that's likely to receive multiple offers, you can write into the offer that you'll pay $1,000 over any other offer, for example. You can also add in a cap so that you aren't agreeing to pay way over your budget.  If you're committing to an escalation clause, you need to show proof of funds, and you're also committing to paying the appraisal gap. You're probably going to end up paying well over appraised value and market value for that home. An escalation clause is essentially used to secure a property at all costs, and we're seeing many of them in this market. However, an escalation clause does no good if other contingencies aren't removed because your offer still won't be the strongest, so keep that in mind. On this podcast, episode 132, Adrian and Ariel discuss what an Escalation Clause does for homebuyers while also diving into the potential disadvantages they can bring when looking to buy a home. With the competitive real estate market, buyers always try to find a way to one up their competitors' offers. One of the ways they do this is by having an escalation clause in their contract. An escalation clause in a real estate contract basically states that “I will pay X price for a home , but if the seller receives another offer higher than mine, I’m willing to increase my offer to Y price.” This allows the buyer to always be one step ahead of their competition. For example, buyer 1 offer can be 900K + an escalation of 15K. If buyer 2 offers 1M , the escalation matches that and increases it 15K so buyer 1’s offer is now 1M (original offer) + 15K. The problem with the Escalation Clause is that it often puts distrust within the seller because all the money they are willing to spend is not being offered upfront. This leads some sellers outright declining any escalation clauses because they would simply want a proper submission of what a buyer is willing to spend. In Colorado, I know we don’t typically use attorneys to draft these legal contracts. Real estate agents are licensed to fill out the forms the state gives them to complete the legal contracts for buyers and sellers. What are some Confusing Clauses you see that home sellers should watch out for in selling homes?●These contracts were designed to make sense to buyers and sellers and be completely understandable:●Real estate agents are NOT supposed to Make Up language that could be considered ‘practicing law without a law license’. ●Yet, it happens all the time.○Some of their brokers ask their agents to include, as part of the contracts they are writing, their company-specific addendums which alter the meaning of the contract…most often… in favor of their client○Technically, if we have our clients sign ANY, non- State Approved company specific addendums, we MUST hire an attorney to explain them to our clients. ●It’s just not very practical if you have 8 buyers waiting to hear an answer on their offers – to go hire an attorney, during business hours to review addendums.○Many offers get submitted and are expecting a response AFTER Business Hours.○But, if the client wants attorney services, we would simply slow things down and let them hire that attorney.○Most real estate contracts get done without real estate attorneys.○It seems to me, that real estate attorneys get involved when agents mess them up with stuff like this.●We typically advise our clients NOT to sign any boutique addendums created by other Real Estate company’s lawyers for that reason●I see phrases in the contracts almost on a daily basis that could put the seller into future legal jeopardy if they are not careful about counter off any ‘mysterious’ language in the contract. ○The best way to explain this is give you some of my favorite examples:■Paragraph 10.6.1.2: If in sellers possession seller to deliver copies of:■Anything that:●Any other documentation and/or disclosures in the seller's possession that could affect the future value of the property and/or the buyer`s ownership and/or use of the property.■My personal favorite:●Any negative condition(s) in the neighborhood or of a neighbor which may not be apparent to a Buyer but may affect values of real estate.What are some other issues you see out there that cause confusion?●a. Escalation Clauses!●b. Let’s define that.○Let’s say there are multiple offers coming in on a home○Multiple Offers Happen often now○Agents use an Escalation Clause to pay a little over the highest offer up to their max:■Example:●Buyer A: Offer $500K, but willing to pay $2000 over highest offer up to a max of $520K●Buyer B: Offer $495K, but willing to pay $1000 over highest offer up to a max of $520K●Which is the best offer?●These are VERY Confusing to a seller because it puts in doubt 2 things:○How Much Their Best Offer Really Is○Which one of the Two Prices They Will Pay○Seller has to send a Counter Proposal and hope the buyer accepts at the higher number●With many sellers, if they confused they will not act or even counter the buyer that confuses them.●It’s a great position to be in….choosing the best offer. ●My Next Favorite is the Wording on an Escalation Clause:○This: ■Parties further agree that if the property does not appraise for the agreed upon sales price, the Buyers will pay up to $15,000 over the appraised value.○Or This?■Appraisal Gap: In the event that the appraised value is less than the Purchase Price, the Buyer will pay the differential in cash, which Buyer represents Buyer has readily av

An escalation clause might be just what you need to get the home you want in our market. Here’s why.Looking to buy a Home in Northeast Ohio? Use our home evaluation tool.If you haven’t had much luck getting offers accepted in our market, I recommend using a tactic the agents on our team are implementing with our buyer clients: an escalation clause. How does it work? Let’s say you enter into a multiple offer situation and the listing agent tells you to make your highest and best offer, but you’re hesitant because you have no way of knowing if that offer will be high enough. “The escalation clause is a unique proposition, but it might be just what you need to get the home you want. ”An escalation clause guarantees that you’ll offer more than the next highest bid up to a certain amount. If the house is listed for $170,099 and you’re willing to pay as much as $185,000 for it, your escalation clause will state that you’re willing to pay $1,000 more than the next highest verifiable offer. If another buyer makes an offer of $183,000 with no closing costs, your offer would automatically reset to $184,000. The escalation clause is a unique proposition, but it might be just what you need to get the home you want. If you decide to go through and try to purchase the home, there are a few things that we'll do with you.Ask questions: We need to know how much you're willing to spend on a home, and what else we can negotiate. Price is not always the top factor for a seller; sometimes they just need to sell the home quickly and without contingencies. Find the seller's motivation: We try to pinpoint the seller's motivation, because this allows us to make the strongest and most appealing offer on your behalf. We've won homes without offering the highest price because we've understood the motivations of the seller.Escalation Clause: We can write into a contract that you're willing to offer (for example) $300,000 on a home and you'll offer $1,000 more than every offer until the price surpasses $320,000 (or whichever number you choose).
