In this episode, Richard Wells, a Partner in MinterEllisonRuddWatts' technology team, talks to Shona Foster, a Senior Associate in the same team, about the interaction between standard form small trade contracts and the unfair contract terms regime, with a focus on the use of such contracts by tech companies and online businesses.[1:22] Richard and Shona start off by giving a brief overview of the unfair contract terms (UCT) regime itself. They cover what it is, and when and where it applies, especially in the context of companies doing business in New Zealand. They also discuss why standard form contracts might be used.[2:10] They then move on to discuss what are the elements of an unfair term: what is the statutory “test” that might make a term in a contract unfair? Richard and Shona explore the three limbs to this test, focusing on the challenge of protecting a legitimate interest without creating a term that is “unfair”.[3:20] Richard and Shona explore the test in the context of actual contract terms, discussing the “grey list” of types of clauses likely to be considered unfair terms and what these might look like in practice.[5:40] The two discuss the management of risk, in light of what they describe as a paradigm shift towards standard form contracts that are now more balanced between parties. They also look at some key contractual termsand touch on what might be a fair scenario for those terms.[8:30] Richard and Shona explore the topic of the apportioning of liability while complying with the UCT regime – noting that this is a particularly complex area.[11:00] Finally, they look at international vendors, and how the consideration of the UCT regime in New Zealand may require them to make changes to how they deal with New Zealand businesses. A standard form contract (sometimes referred to as a contract of adhesion, a leonine contract, a take-it-or-leave-it contract, or a boilerplate contract) is a contract between two parties, where the terms and conditions of the contract are set by one of the parties, and the other party has little or no ability to negotiate more favorable terms and is thus placed in a "take it or leave it" position. While these types of contracts are not illegal per se, there exists a potential for unconscionability. In addition, in the event of an ambiguity, such ambiguity will be resolved contra proferentem, for example, against the party drafting the contract language. Theoretical issues. There is much debate on a theoretical level whether, and to what extent, courts should enforce standard form contracts. On one hand, they undeniably fulfill an important role of promoting economic efficiency. Standard form contracting reduces transaction costs substantially by avoiding the need for buyers and sellers of goods and services to negotiate the details of a sale contract each time the product is sold. On the other hand, there is the potential for inefficient, and even unjust, terms to be accepted by signatories to these contracts. Such terms might be seen as unjust if they allow the seller to avoid all liability or unilaterally modify terms or terminate the contract. These terms often come in the form of, but are not limited to, forum selection clauses and mandatory arbitration clauses, which can limit or foreclose a party's access to the courts; and also liquidated damages clauses, which set a limit to the amount that can be recovered or require a party to pay a specific amount. If you served on active duty in the military and then become a federal civilian employee, that military time may count as time in service for calculating your FERS or CSRS pension. Periods of active duty while in the any of the military reserves, including your annual active duty training, count. However, National Guard active duty only counts if it was Title 10, section 233(d), or under a call by the president. Service must be honorable. And a deposit has to be received before you retire (that's the buyback). You need to qualify for a FERS or CSRS pension, which generally means serving at least 5 years as a federal civilian. Then the military time you deposit, nicknamed buyback, is added to the years you actually work as a civilian when calculating your FERS or CSRS pension benefit.The pension formula for a FERS employee is the average of your High 3 salaries times your creditable service times our multiplier. If you have 24 years of federal civilian service, a high-3 pay of $110,000, and will retire before age 62, your pension would be $110,000 x 24 years x 1%. That's $26,400 a year. If your buy back 6 years of military time, that 30 years which is $33,000. That's $6,600 more a year in your FERS pension. Live 30 years in retirement and that's almost $200,000 more with the buyback. And buying back military time may give you enough creditable years you to retire earlier. A buyback for a FERS employees is about 3% of your total military BASE pay for the years you are depositing. If you wait more than 3 years to buyback, you will also have to pay interest Even with the interest it is usually worthwhile to buy back the time.The multiplier for CSRS employees is about 7%. But the rules for CSRS employees are more complicated. If you are a CSRS employee that will not be eligible for Social Security, no deposit, or buyback, is required and you will get full credit for military service after 1956. If you're a CSRS employee that will be eligible for Social Security, the military time you buy back will count towards eligibility for retirement and computation of your pension. If you don't buyback any time, your military time will count towards eligibility for retirement. And if you retire before your eligible for Social Security at 62, your military time will count toward your pension computation just up until you reach 62.If you have a regular military pension and buy back those years you will have to give up your military pension. This very rarely makes financial sense. But if you're entitled to a reserve pension that starts at age 60 you can keep that, whether you buyback or not. This often does come out as a great deal.You don't need to do all the math your HR office will do the calculations for you. You will need a copy of your DD 214 the Report of Transfer or Discharge. If you can't find it, you can request a copy it from the National Personnel Records Center by filling out a Standard Form 180. Then complete a form RI 20-97 Estimated Earnings During Military Service and mail with a copy of your DD214 to your appropriate military finance center. They send back your statement of estimated earnings.Take your estimate of earnings and your DD214 to HR and fill out an SF 2803 Application to Make Deposit or Redeposit. HR will then compute the amount of your military deposit using the Military Deposit Worksheet, let you know the amount, and options for making payments.Once HR gives you the buyback cost, compare that to how much more your pension payments would be with the buyback. The process can be a pain, but it is usually well worth it. You can payoff all at once or in payments over time. And remember, your application to deposit, buyback, military time has to be approved and paid BEFORE you retire.

I’m putting air quotes in there, because an actual NISPOM has not been rewritten or re-released. There is no re-release of NISPOM, only a reorganization of the CFRs that duplicate National Industrial Security Program requirements.Conclusion: No new NISPOM (just a few additions)· 32 CFR part 117 and 32 CFR part 2004 are redundant requirements· DoD will no longer publish the DoD Manual 5220.22, NISPOM as a DoD policy issuance in 32 CFR part 117.· 32 CFR part 2004, “National Industrial Security Program” is now the standing CFR· NISPOM Change 2 is still a requirement that Cleared Defense Contractor (CDC) must followBackgroundA quick read will review that there actually is no new NISPOM. INTERVIEW: BARRY MORENO, ELLIS ISLAND HISTORIAN Barry Moreno is a leading authority on the history of , the famous receiving station for millions of immigrants to the United States from 1892-1954. He has worked in the Museum Services Division at Ellis Island for more than a decade. He is the author of several books, including , (including Bob Hope, Bela Lugosi, and Max Factor) and (which includes information on displaced persons). Ellis Island: Historical highlights Prior to 1890, immigration was handled by the states (primarily New York, as most passed through the Port of New York). 1920-1921: New regulations cut down immigration dramatically. Each country had quotas that could not be exceeded. New regulations were passed requiring immigrants to have a passport from their home country have medical examinations pay a tax to the American Consulate in their home country. During the last 30 years, Ellis Island mostly handled immigrants who were "in trouble." Starting in the 1930s some immigrants arrived by air (Colonial Airways from Canada). After WWII, Air France started service, and German and Italian airlines came in the 1950s. Ellis Island was closed in 1954 by President Eisenhower. Immigrants who were still detained when it closed were sent to jails. After 1954, Ellis Island was still used by the Coast Guard for training and by the Public Health Services department. Barry's research on workers at Ellis Island: Most employees were men. Interestingly, blue collar men tended to die before age 60, and better educated ones lived much longer. Female employees were typically widows, unmarried or had husbands who did not support them. "Char woman" was a common role held by Irish, Swedish and German women. Char means "chores" (cleaning women). They worked often for about $400/ year with no pension, and lived to old ages. A nursery was opened at Ellis Island; many Christian missionaries worked there.
