This Principle embodies the truth that "All is Mind." This Principle, by establishing the Mental Nature of the Universe, easily explains all of the varied mental and psychic phenomena that occupy such a large portion of the public attention, and which, without such explanation, are non-understandable and defy scientific treatment. An understanding of this great Hermetic Principle of Mentalism enables the individual to readily grasp the laws of the Mental Universe, and to apply the same to his well-being and advancement. The Hermetic Student is enabled to apply intelligently the great Mental Laws, instead of using them in a haphazard manner. The Kybalion - The Principle of Vibration - Hermetic teachings, Gnostic Wisdom, Occult Knowledge. The Principle of Vibration "Nothing rests; everything moves; everything vibrates." The Kybalion. This Principle embodies the truth that "everything is in motion"; "everything vibrates"; "nothing is at rest"; facts which Modern Science endorses, and which each new scientific discovery tends to verify. And yet this Hermetic Principle was enunciated thousands of years ago, by the Masters of Ancient Egypt. This Principle explains that the differences between different manifestations of Matter, Energy, Mind, and even Spirit, result largely from varying rates of Vibration. From THE ALL, which is Pure Spirit, down to the grossest form of Matter, all is in vibration--the higher the vibration, the higher the position in the scale. The vibration of Spirit is at such an infinite rate of intensity and rapidity that it is practically at rest--just as a rapidly moving wheel seems to be motionless. And at the other end of the scale, there are gross forms of matter whose vibrations are so low as to seem at rest. Between these poles, there are millions upon millions of varying degrees of vibration. From corpuscle and electron, atom and molecule, to worlds and universes, everything is in vibratory motion. This is also true on the planes of energy and force (which are but varying degrees of vibration); and also on the mental planes (whose states depend upon vibrations); and even on to the spiritual planes. An understanding of this Principle, with the appropriate formulas, enables Hermetic students to control their own mental vibrations as well as those of others. The Kybalion - The Principle of Polarity - Hermetic teachings, Gnostic Wisdom, Occult Knowledge. This Principle embodies the truth that "everything is dual"; "everything has two poles"; "everything has its pair of opposites," all of which were old Hermetic axioms. It explains the old paradoxes, that have perplexed so many, which have been stated as follows: "Thesis and antithesis are identical in nature, but different in degree"; "opposites are the same, differing only in degree"; "the pairs of opposites may be reconciled"; "extremes meet"; "everything is and isn't, at the same time"; "all truths are but half-truths"; "every truth is half-false"; "there are two sides to everything," etc., etc., etc. It explains that in everything there are two poles, or opposite aspects, and that "opposites" are really only the two extremes of the same thing, with many varying degrees between them. To illustrate: Heat and Cold, although "opposites," are really the same thing, the differences consisting merely of degrees of the same thing. Look at your thermometer and see if you can discover where "heat" terminates and "cold" begins! There is no such thing as "absolute heat" or "absolute cold"--the two terms "heat" and "cold" simply indicate varying degrees of the same thing, and that "same thing" which manifests as "heat" and "cold" is merely a form, variety, and rate of Vibration. So "heat" and "cold" are simply the "two poles" of that which we call "Heat"--and the phenomena attendant thereupon are manifestations of the Principle of Polarity. The same Principle manifests in the case of "Light and Darkness," which are the same thing, the difference consisting of varying degrees between the two poles of the phenomena. Where does "darkness" leave off, and "light" begin? What is the difference between "Large and Small"? Between "Hard and Soft"? Between "Black and White"? Between "Sharp and Dull"? Between "Noise and Quiet"? Between "High and Low"? Between "Positive and Negative"? The Principle of Polarity explains these paradoxes, and no other Principle can supersede it. The same Principle operates on the Mental Plane. Let us take a radical and extreme example--that of "Love and Hate," two mental states apparently totally different. And yet there are degrees of Hate and degrees of Love, and a middle point in which we use the terms "Like or Dislike," which shade into each other so gradually that sometimes we are at a loss to know whether we "like" or "dislike" or "neither." And all are simply degrees of the same thing, as you will see if you will but think a moment. And, more than this (and considered of more importance by the Hermetists), it is possible to change the vibrations of Hate to the vibrations of Love, in one's own mind, and in the minds of others. Many of you, who read these lines, have had personal experiences of the involuntary rapid transition from Love to Hate, and the reverse, in your own case and that of others. And you will therefore realize the possibility of this being accomplished by the use of the Will, by means of the Hermetic formulas. "Good and Evil" are but the poles of the same thing, and the Hermetist understands the art of transmuting Evil into Good, by means of an application of the Principle of Polarity. In short, the "Art of Polarization" becomes a phase of "Mental Alchemy" known and practiced by the ancient and modern Hermetic Masters. The Kybalion - The Principle of Rhythm - Hermetic teachings, Gnostic wisdom, occult knowledge. This Principle embodies the truth that in everything there is manifested a measured motion, to and fro; a flow and inflow; a swing backward and forward; a pendulum-like movement; a tide-like ebb and flow; a high-tide and low-tide; between the two poles which exist in accordance with the Principle of Polarity described a moment ago. There is always an action and a reaction; an advance and a retreat; a rising and a sinking. This is in the affairs of the Universe, suns, worlds, men, animals, mind, energy, and matter. This law is manifest in the creation and destruction of worlds; in the rise and fall of nations; in the life of all things; and finally in the mental states of Man (and it is with this latter that the Hermetists find the understanding of the Principle most important). The Hermetists have grasped this Principle, finding its universal application, and have also discovered certain means to overcome its effects in themselves by the use of the appropriate formulas and methods. They apply the Mental Law of Neutralization. They cannot annul the Principle, or cause it to cease its operation, but they have learned how to escape its effects upon themselves to a certain degree depending upon the Mastery of the Principle. They have learned how to USE it, instead of being USED BY it. In this and similar methods, consist the Art of the Hermetists. The Master of Hermetics polarizes himself at the point at which he desires to rest, and then neutralizes the Rhythmic swing of the pendulum which would tend to carry him to the other pole. All individuals who have attained any degree of Self-Mastery do this to a certain degree, more or less unconsciously, but the Master does this consciously, and by the use of his Will, and attains a degree of Poise and Mental Firmness almost impossible of belief on the part of the masses who are swung backward and forward like a pendulum. The Principle of Cause and Effect Every Cause has its Effect; every Effect has its Cause; everything happens according to Law; Chance is but a name for Law not recognized; there are many planes of causation, but nothing escapes the Law."--The Kybalion. This Principle embodies the fact that there is a Cause for every Effect; an Effect from every Cause. It explains that: "Everything Happens according to Law"; that nothing ever "merely happens"; that there is no such thing as Chance; that while there are various planes of Cause and Effect, the higher dominating the lower planes, still nothing ever entirely escapes the Law. The Hermetists understand the art and methods of rising above the ordinary plane of Cause and Effect, to a certain degree, and by mentally rising to a higher plane they become Causers instead of Effects. The masses of people are carried along, obedient to environment; the wills and desires of others stronger than themselves; heredity; suggestion; and other outward causes moving them about like pawns on the Chessboard of Life. But the Masters, rising to the plane above, dominate their moods, characters, qualities, and powers, as well as the environment surrounding them, and become Movers instead of pawns. They help to PLAY THE GAME OF LIFE, instead of being played and moved about by other wills and environment. They USE the Principle instead of being its tools. The Masters obey the Causation of the higher planes, but they help to RULE on their own plane. Pillar number 2 of the Prosperity Pillars is the principle that I Take Personal Responsibility. Now that this is a really big one and it's difficult for a lot of people. Tony Robbins said, “It's in your moments of decision that you shape your destiny.” Now there's a big difference between creating your life (which was principle number 1) and taking responsibility for your life. There's a huge difference! Making the decision to Take Responsibility for Your Life Is a Very Empowering Decision… You may be very proactive with your life, but are you taking responsibility for your life? Because responsibility is not just a success principle. It's also a very empowering concept if you think about it. Creating your life is very proactive thing for you to do, but taking responsibility for your life, and knowing that your life is where it is because of YOUR thoughts goes above and beyond. One way to start taking responsibility is to STOP focusing on the problem and start focusing on the solution. It's not about where you've gotten to in your life. It's where you can go and being empowered by taking responsibility for your life will lead you to have more control over the outcome in yoru life. When you focus on responsibility and Solutions in your life you will also create more happiness. I mean think about that from a minute! If you believe that you are responsible for your life, then you can begin to increase your belief and the fact that you CAN Create your Best life (regardless of circumstances). That's so important and huge! So, Let's Begin Today to Take More Responsibility I believe it's important for you to be able to both make a decision AND a commitment to be responsible for situations in your life. You can begin today the decision: I will take personal responsibility for my life, for my actions, for the circumstances in my life. But I want you to also go a step further and make the commitment to be responsible for your life. A lot of us make decisions but we don't stay committed. Make the decision today AND make the commitment…and I promise you several amazing things are going to happen for you. I promise you that great leaders are all ones that take responsibility for their actions and for their life. Power You'll See with This Commitment Now…keep this in mind…amazing things will start to happen when you take responsibility for your life. Let me explain… Your lens and your perception on your life will start to change. You'll view situations differently. You'll view them with more optimism. Stephen Covey with his principles of successful people, has talked about TAKING A MINUTE before reacting after some stimulus (OR EVENT) happens in your life. How you react that split second (after something happens) will be the difference you between the average person and the successful person. So, learn to NOT to be reactive in your life. Learn to be Proactive and Intentional with the way you handle situations that come up! Take a minute to be responsible for the outcome of every situation. So, What are Ways To Take Responsibility The way you can become responsible for your life is be objective. Train yourself to step back and take an objective view of situations that happen in your life. Maybe this situation you're in is happening for your benefit. Maybe there's a different way to handle or respond to events than what your mind originally could come up with. Another way you can take personal responsibility is to literally tell yourself, in any situation, that “I take responsibility.” Say it out loud! By simply making that statement, setting that powerful intention, you are creating a more powerful life. Your Intentions Are Powerful I want you to know that I believe that your intentions are powerful. And I also believe that you need to give yourself more credit. Sometimes we don't give ourselves enough credit, patience or understanding. A few mentor of mine have said a couple of different times, “You need to give yourself more credit for your intentions, not just your actions.” A lot of us judge ourselves, our lives, our jobs, our success by our results. We need to learn that having the “intention of taking personal responsibility”, can be just as powerful in our lives. These are things that I want you to be able to do. I want you to be able to not only proactively create your life, but also take responsibility for your life. Make the decision. Make the commitment. Change your perception and you'll begin to see some powerful changes in your life. How do you start implementing This Principle? Today I want to give you a strategy to be able to implement this principle into your life. I want you to identify a situation that you've been struggling with. Maybe it's at work, or it's at home. Maybe it's with a relationship, just not getting along with someone. Maybe you're not seeing a result that you want, or you've seen some failures or suffered some setbacks. I want you identify at least one key situation, just find one, and decide how you can Take Responsibility for this Area...regardless of whether you are to blame or the cause of the situation. Decide that you're going to take responsibility and watch what happens. Solutions will present themselves. You'll feel more empowered and happier. Identify a situation today that you can take responsibility. Exercise your choice to be responsible. You have greatness within you. I believe it's never too late for you to begin living the life you were meant to live. So, let's continue on that path to unleash yoru potential and create your best life. The show notes go even deeper and are located here: (#) Persuasion in sales has everything to do with human psychology and the study of human behavior. But you’re thinking. We’re in the body contouring business. Well, we too, are not psychologists, though sometimes we feel like it. Fortunately, none of us have to be psychologists. The study and findings of behavioral science tells us a lot. And the more we learn about human behavior, and then implement what we know, the more success we’ll achieve. It’s been 35 years since Dr. Robert Cialdini published his revolutionary findings on the six scientific Principles of Persuasion. We’ve discussed five of them in earlier episodes. If you missed them, go back and catch them. There’s valuable insight in each of them. Previously, we’ve broken down the Principles of Reciprocity Liking Authority Consistency, sometimes called Commitment and Scarcity In today’s episode, we’ll explore the sixth and our final Persuasion Principle, the Principle of Consensus, sometimes referred to as the Principle of Social Proof. What is the Principle of Social Proof or Consensus? And how does this Principle trigger the response, “yes?” Even though all of us like to think of ourselves as independent people, we all look to others when we’re deciding how to act and sometimes even when we’re determining whether something is right or wrong. And the more people who are doing something, the more correct it seems for us to do. Behavioral scientists have a name for this kind of behavior. They call it a decision heuristic. That’s their term for a decision shortcut. Why do we take shortcuts in our decisions? It’s because our lives are busy and complicated. We feel like we can’t take the time to evaluate all the elements of all our decisions. So...we use shortcuts to help us make what we consider to be reasonable decisions. After all, we can justify it mathematically. We reason that the more people are doing something, the more likely it is to be correct. And fortunately, in most cases, we’re right. This Principle is easy enough to understand, right? So how do you implement it in your body contouring business? How do you flip the magic switch of the Consensus Principle? It’s not complicated. You just follow the logic. If you want patients to do something, show them others are doing it. Use patient testimonials of happy patients (video is best) Tout the number of happy patients you have or the number of treatments you’ve done Recount case histories of some of your more interesting or relatable patients Tell how long your business or practice has been serving satisfied patients Use a celebrity or public figure to show support for your business or practice - or even better having them use your services and then talk about you and your services So how do YOU plan to use this Principle to achieve mega profits? That brings us to our action step for this episode. There are 3 parts to it. Action Steps: Collect your patient testimonials and put them on your website. If you don’t have video testimonials, start asking for them. Consider the number of satisfied patients you have. Use that number in your advertising and in your conversations with patients. Consider whether there’s a local celebrity or public person in your community that may like to have a body contouring treatment and then be paid to talk about it. This Year It Will Be Different The new calendar year is always a time for reflection and goal setting. We get a few days off and can put some distance between ourselves and the everyday bustle and minutiae of the business. This affords an opportunity to think more strategically about where we want to be over the next few years and how to get there. We look at our waist line and think we should strike a blow for freedom and do something about removing that fatty liver build up. We also know this is not our first rodeo and we have done and said all this before. We have notes scattered amongst bits of paper or maybe even collected diligently in one place. If you want a good laugh, go back and look at what you said you would do in the business or personally, a few years ago. But this year it will be different. Well, the Einstein take on insanity was repeating the same thing over and over again and expecting a different result. We were crazy kids in the past, but now we have seen the light. So far so good. Where do we start though? Start small. Sounds a bit defeatist doesn't it. “No, I can do it…!”. Well going by track record so far, why would that idea be true? Let's try a different approach this year, aim lower to start off with and build up the tempo. We know that to change our results, we need to change what we are currently doing. We also know we are creatures of habit and the current crop of habits is delivering what we are currently getting. Ergo, we need to create some fresh habits. New habits will generate new behaviour and that in turn will create better ways of working and living. For some people this gradual approach goes against their nature. They want to crash through or crash. Great. How has that “crash through” bit been working out so far? This is the obese crowd, crowding the gym in January but who evaporate by March. This is the mad boss making massive changes all at once in the first quarter and seeing them fritter away by the third quarter. Behaviour change is tough and needs a sustained programme to achieve results. The new thinking is don't plan for massive changes back at the office for the new year. Go for the 4/64 dance card. This is the next level of the Pareto Principle. This Principle says that 20% of our efforts produce 80% of our results. If we push it even harder, then 4% of our efforts yields 64% of our results. Let's consider what that 4% might consist of? Also compared to achieving nothing in particular, getting 64% seems pretty good. Don't try and eat the elephant in one gulp. Find a 4% bite size piece that gets a 64% return in the business. What might that be? Is it some change to the systems being used now? Is it shaving off some item that reduces scale by 4% but delivers a 64% cost saving? Is it a pin point investment in training the people to sharpen up their productivity? Is it allocating 4% more of your time to supervise the very key functions of the team? For your personal development, aim for reading five pages a day at first. Find a category area that will stimulate your mind and give you fresh ideas on how to drive the business forward. Take a good look. There are many books sitting on your bookshelves as yet unread. Pick up a four percenter and start with that one. As you find yourself achieving some daily reading consistency, crank it up to ten pages a day. At that rate you will finish a reasonably sized book in a month. Twelve a year is probably a lot better than what you did over the last decade! If you tried to read the book quickly, you may have been too ambitious and find, just like before, that book that got started, didn't get completed. If you are going after your health improvement again this year, declaring war on your waistline, be strategic. What would be the 4% intake reduction of alcohol and food, or specific choice of content, that will get your weight down by 64%. After having made selection number one, add selection number two, for the items which will be next four percenters. If you are taking up walking or running, start modestly. Maybe don't head off too far at first, but look for a nice, close big hill to make you work intensively, over a short period of time. As powering up the hill gets easier, extend the distance you can cover. Keep track of the time taken to see if you can improve the work rate. If you are down at the gym or pool, which are the four percenter exercises which will give you the best results. Pick a few and then look at increasing the number of sets and reps. As you improve, add in more exercises - the next group of four percenters. Keep a written record that you can refer to, so you can see your progress and track it easily. We know all of this stuff, by the way, but we just don't do it. This year will be different because we are going after the 4/64 sweetspot. We are seeking to change our behavior, rather than trying to get short term results. Water on rock is our mantra - we will wear the problems down over time. Action Steps Start small and scale up. Look for the four percenters and start there. Don't try and crash or crash through Measure and track progress
From time to time I am asked to give presentations to new parents. I love meeting new parents and helping to answer their questions. This week, I have been asked by a local parent support group to talk about Attachment Parenting. I decided to make it the focus of my blog post this week and record a podcast for you on the subject. Attachment Parenting is a subject of much confusion for parents and I wanted to explain what it is and to help you answer the question – is Attachment Parenting right for you and your baby. (Below is more information that I refer to in the podcast via Attachment Parenting International.) Attachment Parenting is an approach to childrearing that promotes a secure attachment bond between parents and their children. Attachment is a scientific term for the emotional bond in a relationship. The attachment quality that forms between parents and children, learned from the relational patterns with caregivers from birth on, correlates with how a child perceives – and ultimately is able to experience – relationships. Attachment quality is correlated with lifelong effects and often much more profound an impact than people understand. A person with a secure attachment is generally able to respond to stress in healthy ways and establish more meaningful and close relationships more often; a person with an insecure attachment style may be more susceptible to stress and less healthy relationships. A greater number of insecurely attached individuals are at risk for more serious mental health concerns such as depression and anxiety. How parents develop a secure attachment with their child lies in the parent’s ability to fulfill that child’s need for trust, empathy, and affection by providing consistent, loving, and responsive care. By demonstrating healthy and positive relationship skills, the parent Provides critical emotional scaffolding for the child to learn essential self-regulatory skills. Attachment Parenting International’s Eight Principles of Parenting are designed to give parents the science-backed “tools” – valuable, practical insights for everyday parenting – that they can use to apply the concept behind Attachment Parenting. These tools guide parents as they incorporate attachment into their individual parenting styles: Prepare for Pregnancy, Childbirth, and Parenting — The overarching message within this principle is the importance of parents to research their decisions regarding pregnancy care, childbirth choices, and parenting styles; childbirth without the use of interventions shows the best start to the parent-infant bond. However, there are ways to modify the initial bonding experience for mothers who do encounter complications. Feed with Love and Respect — Research shows unequivocal evidence for breastfeeding for infants along with gentle weaning into nutritious food choices. Breastfeeding is the healthiest infant-feeding choice. The physiology of breastfeeding promotes a high degree of maternal responsiveness and is associated with several other positive outcomes. In the case breastfeeding is not possible, bottle-nursing — attentive bottle-feeding — should emulate the closeness of breastfeeding. Respond with Sensitivity — This Principle is a central element in all of the Principles; it is viewed by many parents as the cornerstone of Attachment Parenting. It encompasses a timely response by a nurturing caregiver. Baby-training systems, such as the commonly referred-to “cry it out,” are inconsistent with this Principle. The foundation of responding with sensitivity in the early years prepares parents for all their years of parenting, by modelling respect and caring. Provide Nurturing Touch — Parents who “wear” their babies in a sling or wrap are applying this Principle. Infants who are opposed to babywearing enjoy being held in-arms. Touch remains important throughout childhood and can be done through massage, hugs, hand-holding, and cuddling. Ensure Safe Sleep — This principle is the basis for one of the most controversial subjects in parenting. Many attachment parents share a room with their young children; those who exclusively breastfeed and who take necessary safety precautions may prefer to share their bed. However, this principle can be just as easily applied to crib-sleeping situations. The point is not the sleeping surface but that parents remain responsive to their children during sleep. Use Consistent and Loving Care — Secure attachment depends on continuity of care by a single, primary caregiver. Ideally, this is the parent. However, if both parents must work outside the home, this principle can be applied by ensuring that the child is being cared for by one childcare provider who embodies a responsive, empathic caregiver over the long-term; for example, an in-home nanny versus a large daycare centre with rotating staff. Practice Positive Discipline — There is a strong push against physical punishment in recent years, but research shows that all forms of punishment, including punitive timeouts, can not only be ineffective in teaching children boundaries in their behaviour but also harmful to psychological and emotional development. Parents are encouraged to teach by example and to use non-punitive discipline techniques such as substitution, distraction, problem-solving, and playful parenting. Parents do not set rules so that their child obeys for the sake of structure, but rather to be the teacher, the coach, the cheerleader, and the guidepost as the child develops his or her own sense of moral responsibility within the construct of the family value system. Strive for Personal and Family Balance — Attachment Parenting is a family-centred approach in that all members of the family have equal value. The parent is not a tyrant, yet also not a martyr. Parents need balance between their parenting role and their personal life in order to continue having the energy and motivation to maintain a healthy relationship and to model healthy lifestyles for their children.
The updated Framework retained the core definition of internal controls; those being control environment, risk assessment, control activities, information and communication, and monitoring activities. However, it built up Objectives. The 17 principles represent fundamental concepts associated with the five components of internal control. Together, the Objectives and Principles constitute the criteria will guide companies in assessing whether the components of internal controls are present, functioning and operating together within their organization. I. Objective-Control Environment The first of the five objectives is Control Environment and it sets the tone for the implementation and operation of all other components of internal control. It begins with the ethical commitment of senior management, oversight by those in governance, and a commitment to competent employees. The five principles of the Control Environment object are as follows: Principle 1 - The organization demonstrates a commitment to integrity and ethical values. Principle 2 - The board of directors demonstrates independence from management and exercises oversight of the development and performance of internal control. Principle 3 - Management establishes with board oversight, structures, reporting lines and appropriate authorizes and responsibility in pursuit of the objectives. Principle 4 - The organization demonstrates a commitment to attract, develop and retain competent individuals in alignment with the objectives. Principle 5 - The organization holds individuals accountable for their internal control responsibilities in the pursuit of the objective. A. Principle 1 - Commitment to integrity and ethical values What are the characteristics of this Principle? First, and foremost, is that an entity must have the appropriate tone at the top for a commitment to ethics and doing business in compliance. It also means that an organization establishes standards of conduct through the creation of a Code of Conduct or another baseline document. The next step is to demonstrate adherence to this standard of conduct by individual employees and throughout the organization. Finally, if there are any deviations, they would be addressed by the company in a timely manner. From the auditing perspective, this requires an auditor to be able to assess if a company has the met its requirements to ethics and compliance and whether that commitment can be effectively measured and assessed. B. Principle 2 - Board independence and oversight This Principle requires that a company’s Board of Directors establish oversight of a compliance function, separate and apart from the company’s senior management so that it operates independently in the compliance arena. Next there should be compliance expertise at the Board level which allows it actively to manage its function. Finally, and perhaps most importantly, a Board must actively provide oversight on all compliance control activities, risk assessments, compliance control activities, information, compliance communications and compliance monitoring activities. Here, internal auditors must interact with a Board’s Compliance Committee (or other relevant committee such as the Audit Committee) to determine independence. There must also be documented evidence that the Board’s Compliance Committee provides sufficient oversight of the company’s compliance function. C. Principle 3 - Structures, reporting lines, authority and responsibility This may not seem as obvious but it is critical that a compliance reporting line go up through and to the Board. Under this Principle, you will need to consider all the structures of your organization and then move to define the appropriate roles of compliance responsibility. Finally, this Principle requires establishment of the appropriate authority within the compliance function. Here your auditors must be able to assess whether compliance responsibilities are appropriately assigned to establish accountability. D. Principle 4 - Attracting, developing and retaining competent individuals This Principle gets into the nuts and bolts of doing compliance. It requires that a company establish compliance policies and procedures. Next there must be an evaluation of the effectiveness of those compliance policies and procedures and that any demonstrated shortcomings be addressed. This Principle next turns the human component of a compliance program. A company must attract, develop and retain competent employees in the compliance function. Lastly, a company should have a demonstrable compliance succession plan in place. An auditor must be able to demonstrate, through its compliance policies and, equally importantly its actions, that it has a commitment to attracting, developing and retaining competent persons in the compliance function and more generally employees who accept the company’s general principle of doing business ethically and in compliance. E. Principle 5 - Individuals held accountable This is the ‘stick’ Principle. A company must show that it enforces compliance accountability through its compliance structures, authorities and responsibilities. A company must establish appropriate compliance performance metrics, incentives to do business ethically and in compliance and, finally, clearly reward such persons through the promotion process in an organization. Such reward is through an evaluation of appropriate compliance measures and incentives. Interestingly a company must consider pressures that it sends through off-messaging. Finally, each employee must be evaluated in his or her compliance performance; coupled with both rewards and discipline for employee actions around compliance. This Principle requires evidence that can demonstrate to an auditor there are processes in place to hold employees accountable to their compliance objectives. Conversely, if an employee does not fulfill the compliance objectives there must be identifiable consequences. Lastly, if this accountability is not effective, the internal controls should be able to identify and manage the compliance risks that are not effectively mitigated. II. Discussion Both Board of Directors’ independence and Compliance Committee (or other applicable committee) oversight issue are essential to this Objective because the Compliance Committee needs to be actively engaged to be comfortable that the company has implemented the internal controls under Sarbanes-Oxley (SOX) 404(a); as required under Principles 1 & 2. The external auditors must then be comfortable this requirement is met. Finally, there must be evidence the company has appropriate disclosure controls in place because that is central to the Objective itself. This is all tested against Board independence and Compliance Committee oversight over those activities that management has undertaken and their engagement and conversations with their external auditor. Howell related that under Principle 3, “structures in reporting lines, authority and responsibility are essential to the recognition of revenue. An entity’s internal controls or financial reporting details there are processes, there are policies, there is documentation, the authority and documentation of the judgments are being made, the review of those in responsibility for making those ultimate judgments about the recognition of revenue and the recognition or timing of the revenue and the expenses, that those need to be in place.” Under Principle 4, a business must attract and develop, then retaining competent talent. Of course, this is good business as well. But it is more than simply some appropriate levels of staffing, as Howell stated, “One of the big reasons that companies have said do not have money to invest again the deep dive study and process improvement necessary to implement it [the 2013 Framework], is that it comes down to both to commitment level from the top and the tone at the top that this important and these financial disclosures are critical to the ability of the investors to rely on the company's disclosures.” You must only “put in place the right team, give the team the right tools, but also ensure the team has the ability to access the right level of technical accounting talent and business process and controls talent to make the judgments.” All these leads of course ties into Principle 5, which mandates individuals being held responsible. This requires someone to document that they have made a judgment based upon the evidence that they have been able to accumulate, that the company has analyzed that evidence and has gone through the process of comparing this to the COSO 2013 Framework and to the spirit of the standard. Howell said, “those individuals are being held responsible for having done that properly. I think when you tie all that back together, when you get to the control environment, that the COSO principle number one is it can be completely tied back to what is being required.” Three Key Takeaways What controls do you have in place to measure conduct at the top? With an nationwide election on the horizon we the people are having to decide how our precious marine resources are going to be managed, now that we know that the Ministry of Primary Industries refuses to listen to the People. Scott as a spokesman for LegaSea - a public outreach that wants to go beyond the 35,000 fishing club members in 58 clubs and talk to the vast number of people who either love fishing - do a bit of fishing or get a few fish that they share with their neighbours or just like the idea of having abundant in shore coastal fisheries. Scott tells of working in cooperation with the NZ Sport Fishing Council and having to take the Minister and Ministry of Primary Industries (the Government) to the High Court, the Appeal Court and then the Supreme Court in the 2005, 6, 7, 8, and 9 journey, where certain Governmental and Ministry activities were regarded as illegal and poorly conceived management practices for the plentiful kahawai the ubiquitous peoples fish where the Law came out on the side of the righteous and not the Government - thank you Justice Reese Harrison and thank you Chief Justice Sian Elias for the superb judgements that full costs were awarded in the NZ Sports Fishing Council’s favour. Note neither of the above two Governmental parties appealed! Sadly Sanford’s and Sealord’s the big two industrial fishing Corporations - because they are very well financed did what they continue to do, but what came out of this, is this: The Supreme Court ruled that ‘the Minister’ shall allow for public interests and recreational interests - and may set the total allowable commercial catch at zero! - if he or she is reasonable. (Question: What type of Government is it, that ‘the people’ have to take their own elected servants to the Highest Court of the Land to get them to come to heal? ) LegaSea are wanting to: Establish a Royal Commission of Inquiry Objectives: Examine fisheries management and policy settings to better understand. Why there is insufficient abundance of fisheries inshore to satisfy public interests in fishing and conservation. What management and policy changes are required to enable decision makers to act in a more precautionary manner. Blockages to restoring inshore fish stocks to abundant levels. Structures that perpetuate monopolistic behaviour by quota shareholders. Barriers to innovation in fishing methods and technology. Review the Quota Management System to identify – We need to redefine the purpose of fisheries development and establish institutions and instruments that achieve the environmental, economic, social, and cultural benefits due to all New Zealanders from the use of our natural marine resources. Nothing less than a Royal Commission! To allow Recreational Fishers to have restored public confidence in the management of our inshore fisheries. (Tim countered - with the importance of a ‘neutral selection process’ for this Royal Commission - that they select the appropriate prospect - not jobs for the boys - like retired ‘well connected’ business people or politicians who have been put out to pasture. Because these ‘commissioners’ would be, taking home $1500 a day to sit and mull over what decisions to take, that will not necessarily be in the fishing industry’s interests). It was ventured and stated that it was fair to say that the incumbent National Government of today is very closely aligned with the commercial sector - and a Royal Commission of Enquiry - to get this momentum over the line - against the run of play - is a must! - full stop! - Citizens Initiated Referendum LegaSea are giving serious consideration to initiating a Citizens Initiated Referendum - which in 18 months could give us an answer - an unbinding one - but it would let NZ know what the general consensus is regarding our ocean taonga. (treasure). Recently the CEO of Seafood NZ a representative organisation of all sectors wrote in an update: "That the proportion of New Zealanders who felt the industry’s reputation has deteriorated compared to the 12 months earlier increased from 10% in 2015 to 17% in 2016. Those deteriorating public perceptions put us in a dangerous position the lead-up to a critical general election with a resurgent Opposition aligned with environmentalists that may be unsympathetic to fishing. We have already seen Government policies out of left field around marine protected areas that impact on fishing space. The best way to keep the politicians out of our industry and secure our property and customary rights is to enhance our social licence. If the public are reassured that we are good people doing good things for the benefit of all New Zealanders, the political parties will see no reward in challenging that. To that end, work is well advanced on a communications campaign aimed at influencing public opinion. It will go public in July, based on prime time television promise to protect our precious ocean resources.” The above is the way the Fishing Industry is going to soften you up, the unsuspecting NZ public. Allocation Principle to Guide Decisions The other urgent reform is a new Allocation Principle to be added the Fisheries Act. This Principle would guide Ministerial allocation decisions and be based on a commitment made by Labour Minister Colin Moyle, Minister of Fisheries, in 1989. This commitment is commonly referred to as Moyle’s Promise – “Where a species of fish is not sufficiently abundant to support both commercial and non-commercial fishing, preference will be given to non-commercial fishing. This position reflects Government’s resolve to ensure all New Zealanders can enjoy and benefit from our fisheries.” This Allocation Principle needs to be added to section 10 of the Fisheries Act 1996 to achieve the following outcomes: Encourage fisheries to be managed at higher, safer levels. Demonstrate a clear disincentive and consequence to commercial overfishing and depletion. Guide Ministerial decisions so a more precautionary approach can be taken. Bottom Line The bottom line is that commercial fisheries are wanting more fish. And the recreational fisher folk are basically getting in the way. Scott states emphatically that: The inshore zone needs respite care. Benthic (seabed) diversity and abundance needs restoring, and the priority needs to be to remove all industrial methods. A century of ever-expanding use of heavy, bottom contact mobile gear has changed the seafloor from a thriving benthic community of organisms to a desert of fine silt. This silt is resuspended and distributed further each time mobile, industrial fishing gear is towed across the sea floor. The Government needs to: Remove industrial fishing methods such as the appalling trawling, Danish seining and dredging, from the inshore zone. LISTEN TO SCOTT Tell it as it is. $1.8 billion for export fish receipts = 300,000 tonnes caught. Recreational fishers take approximately 10,000 tonnes = 10,000, thousand kilos = 10 million kilos of fish. With NZ public participation of around 600,000 Kiwis who participate are spending approximately one thousand million dollars of which $130 million dollars is GST plus another $35 million dollars of PAYE from the 8,000 plus jobs that are generated by recreational fishing - that compares to the 20,000 jobs in the commercial sector - remember they are catching 94% of the fish taken each year. Scott tongue in cheek states that when it is all financially sorted we the recreational fisher is paying about $20 per kilo of fish caught and then we give it away, we share with friends and neighbours. Saying there is a deep need to express ‘manaakitanga’ - the generosity of giving and sharing … Bottom Trawling Needs to be Outlawed Scott then tells of how the bottom trawlers drag across the seafloor surface destroying any possible semblance of an aquatic garden where fish live, and survive - turning it into a desolate area of total destruction that has never seen such devastation for possibly millions of years … mega millions of tiny little organisms and layer upon layer of sea creatures getting larger as the food chain increases up to the upper level fish. The swath that is left, just wipes everything out into a desert of swirling silt and mud with visibility zeroed out and the surviving fish and other organisms somehow have to start all over again within a destroyed underwater sea garden. Knocking out huge numbers of ecological sensitive organisms whilst those in the trawler above have no idea whatsoever - of the holocaust they are causing down below. The Indiscriminate uncaring harvesting and when the net gets brought up on the deck - any fish not in the ‘quota’ are dumped over the side - in most cases already dead to float and rot and eventually sink. Trevally are very NZ fishy story Trevally, 800 tonnes of trevally are being exported year after year, after year - whole - frozen - no added value, no GST - full container loads to Saudi Arabia, France and the United Kingdom - at what price? We here in NZ are paying around $12-00 a kilo but overseas we are giving it away at $2.70 cents and that’s a peak price. Where as trevally is one of the best fish on earth to eat as sushi. Japanese people living in NZ cannot believe their good fortune here. Kahawai are being exported after being trawled up by the industrial Danish seiner fleets here in NZ. To be sold less than $5-00 a kilo is an insult - but is being sold for $1.70 to the Africans - the Cameroon and the Côte d’Ivoire, (the Ivory Coast). This is not acceptable - if we cannot get more than $5-00 a kilo - leave it in the sea so that is can reproduce and double its size over a few years. Crayfish (kura) are now in crisis - they are disappearing and depleting … along the East Coast North of Whangarei down to East Cape covering hundreds of kilometres. The word depletion came up in tandem with ‘Sustainable’ as Scott sees that sustainable fisheries is not concerned about the sustainability of fish stock and the marine ecology - only that the fishing industry can sustain itself - whatever the costs. This commercial fishing juggernaut in their submissions are consistently saying ‘more, more, more, more While the non commercial fishers position - are consistently prepared to say less, less, less, less and we are willing to come to the table … and talk about how they can constrain ourselves and shift our attitudes, expectations and behaviour to generate a rebuild and have abundance … Yet, there is only one side willing to come to the table! Today I want to explore in some detail the first Objective in the COSO 2013 Framework-the Control Environment as a path to operationalize your compliance program. This Objective lays out five steps you can take to put the responsibility on function corporate disciplines to imbue compliance into the fabric of an organization. A. Control Environment Rittenberg said this “sets the tone for the implantation and operation of all other components of internal control. It starts with the ethical commitment of senior management, oversight by those in governance, and a commitment to competent employees.” The five principles of the Control Environment object are as follows: Principle 1 - The organization demonstrates a commitment to integrity and ethical values. Principle 2 - The board of directors demonstrates independence from management and exercises oversight of the development and performance of internal control. Principle 3 - Management establishes with board oversight, structures, reporting lines and appropriate authorizations and responsibility in pursuit of the objectives. Principle 4 - The organization demonstrates a commitment to attract, develop and retain competent individuals in alignment with the objectives. Principle 5 - The organization holds individuals accountable for their internal control responsibilities in the pursuit of the objective. Principle 1 - Commitment to integrity and ethical values What are the characteristics of this Principle? First, and foremost, is that an entity must have the appropriate tone at the top for a commitment to ethics and doing business in compliance. Moreover, as it probably the most utilized internal controls formulation under Sarbanes-Oxley 404(b) reporting, it should be well-known to your corporate internal controls function and therefore assessable to you as a Chief Compliance Officer (CCO) or compliance professional. In addition to the Principles articulated herein the specific Points of Focus listed in the COSO 2013 Framework can provide a roadmap for testing and evidencing your compliance program in this area. You should not fail to take advantage of it.
