Smith case in Texas – Nationwide ban stayed on February 18 FinCEN Notice on February 19 instituting a March 21, 2025 deadline to comply. i. Notably, FinCEN said it would use the 30 day period to assess its options for further modification of the deadlines and will “prioritize reporting of those entities that pose the most significant national security risks” US Department of Treasury issued a statement March 2, 2025 i. No penalties or fines will be issued for noncompliance ii. Treasury Department will further be issuing a proposed rulemaking that will narrow the scope of the rule to foreign reporting companies only. Simultaneously, there are several cases percolating through the court system. i. A Michigan court just found that the CTA is unconstitutional based on fourth amendment grounds ii. Jeffrey had several questions for Courtney: Given what a whirlwind this election cycle has been, what are some best practices that electors, townships, and municipalities can take prior to November 5 to ensure a smoother election day? How can an election law attorney assist a municipality or township to ensure compliance and transparency during this election cycle? What are some common misconceptions about what is and isn't allowed at polling places? Are voters allowed to post photos or videos of themselves voting? Topic: New Independent Contractor Rule. What's is the new rule about? What are the industries and types of employers that may need to really take a close look at this? What can happen if you misclassify someone under this rule? Foster Swift also shared this recent article on the subject: Independent Contractor Final Rule Could Have Major Impact on Select Industries The much-anticipated independent contractor final rule issued earlier this month by the U.S. Department of Labor (DOL) will become effective March 11, 2024. Several years in the making, the new rule could result in a wholesale reexamination of worker classification practices, especially in industries where independent contractors are extensively utilized. Construction, transportation/logistics, healthcare, consulting/business/IT services and the gig sector (e.g., Uber, Lyft, DoorDash, and Grubhub) are among the industries that are most likely to experience a significant impact due to the changed requirements of the updated rule. The new rule utilizes a test like the ones many courts have used for years to determine whether workers should be classified and treated as independent contractors or employees under U.S. wage laws. The new version of the rule, however, is controversial because of the likelihood that it will result in the DOL recognizing fewer independent contractors and more employees. The U.S. Chamber of Commerce and other business groups are expected to challenge the rule in the courts. Louisiana Sen. Bill Cassidy has said a resolution will be introduced to repeal the rule. If such a resolution were to make it through both the Senate and House, it's likely that President Biden would veto the measure. Independent Contractor Final Rule: The Details The final version of the rule utilizes a review and analysis which assesses the “totality of circumstances” to establish whether a worker is an independent contractor or an employee. The test analyzes six factors equally without assigning a predetermined weight to any particular or set of factors. The six factors are: Opportunity for Profit or Loss Depending on Managerial Skill – Whether the worker exercises managerial skill that affects their economic success or failure in performing the work. Investments by the Worker and Potential Employer – Whether the investments of a worker (capital or entrepreneurial) contribute to and support the maintenance and growth of the business. Degree of Permanence of the Work Relationship – Whether the nature of the work is steady, sporadic, or project-based with fixed beginning and ending dates. Nature and Degree of Control – Which party controls hiring, firing, scheduling, pricing, pay rates, supervision, and other economic and performance factors? Extent that Work Performed is an Integral Part of the Potential Employer's Business – Whether the work performed is critical, necessary, or central to the potential employer's principal line of business. The Worker's Skill and Initiative – Whether a worker uses their own specialized skills together with business planning to support, grow, or improve the business. Employers should note that the new rule doesn't represent new law. Nor does it create any new legal obligations, but rather clarifies the DOL's interpretation of the existing law. In addition, the federal rule may not be fully applicable in those states which have their own laws or tests for classifying workers as employees or independent contractors, which include California, Illinois, Massachusetts, New Jersey, New York, and others.

The term “copyright troll” is an unflattering nickname for someone who manipulates the intellectual property (“IP”) laws to force a “toll” by way of a settlement payout on market participants. Copyright trolls use technology to identify potential unintentional infringement activity and send template demand letters for payment. To leverage a higher payment with minimal effort, the letter is filled with threats and misrepresentations of how the law would likely be applied. The amount is usually too little to initiate federal litigation, but big enough that the recipient is usually afraid and rightfully concerned. The ask in a demand letter can often exceed $10,000 – even $30,000, depending on the circumstances. As to be expected, receiving this sort of letter from a copyright troll can be scary and overwhelming for most people faced with such allegations. Most of the time, recipients of these demand letters feel they have done nothing wrong, but are being asked to pay a significant fee. Hence, a “troll” has jumped out from under a bridge and demanded a “toll” if you want to move forward with the alleged infringing activity. This trolling practice has continued to become more frequent as technology has evolved. The trolls acquire rights to huge quantities of digital images and the like, mostly ubiquitous in nature, and then head into the wild world of the internet, searching for anyone using that media without permission. Modern search tools or software have become efficient and effective at scouring alleged infringements across the internet. Robert, welcome back, What is this AirBoss case we are hearing about? How are companies dealing with the impact of AirBoss? What industries are primarily impacted by AirBoss? (Up to speed material to know for this interview): The Michigan Supreme Court issued a decision this summer which may impact decades-long customs and practices in many industries–including the auto industry–with respect to “release contracts” associated with part purchases. Because many of these types of release contracts did not include a specific quantity of parts (or otherwise identify the contract as a “requirements” contract) at the time of contracting, instead deferring to a common practice of issuing “releases” in the future, Michigan's Supreme Court ruled that the agreement did not obligate the seller to supply the necessary parts on an ongoing basis. Instead, if the seller chose to accept the “release”, a contract was formed, and the relevant terms and conditions would apply. The practical effect of this is that the seller could refuse to provide the necessary parts under the pre-determined pricing and contractual arrangements. Name, image, and likeness in college athletics has been a topic that has gained significant attention in the last few years. Could you explain to our listeners what exactly name, image, and likeness means and some background of how we got here? Absolutely. Name, image, and likeness, often abbreviated as NIL, refers to the rights of individuals, particularly college athletes, to have control and monetize their own personal brand. It compasses their name, voice, photograph, and other identifiable attributes that can be associated with their public persona. Historically, it was an NCAA violation for a college athlete to money off of their name, image, and likeness. As for how we got here, in 2021 Supreme Court found that it was a violation of antitrust law to restrict college athletes from profiting off of their name, image, and likeness. As a result, the NCAA changed its rules regarding NIL and announced a new interim policy that permitted college athletes to profit from their NIL. Per the NCAA's policy, athletes and institutions must follow their state laws regarding NIL. To date, 32 states have passed NIL laws that are largely modeled off of California's Fair Pay to Play Act. 2. Let's dive into the details of Michigan's NIL law. Can you provide us an overview of what Michigan's NIL law looks like? Sure, Michigan's House Bill 5217 which went into effect December 31, 2022 provides that colleges and universities are prohibited from doing the following: · preventing student athletes from competing in college athletics because they earn compensation from an NIL deal. · Preventing a student athlete from obtaining professional representation · Paying a student-athlete compensation directly for the use of their NIL rights · Revoking or reducing a student-athlete's scholarship because they enter into an NIL deal Now, the student athlete has obligations they must comply with. Generally, the student athlete can't: · Advertise for a sponsor that creates a conflict with a sponsor of the college · Athletes are required to disclose the NIL opportunities or contract that hope to enter into at least 7 days before entering into that contract. · Student athletes are not granted any right to use the intellectual property, logos, or copyright of their universities · And they are required to follow their university's academic requirements, team rules, and disciplinary standards. In addition, schools are developing their own NIL policies which student-athletes would be required to comply that may be more restrictive than the state's law. And then there's the NCAA regulations. Schools/student-athletes must comply with the NCAA's interim policy as well as any guidance published by the NCAA. 3. We have lots of businesses who listen to this show. What advice would you give to businesses looking to navigate this new landscape and establish partnerships with student-athletes? Well, I think the new NIL rules provide a fantastic opportunity for businesses looking to explore new ways of marketing their products, especially in areas where there is very strong support for particular schools student-athletes or sports. From a legal perspective, it is important to make sure you have a well-drafted contract that clearly outlines the rights and obligations of both parties, which includes permitted uses of the individual's name, image, and likeness, compensation terms, the duration of the contract, things like that. I think there's also the added element of compliance as well. You want to make sure you're compliant with Michigan's laws, the NCAA regulations, and the university's NIL policy, to the extent there is one, so that both the business and the student-athlete can reach a mutually beneficial arrangement without jeopardizing eligibility for the athlete.

Jeffrey Mosher spoke with Stefania Gismondi Shareholder and a member of the General Litigation Practice Group in the Southfield office of Foster Swift Collins and Smith PC Attorneys. She recently wrote an article for Foster Swift's Ag Law newsletter focusing on common questions and answers of what the new Michigan no-fault laws mean for employees that are injured in accidents while occupying employer-owned vehicles. On May 30, 2019, Governor Gretchen Whitmer signed a bill that dramatically reformed the No Fault Act. The legislation made sweeping changes to laws that had existed for decades. Many of these changes will apply to automobile insurance policies renewed or issued after July 1, 2020. Under the present law, no-fault policyholders purchase coverage that provides unlimited personal protection insurance benefits (“PIP” benefits) for allowable expenses (i.e. medical expenses, medical mileage, attendant care, or nursing/personal care, etc.). Gismondi discusses several scenarios of vehicles and drivers under the new law.

Mike Zahrt shares in this interview with Jeffrey Mosher about MI Executive Order 2020-41 which encourages the use of electronic signatures and remote notarization. Two of the most applicable situations is that it allows people to amend estate plans remotely and it allows title companies to close real estate deals. 1. Executive Order 2020-41 relaxes notary requirements. Why was this necessary? 2. Who benefits most from the order? 3. What should people using a remote notary expect? Mike works with clients to prioritize their goals and works to provide a solution custom-tailored to achieve those goals. He understands his clients are best served by counsel who addresses legal issues and also helps further business objectives. He practices in the firm's Grand Rapids and Lansing offices working on the following areas: · Business Formations and Transactions.
