Dr Sabine Dembkowski, Founder and Managing Partner of Better Boards, discusses current trends in German Corporate Governance with Dr. Cordula Heldt, Head of Corporate Governance and Company Law at the German Share Institute (Deutsches Aktieninstitut). She is also Head of the Secretariat to the Commission on the German Corporate Governance Code (Regierungskommission Deutscher Corporate Governance Kodex). “Every declaration that you have to do is actually about nudging boards to do the work”Cordula opens with Germany's recent significant corporate failures, notably the Wirecard scandal, which led to new regulations concerning corporate governance. Following the Wirecard case, German lawmakers introduced stricter requirements for risk management, internal control systems, and auditor regulations. “Every declaration that you have to do is actually about nudging boards to do the work”However, despite the complaints about the administrative burden, Cordula believes the value of these declarations lies in their ability to nudge boards into taking their responsibilities seriously. By requiring formal declarations, boards are compelled to examine their risk management and internal control systems closely – and this scrutiny is not only limited to financial reporting but extends to the entire governance framework. The intent is to ensure that supervisory board members ask the right questions and engage more deeply with these systems. “As a board chair, you're looking for people that you can propose to the board and the general meeting that can fill the whole seat”One effective approach some companies adopt, which Cordula notes, is reporting on the different levels of expertise within the board. This means acknowledging that not every board member starts with the same level of knowledge, especially in specialised areas. She believes this trend toward acknowledging and communicating different expertise levels supports more effective board development and governance.“Of course, they think it's burdensome, but everybody knows the alternative is regulation” Cordula advises bringing directors and policymakers closer together to create better boards. She also understands that while directors generally support the code, they often find it burdensome, although they recognise that the more stringent regulation alternative could be worse. She explains that one approach that has been effective (at least in Germany) is the practice of direct engagement, as Clara Christina Streit, the new chair of the German Code Commission, has implemented. She started her tenure with a "listening tour." The three top takeaways from our conversation for effective boards are:1. Familiarise yourself with the ongoing governance debates, focusing on principle-based and effective governance. This will help you better navigate and meet reporting expectations.2. Be aware of the potential expectation gaps in corporate reporting. Understanding these gaps can help you align reporting practices with expectations of stakeholders and regulators.3. Consider the board a cohesive team that must work together to ask the right questions and prevent governance failures.

Last week Friday (26 July 2024), both the Companies Amendment Bill and the Companies Second Amendment Bill were signed into law.These changes seek to promote the ease of doing business and impose greater corporate transparency on the earnings gap between the highest and lowest paid persons in a company. Following approval by the Standing Committee of the National People's Congress on December 29, 2023, the revised Company Law of the People's Republic of China (the “New Company Law”) is will take effect on July 1, 2024. This revision marks the most comprehensive and substantial amendment to the Chinese Company Law since its enactment in 1993, nearly 30 years ago. The New Company Law will significantly impact the operations of foreign-invested companies in China. As many of our listeners will already be aware, the Companies (Corporate Enforcement Authority) Act 2021 was signed into law last December and was recently commenced. This Act introduces significant structural reform to the corporate crime enforcement regime in Ireland by amending the Companies Act 2014 to establish an independent statutory authority, namely the Corporate Enforcement Authority replacing the current Office of the Director of Corporate Enforcement, or ODCE, within the Department of Enterprise, Trade and Employment. Founder Ren Zhengfei? or the Communist Party of China (CPC)?Jumping in to the video, Double D dissects a thesis paper from Toshio Goto, a research professor at the Japan University of Economics, which seeks to discredit claims that Huawei is de-facto owned by the Chinese state. There was a guy that sent a WhatsApp message from a new number or a business WhatsApp to my lawyers. Or at least everybody that was on the website. Okay. Asking them for iTunes gift cards. The reason why. The reason's being is because, they're saying that they're me. He's like, "Yes, it's Ahmed Obeh. I'm in a meeting and I need iTunes gift cards immediately. Can you get them for me, because I need to go, I need to give them to my clients. I'm Ahmed Obeh.”” “I recently crashed my car in a parking lot because the entrance and exit to the floor were my designated parking spaces situated is ridiculously tight. I previously raised the issue with the building management and asked them to give me a space on the floor below. But they didn't try to help. So for a while I let the valet take my car down for me. But once, I noticed a new scratch on my car and one of the valets told me my car is too big for this building. So I decided to start doing it myself. To give an idea of how tight the parking spaces when the officer came to my building to complete the police report. He couldn't even fit his cars through the entrance to my floor. So he had to walk up there. He even complained to the security about this, and I have his number in case I need him as a witness, do you think I could successfully sue the developer for get for compensation? My car is a bit longer than average. But it's nothing crazy. And I really can't understand why they decided to make the parking entrance and exit for my floors so tight. Then the next day I told my co workers about it, who told me that begging is illegal in the UAE. What is the legal or right thing to do in this situation?” “I run an import and export business here in Dubai, we mainly deal in high end luxury cars. I was recently contacted by someone in Europe, who saw some cars I posted, we talked about cars, and we were ready to close the deal. And the price of the cars listed totaled out to be $ 500,000. The customer sent me $5 million. Or he said he was gonna wire $5 million. He told me to take $500,000 from the $5 million, and use the rest to invest in my business and share the profits with him. I want to come to an agreement with him where I use the money to purchase $4.5 million worth of cars, and resell or export them and split the profits with them. My assumption is that he may be money laundering, or laundering his money through my business. If I was to take his money, would I be considered a money mule? The issue I'm having is that once the lawyer saw the end of service and life insurance amount and the court files, he is now demanding more money from us. And saying that he will deduct a percentage from the inheritance before depositing the money into my mother's account. He's asking for 100,000 dirhams, apart from VAT. He's saying that the lawyers actually charge 1%. And if he had known the inheritance amount was large, which obviously we're not aware of it ourselves, the terms would have been different. Is there anything I can do in this situation at all? The emergency room doctor said that the first doctor actually misdiagnosed me, and the problem. And that this was preventable and would have been treatable. I have missed work and been under a lot of stress, what are my rights?”3. "My father passed away this month, and he was responsible for all my family's financials. He did not share any passwords. He did not have a will. And from what I gather, my mother just used his credit card for anything she needed. I'm 18 and I don't know where to begin. Is this legal in the UAE? And if not, should I have reported them on the spot? Or what actions should I take or should have taken?”2. "On a nightly basis, I can hear my neighbors fighting very abusively. It is very disturbing to hear, and I'm concerned that this domestic violence is going to escalate. I've called the neighborhood security to the house, but the issue still continues, almost daily. Can I do anything else?”3. "I'm a senior business executive in the Emirate of Dubai. And recently, I attended a meeting at an office and after it was over, I initiated a conversation with the woman receptionist there. I complimented her about her beauty, and I invited her to accompany me for a coffee. Thereafter, the following day, the receptionist was waiting downstairs with the police. I was confronted by the cops and made aware that the woman had filed a criminal complaint against me. Have I committed an offense? As part of our divorce agreement, I pay 5,000 Dirhams monthly as maintenance for my children. However, I've been unemployed for the last seven months, and I'm struggling to make ends meet. My ex wife is still working but has threatened to file a case if I do not pay monthly maintenance. Can I expect any legal protection in this situation as I'm without a job? And I'm genuinely unable to pay? Please help.”2. "I applied for a bank university credit card under my father's sponsorship when I was eighteen. My father only gave me an NOC, and the card was issued under my name. The card limit was 4,000 Dirhams, as it was a student card. And the card was used by my father in 2008. But I was unaware of that, as I was just a student then. My father made the last payment of 3,000 Dirhams before absconding and leaving the UAE. Since then, I have not had any relationship with my father due to personal reasons. In the beginning, I had got some SMS and calls from the bank with regards to the payments pending. I then got no bank notifications for a few years. However, I received a call yesterday informing me that the outstanding amount has been increased to 15,000 Dirhams due to late payment and interest fees. I cannot pay that sum as I am unaware of what has happened, and I have never issued any checks against my name to the bank. I do not have a credit card or a loan in the country. Now the bank is threatening to file a case against me. Please advice.”3. "My husband and I bought property under both of our names, what will happen if we get divorced?"4. “I like to cross-dress on Saturday evenings. My question is, how could we have prevented this? What should we ask for or look for as signs that a lawyer is actually legit in the UAE?3. "I will be traveling to Dubai for the first time as a tourist. My hobby is photography. And there's so much conflicting information online about what I can or cannot shoot. I read yesterday that there is a fine of 50,000 Dirhams to take someone's picture without their consent. How can I stop this if I'm in a place like the Burj Khalifa?
