Battle of Lower Bridge - Take the Low Ground! Retrace your route back down Academy Street into downtown Kingstree and turn left onto Hwy. 261. Cross the railroad tracks and go a few blocks to the intersection with Hwy. 377. Make a right turn onto Hwy. 377 towards the town of Andrews. Proceed 5.5 miles to a historical marker located at a pull-off on the right about 200 yards before the bridge crosses Black River. There is parking on the bridge itself and the interpretive sign for the Battle of Lower Bridge is located beside the historical marker for this same fight. It is believed the battle occurred on both sides of the Black River on the same side of this bridge as the interpretive sign. Travel time is approximately 14 minutes from Kellahan Park. Map
Indiantown Presbyterian Church - Disarm in the Most Rigid Manner From Black Mingo Creek bridge, turn to the right back onto Hwy. 41, go 1.5 miles and turn left onto Hwy 512 West. Proceed 10.6 miles and turn left onto Hwy. 261/512 (also called Hemingway Highway or Henry Road) for 350 yards to Indiantown Presbyterian Church on the left. The interpretive sign is at the west end of the parking lot near the highway. This church was a center of resistance to the British. The church graveyard is very old and is the resting place for a number of people prominent in the Revolution as well as the Civil War. Travel time from Black Mingo Creek bridge is 13 minutes. Map
Battle of Kingstree - Gathering Vital Intelligence Turn left from Indiantown Presbyterian Church back onto Hwy 261/512 (Hemingway Road) and proceed west towards Kingstree for 17.3 miles. Go through several traffic lights on Hwy. 261 and turn right onto Academy Street in the downtown area. Go 4.5 blocks to an intersection with Kelly Street and you will see Kellahan Park in front and to the right of your position. Park beside Kellahan Park and enter the fenced area. The interpretive sign for the Battle of Kingstree is near the center of the park at an intersection of walkways. Travel time from Indiantown is approximately 19 minutes. Map
Francis Marion Takes Command Retrace your route back up Dunham's Bluff Road and turn left onto Hwy. 378 (at the “Park and Blow”). Go 9 miles to the intersection of Hwy. 378 and Hwy. 41 (River Road) and turn left at the light. Proceed 3.2 miles and cross over Lynches River. You will take an immediate left into Witherspoon's Landing (now named Venter's Landing) which is a popular boat launch area on the Lynches River. The sign telling about this site is on the right near a pavilion as you face the boat ramp. Travel time is about 20 minutes from Dunham's Bluff. Map
Battle of Black Mingo Fighting Among Neighbors From Witherspoon's Landing turn left back onto Old River Road/Hwy. 41 and proceed 15.2 miles to the bridge over Black Mingo Creek. About 20 yards before the bridge is a pull-off and historical marker for the Battle of Black Mingo on the right side of the highway. Beyond this marker on the left side of the highway, just before the Bridge abutment, is a paved ramp leading down to a boat landing. Make a left turn onto this ramp to the boat landing. The interpretive sign telling about the Battle of Black Mingo is at the edge of the water (Black Mingo Creek). You will be able to look across the creek at the site of the Revolutionary War port and crossing that was called Shepherd's Ferry. Dollard's tavern, the epicenter of the battle, was a short distance up the hill across the highway and the old port at Willtown was about one mile up the creek from where you are standing. Travel time from Witherspoon's landing is about 20 minutes. Map
Dunham's Bluff and Snow's Island Control of the Rivers & Den of the Swamp Fox Return to the intersection of Mill Branch Road and Old River Road, turn left onto Old River Road, drive 13.7 miles to Hwy. 378 and turn left onto Hwy. 378. Proceed 9 miles on Hwy. 378 (crossing over the Great Pee Dee River) to Bluff Road and turn right onto Bluff Road. (Note: Bluff Road is a dirt road a few yards across the highway from a convenience store called “Park and Blow.”) You will go 1.7 miles down this dirt road to Dunham's Bluff Landing. Interpretive signs for Dunham's Bluff and for Snow's Island are near the edge of the bluff facing the river. Your travel time from Burch's Mill is approximately 41 minutes. Map

Burch's Mill South Carolina's First Civil War Nears its End Leaving the Francis Marion University Educational Foundation Building on Palmetto Street you will turn right towards the Francis Marion University main entrance. Proceed 1 block on Palmetto Street and turn right at the intersection of Palmetto Street and Francis Marion Road. Follow this road for 5 miles. At the intersection of Francis Marion Road and Old River Road you, turn left onto Old River Road and proceed 7.2 miles until you get to Mill Branch Road. This is a dirt road across from Mill Branch A.M.E. Church (red brick church on the right side of the highway). You will turn left and proceed down this dirt road for 1.2 miles until you come to a stop sign at the Great Pee Dee River. This is a bluff so proceed carefully. The interpretive sign is at the edge of the bluff overlooking the river. Your travel time from the Educational Foundation Building is about 22 minutes. Map

Smart Agency Masterclass with Jason Swenk: Podcast for Digital Marketing Agencies
Considering buying or selling your digital agency? Acquiring another agency is an excellent growth strategy and it’s might be easier and less expensive than you might think. An acquisition can help improve profit margins, expand your client base, and inherit a skilled team while eliminating the competition. An agency acquisition is worth exploring if you're interested in rapid growth. In this episode, we’ll cover: Do you need to be a big agency in order to buy one? Do you need a lot of cash to buy another agency? How to structure an agency acquisition. The 4 criteria of a good agency to acquire. Today’s podcast guest is Brook Schaaf, co-founder, and CEO of FMTC, an agency dedicated to helping advertisers and merchants develop discount and affiliate program with curated data and management. Prior to going the entrepreneur route, Brook got his start at Zappos where he developed his passion for affiliate marketing. Since then, he started his own firm and is on the fast track to major growing by acquiring other agencies and/or their books of business. Do You Need To Be a Big Agency In Order to Buy One? Nope! At the time he acquired his first agency, Brook’s firm had just 10 remote employees. The first agency he bought was PartnerCentric, which was of equal size to his agency. The existing owner was burnout and looking for an exit strategy. He said the process was long (it took two years!) and sometimes frustrating, but totally worth it in the end. Do You Need A lot of Cash to Buy Another Agency? Nope! According to Brook, an agency is generally worth 50% of its topline revenue excluding media revenue (since that can fluctuate). The problem is most sellers want to build retirement cash into negotiations and therefore expects to get more than it’s worth. However, once you reach an agreement on the valuation you don’t need all that in upfront cash. How do you know what your agency actually worth? My formula differs from Brooks somewhat because I factor in a multiple of EBITDA. You can check out my valuation chart here. But it all boils down to this… Your agency’s value is the amount your willing to sell and which a buyer is willing to buy. But you don’t need to have a ton of cash laying around in order to buy an agency. Standard funding includes a cash downpayment of between 10-20% with the remainder delivered in one of four ways: Cash upfront (which is difficult for most people). SBA Loan from a bank (which involves a lot of paperwork and hoops to jump through). Third-party funding (which may involve giving away equity). Seller-held note that is payable over a few years. Brook’s acquisition was funded with a cash downpayment and a seller-held note payable over the course of two years. It’s risky for both parties, but it’s the best way to move forward without needing anyone else’s permission. How to Structure an Agency Acquisition Advice from both of us who have bought and sold agencies -- involve lawyers in as little as possible. The bulk of negotiations can be done without racking up attorney’s fees. Determine whether it’s an asset sale or equity/stock sale. An asset purchase is buying the agency’s book of business, including client contracts, trade name, payables, and receivables. An equity/stock sale is buying out the owner(s) interest in the business. Brook says an asset sale is much clearer and easier to manage. It also creates a cleaner exit strategy for the seller so he/she can move on. The 4 Criteria of a Good Agency to Acquire? 1- Readiness. The seller needs to be genuinely ready to sell. A lot of times people put feelers out and then hesitate when it gets real. If you sense any mixed feelings, walk away. 2- Culture. Remember, in most cases, you’re inheriting a team too. (There will be technical stuff about firing and immediately rehiring them, but most sellers will want to make sure their team is taken care of.) So make sure their team’s vibe will gel with yours. After having acquired multiple agencies, Brooks says the team is typically thrilled for the new vibrancy. 3- Numbers. How stable is this agency? How profitable are their accounts? It should go without saying, but you need to make sure they’re running healthy books. 4- Skillset. Are you confident that the acquired agency and its team can work the way your existing agency works? If you’re acquiring an agency to expand your foothold in the market then skillset is key. If you’re buying to add a service then it’s less important that they match your agency's skill set instead you want theirs to compliment yours. Considering selling or buying an agency? Matt has his Bachelors of Science in Psychology and began his law enforcement career in 2006 when hired by the Ada County Sheriff’s Office in Boise, Idaho. Matt spent a year as a Detention Deputy, working inside the jail, before moving to Patrol. After three years on Patrol, Matt tried out for, and was selected, to join the agencies SWAT team. Matt Spent 5 years on the SWAT team as an Entry Operator. While on the SWAT team, Matt was selected to join the agencies street crimes unit where he was deputized as a Task Force Officer (TFO) with the U.S. Marshals Office’s Fugitive Taskforce. After two years as a TFO, Matt promoted to Detective and was assigned to the Narcotics Unit where he served in an undercover capacity for a year and a half. In 2014, FMTC quickly began showing signs of early success, pulling Matt out of Law Enforcement full time. It has been suggested that not only the position but also the nature of the mutations of the ret protooncogene strongly correlate with the clinical manifestation of the multiple endocrine neoplasm type 2 (MEN 2) syndrome. In particular, individuals with a Cys634-Arg substitution should have a greater risk of developing parathyroid disease. We, therefore, analyzed 94 unrelated families from Germany with inherited medullary thyroid carcinoma (MTC) for mutation of the ret protooncogene. In all but 1 of 59 families with MEN 2A, germline mutations in the extracellular domain of the ret protein were found. Some 81% of the MEN 2A mutations affected codon 634. Phenotype-genotype correlations suggested that the prevalence of pheochromocytoma and hyperparathyroidism is significantly higher in families with codon 634 mutations, but there was no correlation with the nature of the mutation. In all but 1 of 27 familial MTC (FMTC) families, mutations were detected in 1 of 4 cysteines in the extracellular domain of the ret protooncogene. Half of the FMTC mutations affected codon 634. Mutations outside of codon 634 occurred more often in FMTC families than in MEN 2A families. In all but 1 of 8 MEN 2B patients, de novo mutations in codon 918 were found. These data confirm the preferential localization of MEN 2-associated mutations and the correlation between disease phenotype and the position of the ret mutation, but there was no correlation between the occurrence of hyperparathyroidism or pheochromocytoma and the nature of the mutation.
