The Tesla compensation case reached a decisive moment as Judge Kathaleen McCormick rejected Elon Musk's $56 billion package for the second time while awarding the victorious attorneys $345 million in fees. The case, originating from Richard Tornetta's 2018 lawsuit, challenged the compensation structure's approval process and board independence, culminating in a ruling that found fundamental flaws in Tesla's governance procedures. Key developments include the failed June 2024 shareholder revote, attorney work spanning 19,499.95 hours, and Tesla's planned Supreme Court appeal. The ruling's impact extends beyond Tesla, establishing precedents for executive compensation and corporate governance. Judge McCormick's decision addresses both the compensation structure and attorney fees, with the legal team receiving a 25.3x multiplier on their hours despite requesting $5.6 billion. Musk responded through X, stating "shareholders should control company votes, not judges," while Tesla plans to challenge the ruling's implications for Delaware corporate law. The case highlights ongoing tensions between executive incentives, board independence, and shareholder interests, setting new standards for corporate governance and legal compensation in high-stakes litigation.

After Dark with Hosts Rob & Andrew – Democrats seek ways to soften Kamala Harris's defeat against President-elect Donald Trump, exploring options like Biden stepping down or a Supreme Court nomination for Harris. Instead of accepting the loss, some propose symbolic victories to salvage pride. However, on January 6, 2025, Harris must certify Trump's win and move on, concluding a contentious election cycle.

Historically Thinking: Conversations about historical knowledge and how we achieve it
How can a new nation establish itself amidst the networks and intrigues of a very old part of the world, while at the same time trying to be different from everyone else? Are these inherently contradictory aims? And how can either–or none–of these objectives be achieved by civil servants who are engaging in, at best, on the job training? These are some of the questions that are prompted by studying the First Barbary War, fought by the young United States from 1801 to 1805 along the coast of North Africa. Far from being a story simply of simple and straightforward naval derring-do, it is one of strategic ambiguity, diplomatic finesse, and the ideological aspirations of a new nation set against the backdrop of world war and millennia old customs. With me to discuss the First Barbary War is Abby Mullen, Assistant Professor of History at the United States Naval Academy. She is also the impresario of not one but two podcasts: Consultation Prize, a limited run series about US diplomacy from the ground-eye viewpoint of American consuls, and Big If True, a podcast for kids which is co-hosted with her daughter. But today we are (mostly) talking about her new book To Fix a National Character: The United States in the First Barbary War, 1800–1805. For Further Information William Eaton is the subject of the portrait above; for a little something about the "Burr Conspiracy", in which Eaton may have participated and against which he then gave evidence, see Episode 344 As mentioned in the podcast, Daniel Herschenzohn in Episode 95 explained the complex economy in the Mediterranean that centered on the redemption of prisoners. But the only time that consuls have shown up was very recently, in Episode 359. Here's a link to Abby Mullen's Consolation Prize, a limited series podcast "about the history of the United States in the world through the eyes of its consuls." And one to Big If True, "a podcast for kids exploring the truth about big things" co-hosted with her daughter, but which is now alas lapsed into a podcast doze. For on the American wars on the Barbary coast, see Frank Lambert's The Barbary Wars: American Independence in the Atlantic World; for a now very old book full of swashbuckling derring-do, and not very many strategic complications, see Fletcher Pratt, Preble's Boys: Commodore Preble and the Birth of American Sea Power.

On the achievement of democracy and the 'impartial' state. We speak to sociologist Dylan Riley about his new book Microverses, a series of aphorisms on social theory and politics. The rational-legal state seems to be under threat by politicians who have no sense of the division between public and private – patrimonialists like Donald Trump, or Silvio Berlusconi. What are we to make of this attack on the notion of office? Anti-corruption politics is often the response, but what happens when the left positions itself as the defender of the 'impartial' bourgeois state – rather than its overthrower? And was democratic capitalism the achievement of a militant working class – or a concession made after the working class had already been disciplined by fascism and war? The second half of the interview, and our After-Party, is available at patreon.com/bungacast Readings: Microverses: Observations from a Shattered Present, Dylan Riley, Verso Books Seven Theses on American Politics, Dylan Riley & Robert Brenner, NLR Inflection Point (podcast), Dylan Riley & Robert Brenner, UC Berkley Safe Substitutes for Posting: review of Microverses, Harold Florida, Damage

As Long As I'm Living, rebuilding our Happier Ever Afters after infant loss (SIDS)
Oof... this one is a doozy. This episode kicks off with a few minutes that Alina recorded on a bad, bad day. She felt loneliness, grief, despair, anger, and so many other things. Afterwards, Alina and Judith discuss these feelings, specifically how after your child dies, any other joy in your life can feel like a consolation prize. But is it? Is the joy we are able to feel sometimes now a cheap plastic consolation prize? Or have we somehow dug up some genuine gold from the ashes of our razed lives? In this episode of Consolation Prize, we meet two Americans in 1860s Thailand. Reverend Dan Beach Bradley was a Christian missionary and a newspaper publisher, and Captain James Madison Hood was the US consul to the Kingdom of Siam. These two men could not be more different from one another, but they both craved power in their own ways. In their quest for political power and moral superiority, they got involved in an international diplomatic kerfuffle of epic proportions in the Kingdom of Siam. This episode was produced by Abby Mullen, Deepthi Murali, and Kris Stinson. Shownotes available at consolationprize.rrchnm.org.
In this mini episode of Consolation Prize, we complete our tour of the world by going to the last continent where the United States had consuls: Australia. Alexander George Webster was a consul in Hobart, a port city on the island of Tasmania, but he also served on the Tasmanian Fisheries Commission, a group that was very concerned with making sure that Tasmanian rivers were stocked full of fish. In this episode, we see how Webster used his position as consul to move salmon halfway around the world, from the rivers of California to the rivers of Tasmania. This episode was produced by Abby Mullen and Kris Stinson. Show notes available at consolationprize.rrchnm.org.
they took on them. Consul Wesley Frost was stationed in Queenstown, Ireland during the early years of World War I. As part of his responsibilities, Frost assisted survivors from more than 80 German submarine attacks including the SS Lusitania, which at the time resulted in the greatest loss of civilian lives. Irena Wiley was a diplomat's wife. But she was also an artist who used her art to reflect the humanity of the many people she encountered all around the world. Bill Adair is an artist who purchased Wiley's pieces at a junk auction nearly 35 years after she died. This special episode of Consolation Prize is their story--how Wiley's work brought the humanity of devastated people to the fore, and how Bill's work has brought Wiley's work to the fore.Consolation Prize is a podcast of R2 Studios at George Mason University. Some big signings have happened over the course of the week and the boys are here for it. They talk about the recent Michael Pineda signing in Detroit, which was the consolation prize after the top arms have all been taken. What could Pineda bring to the club, and why didn't he last on other teams he played for? The Dodgers, Twins and Red Sox have all leveled up their squads for the season, and the boys discuss some of the inside details of those dealings. Of all the new deals being agreed upon and arbitration wrapping up, this leads to an interesting early look at what might happen to Yankees outfielder Aaron Judge. What if he has a good season? What if the bottom falls out? Will the Yankees spend big for him or let him walk. If they let him walk, where is the best fit for him to play? The boys let the theories fly! This past week two new rules (the Ohtani Rule & the Phantom Runner rules) were signed into the league. The boys talk the good, the bad and the ugly of these rules. Afterwards, they continue their Then and Now series by selecting 15-11 Greatest Games as well as picking the best right fielders in the game right now. They round out the show with Collection Corner.
As Jesus was presented to the Lord at the temple, he was simultaneously being presented as Lord to those who witnessed it.
