TCW Podcast Episode 259 - A Cendant to Vivendi CUC International looked like a company that never missed. Quarter after quarter, just barely beating estimates, right up until the moment Henry Silverman got access to their books and found out why. When a new customer signed up, CUC booked a full year of revenue immediately, even though billing was monthly. If that customer left before the year was up, CUC never corrected the books. The money just stayed there. Perfectly functional assets were declared worthless on paper, with the supposed losses paid off using money from merger funds. That same merger money was then counted again as incoming revenue, making the company look larger and more profitable than it was. Over $500 million in income that never existed. Walter Forbes was forced to resign and was eventually convicted of the largest accounting scandal of the time. Cendant realized the software and games division itself had been part of the machinery. They sold it to French media company Havas. That sale landed in the orbit of Vivendi, a sprawling conglomerate that had started as a 19th century French waterworks company. Its CEO Jean-Marie Messier had bigger things in mind. AOL had just merged with Time Warner, and Messier was not going to watch an American walled garden of films, music, and games swallow the market he wanted to own. Delaware Division Of Historical And Cultural Affairs (HCA) Director Suzanne Savery discussed their mission to protect and preserve historic and cultural sites and to educate the public on the 'First' state's long history. She described the sites maintained by HCA including the John Dickinson Plantation, New Castle Court House Museum, the Old State House and the site of Delaware's only Revolutionary War land battle Cooch's Bridge, which will open to the public in 2027. We discussed the events and activities planned around the 250 celebration beginning in May and continuing through Separation Day, the day Delaware declared its independence from the British and Pennsylvania, the 4th of July and the grand reopening of the John Dickinson Plantation Visitor Center. At 7pm the museum hosts a special Declaration of Independence program. 4th of July & 250th Anniversary Programming4th of July events at the Old State House, 10 a.m. to 6 p.m. include self-guided tours and historic interpreters who regale visitors with tales of the First State's Revolutionary past. A historic site interpreter will teach traditional quill pen writing, while Declaration of Independence readings at 2p.m. and 4p.m. round out the festivities. Twenty years ago Kathryn Scanlan (Kick the Latch, The Dominant Animal) acquired a diary at a public estate auction. It was kept by Cora E. Lacy, an eighty-six-year-old woman living in a small Illinois town, from 1968 to 1972. Scanlan began to compulsively read and reread the stranger's diary. In the years following she edited, arranged and rearranged the diarist's words into the composition that is Aug 9 – Fog. Scanlan was joined by Emily LaBarge, whose book Dog Days was published in autumn 2025.
