There Must be a Claim for Coverage Under a Claims Made Policy Homeland Insurance Company of New York (Homeland) issued Plaintiff a claims made  liability insurance policy covering errors and omissions, effective January 16, 2019 to January 16, 2020.  Plaintiff eQHealth AdviseWell, Inc., f/k/a eQHealth Solutions, Inc., a Louisiana corporation that provides health care management services to Medicaid agencies, commercial healthcare payers, third-party administrators, and self-insured employer groups. In Eqhealth Advisewell, Inc. v. Homeland Ins. Co. Of N.Y., Civil Action No. 22-00050-BAJ-EWD, United States District Court, M.D. Louisiana (July 15, 2023) the USDC resolved the dispute over coverage. BACKGROUND Homeland issued a Managed Care Organizations Errors and Omissions Liability Policy (“the Policy”) to Plaintiff. The Policy covered “Damages and Claim Expenses in excess of the Retention that [Plaintiff is] legally obligated to pay as a result of a Claim ...” A “Claim,” as defined by the Policy, “means any written demand from any person or entity seeking money or services or civil, injunctive, or administrative relief from [Plaintiff].” Plaintiff Authorizes Treatment For B.N., A Florida Resident, In Oklahoma One of Plaintiff's contracts was to provide Medicaid management services to the State of Florida. Under this contract, Plaintiff's primary operational contact was Florida's Agency for Health Care Administration (“AHCA”), which is the state agency responsible for administering Florida's Medicaid program. Plaintiff's Communications To Defendant Regarding B.N.'S Treatment At Brookhaven The lawyer stated that “[n]o lawsuit has been filed, at least as yet.”  Plaintiff and Florida AHCA's Settlement with Brookhaven At the point of a settlement eQHealth had virtually no choice but to settle on the terms agreed by AHCA and Brookhaven. The settlement agreement was signed by the last parties on September 20, 2019, and pursuant to it, eQHealth paid Brookhaven $262,500. Defendant denied coverage on February 3, 2020, stating that: “[n]o Claim against eQHealth was reported to Homeland, eQHealth did not ask for consent to settle any Claim, and Homeland did not provide prior written consent for the settlement, or for any expense, payment, liability, or obligation eQHealth may have had in relation to this matter. Therefore, no coverage is available for the settlement payment eQHealth made to Brookhaven.” DISCUSSION Homeland expressly conditioned coverage of all claims under the Policy on the filing of notice of a “Claim” against Plaintiff. When considering what constitutes a “claim” to trigger coverage under a “claims-made” insurance policy, the court relied on the Fifth Circuit that instructs trial courts to differentiate the “mere threat of a claim” from an “actual claim.” The USDC concluded that despite the numerous communications between the parties and relevant third parties, no communication rose to the definitional level of a “Claim” such that coverage under the Policy was triggered. ZALMA OPINION Homeland included in its policy wording a definition of the word "claim." For the insured to obtain defense or indemnity it must establish that a claims, as defined, happened. Without question threats were made. A settlement was reached and the insured paid money to fund the settlement. Yet, no one made a "claim" as defined, the insurer was not advised of the settlement nor was it advised of the insured's intent to pay until after it paid although the decision to pay was a "business" decision since no one made a demand in writing that they pay for a cause of loss insured against, there could not be coverage for a claim or loss triggered under the policy's clear and unambiguous definition of the word "claim." The Evangelical Lutheran Good Samaritan Society is exiting the pandemic as a much different organization than what it was just five years ago, cutting its massive footprint back to seven states and, with its parent organization, Sanford Health, pursuing a merger with another major Midwestern health system. The pandemic “forced us to reflect on who and where we serve,” CEO Nate Schema told McKnight's Long-Term Care News Senior Editor Kimberly Marselas at the AHCA/NCAL Congressional Briefing on June 6. Schema is the association's not-for-profit board member and spent his time in DC sharing insights with key Midwestern leaders on the possible implications of a coming federal staffing minimum. He and several other Good Sam leaders also stressed the need for common-sense legislation that can help create a workforce pipeline for skilled nursing facilities. His chief concern remains impact on rural access to care. “It's no secret: We've closed 13 buildings now over the last two years. It's forced people to now have to make some really hard decisions, and I don't want to ever have to be in that situation where I'm standing in front of family members and loved ones and say, ‘You going to have to drive another hour or two away,' Schema says in this episode, recording live at the Briefing. “I'm concerned that a minimum staffing mandate could create an even greater disproportionate impact on our rural seniors. It's those seniors who are going to pay the price.”

Adult Family Care Homes are Agency for Health Care Administration (“AHCA” or Agency) licensed facilities that provide care to disabled adults and frail elders in a family-type living environment. These adults choose to live with an individual or a family in a private home. One key distinction between an Assisted Living Facility and an Adult Family Care Home (“AFCH”) is that the Provider must also live in the home, which can be owned or rented by that Provider. The home has to meet the local zoning requirements prior to obtaining the AHCA license. The intent behind the Adult Family Care Home Act is to allow for residents of AFCHs to remain as independent as possible and to avoid placement in a nursing home or other licensed facility. AFCH means a full-time, family-type living arrangement, in a private home, under which a person who owns or rents the home provides room, board, and personal care, on a 24-hour basis, for no more than five disabled adults or frail elders who are not relatives. Personal care services includes individual assistance with or supervision of the activities or daily living and the self-determination of medication, and other similar services. A resident who requires 24-hour nursing supervision may not be retained in an AFCH unless such resident is an enrolled hospice patient and the resident's continued residency is mutually agreeable to the resident. Certain types of family-type living arrangements are not required to be licensed as an AFCH. Although no more than five adults may reside in the home, the licensed maximum capacity of each AFCH is based on the service needs of the residents and the capability of the provider to meet the needs of the residents. Any relative who lives in the adult family-care home and who is a disabled adult or frail elder must be included in that maximum resident count. EDUCATION: AHCA Application for Exemption from Disqualification

If you are listening to this podcast it means that you have probably received a letter from the Agency for Healthcare Administration (“AHCA”) stating that they have uncovered criminal offenses that disqualify you from working for a health care provider. AHCA may have uncovered this offense a result of background screening submitted as part of the employment process for a health care provider and/or participation as a Medicaid provider. This applies to clinical staff as well as facility owners, administrators and chief financial officers and those seeking enrollment as a provider in the Florida Medicaid program. Fear not, because you may be eligible to file an Exemption from Disqualification if you meet certain criteria. Our firm can assist you with demonstrating to AHCA by clear and convincing evidence that an exemption from disqualification should be granted. The application will only be reviewed once all relevant supporting documents are received by AHCA. Filling out the application can be a bit tricky, so you should definitely hire a health law attorney that has experience with doing so in order to prevent delays in processing your application. Once you've submitted your application it takes approximately 30 days for AHCA to render its decision to you. Exemptions granted by one agency will be considered by other agencies, but it is not binding on subsequent agencies. It is possible for AHCA and DOH to deny your application even though you feel you meet the criteria for an exemption. In those instances, our firm will represent you before AHCA and DOH Boards if you chose to contest the Agency decision. You have 21 days from the date you sign for the certified letter to request an appeal. The administrative law judge will only decide whether the agency's intended action is an abuse of discretion. Special  Guests:Dr Pat WhiteAn accidental exposure to Highland cattle shortly after graduating from veterinary college in 1980 sent Pat and her husband Larry on a 2-year trip of exploration around the US. Looking at the breed and talking to breeders before they finally made the life altering purchase of their first two Highlands in 1983. Thirty-eight years later - LEA-White Farms runs 30 brood cows (down from 60) and Pat continues to enjoy raising them and watching talented young people show her cattle. She now does essentially all the work on the farm herself. Other than a mineral mix and the small amount of corn and molasses fed to the weanlings, everything else the cows consume is grown on the farm or in rare years, purchased directly from a neighbor. Pat is intimately involved in the day-to-day management and care of the cattle. She has been an active participant in both national and regional Highland cattle associations since the late 1980s. She has written numerous articles on a regular basis for The Bagpipe. These articles have elicited recognition, comments and thanks from breeders (not limited to Highlands) across the country and around the globe. She presently serves on the AHCA's Board of Directors. One of her  main interests in addition to the breeding of Highland cattle lies in accurate and realistic education for both neophyte and experienced breeders concerning cattle health, care and welfare. She also has an abiding interest in encouraging honest, ethical business practices as it concerns Highland breeders.Dr Stephan JanzStephan Janz is a retired GP, Highland Cattle Breeder, Cattle Judge  and Author based near Hamburg, Germany.He started his own Highland Fold in 1988 with the importation of his first cows/heifers from Scotland. Mark Parkinson, stands stunningly at the helm of the American Health Care Association and American Center for Assisted Living (AHCA/NCAL), the largest U.S. association for long term care. It represents14,000 for-profit and not-for-profit nursing homes and assisted living residences, sub-acute centers and homes for persons with intellectual or developmental disabilities. The organization's mission is to find and help deliver solutions so that frail, elderly and impaired citizens receive the quality of care they deserve regardless of the setting. Prior to serving as the 45th governor of Kansas, Parkinson owned and operated long-term care facilities in both Kansas and Missouri, bringing to his position an understanding of the landscape from an insider perspective. The pandemic and its impact on nursing home residents, brought to light the issues that have long existed in our nation's nursing homes. Seizing on the need for change, Mark Parkinson embarked on a mission to find solutions that would improve the quality of care for our nation's elder citizens. Thus, working in partnership with Leading Age, the Care for Seniors Act was created and released in March, 2021. The Care for Seniors Act addresses four key areas with recommendations for policy changes in each area that can positively impact quality of care. The four areas are: Clinical, Workforce, Oversight and Structural. Mark Parkinson adeptly describes each of the reform areas and how he envisions this can impact nursing home quality of care.

Turnabout is fair play: That's true in politics, and it's true at Andreessen Horowitz given our internal (and very opinionated!) culture of debate -- where we often agree to disagree, or more often, disagree to agree. So in this special "turnabout" episode of the a16z Podcast, co-founder Marc Andreessen (who is most often in the hot seat being interviewed), got the chance to instead grill fellow partners Frank Chen (who covers AI and much more), Vijay Pande (who covers healthcare for the bio fund), and Alex Rampell (who covers all things fintech).
