Scott Valentine is best remembered for his role as Justine Bateman's not-so-smart artist boyfriend Nick Moore on the hit NBC sitcom "Family Ties," playing the character from 1985 to 1989. A spinoff show, "The Art of Being Nick," failed to ignite any interest and only the pilot episode was ever aired. Beyond "Family Ties," Valentine has starred in a number of straight-to-video movies and theatrical features, including the supernatural rom-com "My Demon Lover," the sex-crime docudrama "Without Her Consent," and the mutant-baby horror "The Unborn II." He has guest starred on a number of television shows as well-the HBO anthology show "The Hitchhiker," "Midnight Caller" (starring Gary Cole),"Walker, Texas Ranger," and the forensics procedural "CSI.: NY," among others. Today on The Neil Haley Show and The Love Is Podcast, Neil "The Media Giant" Haley and Kim Sorrelle interview Scott Valentine. Scott Valentine was born and raised in Saratoga Springs, New York and first discovered acting at age five doing plays in his parents' garage. He appeared in a few high school plays, but didn't pursue acting as a career until his second semester of college. He moved to New York City and studied at the American Academy of Dramatic Arts, where he completed the school's three-year program in a year and a half. He held a few odd jobs such as short order cook and researcher for a publishing firm, and he won a few roles off-off Broadway. He signed a contract for a daytime soap and was about to screen test for a role in the feature film, "Lords of Discipline" but was accidently hit by a truck on September 17, 1981. After three years of convalescing, he left New York for Los Angeles where he landed the part of Nick Moore on the hit series, Family Ties (1982).

As many of you know, David, the founder of this podcast, was an incredibly insightful man. A lot of that was gleaned from the hardships that he endured, many that were self-inflicted. He also studied Eastern religions like Buddhism which helped him acquire a better understanding of the human psyche, and pointed him toward directing his energies inward toward improving himself in order to improve the world around him. Along the way, in his memoir, Out There: A Story of Ultra Recovery, he showed how he could attain a huge measure of that by showing his vulnerability, unashamedly exposing his mistakes and shortcomings, discussing the self-loathing he felt, and letting people make up their own minds about his efforts to make amends, and importantly, not harboring ill will toward them if they chose not to accept any of that. He understood that we all have done things we regret, and he was willing to accept others for who they were trying to be instead of judging them for past misdeeds.The most interesting book along those lines I have read in a while is by Nick Moore. I found his book, Who Am I?, to be a real page-turner that I tore through in two sessions. Nick grew up in Texas among racism, violence, and parents who were unfaithful to one another. On the plus side, he loved to play football, and in high school received all of the adulation that football players get in Texas, and eventually got to play for Georgia Tech and Baylor. On the other, he had a mercurial, sometimes violent father. Nick discovered that his father had been molesting his daughter and granddaughter, leading Nick to call Child Protective Services, and causing an irreparable rift in his family. Nick struggled from that point with depression, substance abuse, mistrust of his religious upbringing, and finding a good direction to his life. Nick's story takes more twists and turns than a rollercoaster as you share his bad luck, frustrations, and questionable choices. But he could eventually see how the Universe was pushing him in the right direction, even after losing his life savings – an envelope with $4000 in cash – that he'd planned to use to re-start his life in Amsterdam.Interestingly, Nick had a psychological breakthrough while experimenting with psychedelics. He now lives in Hawaii, where he learned about the love and acceptance offered by Hinduism, and found some very wise mentors. He shares his poetry with visitors on Waikiki Beach, and like David after the revelations he realized, has become a leader in teaching others about vulnerability, self-love, and compassion, and most importantly, how people think about themselves. Wilco EMS and Nick eventually brought the program to WIlco EMS and rolled it out to their entire Field Staff as well as Round Rock Fire and has since continued to grow the program for other departments in Williamson Co and Central Texas. Brookwood grad Nick Moore, who plays for the Baltimore Ravens, is the AFC's leading vote-getter at long snapper for the Pro Bowl as of Monday. The NFL announced voting totals of the leaders after the early stages of voting, which will continue at NFL dot Com and on team sites through December 15. Starting December 1, fans will be able to vote directly on Twitter by Tweeting the player's first and last name, the player's official Twitter handle or a hashtag including the player's first and last name — along with #ProBowlVote. Full roster selections for the Pro Bowl are determined by the consensus votes of fans, players and coaches. Each group's vote counts 1/3 toward choosing the players. State Senate Democrats reelected their top leadership team Monday. Senator Gloria Butler will return as Senate minority leader during the 2023-24 legislative term starting in January. The Senate Democratic Caucus also re-elected Senator Harold Jones of Augusta to serve as minority whip and Senator Elena Parent from Atlanta, to serve another term as caucus chair. The rest of the Democratic leadership team for the next two years will include Senator Sonya Halpern from Atlanta who will serve as caucus vice chair; Senator David Lucas of Macon, who was elected vice chair of fundraising and campaigns; and Sen. Nan Orrock, D-Atlanta, who will serve as caucus secretary. The upcoming term will be Butler's second as minority leader. She rose to the post at the beginning of last year after then-Minority Leader Steve Henson decided not to run for reelection in 2020. Democrats gained a seat in the Georgia Senate in this month's elections. During the next term, majority Republicans will hold 33 seats to 23 seats for the Democrats. A trio of Wesleyan seniors recently settled their futures in college baseball. Pitcher/third baseman Dominick Scalese signed with Tulane, outfielder Forrest Lietz committed to Birmingham-Southern and first baseman/outfielder Schley Gordy sign with Spartanburg Methodist. Scalese hit .273 with five home runs, 19 RBIs, 23 runs and seven stolen bases last season for the Wolves' state title team, in addition to going 3-2 with 36 strikeouts in 32 2/3 innings as a pitcher. Lietz hit .404 with six home runs, 39 RBIs, 11 doubles, 29 runs and 11 stolen bases, while Gordy hit .347 with five home runs, 11 doubles, 47 RBIs, 38 runs and 18 stolen bases. Tulane is a division one baseball program in the American conference. Birmingham-Southern competes at the Division three level in the Southern Athletic Association; And Spartanburg Methodist is a member of the National Junior College Athletic Association, and has a strong tradition of sending players to finish their collegiate careers at division one baseball programs. If Lawrenceville residents hear loud sirens or suddenly find roads closed around the Gwinnett Justice and Administration Center on Saturday, chances are that they shouldn't worry that anything bad is happening. They should plan ahead on having to deal with those issues and sounds, however. The Gwinnett County Sheriff's Office announced on Monday that its Court Operations Division will conduct a multi-agency active shooter training exercise at GJAC from 8 until 9:30 a.m. on Saturday. The training will entail law enforcement doing everything that they would do if they were responding to a real active shooter incident at the courthouse. Even though the event will be a training exercise, the Sheriff's Office warned that drivers will still have to follow all traffic laws, such as yielding the right-of-way to emergency vehicles and reducing speed around emergency vehicles that have activated their lights and sirens. Officials pledged that any traffic delays are expected to be minimal. [00:01 – 5:13] Opening Segment Who is Nick Moore? Moore started working in commercial real estate five years ago and has since developed a talent for working through real estate documents. He is a partner at a law firm, Robertson, and specializes in real estate transactional work. Nick has transacted over 200 million in transactional volume this year He has closed a transaction on Monday for an $18 million deal in Houston He has a private equity Joint Venture Partnership   [05:13 - 12:15] How to Draft a Purchase and Sale Agreement   You can draft up a PSA to document a real estate transaction. The PSA is an agreement between the buyer and seller that sets forth the terms of the purchase. A Purchase and Sale Agreement is the most formal type of real estate contract, and it is enforceable. Make Sure You Don't Lose a Deal in a Seller's Market You need to move from LLI to PSA as soon as you can. Create a timeframe where the PSA has to be distributed after LOI is executed. Don't accept any offers within that time period. Find council you if it's the first time, you can switch.   [12:16 - 26:03] What to Expect When Joining a JV Partnership   Disclosure is key on the front end, so try to communicate as much as possible Sellers should be aware of timelines and what is refundable before making offers Know the structure of the JV before making an offer Passive Investing Isn't Necessarily a Bad Thing If you're going to syndicate your business, make sure you have a Price Placement Memorandum (PPM) If you are a practitioner in a business partnership, there has to be some check and balance and fluidity in order to keep the business running smoothly. In order to be successful with the SEC, you need to make sure that you are actively involved in your business, even if you have delegated certain responsibilities to others. A member-managed LLC is a way for all of the members to collectively make decisions for the company, similar to how a quarterback by committee works   [26:04   – 30:50] Closing Segment. SEC Requires Private Placement Memorandum to Include Comprehensive Disclosure The SEC has determined that only accredited investors can participate in private offerings, and the issuer means it's a company issuing the security. The Ppm is a disclosure document, and it references the company operating agreement. The best way to analogize it is your Ppm is the brochure, and your OA operating agreement is the fine print. You're signing a joint signature page to the operating agreement. You don't sign a Ppm. Morris believes that patience and gratitude are key virtues and wants his grandchildren to know this about him.
