Arbor, though it denies the short seller's numbers, said it is experiencing challenges and delinquencies are set to rise. And the company is not afraid to go after non-performing borrowers. Deconstruct sat down with Gabriel Bernarde, one of the individuals behind Viceroy, to chat about the reports, and then dug into Arbor's fourth-quarter earnings.

Digest this stark statistic: a Collateralized Loan (CLO) portfolio with over 300 loans is showing a weighted average debt service coverage ratio of just 0.63. It is basically a disaster and one that my guest today is shorting – heavily. Gabe Bernarde is co-founder of Viceroy Research and has written a report called “Slumlord Millionaires”, that covers a well-known bridge lender who has been doing a lot of lending to multifamily sponsors. The report reveals an entire portfolio of multifamily loans that appear to be underwater and that are wrapped up in CLOs. In theory, CLOs are bullet proof because the lender who owns/manages them can swap out poorly performing loans for better performing ones, protecting the integrity of the entire portfolio. It's a bit like having a fund with apartment buildings in it where the sponsor can swap out sub-performing assets for others to keep the funds' finances healthy. What Gabe's research concludes is that this structure is fine until all the loans in a portfolio, or a substantial majority of them, are bad. Then you have nothing good to replace the bad. I've been researching CLOs ever since I spoke to James Eng of Old Capital for the podcast a few weeks ago. He reported having brokered $2 billion and told me 90% were underwater. Then I spoke to Dan McNamara at Polpo Capital, who is famous for having successfully shorted malls in 2020 who also thought that some CLOs were in dire straits and ripe for shorting. Look, there are multiple ways to make money in a real estate downturn. You can buy discounted assets from sponsors who are forced to sell or buy non-performing loans or REO from banks. You can provide rescue capital or set up a debt fund. Or you can short the stock of real estate companies you think are overvalued and that is exactly what my guest today, Gabe Bernarde at Viceroy Research, is doing. V aktuální epizodě podcastu Ve vatě sdílí šest svých investičních či byznysových přešlapů zkušený investor a exšéf Raiffeisenbank Lubor Žalman. „Je důležité si říct, proč se chyba stala a co příště udělám jinak. Jinak je to promarněná příležitost,“ říká. Co se tedy v byznysové kariéře nepovedlo partnerovi v dluhopisovém fondu Encor Wealth Management a jaké poučení si z chyb vzal?1. Nikdy nejdi proti centrálním bankámPandemie vyškolila řadu investorů. „Každý si myslel, že přišel konec světa. V Číně byl zákaz vycházení, mezinárodní doprava kolabovala, jeden kontejner mezi Čínou a Evropou stál desetkrát tolik co dřív. I já jsem čekal menší ‚armagedonek‘.“A skutečně, akciové trhy začaly prudce padat. Ovšem už po dvou měsících se otočily nahoru. „Začal jsem spekulovat na pokles akcií, jenže ty šly do nebe. A já jsem na tom prodělal částku, která pro mě byla podstatná,“ vypráví Lubor Žalman.Od té doby nedá dopustit na zlaté pravidlo. „Nikdy na trhu nejdi proti centrálním bankám. Do roku 2008 byl jejich úkol hlídat inflaci, teď pod tlakem vlád zachovávat hospodářskou stabilitu. V covidové panice začaly pumpovat do ekonomiky peníze stejně jako v roce 2008,“ říká Žalman.Tenhle trend bude podle něj pokračovat i dál. A podle investora to není dobrá zpráva. „V dlouhodobém horizontu je potřeba vyndat tzv. zombie firmy z ekonomiky. Peníze mají mít svou cenu. Úvěr není něco, co má dostat každý a zadarmo. Pravděpodobnost, že by vlády sáhly k bolestivým opatřením a dopustily recesi, ale klesá,“ míní Žalman.2. Mějte v investicích pořádekWirecard byla německá finanční společnost, která platila za budoucí hvězdu evropského fintechového trhu. Jenže pak se ukázalo, že jí na účtu chybějí dvě miliardy eur. I na takových firmách vydělávají tzv. shortaři.„Hledají společnosti, které jsou masivně přeceněné. Firmu najdou, zanalyzují a otevřou si krátkou pozici. Když jde cena její akcie dolů, vydělají. A pak to oznámí to světu. Shortaři z Viceroy Research takhle třeba upozornili na jihoafrickou firmu, která chtěla být kopií IKEA. Přitom se sypala jako domeček z karet,“ vysvětluje Žalman.I Žalman takové firmy občas vyhledává a snaží se na jejich poklesu vydělat. „I morálně je to správně, plevel by se měl z trhu odstraňovat,“ myslí si. Na Wirecard mohl vydělat jmění, ale udělal chybu. Dokonce dvě.„Otevřel jsem si krátkou pozici, asi o týden později jsem na tom pár eur vydělal, a protože jsem ty peníze potřeboval, pozici jsem zavřel a na Wirecard úplně zapomněl. Když jsem o rok později dělal daňové přiznání, byl už Wirecard na prvních stranách ekonomických novin,“ vzpomíná.3. Pozor na monopolPoučná byla pro Žalmana taky investiční zkušenost se startupem na výrobu kyčelních kloubů. „Byl tam světový oligopol tří firem, měly 90 procent trhu, jenže jim končily patenty. Takže bylo možné ty klouby začít replikovat. Mysleli jsme, že ten oligopol rozbijeme,“ vypráví Žalman.Svůj první produkt uvedli na trhu ve Velké Británii a vypadalo to slibně. „Když jsme ale potřebovali schválit druhý produkt, začalo se to táhnout. Zjistili jsme, že jeden z těch oligopolistů sponzoroval knihu předsedovi komise, která měla o povolení rozhodovat,“ vzpomíná hořce Žalman.Do cizích startupů od té doby Žalman neinvestuje. „Když chce člověk jít do startupu, měl by mít celé startupové portfolio. Fraser Perring and Viceroy Research weren't well known in South Africa until they gained credit for identifying the accounting scandal at Steinhoff in 2017. The firm are short sellers, meaning that they seek to take advantage of falling share prices. They made big money short selling Steinhoff and a little while later published a scathing report on the way Capitec accounts for bad debts, sending that company's shares lower by 35% in early 2018. Most recently, Viceroy has been short in the shares of Wirecard, the German payment processing business that recently filed for bankruptcy and saw it's CEO arrested on fraud charges. Fraser Perring's approach to the market is vastly different from others interviewed in this series. In his own words, he says that what he does is “insane”. Business leadership South Africa has dismissed claims by Viceroy Research that a damning report by Intellidex into short-selling in South Africa, was sponsored by a third party. Short selling is defined as the sale of an asset in the belief that the asset's price will decline. This enables it to be bought back at a lower price to make a profit. Viceroy has over the past year published negative reports on prominent South African companies, including Steinhoff and Capitec bank. BLSA CEO, Bonang Mohale says this is not an anti-short selling research project.

Capitec Bank says it was made aware of the allegations by Viceroy Research Group against the bank. This morning, Viceroy released a report where is stated that Capitec Bank is a loan shark masquerading as a microfinance provider. However, the South African Reserve Bank (SARB) says according to the information available to them Capitec is solvent, well capitalised and has adequate liquidity. What's your expectation for the Top40 in 2018 ?#JSE — Simon Brown (@SimonPB) December 4, 2017   Steinhoff, where there's smoke Markus Jooste has also quit Stenihoff (JSE code: SNH), Star (JSE code: SRR), PSG (JSE code: PSG) and Phumelela Gaming (JSE code: PHM) boards. Steinhoff CFO and Star CEO Ben la Grange has quit as CEO of Star, but seemingly stays on at Steinhoff, for now. It's an oldie but it always true. Where there's smoke theirs fire and locally that is Steinhoff. Forever people have been in one of two camps on this stock. They either loved it or didn't understand the financials and stayed well away. I have always been in the latter camp and recently the warnings have gotten dire and now the CEO is out, results delayed and an investigation by PwC to try and understand exactly what's happen. Now hindsight is easy, but there has been a lot of smoke around Steinhoff for ages, enough to scare away any investor one would think. I warned as recently as a month ago about this. For traders the lesson is simple. Don't try and catch falling knives. Sure sometimes it works but when it doesn't you blow up. Wiese took some R122million SSF exposure in early November at 6146c. This is why we largely ignore director buying. The company did a share buy back also in early November for about R4,8billion, now worth R1.2billion. Also a lot of hating on ETFs as Steinhoff was 2.35% of the Swix (which is a truly horrid index) and 1.88% of the Top40. Frankly active fun damagers who liked the company probably had a lot more. The answer is no because we simple know nothing except that what we thought we knew is not true. Never blindly buy something where everything is simple unknown. Some saying they have 2500c odd value in Star, PSG & Kap, but then they also have debt that is likely about the same. Viceroy Research has published their report in Steinhoff and it makes for scary reading. Lastly, what to do if you hold Steinhoff? Sell. The 'it can't get worse' trope is a lie. It can get worse, it can go to zero.
