In this KE Report company update, we speak with Rhylin Bailie, VP of Investor Relations at Equinox Gold (TSX: EQX - NYSE-A: EQX), following the shareholder-approved merger with Calibre Mining. The newly combined company is on track to produce nearly 1 million ounces of gold in 2025, with a clear path to surpassing that milestone through 2026 and beyond. Rhylin walks us through: Equinox's rapid growth since 2017, driven by M&A and organic mine builds across five countries. The strategic rationale for the Calibre merger, including enhanced scale, diversification, and the potential for a valuation re-rating as a senior producer. Flagship Canadian assets Greenstone and Valentine, which are ramping toward 600,000 oz/year combined production. Development-stage upside at Castle Mountain (CA), Aurizona (Brazil), and multiple optimization projects across the portfolio. Outlook on debt reduction, potential for dividends, and disciplined capital allocation amid strong gold prices. An update on the Los Filos mine in Mexico and how it remains a long-term upside wildcard. Key near-term catalysts: closing the merger (expected mid-June), consolidated 2025 guidance, and first gold pour at Valentine (Q3 2025). As Rhylin emphasizes, this is not just a merger of assets, but a merger of teams - combining two strong operators to build a resilient, cash-generating, growth-focused gold producer.

Interview withHayden Locke, President & CEO of Marimaca Copper Corp.Hugh Agro, President & CEO of Revival Gold Inc.Recording date: 7th May 2025Despite gold trading at record highs above $3,000 per ounce, development-stage gold companies are taking a notably disciplined approach to project advancement. Companies like Revival Gold and Marimaca Copper are adopting phased, low-capital expenditure models that prioritize financial prudence over aggressive expansion. This strategic shift represents a departure from the previous cycle's "build it big, sell it later" mentality that often led to project failures when funding disappeared or buyers never materialized. Instead, these companies are embracing the Australian model of bootstrapping manageable, lower-risk development stages that generate cash flow earlier.Revival Gold's Beartrack-Arnett project exemplifies this approach, beginning with a heap-leach operation that allows for production with minimal capital intensity while maintaining expansion potential. Similarly, Marimaca Copper is right-sizing its Chilean copper oxide project to match realistic financing capabilities rather than pursuing billion-dollar developments.Despite current gold prices, most producers continue modeling reserves at conservative $1,400-$1,500 levels, showing industry-wide reluctance to assume high prices will persist. This discipline has contributed to a limited supply response, potentially supporting continued price strength. In today's challenging financing environment, these companies are securing capital through strategic partnerships with aligned investors rather than relying solely on public equity markets or high-cost financing structures. Revival Gold and Marimaca have partnered with long-term backers like Greenstone and Dundee Corporation, respectively. For investors, the opportunity lies in identifying gold developers with experienced management teams, capital discipline, thoughtful project scaling, and aligned strategic investors. As gold maintains its role as a store of value amid economic uncertainty, development-stage companies with credible paths to production offer exposure to the next generation of gold supply with significant potential for value creation—provided they maintain their disciplined approach to development and financing.Sign up for Crux Investor: https://cruxinvestor.com
Equinox Gold Vice President of Investor Relations Rhylin Bailie joined Steve Darling from Proactive to provide insight into the company's recent strategic moves, including its transformative merger with Calibre Mining and continued development of key mining operations across the Americas. Founded in late 2017, Equinox Gold was built on a bold vision: to become a one million-ounce-per-year gold producer. Bailie remarked that the timing was fortuitous, as the company's growth strategy coincided with a strong upswing in gold prices. Today, Equinox operates six active mines located in Canada, the United States, Brazil, and Mexico, steadily progressing toward its ambitious production goal. A major step toward achieving that target is the newly announced merger with Calibre Mining, a transaction Bailie described as “a significant milestone” in Equinox's evolution. The deal brings together two world-class gold projects: Equinox's Greenstone mine in Ontario and Calibre's Valentine mine in Newfoundland. Both assets are characterized by long mine lives, low operating costs, and substantial production potential. Once the merger is finalized—expected by the end of Q2 2025—the combined entity will become the second-largest gold producer based in Canada. The Greenstone and Valentine mines alone are projected to contribute nearly 600,000 ounces of annual production, putting Equinox much closer to its long-term output target. Bailie noted that both mines are expected to be fully operational by early 2026. In the meantime, Equinox is focusing on scaling up operations, controlling costs, and maximizing cash flow, capitalizing on sustained strength in gold prices. With a strong asset base, robust market conditions, and a strategic merger underway, Equinox Gold is positioning itself as a leading force in the North American gold mining sector. #proactiveinvestors #equinoxgoldcorp #tsx #eqx #nyseamerican #eqx #CalibreMining #GoldStocks #GoldMining #GreenstoneMine #ValentineMine #MiningMerger #GoldInvesting #CanadaMining #ProactiveInvestors

In this episode, we chat with Ryan King, Senior VP Corporate Development and IR for Calibre Mining, who are a Canadian-listed, Americas focused, growing mid-tier gold producer with a strong pipeline of development and exploration opportunities across Newfoundland & Labrador in Canada, Nevada and Washington in the USA, and Nicaragua. Ryan has over 15 years of experience in capital markets, corp. dev and IR, working for the likes of Kirkland Lake Gold and Newcore Gold, and has assisted in raising over $350M during his career. He discusses the history and background of Calibre Mining, the project, the recent acquisition they made and the local initiatives they have in Nicaragua. KEY TAKEAWAYS Calibre Mining has successfully transitioned from a junior gold developer to a mid-tier gold producer, focusing on acquiring and optimising production assets in favorable jurisdictions like Canada and Nicaragua. The recent acquisition of the Valentine Lake gold mine is a significant step in diversifying their portfolio. Calibre emphasises community engagement, with 95% of its direct employees in Nicaragua being local nationals. The company prioritises creating job opportunities, providing training, and investing in local infrastructure, which fosters a supportive workforce and enhances its social license to operate. The company is actively pursuing exploration opportunities, particularly at the Valentine Lake site, where recent drilling has indicated promising mineralisation. This exploration success is expected to lead to increased reserves and production capacity. With the merger with Equinox Gold, Calibre anticipates generating significant operating and free cash flow from its combined assets. The focus will be on quickly de-leveraging the balance sheet while also considering reinvestment into exploration and potential returns to shareholders through dividends or share buybacks. BEST MOMENTS "We believe that there's going to be an opportunity to optimise that plant a little further... Why hinder ourselves from additional throughput and additional metal production if we assume that we will have that exploration success?" "The technical studies looked at what could we maximise the throughput to... we believe there's an opportunity to take it from 4 million ton phase 2, probably up to about a 5 to 5.4 million ton throughput." "We want to see that transition into a steady ramp up to nameplate 2.5 million tons throughput, as well as the continued unlocking of value through Greenstone as it ramps up to nameplate capacity." "We believe that Equinox is looking at those types of opportunities... one might be a share buyback. Also, I think top of mind would be a dividend policy for new Equinox shareholders." "It was fascinating in the course of working on this piece to learn more about the significance of the Te Wahipounamu region to the Māori people, and to read of the world-building legends about how this part of the world came into being. "I wanted to hold this sense of the sacred close to me as I explored the sound - and what it represented - more deeply. This piece contemplates the very different meanings of the same heritage space to different people. What might be one person's stunning view or rewarding hike could be another person's sacred space, and in exploring the world we are also intruding into other people's worlds and values, and must be respectful of that. This is a composition of contemplation, repetition and respect. The title comes from the Māori translation of Te Wahipounamu - 'the place of greenstone'." Interview with Rhylin Bailie, VP of Investor Relations, Equinox GoldRecording date: 3rd of March, 2025Equinox Gold and Calibre Mining have announced a transformative merger expected to close by the end of May 2025, creating one of the top 15 gold producers globally. The combined entity will produce approximately 950,000 ounces of gold in 2025, with potential to exceed one million ounces as additional operations come online. The transaction originated from casual discussions between Equinox's chairman Ross Beaty and Calibre's leadership, who recognized the strategic benefits of combining their complementary assets. The merger will create the second-largest gold producer from Canada, with the Greenstone and Valentine mines together delivering 600,000 ounces annually—a significant advantage as Canadian producers typically trade at premium valuations.Structured as a "merger of equals," the deal brings together complementary teams, with Calibre's President and CEO Darren Hall joining Equinox as President and Chief Operating Officer alongside CEO Greg Smith. This dual leadership approach aims to distribute responsibilities effectively across the expanded organization. The transaction delivers immediate production benefits to both companies' shareholders while providing exceptional cash flow generation in the current high gold price environment. Consensus estimates suggest EBITDA could more than quadruple over the next 12 months, accelerating debt reduction plans. The company aims to pay down at least $200 million in 2025 and reach a debt-to-EBITDA ratio of 1x by early 2026, enabling dividend payments and share buybacks.Despite its increased scale, the combined company maintains substantial growth opportunities, including the Castle Mountain expansion in California (+200,000 oz/year) and Los Filos expansion in Mexico (+150,000 oz/year). These projects contribute to an expected 60% production growth over the next few years, distinguishing Equinox from larger producers that struggle to meaningfully increase output.Post-merger integration will include evaluating the combined portfolio of 11 mines, with potential rationalization to focus on larger operations producing 150,000-200,000 ounces annually at competitive costs. Equinox has previously demonstrated willingness to optimize its portfolio, having sold smaller mines and spun out non-core assets. The transaction elevates the company from the crowded mid-tier space to the elite senior producer category, potentially attracting increased investment from generalist investors and index funds that require larger market capitalization. With strong leadership, premium assets, exceptional cash flow, and substantial growth opportunities, the combined Equinox-Calibre entity is well-positioned to create significant long-term shareholder value in the gold mining sector.Learn more: https://www.cruxinvestor.com/companies/equinox-goldSign up for Crux Investor: https://cruxinvestor.com

“For a while, we thought we were a fluke in the system,” announces Samantha Wynn Greenstone, a social media influencer and actor who “came out” less than two years ago about her unconventional marriage to a gay man. Through social media communications with Smart Sex, Smart Love host, Joe Kort, Greenstone and her husband, Jacob Hoff, finally were able to “label” their relationship as “mixed orientation.” The couple fell in love, were married last November, and have been talking about their monogamous relationship – a “soulful connection” – as Hoff describes it, in People Magazine, The New York Times and social media. “It was a pivotal moment to finally take the leap and decide to share our story,” says Hoff during this Smart Sex, Smart Love podcast. It's natural for the couple to be under critical eyes when they chose to go public with their story. Greenstone is straight, and she knew Hoff was gay soon after their friendship began eight years ago. People don't believe they can be monogamous; they suspect Hoff will be (or has been) unfaithful, they label him bisexual and not gay, they say the marriage is a sham, they believe conversion therapy is involved, they assume Greenstone couldn't find a straight man to marry … and the theories go on and on because most people are skeptical that a straight woman and a gay man can be in a loving, monogamous relationship. The reality of this mixed orientation marriage is that it is working very well, and the couple is in love, happy, content, secure and completely committed to each other. “Jacob shows up for me more than anyone has ever shown up for me in my life,” Greenstone says. “He makes it clear how important I am to him every day and how much me being in his life means to him. Any doubt in my head is gone. He is in it for the long run.” Listen to my podcast to learn about the “pure love story” of Samantha Wynn Greenstone and Jacob Hoff and how mixed orientation marriages can be successful.
Bic Runga is one of New Zealand's iconic performers – dazzling audiences since the release of her first single in 1996. She went on to reach international fame, as well as winning the most New Zealand Music Awards by an individual ever. Runga is currently on the road as part of the Greenstone Summer Concert Tour, performing alongside Cold Chisel, Icehouse, and Everclear. The first show of the tour was this past weekend in Queenstown, and Runga told Ryan Bridge that she's having ‘such a good time' on the road. “It was really cool to meet these guys on the road,” she said of the other performers. “They're all legends and, y'know, they're all lovely.” Runga has brought her family along on this tour, and she says that it's definitely a military operation trying to keep everyone organised. “I'm trying to get on stage and someone's asking me where their sock is.” “It's cool to have them, but there's... it's just an extra layer of stuff to, y'know, find and wash,” Runga told Bridge with a laugh. Most people stream music nowadays, but despite having close to half a million monthly streams on Spotify, Runga says that it's not the main way artists make their money. “Streaming is a bit stacked up against you,” she said. “It has been harder and harder for musicians to make money out of things like that, but, y'know, I guess that's why we tour." “You have to really love doing it, y'know, I still do it because it's super fun and I can't do anything else.” LISTEN ABOVE See omnystudio.com/listener for privacy information.
Today's daf is sponsored by the Greenstone family in honor of Adina Haggege and Amy Fredj’s birthdays! The Gemara discusses the rights and obligations of kings: A king has the right to take half of all war spoils, which is derived from the kohen gadol's portion of the showbread. Regarding the number of wives permitted to a king, Tanna Kama rules a maximum of 18 wives. Rabbi Yehuda says there is no numerical limit, only restricted if the wives turn his heart from God. Rabbi Shimon holds that even one wife is forbidden if she turns his heart from God, and even if they are righteous, the king is still limited to 18. This creates an apparent contradiction in their approaches to deriving laws from reasoning, as here Rabbi Yehuda follows reasoning behind the commandment while Rabbi Shimon doesn't, while in other places, Rabbi Shimon typically follows reasoning while Rabbi Yehuda doesn't. The number 18 comes from verses about King David (Samuel II 3:2-5), though some sources derive 24 or 48. The Gemara identifies Egla as Michal, creating a difficulty since Michal is known to have been childless while Egla is mentioned with a child. King David had 400 children from captive women who served as warriors in his army. His daughter Tamar, who was from a captive woman, was tragically assaulted by Amnon, which led to the institution of new protective laws. The Gemara discusses Amnon's tactics and his subsequent hatred of Tamar, followed by the laws that were established to protect women from such assaults. The king may only keep horses, gold, and silver needed for royal and military duties. The Torah generally avoids giving reasons for commandments because when reasons were given for royal laws, King Solomon misinterpreted them, thinking he could circumvent the commandments while adhering to their reasoning. The king requires specially written Torah scrolls for his use, which must be prepared specifically for him. How many? for what purpose?

While there's been plenty of Smurfs games released on all sorts of platforms, most of them have been duds until recently with hits such as Smurfs Kart and even last year's The Smurfs 2: The Prisoner of the Green Stone.
Today's daf is sponsored by the Greenstone cousins in honor of Lana Kerzner's birthday. "With love to our dear cousin Lana. Your commitment to learning is a profound tribute to the legacy of our parents, a testament to the values they instilled in us. May the merits of this learning bring you peace, joy, and health this year and every year, not only for yourself but as a blessing to all those around you." Today's daf is sponsored by Gabrielle and Daniel Altman in loving memory of Lisa Altman z"l on her 20th yahrzeit. "We miss her love, warmth, kindness, wisdom and spirit. Her memory and legacy will remain with us always." There are various halakhot relevant to males that do not apply to a tumtum (one whose genitals are covered up and it is unclear if they are male or female) whose skin is then perforated and is found to be a male. He cannot inherit as a firstborn, he cannot become a ben sorer u'moreh, his brit milah does not override Shabbat, and his mother does not have laws of impurity of a woman who gave birth. A difficulty is raised against two of these laws from a Mishna in Nidda 28a. A braita is brought to support the position that a tumtum described above cannot inherit a double portion as a firstborn. The braita also derives that one cannot be a firstborn if it is doubtful whether or not he is the firstborn. The Gemara then explains why this was stated - to explain that if two brothers are born at around the same time (from two different mothers) but it was dark and it was impossible to determine who was born first, no one receives the double portion. Rava held otherwise - they could each write an authorization that "If I am the firstborn, I give you my share," and they can jointly receive the double portion. However, Rav Pappa raised a difficulty with Rava's position and Rava retracted. A father is believed to say a particular son is the firstborn but what if there is a chazaka that a different child is the firstborn? Shmuel ruled that the two brothers write an authorization as mentioned above. The Gemara explains Shmuel's position that he was unsure whether the ruling is like Rabbi Yehuda, who believes a father in that case, or the rabbis who do not accept the father's testimony when there is a chazaka. If the rabbis don't accept the father's testimony, for what purpose did the verse in the Torah use the language of "yakir"? If the father could have given the son a double portion as a gift, it would have been effective, so of course then we can believe the father that this is the firstborn?! The answer is that the father could have only given a double portion as a gift to the son for property in his possession at the time or possibly for items that would later be in his possession (according to Rabbi Meir), but it would not have covered property that would be brought into the father's possession as he was dying. For this situation, the verse taught "yakir." Regarding believing a father about the status of his son, Rabbi Yochanan describes a situation in which a father says that a person is his son and then says that he is his Caananite slave. He is not believed to render the person a slave as he would never have called his slave his son in the first place. However, if he first called him his slave and then his son, we accept his last words as it's possible he meant originally that the son served him like a slave. The reverse is true for one who made a statement in front of the tax authorities. They raise a difficulty against Rabbi Yochanan from a braita, but resolve it.

On this week-in-review, Crystal Fincher and Scott Greenstone discuss:
Valkea Resources (TSX.V:OZ - OTCQB:OZBKF - FSE:S600) has resumed trading today after completing the acquisition of a portfolio of gold projects in the central Lapland greenstone gold belt in Finland. Chris Donaldson, President and CEO of Valkea Resources joins me to provide an overview of the projects and exploration strategy. We focus primarily on the Panna Project. This project is located near the Kittilä mine, Europe's largest gold mine, and hosts walk-up drill targets on the back of discoveries made by the last owner of the project, Australian company S2 Resources. Initial drilling intersected nearly 7 meters at 12 grams per ton (g/t) gold and 20 meters at 4 g/t gold. Valkea Resources is strategically positioned with several 100% owned projects and joint ventures with industry majors, Kinross Gold and Rupert Resources, who are also active in the area. Financially, the company has raised $5 million to close the acquisition, leaving them with about $3 million in the bank for immediate exploration activities. The company has planned a $1-2 million drilling program over the next 12 months. Chris also sheds light on the company's share structure post-transaction, totaling just over 32 million shares outstanding, giving them a market cap around $13 million CAD. Any follow up questions for Chris can be emailed to me directly at Fleck@kereprot.com. Click here to visit the Valkea Resources website to learn more about the Company.
