This audio is brought to you by Wearcheck, your condition monitoring specialist. South African gold producer Aurous, which owns and operates the Blyvoor gold mine and the Gauta tailings retreatment project on Gauteng's West Rand, has announced plans to go public through a business combination with US-based Rigel Resource Acquisition Corp. The transaction, which puts Aurous at a pre-money equity value of some R6.76-billion ($362-million), is expected to enable Blyvoor to expand its underground infrastructure, enhance surface infrastructure, and optimise operations through economies of scale. "This transaction and associated influx of foreign investment into South Africa has the potential to enable further meaningful job creation, continued revitalisation of the local community and recapitalisation of Africa's precious metals industry, all of which we expect will be well-received by the relevant South African authorities," Aurous CEO Richard Floyd stated in a release to Mining Weekly. Aurous is described by Rigel CEO Jon Lamb as a cash-positive, debt-light target that already has impressive operational milestones under its belt. Making up Aurous are Blyvoor Gold Resources and Blyvoor Gold Operations and New York-listed Rigel is a special purpose acquisition company sponsored by a fund managed by Orion Resource Partners. The two companies have entered into a definitive business combination agreement that will result in Aurous becoming publicly traded. On completion of the proposed business combination, which is subject to customary closing conditions and regulatory approvals, the resulting company is expected to be named Aurous Resources and is to ultimately list on NASDAQ. Floyd and Aurous executive chairperson Alan Smith will continue to lead the business, the principal asset of which, the Blyvoor mine, is a long-life underground gold mine in the Witwatersrand region, west of Johannesburg. Since the restart of Blyvoor production in 2022, Aurous has been able to re-employ some 1 500 workers who had been unemployed following closure of the mine in 2013. "We've worked diligently over a few years to find a quality business to combine with and are pleased to have arrived at this merger agreement which is expected to deliver a value-accretive transaction to all stakeholders," Rigel president Nate Abebe noted. Rand Merchant Bank is acting as financial adviser to Aurous and Milbank LLP and ENS as legal counsel to Aurous.

This audio is brought to you by Wearcheck, your condition monitoring specialist. Gold mining company Harmony estimates that it will achieve total cumulative net present value savings of R3.6-billion from its three solar power projects, one of them already generating 30 MW of clean, green energy. To reduce its carbon footprint, the JSE-listed Harmony, headed by CEO Peter Steenkamp, has been building and commissioning renewable energy projects at its South African operations since May 2022. Harmony's decarbonisation strategy is guiding operations to net zero greenhouse gas emissions by 2045 along a transition pathway that includes energy efficiency, portfolio re-engineering, electricity mix, improvement adaptation and decarbonisation of the transportation sector. Within host communities, Harmony, chaired by Dr Patrice Motsepe, is working with the Federation for a Sustainable Environment to build a resilience to the impacts of climate change. The savings from the phased introduction of these projects is detailed in Harmony's latest Environmental Social Governance Report, which shows a total of 223 MW solar power over three phases being augmented by 140 MW of wind power in a fourth phase. A 30 MW solar plant commissioned for Tshepong, Nyala and Eland in May at a capital cost of R5-billion, is expected to save R340-million over 15 years as it takes 62 000 t/y of carbon out of the air. The construction of the second-phase 137 MW solar project under way for supply to Moab Khotsong, Great Noligwa and Noligwa gold plant in 2025 at a capital cost of R2.5-billion, will save R2.5-billion over 15 years. Capital of R1.7-billion will be invested for the first 100 MW, and the remaining 37 MW will be allocated to an independent power producer to collectively eliminate 4.6-million tonnes of carbon over 25 years. Funding for its decarbonisation strategy is facilitated by Rand Merchant Bank, African Clean Energy Developments, African Infrastructure Investment Managers, Mahlako Energy Fund, Absa and Nedbank. The facilities, amounting to R4-billion, include a R1.5-billion green loan for the second phase of the renewable energy programme. Harmony's current assets are predominantly deep underground mining operations, which are more energy intensive than surface mines and account for 89% of the group's total electricity consumption in its 2023 financial year. In South Africa, energy accounts for about 19% of operating costs. PAPUA NEW GUINEA More diesel power than grid power is being used at Hidden Valley in Papua New Guinea (PNG) following a drought constraining PNG Power's hydropower capacity. Water in Yonki dam, serving the Ramu hydropower station, was critically low for most of the year and smaller run-of-river hydropower plants were also restricted to 30% of normal supply to the Ramu grid. This led to intense loadshedding until the hydropower generation recovered. However, commissioning of the 11.6 MW Baime hydropower plant owned by PNG Forest Products in March augmented PNG Power supply. In Australia, Harmony is assessing alternative power supply options and mixes for Eva Copper, including the integration of renewables into project design and future opportunities related to the Queensland government's CopperString project. The May 2020 Eva Copper feasibility study and December 2021 update, prepared before Harmony acquired the copper asset, proposed gas-fired power as the life-of-mine solution for the project. However, in keeping with its climate change commitments, Harmony is revisiting its power source and energy mix as part of a detailed review and optimisation study. Alternative power supply options and mixes are being assessed, including integration of renewables into project design and future opportunities related to the Queensland government's CopperString project. To understand future power supply options, various stakeholders are being worked with, including the government-owned Powerlink Queensland, which will construct and manage Co...

The South African rand weakened on Thursday afternoon after the central bank held its key interest rate at 8.25% following 10 consecutive rate hikes since 2021, as expected by a majority of economists polled by Reuters. At 1323 GMT, the rand traded at 17.915 against the US dollar, around 0.25% weaker than its previous close. At one point it was down as much as 0.53% as the currency reversed gains made earlier in the day. Twelve out of 21 economists in a Reuters poll published last week expected the bank would hold its rate at 8.25%, while nine economists predicted a 25 bps hike. The South African Reserve Bank had been on a rate-hiking cycle since September 2021, raising the repo rate by a total of 475 basis points (bps). Consumer inflation data on Wednesday showed inflation fell to 5.4% year-on-year in June, down from 6.3% in May and back within the central bank's target range of 3% to 6% for the first time in over a year. "SA June inflation at 5.4% (was) lower than consensus but on our forecast. To us (this) affirms the SARB MPC will not have to hike today," Rand Merchant Bank analysts had said in a research note before the rate decision. The dollar was up about 0.2% against a basket of global currencies after US jobless claims unexpectedly fell, pointing to strength in the labour market. This raised expectations that Federal Reserve monetary policy will stay tighter for longer, pressuring other currencies globally. South Africa's benchmark 2030 government bond was slightly stronger, with the yield down 1.5 bps to 10.29%.

Gold recovery company Goldplat, which is listed on London's Aim, on Monday announced the appointment of Gerard Kisbey-Green – a nonexecutive director and former CEO – as nonexecutive chairperson of the company. He is succeeding Matthew Robinson, who in May announced his intention to resign as a director of the company. Goldplat also announced the appointment of gold analyst Gerard Kemp as a nonexecutive director with immediate effect. After these changes, the board would comprise five directors, four of whom were non-executive and two of whom were considered to be independent. Kisbey-Green has been a director of Goldplat for more than seven years, in an executive and subsequently a non-executive capacity. CEO Werner Klingenberg, who in 2019 succeeded Kisbey-Green as CEO, said he was delighted to have Kisbey-Green be appointed chairperson. “I believe he is well placed, having been a director of Goldplat for more than seven years, in executive and non-executive roles, to guide the board on our current trajectory. He has significant industry and corporate experience and is well suited to guide the board of directors.” Commenting on Kemp's appointment, Klingenberg said that the 68-year old investment banker would be an “extremely valuable addition” to the board. “He [Kemp] is still active in industry in an advisory role, and will bring to Goldplat his wealth of experience in both investment banking, dealmaking and as an operator in mining businesses.” Before founding M Squared Resources, Kemp held various positions in investment banking and the mining industry, including the CEO of Kaouat Iron and the head of the Pamodzi Resources Investment Fund, where he founded Rand Uranium. He also served as director of business development at Rand Merchant Bank, where he spearheaded a number of South Africa's largest black economic empowerment transactions. He also served as head of investment banking at BoE Merchant Bank and as head of equities research at BoE Securities where he was twice rated South Africa's top gold analyst. Kemp spent 22 years in Anglo American's gold division, as a surveyor and as a mineral economist. Klingenberg also extended his thanks to Robinson for his many years of support, efforts and leadership provided to the board of directors and Goldplat, specifically during a period of strategic change.

As editor Marylou Grieg points out, extracting those deals executed by companies with secondary listings on the JSE, local deal activity for the year was R484,6bn; a level not seen since 2015. Depressing indeed. The largest deal by a South African listed company (by value) was the acquisition by Vodacom of a 55% stake in Vodafone Egypt, valued at R41,6bn. The deal is a game changer for Vodacom as it seeks to diversify its revenue stream, and to rival MTN on the continent. The deal was unsurprisingly awarded the Brunswick Deal of the Year for 2021. Drilling down, of the 472 deals announced in 2021, the real estate sector dominated, making up just under a third of all deals recorded by DealMakers, and valued at R93bn. Michael Avery is joined by Christo Els, senior partner and chairman of Webber Wentzel; Lydia Shadrach-Razzino, executive corporate commercial at ENS Africa and winner of the DealMaker of the Year; Krishna Nagar, Co-Head: Corporate Finance at Rand Merchant Bank and Vodacom CFO Raisibe Morathi

The push factors are well-known in South Africa; crime, corruption and rolling blackouts, but the violence in July last year and self-reflection during the Covid restriction has led to another wave of South Africans leaving the country for good. Andrew Rissik, the International Director for Sable International warns that South Africans should ensure that their decisions about cross-border investments or moves are not be clouded by emotion.
