74. Navigating Board Stages of Startup Boards: Insights from Chris Cuddy, Board Chair of ezCater

In this episode of On Boards, Chris Cuddy, a seasoned executive and board leader with over 25 years of experience growing technology-enabled companies in both the private and public sectors shares invaluable insights into the evolution of a company's board as it progresses through different growth stages.  He discusses how the board's role shifts over time from hands-on support to formal governance. His unique perspective is informed by his extensive career, including key roles in companies like Cheapflights, Engage, and ezCater, as well as his background in consulting, investment, and board leadership. Key Topics Discussed: Stages of Board Evolution in Startups Seed Stage: Founders are often the primary board members, with activities blurred between governance and management. Chris recalls the “early days” of ezCater, likening the stage to “two founders and a PowerPoint.” Startup Stage: Boards begin to focus on defining product-market fit and may introduce angel investors. Chris describes his hands-on involvement with ezCater at this stage, from customer calls to financial planning. Growth Stage: The board's role formalizes with the introduction of venture capital. The addition of independent board members and committees becomes essential in order to scale. Chris shares how ezCater's board evolved to support rapid expansion across the U.S. Maturity Stage: The board is now primarily focused on governance, with a clear distinction between board and management roles. Chris reflects on how the board transitions into “maintenance mode.” Renewal or Decline: Boards help strategize paths to either reinvigorate or prepare for acquisition. Chris recounts his experience with Engage, navigating challenges during the tech bubble burst. Key Traits of a Functional Board Selecting board members with domain expertise, cultural fit, and a shared commitment to supporting the company. Chris discusses the importance of a highly functional board in advancing a company's mission and creating stability. The Role of the Board Chair Chris highlights the importance of the board chair as a bridge between the founders and board members, ensuring transparent communication and balanced input. He shares insights on the unusual longevity of his role as ezCater's board chair, attributing it to his ability to adapt as the board and company evolved. Unique Challenges and Responsibilities in Early-Stage Boards Chris describes the blurred line between governance and management in the initial stages, emphasizing that board members may often act as extensions of the executive team, especially in strategic, operational, and fundraising efforts. Building the Board with Intentionality Chris emphasizes the importance of selecting investors who bring value beyond capital, often influencing the board's dynamic and direction. Chris and Raza discuss the need for careful vetting of potential investors and board members to maintain a cohesive and effective board culture. Memorable Quotes: Chris Cuddy on the role of the board in the growth stage: "The ambition and time frames often require venture capital, but this step requires serious reflection. ‘Will this change the DNA of the company?'” Board dynamics: “A functional board isn't just about expertise—it's about cultural fit and motivation to support the founders and company's best interests.” On the board chair's responsibilities: “The chair is a bridge between board members and founders, ensuring transparent communication and insuring that everyone's voice is heard.”  Takeaways for Board Members and Founders: Understand the shifting role of the board at each company growth stage. Prioritize a balanced board composition that brings both expertise and alignment with the company's culture. In early stages, board members often play a quasi-executive role, actively participating in operational decisions. For sustainable growth, founders and the board must align on long-term vision, values, and expectations for governance.

Travel can be expensive but knowing how to look for cheap flights, discounted travel, & use "travel hacking" to your advantage can make travel way more affordable. Going (formerly Scott's Cheap Flights) sends you cheap flight alerts for free with signup (there is a paid version but I encourage you to just start with the free cheap flight alerts. We also just recently found out about Thrify Traveler, a similar service. I signed up for the Free Version to see how I like the deals because who doesn't like Free Flight Alerts for Cheap Flights! There is also a Premium Version in order to get full access to the deals. We use different cards for different things but getting the welcome bonuses is the best and fastest way to get points. 10X Travel has a great free starter course. We have a Bonvoy American Express with a lower annual fee that more than covers the annual free night. Using Marriott points to book your rooms gives you the 5th night free when you book through the Bonvoy site. We recently started leveraging both the welcome bonus and the 3x on all dining purchases on the Chase Sapphire Card - you can transfer the points to a variety of airlines and hotels depending on how you want to use it. HERE IS THE LIST of places to look for discounted travel deals and package deals: Vip Traveler - for luxury travel deals, Travel Zoo, Vacations to Go, Great Value Vacations For Cruises check: Cruise Critic & Cruise Direct We've also used Hopper for flights and hotel deals as well. We also have been able to take advantage of Interval International Getaway Deals through our Sheraton/Westin Vacation Club Ownership (now a part of Marriott Vacation Club). Recently we also learned about Status Matching your Hotel or Airline Status in order to get perks with another Brand. We were able to status match our Marriott Bonvoy Titanium Status to the Caesar's Diamond Status when Scott was recently in Vegas. Then with that, Atlantis Resort and Casino in the Bahamas offers free stays to those who hold status with another Casino (we've also heard of Caesar's and MGM doing this with other brands so it doesn't hurt to ask). In addition, Holland America also offers a free cruise in an inside stateroom to those holding status with a Casino Brand. So these types of Status Matches are definitely worth checking out. We just got back from Atlantis for our free stay so we will be doing a podcast episode soon and we go on the Holland America cruise after Thanksgiving. 2. Solo Travel - Hear Melissa's experience on traveling solo home and her flight getting cancelled on Episode 23 - How to Handle Travel Disruptions Episode Tours can be a great way to see more when traveling solo (Melissa has used Viator to book several in Portugal when Scott was working - see them here) 3. The story of Going touches on so many themes we've been following on this show for over a decade. Going's original incarnation, 'Scott's Cheap Flights', came on the scene in 2013. And it started out mostly as a newsletter for digital nomads seeking the most cost effective ways to travel around the world, nerd out on ‘mistake fares' by airlines, and other things of interest in the travel space. Today Going has over 60 employees and is a very substantial business, offering a range of options to its subscribers. On this week's show Brian Kidwell talks to Dan about his personal journey from solopreneur to CEO of Going, the challenges of making that transition, the importance of seeking product market in whatever you're working on, and finding time for ‘deep work': “How can I have enough hours in the day to give the proper thinking, my best thinking, to the things that I need to work on? Because those things now have much more downstream impacts than before. It's like editing code, or responding to somebody - and I'm not trying to downplay them, because those are very important - but it was different for my brain … Now I can't work as long as I used to … I can't provide great thinking for 12 hours a day.”

Travel can offer a lot of good: memory-making adventure, mind-expanding experiences, and plenty of fun and relaxation. It's not surprising then that most people say they'd like to travel more than they do. What's keeping them from fulfilling that desire? Well, one obstacle, especially these days, is that the high price of plane tickets puts flying out of reach. My guest today can help you surmount this obstacle so you can get away more often. His name is Scott Keyes, and he's the founder of Scott's Cheap Flights and the author of Take More Vacations: How to Search Better, Book Cheaper, and Travel the World. Today on the show, Scott shares how scoring cheap flights can help you travel more often, the advantages of taking more frequent vacations, and the psychological benefit of planning your trips well in advance. We then get into the misconceptions people have about ticket pricing. From there we turn to Scott's strategies for booking cheap flights, beginning with why he recommends adopting a "Flight First" rather than "Destination First" approach. Scott shares the "Goldilocks" time window when cheap flights are most likely to pop up, the benefits of building flexibility into your itinerary, the days that are typically cheapest to fly, and his favorite search site to look for flights. He also explains how to use the 24-hour rule and Southwest Airlines as arbitrage in getting better prices on your tickets, and how to employ what he calls the "Greek Islands Strategy" to save money when flying internationally. We end our conversation with how to take advantage of "mistake fares," and whether the high prices you're seeing this summer are here to stay.Connect With Scott KeyesScott's Cheap FlightsScott on Twitter
