“You changed the business I sold you so you could underpay me!” ___ By deed P sold their shares in an online retail business to D.P was to receive $20M, some shares in D, and the Earn Out Amount (“EOM”): [3] According to the deed, the EOM was the Base EOM of $10M plus the Additional EOM: [6] The Additional EOM was the rounded difference between the Base EOM (I.e. $10M) and “Earnings”: [7] “Earnings” meant EBITDA over the relevant year. The deed contained a mechanism for D send a proposed Earnings calculation (as part of a P and L), for P to make a reply including setting out “Contested Matters”, for the parties to negotiate the contested matters in good faith, and for the matter to be referred to an expert if negotiations failed: [10] - [14] D sent a P and L suggesting Earnings were ~$6M (making the Additional EOM zero): [16] P sent a reply calculating Earnings at ~$15M (taking the Additional EOM to its maximum possible figure) and raising Contested Matters: [17] Following unsuccessful good faith negotiations, the matter was referred to an expert: [18] How was the expert to calculate Earnings?: [19] Cll 2.1 and 2.2 of the deed required Earnings to be calc'd disregarding revenues or expenses not part of the Co's ordinary business including: costs relating to the share sale, restructure costs, certain related party transactions, and the costs of kicking off any new business: [21] Cl 2.3 of the deed noted the parties' agreement that Earnings were to be calc'd as if the Co's business were run the same way post-purchase as it had been pre-purchase; and that D would not make big changes to the Co's business (or, if D did make big changes, the EOM would be normalised to exclude those changes' impact): [21] P sued, seeking declarations that the expert determine Earnings in accordance with all of the above. This week Nicola and Di chat with Australian food icon and restaurant royalty, Matt Moran. Matt is best known for the incredible restaurants he's created, including Chiswick, North Bondi Fish, The Opera Bar, and of course the stand out of them all, Aria - and that's only a handful from a very long list. But it's not only his restaurants that make Matt an icon, he's also worked on 12 popular TV shows including Master Chef, Paddock to Plate and The Great Australian Bake Off alongside his dear friend, Maggie Beer. Add to that 4 best-selling cookbooks and a bunch of national and international awards, Matt certainly has an awe-inspiring career in the food industry. What we also love about Matt is how much he gives back - through the charity work he does for organisations like OZHarvest, through mentoring and guiding other young chefs as well as through his own sustainable farming - that's right, Matt is a fourth generation farmer! In this conversation we hear about Matt's lifelong passion for food and cooking, which began when Matt started as an apprentice at The Belle Helene restaurant when he was just 15. By the time he was 22, he had already opened his first restaurant in Sydney, The Paddington Inn Bistro. Matt's long and successful career has been shaped by hard work, persistence and perseverance - but above all, it's his passion that's been the driving force. As Matt reminds us - if you love what you do, you'll never work a day in your life. Matt opens up about his friendship with Gordon Ramsay, and what they get up to on the yearly trips they take together to Iceland. He also shares about the strong sense of community and mateship amongst chefs and the wonderful friends he's made over the 40 years he's been in the industry. It was so lovely to chat to Matt about his life story and the remarkable imprint he's made, and continues to make, on the Australian food industry. [RECIPE IN SHOW NOTES] Are kitchen gadgets NECESSARY? NO! Really, a good kitchen doesn't need much to make it great, which we go into in our book. Treat yourself to these things (like a good knife – which doesn't have to be expensive! – pots and pans that do the job and a nice wooden spoon) and you'll be fine. HOWEVER: Simon's gone slightly gadget mad recently - he's got himself a stand mixer (and is knocking out perfect pavs, American Angel food cakes and wood-fired pizza like some demented cross between Maggie Beer, Martha Stewart and the late, great Antonio Carluccio). Still looking for a recipe?? Fine - here's one that uses a gadget and is insanely easy and delicious – stand-mixer whipped Greek Yoghurt. YUM! (Spoiler, you can also make this with a stick blender). Want more food tips? Check out the 5 Minute Food Fix Instagram. Serves 2–4 (depending on size, appetite and what you top it with) 2 cups Greek Yoghurt 100 ml whipping cream Honey, to taste In the bowl of a stand mixer with the whisk attachment added, add Greek yoghurt, cream and honey to taste. Crank up the speed to max and whisk for 2–3 minutes until you have a light, fluffy pillowy cloud of yoghurty deliciousness. If you don't have a stand mixer, throw the lot in a large bowl and use a stick blender or hand-held whisk instead. To serve, spoon into ramekins and add toppings of your choice. A few chopped strawberries and a scattering of nuts (or fancy granola) are nice... or if you've been getting into the wintery cooked fruit groove then try topping with poached rhubarb or quinces. Earlier this year, I got to spend some time with Chantale Millard - CEO of Maggie Beer Holdings, which is the parent company of the Maggie Beer brand and three other premium brands. I was fascinated by the dynamic between her and such a household name of an entrepreneur… and the fact that her work revolves around food was an extra bonus for me! Chantale has also led the recent acquisition of Hampers And Gifts Australia. Currently the group executive chef for the GM Hotel Group in South Australia, Chris Wotton has an impressive background that he leverages to mentor his head chef brigade in serving thousands of customers every week. Originally from Queensland, he took a road trip to cook (and surf) in the produce bowl of Margaret River, before again relocating to the Barossa Valley to work alongside Maggie Beer for many years honing his skills in seasonal recipe development for ice cream, desserts, pate & jams, as well as cooking for Prince Charles, casting to host ‘River Cottage' and shooting numerous cookbooks.

Julie-Anne Black is here today with Maggie Beer. In 1973, Maggie Beer and husband Colin settled in the Barossa Valley, with the intention of breeding game birds and growing grapes. The establishment of their farm led to the now legendary Pheasant Farm Restaurant. The restaurant became highly acclaimed and was, in 1991, awarded the Remy Martin Cognac - Australian Gourmet Traveller Restaurant of the Year award. With the closure of the restaurant in 1993, Maggie was free to pursue new directions, and in 1996 the Export Kitchen in Tanunda was opened. These days, her career spans farming, food production, as well as television presenting and food writing. Maggie's appearance on the hit ABC programme The Cook & The Chef cemented her place as one of Australia's most well known food personalities, and her line of products is arguably the most highly esteemed and much loved range for Australian gourmets. Her appearances on television have been numerous, with the most notable being her involvement with Channel 10‘s Masterchef, setting new ratings records for the episodes she featured in. The Lifestyle Channel have also shone the spotlight on Maggie with a Christmas Special devoted to seasonal menus and celebration. On that theme, Maggie also returned to the ABC in 2012 to share her family Christmas in the Barossa.
