In this session, Nixon adamantly declared, "I'm not a crook," in response to mounting allegations concerning his involvement in the Watergate break-in and subsequent cover-up.Of course, no one was accusing him of being a crook – he was accused of abusing and misusing his power as president. So it was a bit like Hannibal Lecter vehemently denying having ever been a tax evader.This statement quickly became one of the most infamous quotes in American political discourse, symbolizing Nixon's defensive posture amid the scandal. The Watergate scandal itself, which began with a break-in at the Democratic National Committee headquarters at the Watergate office complex in June 1972, had by late 1973 evolved into a major political crisis. Nixon's administration was accused of obstruction of justice, abuse of power, and contempt of Congress, leading to an erosion of public trust in the presidency.Nixon's emphatic denial on November 17 was part of his broader strategy to maintain political support and manage the narrative surrounding the investigation. However, the statement did little to quell the suspicions and investigative efforts surrounding him. Now, corporations seek to defend their DEI programs against conservative challenges, highlighted by the Supreme Court's decision in Students for Fair Admissions v Harvard, which disallowed race-based criteria in college admissions. Conservative groups, like America First Legal and Do No Harm, have been actively challenging corporate DEI initiatives, leading more law firms to form specialized DEI practices.Key figures like former US Attorney General Lynch have been involved in defending such programs, including Pfizer's recruitment initiative. Despite the potential for conflicts of interest, there is a general consensus on the necessity of these services, highlighting the importance of multiple avenues of legal counsel in the ever-changing legal field of DEI.Wall Street Firms Build Diversity Practices After Court DecisionA mistrial was declared in the federal civil rights trial of Brett Hankison, a former Louisville, Kentucky, police officer charged in connection with the 2020 death of Breonna Taylor. The jury could not reach a unanimous verdict, leading U.S. District Judge Rebecca Grady Jennings to declare the mistrial. Hankison faced charges of using excessive force during the raid on Taylor's apartment, where he allegedly fired 10 bullets without striking anyone.Previously, Hankison was acquitted in a state court trial on charges of endangering Taylor's neighbors during the same raid. He was the only one among the three officers who fired their weapons to face criminal charges. The other two officers were not indicted by a Kentucky grand jury, as Kentucky's Attorney General Daniel Cameron did not recommend charges against them.Breonna Taylor's death, along with the deaths of George Floyd and Ahmaud Arbery, triggered widespread protests and a call for racial justice in 2020. Taylor, a 26-year-old emergency medical technician, was asleep in her apartment during a no-knock raid by police, who were investigating a drug case involving her ex-boyfriend.During the raid, Taylor's boyfriend, thinking it was a break-in and claiming he did not hear the police identify themselves, fired a shot that wounded an officer. The police returned fire, fatally shooting Taylor. In addition to Hankison, three other former Louisville police officers were charged with including false information in the affidavit for the raid warrant. One of these officers, Kelly Goodlett, has pleaded guilty, while Joshua Jaynes and Sergeant Kyle Meany are awaiting trial.The Department of Justice is now considering its options regarding a potential retrial for Hankison.Mistrial declared for Kentucky officer charged in Breonna Taylor killing | ReutersThe Ninth Circuit Court of Appeals is revisiting the issue of arbitration in cases involving California's Private Attorneys General Act (PAGA), which permits employees to file lawsuits on behalf of the state for labor law violations. The case at hand involves a subsidiary of Macy's Inc., contesting a lower court's decision to send both individual and representative claims for alleged unpaid overtime and wage violations to arbitration. This follows a similar case involving a Lowe's Home Centers LLC worker, where individual claims were arbitrated and representative claims dismissed.The core issue is whether PAGA allows workers to pursue class-like representative claims in court despite agreements to arbitrate individual disputes. PAGA authorizes employees to enforce California Labor Code provisions and bring claims on behalf of other workers.The U.S. Supreme Court, in Viking River Cruises, Inc. v. Moriana (2022), ruled that individual PAGA claims can be subject to arbitration, but dismissed representative claims in such scenarios. Justice Sonia Sotomayor noted that the interpretation of this matter should be left to California's courts.Despite the U.S. Supreme Court's stance, many California courts have opposed the notion of dismissing representative PAGA claims when individual claims are arbitrated. The California Supreme Court's ruling in Adolph v. Uber Technologies, Inc. further supported this view, asserting that workers retain the right to litigate representative claims even if their individual claims are arbitrated.In the current case, Macy's argues that the lower court's decision to send both individual and representative claims to arbitration contradicts the Viking River ruling. However, Yuriria Diaz, the employee, contends that such an arbitration order isn't immediately appealable. The impact of the Adolph decision by the California Supreme Court on this case is yet to be fully assessed, as the Ninth Circuit has not ordered additional briefings on it.The case, Diaz v. Macy's West Stores, Inc., will be heard by a panel including Ninth Circuit Judges Jay Bybee, Kenneth Lee, and Third Circuit Judge Michael Fisher. Both parties' lawyers have refrained from commenting ahead of the oral arguments scheduled for November 17, 2023. This case has the potential to radically upset the current status quo vis a vis labor and management. Macy's Case Brings PAGA Arbitration Issue Back to Ninth CircuitThe California Bar has set new guidelines for lawyers using artificial intelligence, positioning the state as a leader in ethical guidance for AI in legal practice. According to Erika Doherty, program director for the bar's Office of Professional Competence, this initiative is the first AI-specific regulation approved by a legal regulatory agency. The guidelines advise lawyers to disclose their use of generative AI to clients and to avoid charging hourly fees for time saved using AI tools. They also emphasize the need for human oversight of AI-generated content to prevent inaccuracies and bias. This step is seen as an interim measure while more comprehensive rules are developed, including potential revisions to the definition of unauthorized legal practice in the context of AI. The committee highlighted AI's potential to bridge the justice access gap, but cautioned against the risks of false information from AI outputs for self-represented individuals. In this episode of S&C's Critical Insights, Annie Ostrager and Diane McGimsey, Co-Heads of S&C's Labor & Employment Group, discuss two recent decisions from the U.S. Court of Appeals for the Second and Ninth Circuits involving preemption and Section 1 of the Federal Arbitration Act. They analyze how those courts interpreted two recent U.S. Supreme Court decisions addressing the FAA's scope in the employment context: Viking River Cruises v. Moriana and Southwest Airlines v. Saxon. In Bissonnette v. LePage Bakeries Park St., the plaintiffs, who delivered baked goods to stores and restaurants, claimed they were transportation workers, which would exempt them from Section 1 of the FAA. The Second Circuit held that because the plaintiffs charged for the baked goods, the transportation was incidental and the plaintiffs were in the baked goods industry and therefore not excluded from the FAA. After the Supreme Court issued its Saxon ruling a month later, the Second Circuit panel reconsidered Bissonnette, but adhered to its original ruling, which affirmed the district court order compelling arbitration. In Chamber of Commerce v. Bonta, a divided Ninth Circuit panel examined a California law, A.B. 51, that broadly prohibits employers from requiring mandatory arbitration agreements. Reversing a district court, the majority held that the A.B. 51's restrictions are valid but could not be enforced if an unlawful agreement was entered into. After the Supreme Court issued its ruling in Viking River Cruises, the Ninth Circuit panel reheard the case and came to the opposite conclusion, upholding the district court's injunction against A.B. 51. Annie and Diane said that in light of the Chamber of Commerce ruling, they expect California employers who had temporarily gotten rid of their arbitration agreements to be revising those policies. The Saxon and Bissonnette decisions left things less clear, but clients may wish to reexamine arbitration agreements to ensure employees' work is characterized properly.

In the fourth episode of S&C's Supreme Court Business Review series, hosts Judd Littleton, Julia Malkina and Morgan Ratner are joined by partners Diane McGimsey and Annie Ostrager to discuss two employment arbitration cases from the past term and their implications for employers. In Viking River Cruises v. Moriana, the Supreme Court held that the Federal Arbitration Act preempts a California Supreme Court ruling insofar as it prohibits bringing certain state law claims to arbitration and reaffirmed that no party can be made to arbitrate a claim without expressly agreeing to do so. In Southwest Airlines Co. v. Saxon, the Court held that certain airline workers, baggage handlers and some of their supervisors, qualify for an exemption under Section 1 of the FAA for workers involved in interstate commerce or the transportation of goods or people.
There is a potential that California legislation will be drafted in 2023 that would seek to undermine the U.S. Supreme Court ruling in Viking River Cruises permitting employers to implement arbitration agreements that prevent representative PAGA claims. Listen to this episode to learn what options the State of California has in addressing this issue.

With the California Private Attorneys General Act in the news again after the Supreme Court decision on Viking River Cruises, Inc. v. Moriana, Brian and Shant dive into what the decision means for the future of PAGA and how it may be enforced now that the Federal Arbitration Act can preempt the California law in certain situations. They also discuss what might happen if enough signatures are collected to put PAGA on the chopping block in the 2024 election, including legislative compromises that would keep PAGA intact but attempt to reduce abuses, particularly those aimed at small businesses. Lastly, Brian and Shant discuss a ruling by the California Fourth District Court of Appeals in the case, Estrada v. Royalty Carpet Mills, Inc., which held that PAGA cases could not be dismissed by the court because of manageability issues, which is in direct opposition to the Second District Court's ruling in Wesson v. Staples the Office Superstore, LLC in 2021. Since PAGA claims are meant to act in the stead of the California Labor & Workforce Development Agency, the court said that cases cannot be thrown out due to manageability concerns because, “the LWDA is not subject to a manageability requirement when it investigates Labor Code violations and assesses fines internally,” thus PAGA claims can not be subject to manageability requirements either. The case will now head to the California Supreme Court and Brian and Shant give their predictions on where the court will land.
Brett Sutton and Jared Hague talk about the recent Wage and Hour ruling in the Viking River Cruise case, and talk about what California employers need to be aware of when it comes to class-action cases. If you're a California employer, then this is an episode you won't want to miss as it has some new information about the recent court ruling that could affect California-state specific employers going forward. Highlights: California has one of the strictest wage and hour rules in the entire country. There are frequent class action cases filed in California and it really hurts employers. There are two types of penalties employers can fall under with the wage and hour law. Can employees sign an arbitration agreement to help mitigate the risk on the employer? What is an arbitration agreement in a nutshell? What can be covered in an arbitration agreement between employer and employee? If you don't have these certain key bullet points within your arbitration agreement that doesn't include all these features, then it might not be enforceable. Employers can not require employees to enter into an arbitration agreement as a condition of their employment. What do you need to know about the AB51 law? Employers can include a class action waiver in their arbitration agreement. Let's talk about the Viking River Cruise case. Every California employer should take arbitration agreements seriously. California law requires you to pay for the arbitration. That's not a small amount, especially if a group of employees bring a class-action arbitration against you. An arbitration agreement with a class action waiver is as close as you can get to being protected. A very minor infraction in the California laws can just snowball into a big monster for an employer. Angie Moriana worked as a sales representative for Viking River Cruises, Inc., and agreed to submit any dispute arising out of her employment to binding arbitration. Notwithstanding that agreement, Moriana sued Viking on behalf of herself and similarly situated workers under California's Labor Code Private Attorneys General Act of 2004 (PAGA). Moriana relied on a 2014 decision by the California Supreme Court, Iskanian v. CLS Transportation Los Angeles, which held arbitration agreements that waive the right to bring PAGA representative actions in any forum (such as the one between Moriana and Viking) are unenforceable. Viking moved to compel Moriana's claims to arbitration, arguing that the U.S. Supreme Court's 2018 decision in Epic Systems Corp. v. Lewis overruled Iskanian. The trial court denied Viking's motion. The appellate court affirmed. The Court held that the FAA preempts the rule of Iskanian insofar as it precludes division of P-A-G-A actions into individual and non-individual claims through an agreement to arbitrate. Justice Alito delivered the opinion of the Court, in which Justices Breyer, Sotomayor, Kagan, and Gorsuch joined. Chief Justice Roberts joined as to Parts 1 and 2. Justices Kavanaugh and Barrett joined as to Part 3. Justice Sotomayor filed a concurring opinion. Justice Barrett filed an opinion concurring in part and concurring in the judgment, in which Justice Kavanaugh and in which Chief Justice Roberts joined as to all but the footnote.
