Filmmaker Rick Pamplin returns to the show to share some film finance stories and advice he has learned over many decades in the indie film business.

“We put all our shit in mum's name…”___ P was the deceased's spouse, and administrator and sole benef of the decd's estate: [1]The Ds were the decd's parent, D1; sibling, D2; and some related entities: [2]The decd and D2 - members of a motorcycle club and charged with drug offences years ago - used various entities to engage in business: [4], [5]In 2002 the decd and D2 transferred substantial assets to D1: [7]P said the arrangement was that D1 would hold those assets, and the income they generated, on trust in equal shares for the decd and D2. P said this scheme was to protect the assets from confiscation pursuant to the Proceeds of Crime Act: [8], [118] - [132], [248]D2's evidence that they had no such concerns was rejected, as was the Ds' evidence that evidence that D1 had a role in the businesses beyond book-keeping: [117], [138]The Court formed an unfavourable view of much of the Ds' evidence, as “unsupported… and inherently unlikely”: [38]In 2002 steps were taken to put the “asset protection” regime in place including incorporating a corporate trustee of which D1 was director and shareholder; settling a trust with D1, D2 and the decd as beneficiaries; and causing D2's and the decd's assets to be transferred without consideration constituting the corpus of that trust: [142] - [152]The decd had described the arrangements as “we put all our shit in mum's name”: [151]After the transfer D2 took some role in various business ventures and property developments for the trust, as did D2 and the decd: [154] - [212]Contemporaneous notes suggest the decd understood that their entitlement to 50% of the trust assets would pass to P (as their sole beneficiary) on death: [218]P made various submissions in support of their asset protection or “warehousing” characterisation of the arrangement between the parties. P also said the Ds' arguments (such as they were) failed to take into account the Proceeds of Crime Act protections that the decd and D2 were pursuing: [260] - [263]The Ds said P's characterisation was “Kafkaesque” and the assumptions underlying it unfounded: [269]The Court accepted P's characterisation: [271], [287] - [289]That was because: (i) the Ds' lack of evidence and explanation about how any debt arose to D1 or the “implausible” suggestion that the parties were unconcerned about the Crime Commission ([272] - [276]), and (ii) the P's case was supported by contemporaneous evidence: [277] - [286]The Court found the parties intended to create a trust relationship, including because of language used by the parties to characterise it: [306] - [309]The relief P sought could be granted against the TCo (i.e. not just D1) on basis that the TCo would not have its discretion fettered but that it would be prevented from exercising power in respect of 50% of its assets: [387]Costs followed the event: [459]

COL Dr. Jeremy Pamplin is the Commander of the Telemedicine and Advanced Technology Research unit (TATRC). He is a critical care trained internal medicine physician who has had two deployments to busy combat support hospitals in Ibn Sina Hospital in Baghdad and Camp Bastion in Helmand, Afghanistan. He has served as a critical care physician at Madigan hospital and in San Antonio at the US Army Institute of Surgical Research, Burn Center, and worked in intensive care units of Brooke Army Medical Center. In this episode, Dr. Pamplin discusses how his career as an intensive care physician enabled him to identify the essential areas of critical care necessary for patient care delivery.  He describes how this care delivery can significantly improve and augment care delivered on the battlefield from the point of injury through all levels and in the setting of rural medicine, both of which have resource-constrained environments. As the commander of the Telemedicine and Advanced Technology Research unit, he works to build teams and collaboration to expand the delivery of healthcare and support medical providers.  He also describes the changes in the training paradigm necessary to fully develop medical providers who can unleash the potential of telemedicine and advanced technology.     Dr. Pamplin shares many insights and lessons learned over his distinguished career and provides some insight and sage advice for all listeners. According to the American Heart Association, 50,000 Black women die from heart disease every year. Barbara Pamplin was nearly one of them. In the fall of 2017, Barbara survived an aortic dissection (which is 99% fatal), 3 open heart surgeries, and 3 deaths and resuscitations. The road that led her to the operating room, and nearly the morgue, was paved with inter-generational trauma from the effects of slavery and racial stereotypes. Fueled by gratitude and joy for living, Barbara decided to go beyond surviving to use her experience to help others through inspiration, storytelling, and education. As part of that process, she wrote a memoir and self-help book, From Fat, Black, and Unlovable to Beautiful Powerful Love. In this work, Barbara writes about her experiences, and documents the many behaviors and toxic beliefs that formed in her youth and persisted throughout her life. John Pamplin, PhD, is an epi postdoc at NYU who studies the consequences of structural racism and systemic inequity on mental health and substance use. John earned his bachelor's degree at Morehouse College, one of the a historically Black colleges and universities in the US. John talks about how his experience at Morehouse allowed him to explore his racial identity and experience the type of mentorship he couldn't at a majority white institution. John also tells me how mentors shaped his life, and how he gives back by mentoring. While 71 percent of Americans believe that their local news outlet is doing well financially, local news organizations are actually struggling against declines in circulation and advertising. Over 2,100 newspapers have closed over the past 15 years. In our connected age, there is an abundance of news and opinion coming at us 24/7. It's all covered in minute detail, and we are free to share it and our opinions on the matter. But missing from that collection of trivia and substance is news of what is happening in our own backyards. Local news about a tax increase or a zoning decision is rarely of such interest that it trends nationally, but it has an outsized impact on the everyday lives of residents in small towns and city neighborhoods. When local newspapers fail, these communities are often left without any news organization to care about, watch over, and report on the actions of the county commission, city council, or the local school board. Our guests this week are local journalists Chas Hundley and Mark Miller. Chas is the Editor/Publisher of The Banks Post and The Gales Creek Journal. He grew up in Gales Creek, establishing the Gales Creek Journal after high school. He's since gone on to launch a small media company with publications covering far west Washington County and the Tillamook State Forest. Mark Miller works with the Pamplin Media Group as Editor-in-Chief of several of their publications, including the Hillsboro News-Times, Forest Grove News-Times, and Beaverton Valley Times among others. And thank you for coming on. Mark: Thanks, Doug. Glad to be here. Doug: So tell me a little bit how has the pimply Media Group been, you know, how is the vault? Everybody wants to talk about COVID. But just in general, the, you know, the technical turmoil, the technology turmoil that's been happening for the last 15 years. How is this impacted? pamphlet? Because, of course, it's a diversified set of newspaper news publications, but there has to have been an impact. Mark: Oh, yeah, the technology, as you know, dramatically changed what we do. And local journalism. And you know, it really goes back, Doug for 25, 30 years. If you think back to the very beginnings of, of online content, and newspapers, actually, were some of the first entities to jump into online news. You know, I started publishing news online.  Doug: Yeah. Mark: And so we were really competing with ourselves for a number of years in terms of giving our product away. Doug: Yeah. Mark: Online while we were still charging people to read it in print. So but you're right, that is really accelerated. I'd say, you know, since you know, the mid 2000s.  Doug: Yeah.  Mark: It's really changed the newspaper world. And we actually, with our 25, local newspapers, we have more people now, who read us digitally than who read us in print, we still have, you know, hundreds of 1000s of people read us and brand. Doug: Yeah.  Mark: But we have more than that, who read us online? Doug: Yeah. yeah, that's, and yeah, I mean, what are some of the adaptations even making I mean, because, you know, I think, you know, of course, we'll get to the importance of the local journalism, because I obviously think it's important because I subscribe to the local journalists, and, you know, and to the, I actually do the all digital all access package, to subscribe, not just to the Portland Tribune and the Newburgh graphic, which is where I live, but also the broader Metropolitan papers, just because I think it's really important to understand what's happening in the different local communities. Just, you know, that tell me a little bit about, you know, just kind of a about the adaptations that Pamplin has made to, you know, to stay in the game. Mark: Yeah, and I'll try to not get too too technical in what we do. But obviously, it's changed our entire workflow as far as how we, how we distribute the news. Doug: Yeah.  Mark: And so, you know, in the old days, where there was a daily newspaper, or weekly newspaper, or twice weekly, whatever the frequency was, I mean, everything was geared toward meeting a...
