Distressed Diaries — Cerba creditors' patience gets tested

We are back to France — the current epicentre of European credit stress — for our second episode of Distressed Diaries.Over the last few months, French lab company Cerba's debt has taken a beating as fears mount over its unsustainable €3.8bn capital. Most recently, 9fin reported that creditors have started to organise and appointed legal advisors in the lead up to possible debt negotiations. There's no lack of drama in this episode. First, the company's liquidity has been hit by the French government's decision to cut tariffs on lab tests in September last year. Then CEO Emmanuel Ligner unexpectedly stepped down in March with his replacement Julien Samson only joining in early June. The weak performance has meant climbing net leverage (to 9.3x in Q1 25 from 8.4x in FY 24), followed by recent S&P's downgrade to CCC+ and listing of its debt from CLOs.In this episode, our host, senior distressed reporter Bianca Boorer, sits down with 9fin's senior distressed credit analyst Denitsa Stoyanova and senior legal consultant Rebecca Davies to talk about Cerba's financial situation, creditors' reactions, how the company plans to address this, what is possible under the debt docs, and more.9fin's analysis of Cerba's capital structure is here and a deep dive over LME and liquidity options is here.

Darrell Fletcher, Managing Director Commodities at Bannockburn Capital Markets joins me to share trading desk insights on the major commodity markets, copper, natural gas, oil, and gold, all moving under the weight of global trade tensions and policy uncertainty.   We begin with copper, which continues to quietly trade above $5.20/lb on COMEX, hitting all-time highs relative to the LME. Darrell highlights the widening US-global pricing gaps across copper, aluminum, and steel, all pointing to pre-tariff stockpiling and a structurally shifting US market. He notes that tariffs appear priced in almost 1:1, and the copper forward curve remains in contango, suggesting a sustained bullish structure.   On natural gas, Darrell sees a "guarded" market, with prices hovering near $4 amid disciplined supply, mild weather, and stronger-than-expected LNG demand. While storage remains 10% below the 5-year average, it's not yet flashing a major supply crunch—but a hot summer could quickly change that balance.   Oil remains the quiet outlier, grinding below $70 with OPEC+ gradually returning supply and bearish sentiment weighing on the outlook. The $65 level is a key support zone, if broken prices could drop sharply.   Lastly, gold continues to outperform, holding above $3,000 and benefiting from growing global uncertainty and a lack of clear policy direction. Darrell notes it remains the one asset without counterparty risk, and in today's environment, that makes it especially attractive.   Click here to learn more about Bannockburn Capital Markets.

Getting "J. Even better, these LME techniques have clever names: "trap doors," getting "J. Screwed," etc. And while the worlds of sovereign and corporate debt don't overlap all that much, we wonder if litigation over LMEs can tell us anything about sovereign debt restructurings. Alas, we don't know much about corporate debt. Thankfully, Andrew Kissner (Morrison Foerster) joins us to dispel our confusion. Producer: Leanna Doty

That's what we're diving into this week. Welcome to The Nonlinear Library, where we use Text-to-Speech software to convert the best writing from the Rationalist and EA communities into audio. This is: Can startups be impactful in AI safety?, published by Esben Kran on September 13, 2024 on The AI Alignment Forum. With Lakera's strides in securing LLM APIs, Goodfire AI's path to scaling interpretability, and 20+ model evaluations startups among much else, there's a rising number of technical startups attempting to secure the model ecosystem. Of course, they have varying levels of impact on superintelligence containment and security and even with these companies, there's a lot of potential for aligned, ambitious and high-impact startups within the ecosystem. This point isn't new and has been made in our previous posts and by Eric Ho (Goodfire AI CEO). To set the stage, our belief is that these are the types of companies that will have a positive impact: Startups with a profit incentive completely aligned with improving AI safety; that have a deep technical background to shape AGI deployment and; do not try to compete with AGI labs. Piloting AI safety startups To understand impactful technical AI safety startups better, Apart Research joined forces with collaborators from Juniper Ventures, vectorview (alumni from the latest YC cohort), Rudolf (from the upcoming def/acc cohort), Tangentic AI, and others. We then invited researchers, engineers, and students to resolve a key question "can we come up with ideas that scale AI safety into impactful for-profits?" The hackathon took place during a weekend two weeks ago with a keynote by Esben Kran (co-director of Apart) along with 'HackTalks' by Rudolf Laine (def/acc) and Lukas Petersson (YC / vectorview). Individual submissions were a 4 page report with the problem statement, why this solution will work, what the key risks of said solution are, and any experiments or demonstrations of the solution the team made. This post details the top 6 projects and excludes 2 projects that were made private by request (hopefully turning into impactful startups now!). In total, we had 101 signups and 11 final entries. Winners were decided by an LME model conditioned on reviewer bias. Watch the authors' lightning talks here. Dark Forest: Making the web more trustworthy with third-party content verification By Mustafa Yasir (AI for Cyber Defense Research Centre, Alan Turing Institute) Abstract: 'DarkForest is a pioneering Human Content Verification System (HCVS) designed to safeguard the authenticity of online spaces in the face of increasing AI-generated content. By leveraging graph-based reinforcement learning and blockchain technology, DarkForest proposes a novel approach to safeguarding the authentic and humane web. We aim to become the vanguard in the arms race between AI-generated content and human-centric online spaces.' Content verification workflow supported by graph-based RL agents deciding verifications Reviewer comments: Natalia: Well explained problem with clear need addressed. I love that you included the content creation process - although you don't explicitly address how you would attract content creators to use your platform over others in their process. Perhaps exploring what features of platforms drive creators to each might help you make a compelling case for using yours beyond the verification capabilities. I would have also liked to see more details on how the verification decision is made and how accurate this is on existing datasets. Nick: There's a lot of valuable stuff in here regarding content moderation and identity verification. I'd narrow it to one problem-solution pair (e.g., "jobs to be done") and focus more on risks around early product validation (deep interviews with a range of potential users and buyers regarding value) and go-to-market. It might also be worth checking out Musubi. Read the full project here. Simulation Operators: An annotation operation for alignment of robot By Ardy Haroen (USC) Abstrac...

Gold open interest is at highs not seen since the March 2022 LME nickel fiasco, which suggests huge amounts of dollars are tied up in the futures markets, and a chat with a local gold and silver dealer in Ft. The financial sewers, being the overnight repo market, are showing signs of stress reminiscent of the months prior to the September 2019. Also, signs of distress in China abound, as housing prices accelerate their decline and Chinese stocks break below a perfect triangle going back to 2008. LME copper prices have surged nearly 30% year-to-date, jumping above $11,000/mt this morning with COMEX prices in the US still trading at a significant premium to the global LME benchmark. The massive widening of the COMEX/LME copper arb over the last week is more about positioning and inventory tightness in the US specifically and not reflective of a tight broader global refined copper market just yet. We remain structurally medium-term bullish on copper prices over the next two years as constrained mine supply is not going to alleviate quickly but current price levels are running well ahead of global refined market fundamentals at the moment. China's refined market appears loose as demand is being deferred and delayed amid high copper prices while refined supply has stayed strong. A temporary correction in copper prices could be healthy to kick start Chinese demand and lay the groundwork for another eventual push even higher.   Speaker: Gregory Shearer   This podcast was recorded on 20 May 2024. In this episode, we chat with Guy Winter, who is an Energy and Natural Resources Partner at Fasken, who are a leading international law firm providing practical and innovative legal services to solve the most complex business and litigation challenges faced by organisations in various industries including in the mining and resources industry. Guy's background is in M&A, Equity Capital Markets, Private Equity, Venture Capital, and Restructures, and advises clients across the entire battery minerals value chain. Today he talks about why the Mining Majors haven't done more deals in the critical minerals sector and what the deal landscape currently looks like in terms of asset classes and transacting parties. KEY TAKEAWAYS Mining majors have been hesitant to invest in critical minerals like lithium, nickel, and cobalt due to market volatility and lack of transparency in the battery minerals market. Non-traditional players such as Middle Eastern sovereign wealth funds, government-backed entities, and automotive manufacturers are increasingly investing in critical mineral projects. Governments are starting to understand the complexity of the mining industry, especially in critical minerals, and are developing strategies to support access to these materials. Differential pricing for ESG-compliant minerals is on the horizon, potentially creating a new funding market for projects that meet environmental, social, and governance standards. While stability is being reached in certain critical minerals like lithium and nickel, the future outlook for the remainder of 2024 remains uncertain, with bullish sentiments for copper and potential deficits in nickel by 2028. BEST MOMENTS "The collapse of the LME nickel market in 2022 caused seismic shocks throughout the market, undermining confidence and reducing majors' appetite for critical minerals investments." "The US Inflation Reduction Act has pumped liquidity into the energy transition, creating a funding gap between the US and other Western countries in the critical mineral space." "The US has surged ahead in critical minerals investment, while the EU is lagging behind. The UK is focusing on refining, processing, and recycling to play a role in the critical minerals supply chain." "Will the two-tier pricing for green and regular minerals create a new funding market for ESG-compliant mining projects?" Recording date: 17th October 2023Has been 2 weeks since we last talked about the nickel market, and as expected market is trading down in the $18-$19,000 range and a few more thousand tonnes come on LME. Expect a further move over the next 6-8 weeks down to the $17,500 level before year-end as another 10,000 - 20,000 tonnes of nickel hits LME, and then rebound into year-end as EV demand re-accelerates and stainless production continues to build on recent strengths.“Great convergence” well-underway – sulphate now back to par with briquettes, NPI discounts continue to narrow.Rho Motion EV Sales - September 2023 Global EV sales reached a monthly record in September 2023 with over 1.3 million units, growing by 23% compared to the same period last year and 7% month-on-month, bringing YTD PC & LDV EV sales to 9.5 million. Sales in China have grown by 33% YTD, in EU & EFTA & UK by 27%, and in the US & Canada by 60%.Was in London last week for LME week – always like it because you get to see producers, traders, and consumers in one time period to help understand the market. And then went to the US for a Stainless Steel conference.Key LME week takeaways:- Per the last session, nickel is in surplus but not as large as many are projecting as missing the in-process inventories.- Cobalt market going to come under pressure from HPAL and new Chinese Congo projects- Opportunity for meltshop growth in the United StatesNickel Industries buying 55% of Excelsior Nickel project which is an HPAL project – going to target low carbon footprint with power coming from sulphur burning for acid production and a 200 MW solar project. Projects built and operated by Tsingshan. ENC is expected to produce 72,000 metric tons per annum of contained nickel equivalent across the three major class 1 nickel products being mixed hydroxide precipitate (MHP), nickel sulphate and nickel cathode. ENC will be the first HPAL globally with the capacity to produce the three major class 1 nickel products,  Nickel Industries give only real public company view into Indonesian operations – use for ore grades, operating costs – will be good to have HPAL view of things.SPC Nickel completed its infill drilling at West Graham – some very good intervals in the program and Phase 2 comprised 8,842 metres in forty holes. Will be interesting to see how resource update comes together – a few open pittable deposits in place that can ship to the mill.Aston Minerals, our neighbour in Timmins, reported after we last talked about multiple drill holes that are seeing Crawford-like grades and extended nickel-cobalt sulphide mineralisation across multiple drilling intercepts at the B2 Prospect, strike continuity has extended by 500m. Company insiders have been buying stock as the price has come off. Crawford feasibility study released last week:- $2.5 billion after-tax NPV8% and IRR of 17.1%; increasing to $2.6 billion after-tax NPV8% and IRR of 18.3% with projected Carbon Capture & Storage tax credits - Crawford is world's 2nd largest nickel reserve and 2nd largest resource. Initial mineral reserve of 1.7 billion tonnes of ore grading 0.22% nickel - Production of 1.6 million tonnes nickel, 24 kt cobalt, 490 koz palladium & platinum, 58 million tonnes iron and 2.8 million tonnes chromium over 41-year project life - Annual EBITDA of $811 million, free cash flow (FCF) of $546 million, and 48ktpa of nickel production during peak 27-year period- One of Canada's largest carbon storage facilities with 1.5 Mtpa carbon captured and stored during peak 27-year period- Crawford is a net negative contributor to the global CO2 footprint – with 30 tonnes of carbon capture and storage capacity per tonne of nickel remaining after accounting for the project footprintLearn more: https://cruxinvestor.com/companies/canada-nickel

Cameron Morse is a musician, producer, designer, and digital painter. I met Cameron IRL during our Dahsar Wear Many Hats world tour starting in Montreal at Le Systeme for LME with Martyn Bootyspoon and friend and guest of the show Jacques Greene. Then ran into him again at a coffee shop with artist Dre Wilkin. I would have never pulled up to Systeme if it wasn't for following Cameron on Twitter no X and getting out of bed to run out and walking in with CFCF and his crew. 1/2 of Littlebabyangel. Montreal is truly a special place on earth. The rumors are true, you need to visit. Recording date: 25th September 2023The latest in the world of Nickel with Mark Selby, CEO of Canada Nickel. Nickel prices have dropped below $20,000/tonne recently, which has been predicted for months. Prices are expected to bottom out around $17,500-18,000/tonne over the next 2-3 months before starting to recover in early 2023. The recent price drop is seen as positive to "shake out" bears and set a new base before rising again on increased EV demand. Prices could return to $20,000/tonne levels by spring 2023. Despite economic uncertainty, strategic players like BHP and Wyloo are still aggressively trying to secure future nickel supply by acquiring deposits. Mining companies are expected to become more interested in battery metals once EV demand growth is more established. FPX Nickel signed an MOU with Toyota on potential mine development and downstream supply chain involvement, underscoring Toyota's desire to secure future nickel supply. Giga Metals released a PFS showing an 11% IRR on their Canadian nickel-cobalt project, aided by Canadian tax credits. The multi-decade mine life provides options if nickel demand rises more than expected. Canada Nickel is close to releasing a feasibility study that will double initial production plans, aiming to be among the world's largest nickel mines. They expect significant recovery improvements in nickel, iron, and chrome. Selby explains how nickel sulfates will likely trade at a discount to metal prices long-term, similar to what has happened with cobalt sulfates. Maximizing value involves delivering a product close to LME pricing. There is a long-term upside for nickel versus cobalt pricing, given the greater relative demand growth for nickel in EVs. New capacity could push cobalt prices quite low. Officials are meeting UK and French officials about critical minerals supply from Canada, as governments are keen to secure "safe supply" from jurisdictions like Canada.—Learn more: https://cruxinvestor.com
