And that is particularly true for Australian benchmark bonds. Money and commodities are transitioning somewhere, but it is not clear to where, just yet.But first, it is a public holiday in the US (Labor Day) with all their financial markets closed. Given their size, this has meant all other international markets are running at lower levels and in a hesitant mode. But some key shifts are not waiting for the Americans to return.In China, their August foreign exchange reserves were reported overnight and they rose to US$3.44 tln, the second highest level ever but not quite hitting their record May result. That puts them +3.6% higher than year-ago levels. Of note is that they added another +20 tonnes of gold to their reserves in the month, which makes the calendar year increase now almost +80 tonnes. Gold now makes up 10.2% of their overall reserves, although that is down from 11% at the start of 2026.And China announced major funding into eight large SOE institutions to enable them to lend more. It is injecting ¥300 bln (NZ$75 bln) in 'recapitalisation' the most it has done like this in 20 years. The funds will come from Ministry of Finance 'special bonds'. It is the latest and unlikely to be the last of economic support measures to 'reinvigorate' their economy.Japan's July leading index rose to its highest since January 2014 although the June level was revised down. The July level was also slightly below analyst's expectations despite the gain. Rising job offers and consumer sentiment were among the factors behind the rise.Singapore reported that its July retail sales were softer than expected. They were up by +1.5% from a year ago, the softest rise since May 2025 and slowing from a +4% increase in June.The EU reported a better rise in economic activity. The EU economy expanded +1.4% in Q2-2026 in its updated result, up from +1.0% in the previous estimate and much better than the +0.9% growth recorded in Q1-2026. The gain was driven by stronger growth in household spending and gross fixed capital formation, with exports also rebounded sharply. Euro area expansion came in slightly less than the overall EU levels.However German industrial production recorded a sharp and unexpected -1.1% fall in July, to now be -1.6% lower than year ago levels. (The Germans, as usual, report their data on an inflation-adjusted basis unlike many other countries.) The weakness there was from energy-intensive industries, and that includes car manufacturing.In a reaction toe the Saxony state election results, the German stock exchange dipped, and the 10yr German Bund yields rose to their highest since 2010.But they weren't the only bond yields to rise. The Australian 10 year bond yields rose to 5.22% and their highest since 2011. (Of course this has little to do with a German state election.)And the Japanese yen surged against the US dollar overnight, up to the 154 range as growing speculation over faster-than-expected Bank of Japan rate increases combined with renewed possibility of another round of currency intervention by the Japanese authorities drove the moves.We should also probably note that the copper price jumped to US$14,513/tonne on the LME, a record high.The UST 10yr yield is now just on 4.80%, up +2 bps from yesterday at this time.The price of gold is now at US$4407/oz, and down -US$26 from yesterday at this time. Silver is little-changed at just on US$66/oz.Oil prices are up +US$1 at just over US$92.50/bbl in the US, while the international Brent price is just under US$97.50/bbl.The Kiwi dollar is little-changed from yesterday, still just on 58.8 USc . Against the Aussie we are down -20 bps at 81.4 AUc. Against the euro we are holding at 50.6 euro cents. That all means our TWI-5 starts today at just over 62, down -10 bps from yesterday.The bitcoin price starts today at US$79,194and down -0.7 from yesterday at this time. 欢迎收听雪球出品的财经有深度，雪球，国内领先的集投资交流交易一体的综合财富管理平台，聪明的投资者都在这里。今天分享的内容叫紫金矿业二零二六半年报透视，来自养叔的猫。二零二六年上半年，紫金矿业交出了一份意料之中的成绩单：实现营业收入1,941.78亿元，同比增长15.78%；归母净利润391.70亿元，同比增长68.17%；经营活动产生的现金流量净额554.72亿元，同比增长92.41%。日赚超2亿元的同时，财务结构也发生了质变——资产负债率自2012年以来首次降至50%以下（49.55%），并在二零二六自然年度内向股东派发高达212亿元的现金红利。现如今的紫金矿业，已经不能用传统重资产矿企的周期宿命去看待，尤其在AI技术爆发下，矿业工程技术得到了质的提升，追求勘探、开采、运输物流、存储等的“极致效率”理所当然的前提下，辅之于资本运作上进行的“逆周期对冲”转化，紫金矿业已经逐步形成了一种可持续的制度化竞争力。下面从几个我认为比较重要的维度做个简单阐述，以抛砖引玉。一、从价格贝塔到工程阿尔法矿企的商业模式可以概括为公式：盈利等于，资源储量乘以，变现价格与边际全成本的差值。紫金矿业的营收增速（15.78%）与归母净利润增速（68.17%）之间形成的巨大“剪刀差”，即，紫金矿业半年报盈利爆发的基本驱动力——依赖外部市场价格给予的贝塔收益，辅助于企业内部通过技术攻关与成本重构所创造的工程阿尔法。当然，今年上半年还是价格贝塔。二零二六年上半年，全球大宗商品市场迎来强劲的多头行情。伦金均价达到4,693美元每盎司，同比上涨53.0%；LME铜均价站上13,083美元每吨，同比上涨38.5%；国内碳酸锂均价回升至16.34万元每吨，同比大幅上涨132.1%。主要金属价格的爆发式上行，直接推动紫金矿业矿产品综合毛利率冲高至69.34%，同比激增9.11个百分点，集团综合毛利率亦大幅跃升14个百分点至37.75%。剥开高金属价格，紫金矿业在运营成本端的真实压力业也不容忽视。半年报显示，公司铜精矿及金锭的单位销售成本呈现结构性上涨。成本推升的原因其实也十分清晰：1、部分老矿山面临入选品位自然下降、采剥运距拉长；2、美伊战争等地缘冲突引发国际柴油与化工药剂价格飙升；3、以及矿权出让收益金计入成本等政策性因素。紫金矿业当期的暴利在很大程度上是由“价格涨幅”覆盖了“成本涨幅”所致。若未来金属价格周期出现大幅回调，成本上升的滞后效应将直接侵蚀边际利润。公司本身也知道这一点的，要突破边际成本上升的瓶颈，就必须在生产要素层面重构矿业成本曲线。首先，是运输要素的彻底电气化与无人化。半年报披露，旗下紫金龙净自研的230吨级超大吨位纯电动矿卡已正式下线。截至二零二六年6月末，公司装备新能源矿卡达1,314台，国内露采矿山电动矿卡占比已超过50%。统计显示，电动矿卡吨公里会计成本较传统燃油矿卡降幅高达29%。配合诺顿金田及巨龙铜矿知不拉项目的无人驾驶常态化运行，紫金矿业正将矿山运力成本从“可变的人工与燃油开支”转化为“固定的高效率系统工程能力”。其次，是能源供给的清洁化转型。以拉果措盐湖锂矿为例，通过搭建新能源独立电网工程，项目用电成本由柴油发电的3元每度大幅降至0.74元每度，累计实现降本超10亿元。这种基于“风光储充装”一体化的绿色矿山解决方案，正在重塑紫金矿业采选环节的成本结构。二、“金铜锂+多矿种”避免了单一金属周期风险有色金属领域，如果你只有单一矿种，就必然要承受高度的“脆弱性”——价格周期的剧烈波动足以摧毁任何优秀的资产负债表。紫金矿业通过构建“金铜锂为主、多矿种协同”的资产组合，旨在建立一个具有自愈能力和负反馈调节机制的抗脆弱系统。紫金矿业内部的不同资产模块正在承担着差异化的战略角色，形成了高效协同的收益网络。分开来看。就是金铜锂的三位一体。黄金业务在二零二六年上半年贡献了集团41.7%的毛利，成为业绩跃升的核心动能。在去美元化、地缘政治冲突常态化以及全球央行持续购金的宏观背景下，黄金扮演了紫金矿业的“防守型对冲基金”。高毛利的黄金业务提供了极为稳定且优质的经营现金流，不仅支撑了庞大的资本开支，也为其他高波动性金属的逆周期扩张提供了充沛的“资金垫”。铜作为“算力金属”与“能源转型金属”，是紫金矿业中长期成长的核心引擎。但二零二六年上半年，刚果（金）卡莫阿-卡库拉铜矿因遭遇淹井事件及下游冶炼厂长时间停工检修，产量计划由38到42万吨大幅下调至29至33万吨，导致紫金整体矿产铜产量同比小幅下降5.7%。在一个脆弱的系统中，单一主力矿山的意外停运可能引发财务灾难。然而，紫金矿业的系统冗余机制发挥了关键作用：巨龙铜矿二期改扩建工程于二零二六年初提前建成投产，实现矿产铜13.40万吨，剔除卡莫阿影响后公司铜产量依然实现了4.8%的逆势增长。这种多点布局、协同补位的产能冗余设计，极大增强了公司应对突发生产扰动的韧性。被赋予“第三增长极”期望的锂板块在二零二六年上半年也迎来了爆发式兑现。当量碳酸锂产量由二零二五年全年的2.55万吨暴增至二零二六年上半年的4.36万吨，同比升幅达496%。马诺诺锂矿重介质选矿项目于二零二六年5月提前投产，配合拉果措盐湖、3Q盐湖及湘源硬岩锂矿的产能持续爬坡，紫金矿业在锂价反弹至16.34万元/吨的精准时点实现了“两湖两矿”的集中放量。由于其提锂技术与自有绿色低成本电网的结合，紫金的锂资产一投产即具备极强的成本竞争力，将周期波动风险降到了最低。三、资产负债表出清与股东回报制度化在宏观经济与资本市场中，企业最大的风险往往源于高高峰期盲目扩张导致的资产负债表破裂，恒大当年铺了那么多，就是最典型的例子。紫金矿业在二零二六半年报中所展现的资本管理逻辑，标志着其资本循环机制进入了高度的成熟期。截至二零二六年6月末，紫金矿业资产负债率由上年同期的56.36%下降至49.55%，降幅达6.81个百分点，为2012年以来首次降至50%的绝对安全线以下。在利润大幅攀升的同时，公司通过强劲的经营现金流清偿有息债务，使得二零二六年上半年财务费用降至6.50亿元，同比大幅锐减44.63%。负债率的下降不仅拓宽了安全边际，更大幅降低了资本成本，其EBITDA利息保障倍数已飙升至30.38倍。紫金矿业并未将周期带来的超额现金流被动囤积，而是通过高技巧的金融工程手段，将其转化为长期的资源储备。二零二六年上半年，公司成功发行15亿美元零息港股可转债，创造了亚太矿业企业单笔可转债转股溢价的新高及最低收益率结构。利用极低成本的杠杆资金，公司快速推进资本运作：首先是推进赤峰黄金控制权的收购（对价182.58亿元），拿下优质的老挝塞班金铜矿；其次是完成甘肃西北黄金72%股权收购（对价约24亿元），增加黄金资源量107.4吨；再者是收购联瑞矿业，一举控制柯可卡尔德钨锡矿55%权益，将其并表口径的三氧化钨资源量提升至32万吨。通过收购赤峰黄金，紫金矿业在母公司与紫金黄金国际之外，新增了第三家黄金资本运作平台，确立了“一主两翼”的黄金业务架构。这使其能够根据全球不同区域、不同体量的矿产标的，灵活匹配最佳融资渠道与上市平台，将当前的商品价格暴利永久沉淀为高品质的资源储量。在分红策略上，紫金矿业正在打破中国资源型企业周期性盈利、偶发性分红的恶性循环。二零二六年中期，公司推出了每10股派发4.2元（含税）的分红方案，派现金额达111.36亿元。叠加6月底刚刚实施的二零二五年度分红101亿元，紫金矿业在二零二六自然年度内的分红总额首次突破200亿元大关，达到212亿元。公司将二零二六至二零二八年度的未来三年现金分红比例底线由30%一举上调至35%。虽然比例还是有些低，但考虑到r o i c，还是能接受。如果未来盈利增长可持续，分红可持续，分红比例提高到50%，紫金矿业就有机会从高贝塔的周期股，向具有高确定性现金流收益的类债券资产演进。社保基金一零三组合在内的大量长线机构资金进场，应该也是看到了这一点，主动为其估值溢价奠定一个坚实的基础。四、地缘政治与“上产”战略的张力尽管半年报成绩斐然，但紫金矿业当前的战略演进路径中，存在三个值得我们投资者注意的方面：1、海外资产高占比与地缘政治加剧带来的运营张力。紫金矿业目前海外资源储量与矿产品产量均已全面超越境内，成为其利润的主要来源。但半年报的风险提示中，“地缘政治风险”被提升到了前所未有的战略高度。随着关键矿产被全球主要大国上升为国家安全与能源转型的核心战略资源，资源民族主义在南美、非洲等地区加速抬头。美伊战争引发的中东地缘冲突已经对海外矿山的供应链（油价、跨国物流）产生了直接冲击。海外资产占比过半，意味着紫金矿业必须直面东道国税负攀升、社区冲突、证照续期乃至地缘政治博弈的二次方风险。虽然公司提出了构建“矿产-冶炼及延伸产业”双循环模式及聚焦与中国陆路接壤国家的防御策略，但跨境合规与海外资产安全的维护成本势必呈指数级增长。这一点，最终还是要看综合国力，看我们的海军建设。2、“提质上产”战略目标与生产实际时序进度的对抗。在第九届董事会履新开局之年，紫金矿业将过去“提质、控本、增效”的工作总方针，正式修正为“提质、上产、控本、增效”。管理层将“上产”提升至核心战略高度，旨在冲刺二零二八年主要矿产品产量进入全球前三位、二零三五年指标跨越式增长的远景目标。但半年报透露，部分矿产品的生产时序进度仍滞后于全年既定计划。二零二六全年计划为矿产金105吨、矿产铜120万吨、当量碳酸锂12万吨；而上半年实际完成矿产金47吨、矿产铜53.4万吨、当量碳酸锂4.4万吨。除了卡莫阿淹井等不可抗力事件外，老矿山品位自然下降与新开发矿山地质条件复杂化，正在对管理层的上产决心构成强烈的物理约束。如何在追求产量跨越与保障安全生产、控制边际成本之间取得动态平衡，将持续考验管理层的统筹智慧。3、E S G 与自然资本治理从被动合规向主动壁垒的转化。在二零二六半年报发布期间，紫金矿业发布了国内矿业领域首份严格遵循T N F D框架的报告。报告覆盖全球57项主要资产，系统评估了生物多样性与水资源依赖。这一举措表明，紫金矿业正在尝试将过去被视为纯成本支出的 E S G 与环保治理，转化为提升全球化并购通过率、降低海外融资成本的硬实力壁垒。在西方矿业巨头凭借 E S G 规则制定权构筑绿色贸易壁垒的背景下，紫金通过率先践行T N F D 标准与大规模部署绿色电网，试图在规则制定层面打破制度壁垒。写在最后透视紫金矿业二零二六半年报，可以清晰地看到一家传统中国矿企向全球“超一流”矿业集团演进的完整闭环。一者，紫金矿业正通过纯电矿卡、无人驾驶与绿色微电网等技术，将矿山采选这一传统物理过程彻底数智化、低碳化，从而在物理底层颠覆了矿业的边际成本曲线。二者，紫金矿业依托“金铜锂”多矿种互补组合，成功建立了一个具备高自我修复能力的利润产生网络。黄金提供稳健的防守现金流，铜捕获新能源与算力时代的结构性红利，锂则作为第三增长极提供巨大的利润弹性。当然，未来还有其他小金属的助力。三者，在资本管理层面，公司利用高价格周期带来的暴利出清资产负债表，通过创新金融工具逆周期买入核心矿权，并通过制度化的高额分红锁定长期资本，实现了经营效率、资产负债表健康度、股东回报与资本市场估值的正向循环。总而言之，虽然海外地缘政治的熵增风险与矿山品位下滑的客观规律依然是悬挂在其头顶的达摩克利斯之剑，但紫金矿业在二零二六上半年所展现出的抗抗脆弱能力与工程重构思维，已经为全球大宗商品周期中的资源型企业提供了一个极具启示意义的进化范式。
Arturo Préstamo Elizondo, Executive Chairman and CEO of Santacruz Silver Mining Ltd. (TSX.V: SCZ) (NASDAQ: SCZM) (FSE: 1SZ), joins us for a review of the strong Q2 2026 financial and operational results across their portfolio of 4 producing silver-zinc mines and ore feed sourcing business in Bolivia and Mexico. We also review a few of the key growth initiatives that the company has slated for 2026 across multiple projects. Q2 2026 Highlights Revenues of $113.5 million, a 55% increase year-over-year. Gross profit of $51.1 million, a 102% increase year-over-year. Adjusted EBITDA of $46.7 million, a 74% increase year-over-year. Cash and highly-liquid marketable securities of $72.8 million, an 82% increase year-over-year. Working capital of $86.1 million, a 43% increase year-over-year. Net income of $2.0 million, a 90% decrease year-over-year, reflecting the impact of the non-recurring tax event and non-cash CVR revaluation discussed below. Average realized price per silver ounce sold of $72.17, a 118% increase year-over-year. AISC per silver ounce sold of $21.87, a 25% increase year-over-year. Realized mining margin per silver ounce sold of $50.30, a 222% increase year-over-year. Average realized price per zinc tonne sold of $3,302, a 12% increase year-over year. AISC per zinc tonne sold of $2,219, a 46% increase year-over-year. Realized mining margin per zinc tonne sold of $1,083, a 24% decrease year-over-year. We had Arturo unpack for listeners how the net income for the quarter was significantly impacted by two non-recurring tax events associated with changes in Bolivia's exchange rate and inflation assumptions, as well as a non-cash fair value adjustment related to the Glencore contingent value rights (CVRs). He points out that these items obscure the underlying strength of their operating performance this quarter. The largest impact on net income was an unusually high $36.1 million income tax expense caused by two non-recurring events. One event was the result of the revaluation of the Boliviano following the change in the official exchange rate from 6.96 to 9.77 Bolivianos per U.S. dollar, a 40% decrease. The income tax expense was also impacted by a non-recurring taxable gain related to a reduction in their decommissioning and restoration provision, which was driven by forecasted lower inflation over the lives of our mining operations in Bolivia. Additionally, their net income was further affected by a $15.8 million non-cash fair value adjustment to the consideration payable balance arising from the CVRs granted to Glencore. The value of the CVR liability is merely a valuation of the payouts that could occur up to the end of 2032. The payments are only triggered when the month's average LME zinc price exceeds $3,850 per tonne, a threshold that has not been exceeded since the inception of the agreement in 2024. Its important to consider that any payments triggered by higher zinc prices would be accompanied by increased sales revenues from the higher price. Excluding the loss from the change in fair value of the CVR, net income for the quarter would have been $17.8 million.” At Bolivar silver production increased 32% quarter-over-quarter to 343,522 ounces, driven by ongoing recovery efforts in the areas affected by the localized flooding event that occurred in May 2025. San Lucas processed 22% more ore than in the prior quarter. Consolidated zinc production increased 7% to 23,240 tonnes, driven principally by higher throughput, which more than offset lower zinc grades at Bolivar and Porco. Porco delivered higher silver and zinc production, driven by stronger silver grades and improved metal recoveries, while Caballo Blanco continued to make steady, meaningful contributions. At Zimapan, operations rebounded from the temporary constraints experienced during the first quarter, including limited ventilation in the higher-grade zones at Level 960 due to a contractor delay in completing the ventilation Robbins incline shaft, as well as repeated power interruptions caused by the local service provider's maintenance of the power grid. As a result, metal recoveries improved across all four payable metals. There will be the first NI-43-101 compliant maiden resource estimate released in the next month at Zimapan, with the goal to demonstrate the mineral inventory has replenished the ore that has been mined and milled over the last few years, and even grown the resources. Next we transitioned to future growth, where the operations team is advancing their silver-dominant Soracaya mine towards development and near-term production. There is already a decline ramp into this project with initial stope access in 2 areas, and the team has been working on an optimization plan. Once the permit is received in September, the plan is to get the mine into initial ramp-up production by Q4 of 2026. Wrapping up, we discussed the potential for future accretive acquisitions in the Americas, and various other growth drivers on tap that could create the catalysts for a rerating higher, that would be more in alignment with other mid-tier silver producer peers. I have been banging the drum for copper for some time, but it is becoming increasingly difficult to ignore. Gold has the glamour, but many, including veteran investor Rick Rule, now see the greater opportunity in copper. In summer 2024, I highlighted three copper companies Amerigo Resources (ARG.TO) at around C$1.75 and Arizona Sonoran Copper (ASCU.TO) at C$1.36 and QCCU (QCCU.V) at 12c . Amerigo and Arizona Sonora both hit C$8 on Monday meaning gains of ~350% and ~500%. QCCU, on the other hand, is still at 12c. You can't win them all.Back in May we noted that things were getting a little hot. The metal had just hit fresh highs; there was a plethora of investment bank supercycle notes and social media was full of predictions about imminent shortages. The long-term story is intact but don't chase it, we suggested. Copper tends to be weaker over the summer and some consolidation could give you a better buying opportunity.We got a good opportunity in June but it did not last long, and here we are three months on with copper at ~$6.50/lb a couple of per cent below where we were in May.It doesn't take a genius to work out which way the trend is going in that particular chart. The summer lull has been more of a pause than anything else.Meanwhile, beneath the surface, the fundamental copper story is getting stronger.Copper's problem is not demand. It is supply.We covered the demand side extensively in May. AI needs copper. Data centres need it. Power grids need it. Electric vehicles, rearmament, reindustrialistation, India - they all need copper. This is not the usual China story by the way. If anythign China demand is lacklustre. Its imports of unwrought copper fell 11.5% year-on-year in July and industrial production there has been slowing. But, as RBC notes, the LME copper market had moved into its steepest backwardation since the 2021 squeeze. In other words, buyers are paying substantially more for copper now than for delivery later. That is a classic physical tightness indicator. Antofagasta has cut its 2026 production guidance after problems at Los Pelambres. Codelco has abandoned its 1.34 million tonne production target and now expects to produce less than it did last year.Meanwhile we have BHP's latest results. Copper now accounts for 54% of its earnings (EBITDA). Its copper mines are extraordinarily profitable (70% EBITDA margin). Yet despite the obvious incentive to produce more, BHP's copper production actually fell 3% last year. This is the largest mining company in the world, with some of the best copper assets, engineers and access to capital on the planet. If anyone can turn on the copper taps, so to speak, it should be BHP. Yet it is talking about a “persistent structural deficit” of as much as 10 million tonnes a year next decade. Demand from electrification, digitalisation, data centres and other newer uses, meanwhile, is expected to grow at around 6.5% a year.So it now aims to grow its copper production at ~5% a year, faster than the rest of its business. The requires an extraordinary amount of capital.In a recent video, Merlin Marr-Johnson, CEO of Fitzroy Minerals (FTZ.V) analyses BHP's spending plans using Escondida, the world's largest copper mine, as an example and concludes, “They're spending $5 billion to stand still. And that is the copper industry in a nutshell.”Billions of dollars of investment don't necessarily mean billions of dollars of new production. Mines get older. Grades decline. Pits get deeper. More rock has to be shifted to produce the same amount of metal. Processing plants wear out and have to be replaced. Sometimes you have to spend billions just to stop production falling.Which brings us to Rick Rule.Is copper now a better bet than gold?It could be.Rule argues that “The biggest copper mining companies in the world need to spend $250 billion to maintain current levels of copper production.” Note - to maintain, not increase. Not every one has $250 billion sitting around waiting to be spent. “The copper development boom that we absolutely have to see in the next 10 years will require vast amounts of capital.”“There's nothing that we can do, nothing at all that we can do, to avert a shortage in copper,” he says. As a result, five years from now the copper price will be, “dramatically higher than it is today.”As you know, copper is an important strategic mineral. Citi recently looked at what might happen if countries start building national inventories. Global refined copper inventories, it estimates, currently sit around at around 3 million tonnes, equivalent to just 1.3 months of global consumption. If governments decided they wanted three months instead, they would need need to find another 4 million tonnes of copper.Where does it come from?To be accumulated over two years, Citi calculates, would require the copper price price to rise to over $10/lb to bring enough scrap into the market and destroy enough demand to balance things.That is not a forecast, by the way, it is a scenario. But governments are increasingly treating critical minerals as a matter of national security. The US has proposed a US$12 billion strategic commodities programme, the EU has allocated billions to critical-mineral security and there have been calls in China for increased copper stockpiling.So what do we actually buy? I have been banging the drum for copper for some time, but it is becoming increasingly difficult to ignore. Gold has the glamour, but many, including veteran investor Rick Rule, now see the greater opportunity in copper. In summer 2024, I highlighted three copper companies Amerigo Resources (ARG.TO) at around C$1.75 and Arizona Sonoran Copper (ASCU.TO) at C$1.36 and QCCU (QCCU.V) at 12c . Amerigo and Arizona Sonora both hit C$8 on Monday meaning gains of ~350% and ~500%. QCCU, on the other hand, is still at 12c. You can't win them all.Back in May we noted that things were getting a little hot. The metal had just hit fresh highs; there was a plethora of investment bank supercycle notes and social media was full of predictions about imminent shortages. The long-term story is intact but don't chase it, we suggested. Copper tends to be weaker over the summer and some consolidation could give you a better buying opportunity.We got a good opportunity in June but it did not last long, and here we are three months on with copper at ~$6.50/lb a couple of per cent below where we were in May.It doesn't take a genius to work out which way the trend is going in that particular chart. John is joined by Susheel Kirpalani, partner in Quinn Emanuel's New York office, Head of Special Situations, and founder of the firm's Bankruptcy and Restructuring Group. They discuss the increasingly important role of liability management exercises, or LMEs, as tools that financially distressed companies use to raise capital and avoid bankruptcy. These transactions frequently involve granting favorable treatment to certain creditors in connection with new financing, often at the expense of other creditors. Although such arrangements may preserve companies through periods of severe distress, they also generate disputes over whether the underlying loan agreements permit unequal treatment. Susheel explains the landmark Serta Simmons Bedding litigation, which arose after the company undertook an LME during the COVID-19 pandemic. Serta wanted to raise additional capital and capture discount from its lenders. A majority of lenders participated in the transaction and received new, higher-priority debt, while a minority of lenders received nothing. The excluded lenders, represented by a QE team headed by Susheel, argued that the transaction violated the longstanding principle that the same class of lenders must be treated the same, or “ratably.”The case proceeded through years of state and federal litigation, bankruptcy proceedings, an appeal to the Fifth Circuit, and a remand to the Southern District of Texas. After the Fifth Circuit held Serta's purchase of the majority group's loans was not a permissible open-market purchase, the bankruptcy court held a five-day trial to decide whether the transaction breached the credit agreement and, if so, what damages flowed from that breach. The court ultimately concluded that the disproportionate payoff breached the governing credit agreement and exposed the majority to $400M in damages. After accounting for recent settlements and other adjustments, the court then awarded $160M+ to QE's clients based upon the requirement of equal treatment among lenders. The decision has broad implications. The ruling highlights the growing importance of litigation risk in restructuring transactions, encourages parties to scrutinize contractual language more carefully, and will likely influence the drafting of future credit agreements. It also demonstrates how traditional principles of contract law continue to govern even highly sophisticated financial transactions and underscores the increasingly central role of litigation in modern restructuring practice.Podcast Link: Law-disrupted.fmHost: John B. Why does a credit-risk model built in 1968 still attract 5,000 hits a day on Bloomberg? And more importantly, what does it tell us about today's market? “You have a refinancing problem; that's the dynamic that we're in today.
