"The Hello Dolly" Was Not Where the Owner Promised it Would be When it Sunk in Breach of Warranty Great Lakes Insurance, S.E. insured the Hello Dolly VI, a boat owned by Gray Group Investments, L.L.C. The Hello Dolly sank in Pensacola, Florida, during a hurricane. Gray Group filed a claim under the insurance policy, Great Lakes denied coverage, and Great Lakes then sought a declaratory judgment that it properly did so. In Great Lakes Insurance, S.E. v. Gray Group Investments, L.L.C., No. 22-30041, United States Court of Appeals, Fifth Circuit (August 1, 2023) Hurricane Sally struck the Gulf Coast in September 2020. In its path lay the Hello Dolly VI (hereafter, the Vessel), which was moored behind Gray Group's eponymous member Michael Gray's house in Pensacola, Florida. The Vessel sustained damage during the storm and sank at its mooring. Great Lakes denied coverage, asserting that Gray Group had breached several warranties. The Warranties Great Lakes contended that Gray Group breached the "hurricane protection plan" (the HPP) that Gray Group had submitted in response to Great Lakes's "hurricane questionnaire" (the HQ). The HQ requested the Vessel's location during hurricane season and asked a series of questions regarding Gray Group's contingency plans in the event of a hurricane. In the HPP, Gray Group stated that the Vessel would be located at the Orleans Marina in New Orleans, Louisiana, and detailed the protective measures Gray Group would take when a hurricane approached. At the time the Vessel sank it was not even near Louisiana nor did Gray Group comply with the HPP. The district court agreed with Great Lakes and granted it summary judgment. Specifically, the district court held that the phrase "application for insurance" was ambiguous but that extrinsic evidence showed that the parties intended "application for insurance" to encompass the HPP. Continuing the analysis, the court concluded that Gray Group's statement in the HPP that the Vessel was to be located at the Orleans Marina during hurricane season was also ambiguous. Gray Group had thus breached its warranty, justifying Great Lakes's denial of coverage. ANALYSIS The Court of Appeals of New York has long recognized the concept of incorporation by reference. For nearly as long as New York has recognized incorporation by reference, its Court of Appeals has allowed parol evidence to prove the identity of the paper that the parties attempted to incorporate. Gray Group's HPP, with its representation that the Vessel's "marina or residence" location during hurricane season was the Orleans Marina, was included in the policy's ambiguous incorporation of Gray Group's application for insurance. Under a bolded header labeled "WARNING," the HQ, which prompted Gray Group's submission of the HPP, advised that "this declaration and warranty shall be incorporated in its entirety into any relevant policy of insurance." The district court concluded that the HPP's representation regarding the Vessel's "marina or residence" location was a warranty such that Gray Group's breach of it voided the policy. The Hello Dolly VI never got to where she belonged. Gray Group's representations to the contrary were validly incorporated into the policy as warranties, and Gray Group's breach of its warranties justified Great Lakes's denial of coverage when the Hello Dolly sank. ZALMA OPINION A warranty is a promise made by an insured that must be kept in its entirety for the policy to be effective. When, during hurricane season the Vessel was docked in Florida rather than the promised marina in Louisiana with special protections from hurricanes, the promise was not kept and the warranty was breached, Not only did the vessel sink, the breach of warranty sunk the claim. Trump said tonight about coronavirus that, "I didn't downplay coronavirus... I actually, in many ways, I up-played it." Trump said on tape prior to tonight, "I wanted to always play it down." Hurricane Sally is hours away from making landfall on the Gulf Coast. The Gulf Coast is bracing for extreme flooding as conditions deteriorate. More than 18,000 customers are without power in three states. Hurricane Sally is the third hurricane this season for the region. At least 36 people are dead in the west coast wildfires. Western wildfires have burned more than 4.7 million acres, which is more land than six Rhode Islands. Nearly 90 wildfires burn in the western United States as Trump deflects on whether he believes in climate change. Firefighters are battling at least 87 wildfires in 11 states. Dramatic video moments after ambush, shows deputy helping her partner after she was shot herself. The ambush shooting on two deputies comes amid rising tensions between law enforcement and the Los Angeles community. Biden heads to Florida amid struggles with Hispanic voters. Polls show Biden losing ground to Trump with Hispanic voters, says the case against Trump is an "easy one." Head of major Hispanic group reportedly calls Biden outreach "lackluster."   Major indices flat with Dow Jones rising 0.5% off indication from the Federal Reserve that interest rates will stay at near zero levels for the foreseeable future. “With inflation running persistently below this longer run goal, the Committee will aim to achieve inflation moderately above 2 percent for some time so that inflation averages 2 percent over time,” the Federal Open Market Committee said in a statement.  Crude oil prices spike off the back of Hurricane Sally making landfall and DOE reporting that crude oil inventories drew just over 4 million BBL's , with production jumping 900K with GOM restoring some leftover shut in production from Laura. Natural gas prices stumbled 4.5% pts off news of cooler weather and expected draws in natural gas inventories, due out tomorrow around 8:30 AM MST. Sally comes ashore east of the Mississippi-Alabama state line. We examine the threats the storm still presents the coastal counties as it moves out.Then, Jackson county has been hammered with rain from Sally over the last 24 hours. We check in with their locale emergency manager.Plus, after a Southern Remedy Health Minute, state health officials weigh in on the effectiveness of masks.Segment 1:For days, Hurricane Sally has been threatening the Mississippi Coast as it churned in the waters of the northern Gulf of Mexico. Now, it appears that threat is over. Sally officially made landfall this morning near Gulf Shores, Alabama after strengthening overnight to a Category 2 storm with winds topping 100 miles per hour. But the slow pace of the storm could still require residents along the coast and in eastern Mississippi to be weather-aware.Segment 2:For the Mississippi Gulf Coast, hurricane season is a time of hyper-awareness and preparation. Jackson County in the southeastern corner of the state, was forecast to be hit by some of the most severe elements of Hurricane Sally when the state began preparing for the storm last weekend. But as the storm ticked east, the county was spared some from the worst. Still, as Emergency Services Director Earl Etheridge tells our Michael Guidry, the county was hit with winds strong enough to down trees and cause power outages.Segment 3:Southern Remedy Health MinuteSegment 4:Mississippians will be required to wear masks through the end of September following Governor Tate Reeves' decision to extended his pandemic-related executive order. The state has seen a downward trend in coronavirus cases since mandate was issued in August. State Epidemiologist Dr. Paul Byers says mask-wearing could still be in integral part of fighting transmission even as vaccines are developed.State Health Officer Dr. Thomas Dobbs has long supported the wearing of masks. President Trump is moving forward with his rallies. He held his second indoor event in two days in Phoenix, Arizona on Monday. People packed the event, few wore masks and there was no social distancing except for the President himself. This comes as Trump's final phone call with legendary journalist Bob Woodward comes to light. CNN obtained excerpts of the 10-minute conversation, which shows Trump told Woodward, "nothing more could have been done," in regard to the coronavirus. Officials within The White House Administration have been altering the CDC's weekly science reports, according to sources. A federal official told CNN, the Trump administration alters the CDC's weekly science reports so they don't undermine Trump and are consistent with Trump's message on the virus. The manhunt is intensifying for the gunman who ambushed two Los Angeles County sheriff deputies. Both deputies remain in the hospital. They are expected to survive. Nearly 90 large wildfires are burning throughout the western United States. Trump visited California Monday to be briefed on the fires. He laughed about the science of climate change. So far, California wildfires have burned an area almost the size of Connecticut. Hurricane Sally is intensifying into a category 2 storm. Choppy Tuesday in the markets today as huge gains are lost toward the end of the trading session. The S&P 500 gained 0.4% and the Nasdaq moved 1%. The DJIA fell, giving up an over 230-point gain and trading just below the open Crude oil prices jump 2.75% off of nearly 25% of GOM shut in due to Hurricane Sally. Shell said Sept. 15 it shut in production at its Appomattox platform, while also curtailing oil volumes at its large Olympus, Mars and Ursa facilities. Chevron said it has shuttered production at its Blind Faith and Petronius platforms in the deepwater US Gulf. Hurricane Sally slowly churns off the Mississippi Gulf Coast. We have the latest on the storm with the National Weather Service.Then, a look at how the Mississippi Emergency Management Agency is preparing for Sally's landfall and subsequent recovery efforts.Plus, the Governor extends the mask mandate while loosening restrictions on restaurants.Segment 1:Hurricane Sally is lurking in the northern Gulf of Mexico, sending rain, winds and storm surge to the coastal areas. Sally quickly strengthened from a tropical storm to a category 2 hurricane yesterday, but has weakened some since then. Still, it's a slow moving storm, with a forecast that could bring days of rain to some coastal counties, with the strong potential for flooding. For the latest on Sally, we are joined by Ben Schott from the National Weather Service in Slidell.Segment 2:Coastal and southeastern Mississippians are starting to feel some of the effects of Hurricane Sally. The storm is expected to bring winds, storm surge, and lots of rain. Some residents are under evacuation orders; others have elected to ride out the storm. In either case, the Mississippi Emergency Management Agency is preparing to respond. As MEMA Director Greg Michel tells our Michael Guidry, the early preparations for the storm were coordinated in a way to adjust if Sally's projected path continues to change.Segment 3:Mississippi residents will be under a mask mandate through the end of September. Yesterday, Governor Tate Reeves announced that he is extending his Executive Order through the end of month.
