Want to avoid the 7 biggest legal mistakes that physical product and eCommerce companies make? Attorney Brittany Ratelle walks through the most common mistakes that land modern product companies in legal hot water and how you can avoid these headaches as a small business owner.   Here are the top 7 mistakes:  1. No operating agreement or business “prenup” Operating agreements, also known as founder or partnership agreements, define the roles and responsibilities of a business and are a private binding contract that outlines equity, exit planning, intellectual property ownership, non-compete obligations, manager roles and how decision-making will be handled in a business partnership. These agreements are sometimes dubbed as business “prenups” or prenuptial agreements because, without them, many businesses can end with ugly business divorces with multiple parties claiming they had a different understanding of the rights and responsibilities of the business, whether they are fighting over assets or liabilities. *Highly recommend when you start a business with friends or family!*   2. Failure to protect intellectual property   There are 4 main types of intellectual property with different tools to protect them: patents, trademarks, copyrights, and trade secrets. Intellectual property protection and boundaries can increase the value of a company and its brand, its products, and the way in which it solves problems for consumers. If you don't protect your own intellectual property, you can get ripped off by other companies and if you don't pay attention to your own practices, you can be at risk of infringing on someone else's property by using intellectual property that doesn't belong to you. If you have protected your own IP (intellectual property), you may be able to license it out and make additional revenue streams and grow your company into an empire. For physical product companies, the IP protection you want is:    Trademark: overall brand name, logo, slogan, and product name Copyright: any surface pattern design, important product photos/audio/video Patent: design or utility patents or both on the actual new and novel product Trade secret: formulas, recipes, processes, methods, market research, vendor information, pricing/markup, customer data/email list   Sign up a for a consult with Brittany if you are ready to get your intellectual property protected   3. The website isn't legally compliant   All websites need these documents to be legally compliant: privacy policy, website terms, copyright statement, and necessary disclosures/disclaimers. Get all of these in the website legal bundle. Also, make sure that your website is ADA-friendly with the current WCAG standards.    4. The product has safety/labeling/testing issues and liability Physical products come into contact with real human beings and their environments, so by their very nature, they have bigger legal exposure. Make you are complying with any relevant CPSC, testing, and labeling standards, especially if you sell baby & children's goods, toys, health and wellness products/supplements, and dangerous products.    5. No written contracts with vendors and/or manufacturers    Get your agreements in writing! A fairly drafted contract is nothing for either side to fear and can help outline expectations, resolve ambiguities, and set up a clear working relationship for both parties in a deal. Make sure to use written (and solid) contracts for your affiliate program, for wholesale, and for pop-up shops (whether you are the or the guest). You also might want a model release or event waiver if you do your own product photography with models or host events.    6. False advertising issues   Don't lie. The Federal Trade Commission is in charge of protecting consumers and a big part of that is in policing the actions and the marketing of companies, especially around claims they make about their products. Be careful about statements regarding “Made in the USA”, any claims that your product cures any illness or disease. Remember that if you can't back up or “substantiate” the claims you are making – don't say them (and don't let your affiliates, direct sales people or other individuals say them either as a “workaround.”)   7. Employee misclassification - your “contractors” should really be       “employees”   If it looks like an employee and smells like an employee - that person is an employee (whether you call them that or the individual even wants to be classified as such). Ep. 22:  Lawyer & Interior Stylist- How Sara Rezvanpour Rose created her dream job as Creative Counsel at the Jungalow   Have you ever felt like you want something more but you don’t know what you should do? Well, if so, this is the episode for you! Sara Rezvanpour Rose is a unicorn full of inspiration and provides so much wisdom for anyone stuck in a career they hate. Though she may not know it, her own path provides such clear guidance for how to approach finding your next gig. It includes: perseverance, hustle, creativity, courage, humility, and faith in yourself.   Sara is a graduate of UC Berkeley Law School and a former big law attorney. After being laid-off during a merger, Sara left big law to join her brother’s small private practice law firm where she honed her entrepreneurial skills as well as her legal chops. However, after a couple of years, Sara still found herself unsatisfied in the grey world of the law. She quit, without having a plan, to find a career with more creativity.   After deciding that she wanted to be in the interior design space, Sara reached out to people in the industry, worked for free, and hustled her way into a dream internship with renowned interior designer, Justina Blackeney. From that internship, Sara created her own dream position at Justina’s business, Jungalow.   Sara is now Creative Counsel at Jungalow, a bohemian lifestyle brand & home decor online shop. She left the gray world of law in search of color, creativity, and a place where she could be her wild self! Now she spends her days creating spaces that she hopes inspire a sense of magic in people’s hearts & homes. Sara Rezvanpour Rose (@sararezrose) went from being a closeted creative who “passed” as an attorney to Creative Counsel at Jungalow (@thejungalow), a wild bohemian lifestyle brand focused on interior design and home furnishings. The process taught Sara about worthiness, authenticity, vulnerability, and reaffirmed her belief in the power of manifestation, patience, and hustle. Today, Sara handles a range of tasks for Jungalow, from copywriting and setting up for photo shoots to negotiating deals and reviewing contracts. Born in Tehran, Iran, and later raised in California, Sara shared her journey from law school (making her immigrant parents proud) to arriving in a job where she merges her attorney skills with her creative abilities. Sara contrasted the formulaic, paved path that lead her to law school with the intuitive, uncertain path that lead her to Jungalow. Over and over again, she emphasized how her path was full of uncertainty and dark moments. Questions like “If I leave the law, will I still be smart?” and “Is this all a big mistake?” entered her mind. We hope you enjoy our conversation with Sara. We think the entire conversation is worth a listen, but below are some highlights: [1:30] Sara charts her path from Tehran to California, where she attended UC Berkeley for college and, years later, Boalt for law school. After graduating, she worked in biglaw for several years before leaving to work for the law firm her brother and his friend had begun. [18:58] Even while working with her brother, Sara was uncertain whether the practice of law was right for her. She began doing things that simply felt creative, like writing. She began writing down how she wanted to feel in her next job, words like “connected” and “appreciated.” [27:00] Sara loved designing spaces even as a teenager. She was sensitive to the flow of a space, and she would love to create intentional spaces as a full-time job. Sara began her design career by creating a vignette and sharing it on Instagram, and helping friends design their home spaces. [33:01] Being in touch with your intuition means, in short, being internally focused as opposed to externally focused. In many professions, there’s a clear formula, a paved path that takes the work out of figuring out how you’re going to pave your own path. That’s external focus. [49:47] Sara describes how she ended up working seven days a week, juggling two jobs: one as a designer at Restoration Hardware and one as a paid intern for Jungalow. [1:03:10] Sara describes how she transitioned from paid intern at Jungalow to her current role as Creative Counsel. Her job encompasses everything from copywriting for the Jungalow blog, negotiating deals, reviewing contracts, organizing the studio, and setting up for photo shoots. [1:09:56] Sara recalls crying in her law office behind closed doors. For anyone feeling lost, she reminds that there are options; they require thinking outside the box. You have to be ok with former classmates and others looking at you funny for a while. Take time to get to know the new you. Be kind, gentle, and positive. [1:17:11] As an overachiever lawyer, Sara felt constant pressure to be doing, to be getting results. For those taking the leap and leaving, she recommends giving yourself ample time to figure out what you want to do next. Paving your own path takes time. You must be intentional and thoughtful in where you direct yourself.
