Find out more on our website: https://bit.ly/3HoYqRg Background: Employee share schemes offer employees the opportunity to buy shares in the business they work for. Owning part of a business offers a great incentive for employees to contribute to the success of the business and remain loyal to the business. There are “approved” and "unapproved" employee share schemes, this references HRMC's view of a share scheme and whether or not it comes with tax statutory advantages as a result. However, outside the “approved” schemes it is possible to construct schemes that embody significant tax efficiencies. In this webinar, share schemes expert David Craddock explores innovative strategies based on tax-efficient solutions in employee share ownership programmes. He explains the tax efficient elements of LTIPs, share purchase arrangements that use various share classes, so-called “share loan” schemes, growth share models, JSOPs, tracker shares and subsidiary company schemes. Find out more here: https://bit.ly/32ublmt Background: Employee share ownership has the greatest impact on company productivity and performance when participation rates are high, but a major challenge currently facing employee share plans is the changing nature of the labour market. The rise of the gig economy, outsourcing and the demise of a “job for life” have served to diminish access to share plans for a significant proportion of the workforce. Gig economy workers: freelancers; independent contractors; consultants etc, are treated as self-employed rather than employees of a company. In this webinar, share schemes expert David Craddock explores the considerations that apply to the involvement in company share schemes of individuals who are not employees or executive directors of the company. EOTs: The Credible Alternative To Succession

The FS Club Podcast

Find out more on our website: https://bit.ly/3zi8LM7 Background: The use of Employee Ownership Trusts (EOTs) by private companies has seen a considerable rise in 2020 and is expected to continue in 2021. A well-run employee-owned company could benefit from a longer-term business strategy and not have to consider the conventional exit routes of a trade-sale or a flotation, with the EOT giving the alternative succession opportunity. In turn, a more engaged and more secure workforce could lead to higher productivity and profitability. The business ethos that lies at the heart of the EOT is that it is set up to hold shares on behalf of all the employees of the company. As a business succession tool, supporting the sale to an EOT, the transaction is free of capital gains tax and facilitates income tax-free bonuses to employees. The EOT structure is, therefore, a formidable element within a management buyout arrangement. The most tax-efficient and motivation-maximising EOT will require a structure that allows the EOT to work alongside the tax-advantaged tax approved employee share schemes, possibly with linkage to meaningful and measurable performance conditions. The Key Headline Advantages of the EOT for Exit: (1) Zero capital gains tax for the selling shareholders; (2) No trade-sale acquiring company required for the exit; (3) Income tax exemption for bonuses to employees; (4) Establishing the independence of the company in perpetuity; (5) Security of employment for the employees going forward; (6) Can work alongside traditional employee share schemes. In this talk, employee share schemes expert, David Craddock, will demonstrate how the EOT has become the credible alternative to succession. Speaker: David Craddock is an independent consultant specialising in employee share ownership and reward management. The 17 Goals recognise that to bring to an end deprivations in the world, whether poverty or otherwise, the approach must include strategies that improve health and education, reduce inequality, encourage economic growth and, at the same time, tackle climate change and work to protect the environment, particularly working to preserve the oceans and the forests. The question is: How can employee share ownership help? Although the particular Sustainable Development Goal that this employee share schemes talk is addressing is Goal 10: “Reducing inequality within and among nations”, the goals interact with each other and the solutions that employee share schemes offer are integrated in their impact on a range of Sustainable Development Goals. Find out more on our website: https://bit.ly/3EJNNqq Share valuation is a key step in the design and implementation of an employee share scheme for an unquoted company. Tax or fiscal valuations in the UK are subject to special rules which have evolved over time out of a combination of case law and legislation. Whether a valuation is acceptable for tax purposes is ultimately a matter for HMRC. HMRC's Shares & Assets Valuation Office reviews and agrees on share valuations for the tax-advantaged employee share schemes, previously known as tax-approved schemes. Since HMRC withdrew its facility for Post-Transaction Valuation Checks and PAYE Health Checks for valuation, it is vital that your valuation is rigorous in order to ensure that it is credible and capable of a robust defence if subsequently challenged by HMRC. Following up his “Wisdom Of Price Setting For Your Employee Share Schemes” webinar in July, David Craddock, who is technical secretary as well as a member of the Share Valuation Worked Examples Group, will guide us on share valuation for Esops through a series of case studies. The employment-related securities legislation contains essential tools for employee share scheme development and implementation. Far from limiting employee share scheme activity, a proper understanding of the employment-related securities legislation opens a vista of tax planning opportunities for practical application. Building upon the meaning of the concept, “employment-related securities”, the webinar explains how to identify restricted securities and when to make Section 431 and Section 425 tax elections as well as how to identify convertible securities with an explanation of their tax treatment. Tax planning opportunities are also available through notional loan arrangements in accordance with Chapter 3C while a careful understanding of Chapter 3D charges is required to avoid tax traps and pitfalls on the sale of employee shares. The use of alphabet shares to differentiate reward is also dealt with by the employment-related securities legislation. Often overlooked is the use of employment-related securities legislation to enable a commercially effective and tax-efficient earn-out arrangement on a change of control.
