TJ Budge of Racine & Olson joins us to give a fantastic update on the 2015 Idaho Groundwater Pumpers Association (IGWA) Settlement Agreement. The 2015 Settlement Agreement adopted an innovative conjunctive management program of balancing senior surface water rights and junior groundwater use with conservation measures, aquifer recovery and recharge, and collaborative modeling efforts. The provisions of the 2015 Settlement Agreement were tested in the drought years of 2021 and 2022, resulting in tensions amongst users and new litigation. The Parties have now revised and entered a new Settlement Agreement keeping key elements of the 2015 Settlement Agreement and revising more problematic provisions. The family of Mica Miller has reached a settlement with her estranged husband, South Carolina pastor John-Paul “J.P.” Miller, three months after her death. This resolution has been confirmed by multiple sources, including PEOPLE magazine. “Today John Paul Miller, Solid Rock Church, Inc. and The Estate of Mica Francis Miller, along with the individual members of the Francis family, have reached a full and final Settlement Agreement,” stated Russell B. Long, attorney for Pastor Miller. The terms of the settlement remain sealed under a confidentiality agreement, ensuring that all related matters are considered settled, waived, or released. “Mica's family, Pastor Miller, and the Church have set their differences aside to allow Mica's memory to live on,” Long explained. “All parties now consider this matter ‘closed.'” Reflecting on the tragic circumstances, Long added, “Unfortunately, we do not know every piece of information leading up to the death of Mica. We do know that her life served a purpose. Those that have spent every Sunday morning protesting outside of Solid Rock Church, chanting ‘justice for Mica,' should recognize this time of healing and move on with their lives. We only ask that you remember Mica as the wonderful, beautiful soul that she was.” Regina Ward, the attorney representing Mica's family, expressed similar sentiments in statements to local media outlets The Post and Courier, The Sun News, and CBS affiliate WBTW-TV. “We do not want the Francis family or anyone to be dragged through litigation for years,” Ward said. “We want to put this behind us and move on to the next chapter that matters. When we say that we've gotten justice for Mica as a result of this settlement, it is true.” Mica Miller's body was found at Lumber River State Park in North Carolina on April 27. Her death, ruled a suicide by the medical examiner, sparked widespread debate and online conspiracy theories. The Robeson County Sheriff's Department had to address these theories, reaffirming the cause of death as suicide. In a recent interview on Banfield Tonight on NewsNation, John-Paul Miller addressed the speculation surrounding his relationship with Mica. “It feels like people don't care to hear the truth,” he said. He also denied allegations of tracking his late wife, slashing her tires, and posting a topless photo of her, despite a previous letter in which he appeared to apologize for such actions. At the time of her death, Mica and John-Paul were in the process of divorcing, as reported by ABC 30. The Robeson County Sheriff's Office confirmed that the couple was separated and estranged. In the weeks leading up to her death, Mica had posted a video on Facebook discussing abuse and offering advice to those in abusive relationships. This video added another layer to the public's interest in her case and the subsequent settlement. There are also stories on the scale of government fraud in the US, and in the UK, the Serious Fraud Office has published its strategy for the next five years. Moab City recently paid out $429,879 to a company that manages the newly built Element hotel. The 116-room hotel was subject to the city's workforce assured housing ordinance, which mandates that new overnight accommodations either build some workforce housing or pay a fee in lieu of that construction. The Element made the case that their original fee was too high, and the city agreed to settle. Yes folks-big breaking news here on the largest mass tort ever….the 3M combat earplug litigation involving nearly 250,000 veterans that are suffering hearing loss, tinnitus or both due to earplugs sold to the military by 3M for over a decade has settled after 4 years of litigation, 19 cases tried, numerous appeals, and efforts by 3M to seek bankruptcy protection.  Mike Burns, from Mostyn Law Firm, has come onto Cut to the Chase: on numerous occasions over these 4 years trying to update this highly complicated case and has graced us once again with this last update.  While the agreement  requires 3M to pony up to $6 billion, drop it's appeals, pay the jury verdicts it has lost (totalling over $300 million), among other things, do not think that the resolution is over.      For those vets out there that are involved in this case, you will be receiving communications from your lawyers explaining what you need to do to actually settle your particular claim.   What each of the vets will get and when they get their share are things that will play out over time.   But first, those vets must comply with their lawyer's instructions.  For more details in terms of what the payments will be, what options the vets have (quick pay or going through the review process), you will have to download the podcast and listen in.   Mike is a ball of fire and a great guest, partially due to all his experience guesting on Cut to the Chase:  So…DIG IN.  On this episode of Cut to the Chase, Gregg and Mike discuss 5 Key Topics: 1- The 3M Earplug Case Overview: - The case involves 3M earplugs causing hearing-related issues (tinnitus, hearing loss) for veterans. - Approximately 250,000 veterans are part of this case. - Litigation has been ongoing for four years. - 3M unsuccessfully tried various legal tactics to fight these cases including losing 13 jury verdicts, appealing all of them and even having it's subsidiary file for bankruptcy. 2- Settlement Agreement and Details: - Mike Burns announces a settlement agreement with 3M, valued at a little over $6 billion. - The settlement is intended to provide closure for 3M and compensation for plaintiffs. - Judge Rogers desired a global settlement, which has been achieved. - The settlement covers all 3M earplug cases. - The agreement includes specific timelines and deadlines for various processes. 3- Processes for Compensation:  - 5 main compensation…expedited pay, review, wave cases (cases that have been worked up for trial), opt outs and special review for seriously impaired vets. - Expedited pay process categorized into tinnitus and hearing loss severity. - Compensation amounts range from $5,000 to $24,000 depending on severity. - Review process involves a thorough case assessment by a special master to determine compensation. Opt-out process allows veterans to pursue their cases independently if they choose. 4- Case Management and Legal Procedures: - The importance of timely signing of releases to receive compensation. - Clearing up misconceptions: It's not a quick paycheck; various procedures must be followed. - Clarification on the misconception that 98% have to approve; it's 98% participation that's required. - Details of 3M's funding sources for the settlement, including insurance proceeds and stock conversion. 5- Impact and Resolution: - The significance of resolving the case for veterans and the legal system. - 3M's obligations to dismiss ongoing appeals. - The case's role in alleviating the federal court docket's congestion. No Right to Change After Agreeing to a Settlement INSURER'S INSTIGATION OF SETTLEMENT IS EVIDENCE OF GOOD FAITH After parties to a suit resolved the suit by settlement one or more of the parties tried to renege on the agreement and appealed the trial court's order to enforce the parties' settlement agreement. The parties' settlement agreement required them to dismiss all claims, counterclaims, and crossclaims  with prejudice.  In Shorewood Forest Utilities, Inc. v. Rex Properties, LLC and Don Blum, No. 22A-PL-2345, Court of Appeals of Indiana (August 11, 2023) the Court of Appeals resolved the claims concerning the Settlement Agreement. FACTS AND PROCEDURAL HISTORY Shorewood is a nonprofit corporation that provides sewer service to more than 1000 residents in Porter County. Rex Properties is a property developer, and Blum is the sole managing member of Rex Properties. In 2017, Shorewood and Rex Properties entered into an agreement for Shorewood to expand into a new Rex Properties development and service the homes there according to certain terms, rates, and fees. Not long thereafter, Shorewood concluded that its agreement with Rex Properties was not enforceable, and Shorewood declined to participate in the project. By mid-2019, the only claim remaining in the instant cause was Rex Properties' approximately sixteen-million-dollar counterclaim against Shorewood for breach of contract. Shorewood sought to amend its complaint to allege claims of fraud, fraud in the inducement, unjust enrichment, and criminal deception against Rex Properties. In March 2020, the trial court permitted Shorewood's requested amendment. In the spring and summer of 2020, the parties attempted to settle out of court. On June 8, counsel for Shorewood sent counsel for Rex Properties an email stating that Shorewood's insurance carrier, Stratford Insurance, had agreed to pay Rex Properties $950,000 for Shorewood and Rex Properties to settle and dismiss all claims, counterclaims, and crossclaims in this cause. Mr. Blum approved the settlement with the terms set forth in the offer email. Over the next several weeks, the parties' attorneys worked on drafting a Settlement Agreement.  Counsel drafted an agreement but Shorewood refused to sign it. THE ISSUES The central issue in this appeal is whether the email exchange between the parties on June 8 represented the offer and acceptance of an enforceable settlement agreement. The trial court concluded that the parties' June 8 email exchange created an enforceable settlement agreement. Shorewood had made an offer, Rex Properties accepted the offer, there was more than ample consideration between them and Stratford Insurance, and all parties had a meeting of the minds over definite and certain essential terms. The trial court's denial of Rex Properties' motion for judgment on the pleadings and its motion for summary judgment resulted in a settlement agreement between Shorewood and Rex Properties, and their settlement rendered the trial court's prior judgments moot. The trial court's judgment was affirmed. ZALMA OPINION Courts invariably prefer settlement agreements. Insurers, like Stratford, prefer settlements. In this case Stratford put up almost $1 million to settle, the parties agreed by e-mail and an agreement to memorialize the agreement with a formalized agreement. The contract was made by the e-mail exchange of offer, acceptance and consideration. The formalized agreement was not necessary and the good work of the insurer resulted in a solution to an extensive case and protected its insured. Midwives are taking legal action against the government over fair pay and conditions - again. The College of Midwives has this morning filed a class action in the High Court against the Ministry of Health. More than 1300 community midwives have signed up to be part of the claim alleging a breach of contract. In 2015 the College commenced judicial review proceedings alleging unjustified discrimination on the basis of sex under the Bill of Rights Act. That legal action was eventually settled by mediation, resulting in a Settlement Agreement, but midwives say the Health Ministry has failed to action that agreement, or a subsequent one. College Chief Executive, Alison Eddy, says today's legal action is a last resort.

On THE Amicable Divorce Expert podcast our guest is Attorney Natalie S. Lowe. We will be discussing Tips for Making a Good Divorce Settlement as well as reasons why settlements are difficult to reach. One of the biggest reasons why settlement agreements are difficult is due to the emotional nature of divorce. Divorce is both emotional and financial. If there are minor children, that adds a layer of continued involvement between the parents that can only be healthy if both parents have gone through the grief stages of divorce, and are ready to change their identities from married to single – at least for a while. Attorney Lowe will discuss the following reasons why a settlement agreement is difficult to reach: 1) how to know when you're receiving good legal advice 2) how to be patient if your spouse is taking longer than you want to take 3) when to involve other professionals in the knowledge needed to make the decisions that are right for you 4) when to compromise and be flexible in the negotiations 5) unrealistic settlement requests 6) fear of the financial future 7) lawyers dragging out time for financial gain 8) one or more spouses not ready to let go of the marriage 9) using the child as a pawn 10) emotionally attached to an asset The decisions made in a divorce settlement agreement are bible once the agreement is signed by a Judge. That's why every decision should be made with “informed consent”, meaning that legal advice is ultimately important before mediation or negotiation. People try to avoid lawyers or hide the fact that they've been to lawyers. But lawyers are there to help people understand the law so that when spouses are in the negotiation for settlement terms, they negotiate with a clear understanding of the law. Kiran Morzaria CEO of Cadence Minerals #KDNC discusses their fundraise, the proceeds of which will be used to invest further in the Amapa Iron Ore Project increasing its stake to 27%. Highlights Cadence formally completes Phase One to vest its 20% in the Amapa Iron Ore Project Cadence Minerals is pleased to announce that further to the announcement of December 29th 2021 (link here), all of the required contractual and regulatory documentation has been completed and filed and Cadence now owns 20% of the Amapa Iron Ore Project. On the 24th December 2021, the Company alongside Indo Sino entered into a Settlement Agreement with DEV Mineração S.A. ("DEV") and the Secured Bank Creditors, which to become effective required some additional contractual and regulatory documentation to be completed and filed. As this work has now been completed, Pedra Brance Alliance ("PBA"), the Cadence and IndoSino joint venture company now owns 100% of the equity of DEV, which owns the large-scale Amapa iron ore mine, beneficiation plant, railway and private port ("Amapa Project", "Amapa"), and consequently Cadence is a 20% owner of PBA. Anglo American, a previous owner, valued 100 percent in the Amapa Project at US$ 1.2 billion. It impaired the asset in its 2012 Annual Accounts to US$ 660 million for 100 percent. The second stage of investment is for a further 7% of PBA for a consideration of US$3.5 million. This second stage investment was conditional on several material preconditions, which have now been satisfied. Cadence will now vest its next 7% which will be funded from its recent equity raise. If Cadence does not complete the investment, Indo Sino will have a twelve-month option to buy the shares in PBA held by Cadence for 1.5 (1 ½) times the price paid by Cadence for the shares.

I'm your host, Wayne Stacey. And we are here once again with Michael Smith. You've heard me say it before. If it happened in Texas, and he doesn't know about it, it does does not matter. So with that in mind, Michael, why don't you take us to the the Eastern District of Texas? Michael Smith 00:30 Well, thank you, Wayne, good to be here. Today, I want to lead off with a what appeared first blush to be pretty simple case, defendants came in and the case got settled. And they wanted to have their defenses dismissed without prejudice. It's kind of an unusual situation. You know how sometimes if you're a defendant, and it's a customer suit, the manufacturer, the customer will come in and say, hey, we'll be bound by whatever happens to the manufacturers case? Well, the defendant did that here. And it didn't work out so great. The parties went, they settled the case, they had an MOU, and they had an interesting provision there, they said, We're going to take 50 days to negotiate a final settlement agreement. If we can't do that, within 50 days, then the final settlement agreement will become a final and binding settlement agreement. And that provision said that all of the claims in the case will be dismissed with prejudice. So one of the defendants comes in who had kind of given control to the manufacturer to to resolve the claims and said, Oh, wait a minute. No, no, no, I want my affirmative defenses dismissed without prejudice. And the court said, No, you gave this other party when you were when you wanted your case stayed under under the customer suit exception. You said I'll be bound by any final judgment. So the court said no, you're stuck with how the Settlement Agreement got worked out here. Now, it's not clear that there was actually legal prejudice to that defendant. But it's I think it's an important reminder to us to be careful what you agree you'll be bound by and check the wording carefully on those mo use, because this could have been fixed at the MOU stage if someone had been paying attention to the exact language, probably at eight o'clock at night when they were trying to get a case settled the night before the pre trial conference. Wayne Stacy 02:22 Well, and that's this is, I guess, the second week that we've had this kind of post settlement disputes where we had an agreement, but not quite. And it's it is a good lesson. But it goes back to one of my favorite provisions, letting the the mediator have baseball style arbitration for any disputed provisions. And it cleans things up a lot. Because you're not been there eight 910 o'clock at night before an opening arguments a hard time to make sure you got all the little, little issues like this closed up. Michael Smith 02:56 Well, in the baseball style is a great way to go. There's there's another one I can suggest I had a couple of mediations last year with a magistrate judge in the Sherman division Eastern District Judge Christine Novak. And in her court, she did baseball style. But the other thing she did is as soon as she walked in to start the mediation, she handed you or she or she told you, I want you to start writing the settlement agreement. What

Anglo American, a previous owner  had  valued its 70% stake in the Amapa Project in [date]at US$ 866 million (100% US$ 1.2 billion). It impaired the asset in its 2012 Annual Accounts to US$ 462 million (100% US$ 660 million). Highlights: ·      Execution of the Settlement Agreement with the Secured Bank Creditors of the Amapa Project allows Cadence's (20%) and Indo Sino's (80%) joint venture to secure 100% ownership of the Amapa Project. ·      The restructuring of the secured and unsecured creditors achieved by this Settlement Agreement and the Judicial Restructuring Process ("JRP") has more than halved registered creditors balances. ·      Cadence has already commenced its next stage of investment in the Amapa Project to increase its stake to 27%.  ·      Pre-feasibilty studies are ongoing on the project Next Steps The parties to the agreement are now completing and filing the required contractual and regulatory documentation which will crystallise the Cadence and Indo Sino Trade Pte. Ltd. ("Indo Sino") joint venture company's 100% ownership of DEV and the Amapa Project. Cadence has already begun work on the next investment phase to earn an additional 7% of Amapa for US$3.5 million. These funds will be primarily used to progress the pre-feasibility studies on the asset.

The governor also directed harsh rhetoric at the Oklahoma Court of Criminal Appeals after it ruled, following U.S. Supreme Court precedent, that Congress has never disestablished the reservation of the Quapaw Nation. The decision made the Quapaw Nation the latest tribal nation in Oklahoma to have its reservation judicially confirmed.

At it's January, 13, 2021, public meeting, the Newtown Board of Supervisors (BOS) voted 3-2 against agreeing to a settlement with Newtown Bucks Association (NBA) regarding Chick-fil-A and a "retail pad" in the Newtown Shopping Center. NBA intended to make certain traffic/circulation improvements as related to the existing Chick-fil-A restaurant in the Shopping Center, together with a proposed pad that would be used for additional retail space (i.e., proposed Old Navy site). The agreement would have granted several variances, including allowing additional impervious surface for the retail space, which was the main reason the Zoning Hearing Board originally voted against the application (read "So what's the status of the proposed Old Navy at the Newtown Shopping Center?": http://sco.lt/4knNZY). The BOS, however, seemed mostly concerned about the plan to "improve" traffic related to Chick-fil-A. This audio clip from the meeting mainly focuses in on that discussion.

Today's Rapid Response Friday helps separate fact from fiction when it comes to the heartwrenching issue of families being separated at the border.  Is the Trump administration to blame?  Did the recent Executive Order fix the problem?  Listen and find out. First, though, we bring back (almost) everyone's favorite segment:  Andrew Was Wrong!  Specifically, Andrew was wrong when he predicted back in Episode 83 that Maajid Nawaz didn't have much of a defamation case against the Southern Poverty Law center, and in Episode 84 that he didn't have much leverage, either.  Well, both of those predictions looked foolish now that the SPLC has agreed to pay Nawaz $3,375,000 and issue an unconditional apology. In the main segment, we break down Trump's EO regarding separating families at the border and requesting a modification to the Flores v. Reno settlement.  It's bad.  And if it weren't bad enough, we also discuss the administration's change in asylum policy. After that, we discuss the Supreme Court's recent opinion in Pereira v. Today’s episode is about new ideas about a very old problem in consumer finance -- high-cost lending to high-risk borrowers. My guest is LendUp CEO Sasha Orloff, who is one of a new generation of fintech founders building alternatives to traditional payday lending. In public policy, there has been a long-standing assumption, sometimes implicit and sometimes explicit, that widespread access to credit -- especially mortgages -- is a good thing. A host of government regulations, programs, and bank supervisory activities aim to promote more credit, because we’ve assumed that wider credit access is, broadly speaking, good. Is it, though? Most people would agree that up to a point, it’s good, and beyond some point, it becomes bad. It definitely becomes bad at the point where the borrower can’t realistically repay the loan. It can also become bad if the pricing is so high that the person ends up worse off for borrowing, instead of better, especially if the borrower doesn’t understand the terms We could do many episodes on the tough issues embedded in this question. One is whether it’s better to have high-cost loan options that are legal and subject to regulation, or to outlaw them, knowing that shutting down legal options will drive some desperate people to use illegal ones, which hurt them even more. Another is the philosophical question of how much the government should protect people from themselves. If the price of a high-cost loan is clear, and borrowers understand it, should the government respect their decision on whether to take it, or substitute its judgment for theirs and remove the option? Again, public policy has been debating these issues for decades --  maybe centuries -- and still is, including through many of the initiatives taken to date by the CFPB. In this podcast, we won’t tackle those questions, but will instead ask a very different one: What if we didn’t need to resolve them? What if, thanks to technology, we could solve the problems surrounding high-cost credit -- or a big chunk of them -- not through regulation, but in the marketplace. FastCompany named the firm as one of the World’s Top 10 Most Innovative Companies in Personal Finance, and it won runner up in Webbys for best website design. They have presented at LendIt, Emerge, Money20/20, The HubSF, NBC News, and Huffington Post Live, and participate in The Clinton Global Initiative on Financial Inclusion. Sasha also serves on the Consumer Lending Advisory Board for TransUnion (one of the three major credit bureaus) A regulatory note.  After Sasha and I recorded this episode, the CFPB announced an enforcement action against LendUp. The order is, among other things, a warning flag for startups about the importance, and the great challenges, of maintaining complete regulatory compliance in the midst of rapid growth. The company has responded with a massive expansion of compliance staff. Following the announcement of consent order last fall, it issued this statement: We started LendUp because the traditional banking system wasn’t working for more than half of Americans. From day one, we’ve committed ourselves to offering better, safer and more transparent credit products and to aligning the success of our business with the success of our customers. We genuinely believed the product features that were identified by the CFPB and the California DBO– like optional expedited funding and a 30 cent per day discount for early repayment—were in the best interests of our customers. But we fell short in the execution and in meeting the expectations of our regulators.  We have since taken action to resolve every issue they’ve raised, including beginning to refund customers prior to entry of the Consent Order and Settlement Agreement. We’ve also made significant investments to build out our legal and compliance operations. In this respect, we are a different company today, with a completely new legal and compliance team that is larger now than our entire company when we started these exams. Importantly, those teams are brought in at the beginning of the development lifecycle for every new product and feature. We are proud of the progress we’ve made to expand access to credit, lower borrowing costs and provide credit-building opportunities to our customers. If lenders can’t charge enough to cover that risk, they won’t serve these customers. If they can, though, and if they can leverage technology to gain efficiency and underwriting accuracy, and if they can enable high-risk borrowers to build and repair credit records, and if they can educate people about managing their finances, and can also make a great return on capital and then truly scale up…. then seemingly unsolvable problems can, maybe, begin to.get solved.
