On today's episode, we'll review how the advocacy rules differ across the various types of tax-exempt organizations, including 501(c)(3)s, 501(c)(4)s, and PACs. Whether you're a seasoned advocate or just starting out, understanding these fundamentals is crucial for crafting bold advocacy plans that maximize your capacity and comply with the appropriate rules. Join us for a quick refresher!   Attorneys for this Episode Melissa Marichal Zayas Natalie Ossenfort Susan Finkle Sourlis   Comparison of tax-exempt organizations There are many different types of tax-exempt organizations – our federal tax code offers 29 different types of tax exemptions to choose from! 501(c)(3)s 501(c)(3) organizations are tax-exempt, and donations to 501(c)(3)s are tax deductible. With this favorable treatment come some restrictions related to lobbying and election season advocacy. ·      Public Charities (including Community / Public Foundations) o   Prohibited from supporting or opposing candidates for public office o   Allowed to lobby so long as they stay within certain lobbying limits and use unrestricted dollars to pay for lobbying activities o   May also conduct nonpartisan election-related activities including voter outreach, voter education, voter registration, etc. ·      Private Foundations o   Prohibited from supporting or opposing candidates for public office o   Effectively barred from lobbying due to a steep excise tax that applies to private foundation lobbying expenditures o   Should also be aware of specific rules related to voter registration activities   501(c)(4) social welfare organizations, 501(c)(5) unions, and 501(c)(6) trade associations These organizations enjoy tax exempt status, but donations to them are not tax-deductible for the donor. However, they can engage in a wider array of advocacy activities than 501(c)(3)s. ·      They are allowed to lobby without tax code lobbying limits. ·      They can engage in some partisan political activity as a secondary purpose (for example, express advocacy). ·      When engaging in partisan activities, they need to be aware of campaign finance regulations and reporting thresholds. ·      At the federal level (and in most states), corporations - including tax-exempt organizations - are prohibited from making monetary or in-kind contributions to candidates or political parties.   527 – political organizations 527 political organizations include political parties; campaign committees for candidates running for federal, state, or local office; and federal or state political action committees (“PACs”). ·      The primary purpose of a 527 must be to engage in activities that influence the selection, nomination, election or appointment of an individual to a public office or an office in a political organization. ·      They do not generally engage in lobbying. Their lobbying expenditures may be subject to tax if the lobbying does not further political purposes. ·      There are many types of PACs, including traditional PACs and Super PACs.   How can these organizations work together?  Despite the different restrictions on lobbying and political activity, there are several ways to safely collaborate with organizations that have a different type of tax exemption.   501(c)(3) private foundations & 501(c)(3) public charities ·      Private foundations and public charities can engage in joint nonpartisan, non-lobbying activities, like public education campaigns. ·      Private foundations can also fund public charities, but they must ensure that they don't earmark any funds for lobbying.   501(c)(3) private foundations & 501(c)(4)s/501(c)(5)s/501(c)(6)s ·      Private foundations can also fund 501(c)(4)s, (c)(5)s, and (c)(6)s, but they must follow what are called the expenditure responsibility rules when granting to any non-(c)(3) organization.   501(c)(3) public charities & 501(c)(4)s/501(c)(5)s/501(c)(6)s ·      Public charities, including public and community foundations, can also collaborate with and fund (c)(4)s, (c)(5)s, and (c)(6)s. ·      Remember, your tax-exempt status follows your organization into any coalition work, so (c)(3)s must track any lobbying they engage in on behalf of or in support of the coalition and continue to stay within their lobbying limits. ·      All joint activities and campaigns must be nonpartisan, and any grants from a c3 to a c4 must prohibit the use of funds for partisan political activity. ·      The IRS will count the full grant from a c3 public charity to a c4 as a (c)(3) grassroots lobbying expenditure, unless the grant agreement explicitly prohibits the use of funds for lobbying or states what portions may be used for direct and for grassroots lobbying.   501(c)(4)s/501(c)(5)s/501(c)(6)s & 527 political organizations ·      501(c)(4)s, and all other corporations, should avoid making monetary or in-kind contributions to a political organization or candidate. Today we are talking about a deal we recently raised for, mostly so you can understand some of the things that happen behind the scenes and why we decided to have this be our first syndication for 2025.Read this episode here: https://tinyurl.com/2km2c2k9Why did it pass our test besides the fact that these partners have a great track record and having exited 4 deals with them?1. Low vacancy. There is a shortage of small bay industrial in the Phoenix market, people have been building large bay industrial. For the small tenants that need a smaller space, the available inventory is very low.2. Leases expiring and below market. A lot of the tenants had their lease expiring during our ownership, and the vast majority is below market, one of the largest tenants in the property with the biggest rent upside, already decided to not renew. We underwrote them not renewing a year from now, and they are significantly below market.3. IG Leases. All of the tenants except one are on industrial gross (IG) leases. We are converting all of the tenants to NNN leases. This will also increase the bottom line for our investors.4. Prohibited cost to build. Besides the market having very low vacancy, the vast majority of tenants being between 30 to 70% below market, and the leases expiring in the next 24 months, small bay industrial is cost prohibited to build. It costs more to build than the rents that you're going to get. We are purchasing the property at a significant discount to replacement cost. The property was built in 1999 and it looks really good.5. Location. The property has freeway visibility and is right next to the freeway exit.6. Market. Phoenix is a phenomenal market. It has a 16% population growth since 2010, a job growth of 45 to 50% since 2010. The personal income tax is very low at 2.5%. They're exploding in terms of plants, campuses, and jobs being created in the area. There is a $65 billion chip plant being created next to the property. There is a $20 billion Intel expansion. These are all creating jobs, which is always a great sign of a phenomenal market to be in.Final ThoughtsThe raise took a little bit longer than what we thought it was going to take. We did not finish the entire raise and still have a couple million to go, however, we did manage to close on the property and the couple million that we have to go is mainly for reserves, so that still needs to be finalized.Commercial Real Estate Tips Learned Recently:Turn expense into income: e.g., rent dumpster out.You can open a Senior Living home in any state if one tenant has a disability due to the ADA / Fair Housing Act.Always over-raise in case investors don't send funds.If a deal blows up, attorney often refunds fees (to keep you as a client).When you refinance, you don't pay taxes. This means you can cash out of a property, or get a line of credit, and buy another property without paying taxes on that down payment. Make sure you are comfortable with the LTV's when you cash out.Interest rates are always negotiable, you can get ~0.25% interest rate break if you open a checking/savings with lender.When developing a property from the ground up, always assume that the piece of land has all of these: endangered species, wetlands, easements, utility issues, trees – until proven otherwise. The original audio recordings for this Halacha were delivered on the following dates and can be accessed here: 06-24-25 Audio File ; 06-25-25 Audio File ; 06-26-25 Audio File ; 06-29-25 Audio File The Three Weeks , spanning from Shiba Asar BeTammuz (the 17th of Tammuz) through Tisha B'Av , is a time designated for national mourning over the tragedies that befell Am Yisrael throughout history—most notably the destruction of both Bateh Mikdash. Our Sages instituted a number of customs and halachot during this period to reduce our joy and help us internalize the gravity of the losses. While the Nine Days and week of Tisha B'Av carry stricter restrictions, even from the start of the Three Weeks, there are behaviors and activities that should be avoided due to their association with excessive joy, lightheartedness, or distraction from mourning. Entertainment and Recreational Outings The Rambam writes (Hilchot Ta'aniyot 5:1) that the proper response to communal suffering is to reflect and act—not to carry on with business as usual. For this reason, it is customary to avoid outings and events that are designed purely for fun or celebration . This includes: Attending concerts, comedy shows, musical performances, or theater productions Going to amusement parks, carnivals, bowling alleys, or arcades Group activities or trips organized for entertainment and leisure Recreational barbecues, parties, or similar festive gatherings The She'elat Ya'abets and Ben Ish Hai (Parashat Devarim) both emphasize avoiding such joyous outings during this period. Rav Moshe Feinstein (Iggerot Moshe, O.C. vol. 3, siman 87) also addressed recreational gatherings and ruled that they should be avoided even when music is not involved. Sports and Physical Activity Recreational sports are another category of concern. While physical activity for health is permitted, engaging in sports for fun—especially if competitive and emotionally charged—should be avoided. Casual jogging or gym workouts for health reasons are permitted . Joining in competitive team sports, tournaments, or pickup games, especially those that attract crowds or bring heightened excitement, are discouraged . Swimming for fitness may be permitted during the Three Weeks, but not during the Nine Days. The Mishna Berura (O.C. 551:16) cites that joyous activity should be limited even during the early part of the Three Weeks, especially when it mimics festivity. Poskim such as Rav Shmuel Kamenetsky extend this to include sporting events with celebratory atmospheres. Shopping for Enjoyment During the Three Weeks, one should refrain from shopping for enjoyment , even if no Beracha Shehechiyanu would be required. This includes: Buying new clothing, shoes, jewelry, accessories, or electronics Making home décor upgrades or indulging in hobby-related purchases Shopping sprees or window-shopping done for leisure Essential purchases (like school supplies or items urgently needed) are permitted. If one finds a limited-time deal or discount that will not be available later, they may buy the item during the Three Weeks but should wait to use it until afterward , if possible. This is ruled by Rav Moshe Feinstein and others (Iggerot Moshe, O.C. vol. 3, siman 80). Travel and Leisure Trips The Three Weeks are also considered a time of danger (see Shulchan Aruch O.C. 551:18), and for this reason, many refrain from leisure travel or long road trips. Rav Ovadia Yosef (Yechave Da'at 1:37) writes that unless there is a real need, vacation trips should be postponed until after Tisha B'Av. This includes: Cruises, resort stays, or beach vacations National parks or nature sightseeing trips Visiting distant relatives for enjoyment rather than necessity However, if the travel is required for business, medical needs, family obligations, or other pressing reasons, it is permitted—though one should still avoid turning it into a joyous excursion. Maintaining the Right Tone Some mistakenly believe that the Three Weeks require sadness or depression. On the contrary, the Torah teaches that a Jew must always serve Hashem with joy (Devarim 28:47). But during periods of national mourning, the tone of that joy must be subdued and introspective. The Gemara in Ta'anit 30b teaches, "Mi'shenichnas Av, mema'atin b'simha"—as the month of Av begins, we reduce our joy. We do not eliminate joy, but we avoid external expressions of frivolity and celebration. This balance is echoed by the Aruch HaShulchan (O.C. 551:23) , who writes that one's behavior during these days should reflect a seriousness and awareness of our national losses, even if one continues to smile, work, and engage with others normally. Summary During the Three Weeks, one should avoid: Concerts, shows, amusement parks, and festive outings Competitive or recreational sports done for fun Unnecessary shopping for non-essential or luxury items Travel taken for leisure or vacation Parties and gatherings unrelated to Misvot This helps us remain focused on the deeper meaning of this period—a time to reflect, mourn, and yearn for the rebuilding of the Bet HaMikdash.

The show opens with a discussion over mental health and political ideology. It should not be surprising, but the more emotionally unhinged and mentally unwell, the more likely you will lean Left. I needed an extra day to process my thoughts on Ukraine's attack on Russia's nuclear bombers. It's not the win the media and the Left want you to think it is. In fact, our whole world moved a lot closer to WWIII than most are willing to admit. The “Free Palestine” movement really needs to be declared a terrorist organization. They really did bring the intifada here and it will continue to escalate if we do not respond proactively now. We just now learned the FBI had a way to hide documents and evidence in their system, which would make it almost impossible to find. This explains why so many investigations seem to stall or get lost once inside the FBI. This also provides a reminder to the audience to be a little more patient with the time it's taking the DOJ and the FBI to go after the corrupt and the law-breakers. According to the Secret Service, Joe Biden would get lost in his own closet. The more we learn, the more it seems Jill Biden was a lot closer to Lady Macbeth than anyone knew. Pam Bondi has announced several arrests in the “swatting” ring that was endangering 100s of Trump supporters and elected officials. It looks like more arrests may be coming. Finally, the Left is still trying to figure out how to keep from losing the male vote, especially the young, male vote. As long as they keep demonizing Alpha males and putting up weak Beta's as examples, they will continue to lose the male vote. Let me clarify for the audience that does not follow closely.  Tariffs are paid by the importer based on the wholesale price of the product as delivered by the exporting country depending on the exporters' tariff rate.  Tariffs are NOT LEVIED/PAID based on the retail price of the product as sold to the consumer. Example:  A pair of Denim Jeans made in China for Guess Brand.  The Chinese manufacturer sells the jeans to Guess Brand for $10 a pair manufactured.  Guess sells the jeans at retail in the USA for $100 (a $90 gross profit). A 50% tariff on China means the jeans cost Guess Brand $15 instead of $10 (an $85 gross profit).  A 50% tariff on Guess brand jeans, that retail for $100, changes the cost to the retail brand by $5. Multinational corporations who have off shored their production and manufacturing to China are the ones screaming about tariffs.  Ultimately in the final analysis, President Trump is exposing corporatism, multinational corporate vultures; he is not necessarily just exposing China. In the example above the company makes $85 gross profit as opposed to $90 gross profit on the pair of jeans if they do not raise the retail price.  They don't raise the price because their profit margins are already ridiculous, and that's why consumer prices do not go up. A 50% direct tariff on Chinese goods only marginally hits the multinational corporation.  American consumers need to understand this dynamic better.    WATCH:  MARGARET BRENNAN: But for consumers, the reality is there will either be less inventory or things at higher prices, or both. SEC. BESSENT: Margaret, when we were here in March, you said there was going to be big inflation. There hasn't been any inflation. Actually, the inflation numbers are the best in four years. So why don't we stop trying to say this could happen, and wait and see what does happen.
