In the decision, Vice Chancellor Lori W. Will applied, for the first time, the statute's heightened presumption of independence for directors of public companies determined by the board to be independent under the relevant NYSE or Nasdaq listing standards to dismiss derivative claims on demand futility grounds.In conducting the demand futility analysis, which looks to whether a majority of the board can independently consider a stockholder demand to bring derivative litigation, the Court reasoned that the new statutory language requiring a plaintiff to plead “substantial and particularized facts” to rebut the “heightened” presumption of independence sets a higher bar than under pre-existing law. Specifically, the Court held that the addition of “substantial” to the existing standard that already required particularized facts meant that “a plaintiff must plead specific, non-conclusory facts of sufficient qualitative significance to support a reasonable inference of a material interest or relationship that would impair the director's objective judgment.” The Court was clear that it is not a matter of quantity but rather quality, observing that “a collection of trivial facts” will not rise to the level of materiality required to satisfy this “heightened” standard. The department issued a technical release in April warning that proxy advisory firms may be subject to ERISA fiduciary standards and that proxy voting is a fiduciary act under the law that must be carried out “for the exclusive purpose of maximizing risk-adjusted return.”From the technical release in April: The Department has long recognized that voting rights and other shareholder rights attributable to shares held by ERISA-governed employee benefit plans are plan assets in their own right. Accordingly, management of those rights is subject to ERISA's fiduciary duties, including the duties of prudence and loyalty. The Department first issued guidance on this topic in the 1980s. Mark is in Fettercairn in Aberdeenshire where a garden designed for this year's Chelsea Flower Show has made its way to the local distillery. He finds out about the inspiration behind the Angel's Share Garden which won a silver gilt medal at the show.Earlier this week a major world conference in agritourism was held in Aberdeen. The inaugural Global Agritourism Conference brought hundreds of delegates from all around the world to share data, research and their personal stories. They also went on several visits to locations across Scotland and Rachel caught up with some of them at Thorneybank farm shop near Inverurie.Mark Stevens is a model maker based in the Black Isle whose creations are made from junk and things that he finds on the roadside. Our Mark goes to visit him in his workspace to hear how he got into model making and see some of his latest creations.The village of Tomintoul in Moray, one of the highest villages in Scotland, is celebrating its 250th anniversary. To mark the occasion sculptor Helen Denerley has created three life size roe deer statues located in the middle of Tomintoul. Rachel went along to see them being installed and hear more about the project.Plantlife Scotland has carried out an emergency translocation of the rare Aspen Bristle Moss, after a fallen Aspen tree put the species' Scottish population at risk. Deep in the Abernethy Forest Reserve in the Cairngorms, Mark heads out to look for it which proves rather tricky…We hear about Cycling UK's newest multi-day bikepacking route, Gallovidean Gravel. It's the charity's first fully Scottish route and explores Dumfries and Galloway.Our Orkney colleague Evie McGowan spent a night in the UK's most northerly bothy which has recently been renovated. In this episode of The IT Experts Podcast, we explore one of the most powerful leadership skills any MSP owner can develop: self-awareness. While many business conversations focus on strategy, sales, systems, and growth, this discussion takes a different path. It is about recognising the impact your behaviour has on other people. Every leader influences the confidence, motivation, and performance of their team. When leaders become more aware of how they communicate, react under pressure, and set expectations, they create an environment where people can thrive.     A key moment in the discussion centres around behavioural profiling and understanding different communication styles. Mark shares how learning about his DISC profile helped him recognise that not everyone thinks, works, or processes information in the same way. What felt obvious and straightforward to him often felt overwhelming or unclear to others. Developing greater self-awareness allowed him to adapt his communication and lead people more effectively.     The conversation also explores the relationship between self-awareness and emotional intelligence. Mark talks openly about recognising the impact of stress, fatigue, and even lifestyle choices on the way he interacted with his team. Rather than allowing frustration to dictate his behaviour, he learned to pause, reflect, and respond more intentionally. This shift created stronger relationships and helped build trust throughout the business.     One of the most powerful themes throughout the episode is the idea that leadership starts with personal responsibility. It is easy to blame team members when results are not where you want them to be. It takes courage to hold up the mirror and ask what role you might be playing in the situation. Julie introduces the concept of "Can't, Won't, Don't", a framework that helps leaders understand whether team members lack capability, confidence, motivation, or clarity. Instead of assuming people are underperforming, leaders are encouraged to become curious and seek understanding.     As self-awareness increases, leaders become better equipped to identify the real barriers holding their teams back. They stop reacting emotionally and start creating conditions where people can succeed. This leads to improved communication, stronger accountability, and greater engagement across the organisation.     Mark also shares how greater self-awareness transformed the culture inside Mark1 IT. What was once a source of frustration became a business environment he genuinely enjoys. Team members became more confident. Conversations became more productive. The business became more structured and aligned. Most importantly, people started taking ownership and making decisions with confidence.     The discussion highlights another important lesson for MSP owners. Self-awareness is not a destination. It is an ongoing process. Every stage of business growth brings new challenges, new responsibilities, and new opportunities for personal development. The leaders who continue to learn, reflect, and adapt are the ones who create sustainable success for themselves and their teams.     Throughout the episode, Ian, Julie, and Mark remind us that people are the most valuable asset in any business. From the outset, we explored the pressures and mental blocks that many MSP owners face when trying to scale their business. Mark spoke openly about the fears that hold MSP leaders back, especially those “little voices” in our heads that tell us to stick with what we know. These ingrained habits often stem from childhood or past experiences and can sneak into the way we lead, even if they no longer serve us. Mark shared a great story about how, despite knowing it made little sense, he still puts his teacup away upside down because that's the way his nan did it. This idea of unconscious habits translates directly into MSP businesses. Far too many business owners find themselves stuck in ways of working simply because “it's always been done that way.” This can be a huge barrier to scale.  Mark opened up about his own journey as an MSP owner, and the shift he had to make from being the technical doer to becoming a real leader. He described how easy it is to fall into the trap of thinking you have to control everything, which is often rooted in ego. It takes real self-awareness to admit you cannot do everything yourself if you want your MSP to scale. Mark recommended reading “Ego is the Enemy” to anyone in a leadership position. He pointed out that while confidence gets you started, ego can hold you back, especially when it comes to recruiting and trusting new team members. If you want to scale your MSP, you need to learn to delegate, trust your team, and stop micromanaging. It is only when you truly let go and empower others that the business can scale without you being the bottleneck.  One of the major breakthroughs Mark discussed was the moment he realised that rapid staff turnover was blocking his ability to scale. After the instability of COVID, Mark's MSP was not set up for sustainable monthly recurring revenue, and this created a lot of stress and financial pressure. When he looked back 18 months ago, he saw that the key to unlocking scale was not charging ahead with sales or new projects, but actually slowing down and building a solid foundation with the right people, processes, and a strong people-first culture.  Mark stressed the importance of getting clear on your vision, mission, and values as an MSP. He explained that staff retention and engagement skyrocketed when he invested time in making these principles central to his business. He shared how regular “staff rhythm and review” sessions became a game changer. Instead of the old three-month probation, new staff now get a six-month induction and then join quarterly reviews that align with company objectives. Every team member knows how their work supports the bigger picture. Mark has seen first-hand how this level of clarity helps an MSP scale faster, because the team are all moving in the same direction and feel valued.  Another powerful tip was the need for welfare checks and genuine care for staff wellbeing. Mark talked about introducing regular check-ins, recognising when someone is struggling, and creating a safe environment for people to speak up. This shift away from the old “get on with it” mentality, which so many MSP owners grew up with, allows team members to bring their best selves to work and prevents issues from growing in the background. A happy, motivated team is the heartbeat of any MSP, and looking after your people is one of the fastest ways to scale.  Throughout the episode, we discussed how letting go of old habits and beliefs, trusting your team, and investing in leadership development are all non-negotiable for any MSP owner wanting to scale. Mark's story shows that real scale happens when you slow down, review the bottlenecks in your business, and then deliberately build systems and accountability around them. He shared examples of how this approach improved everything from customer satisfaction to quotation processing, quality control, and ultimately staff retention. The result is not only a more productive business, but one that people genuinely want to be part of.  We wrapped up with Mark's three top tips for any MSP owner ready to begin their own journey to scale. First, find someone you respect to give honest feedback on your leadership style and be willing to listen. Second, have vulnerable, open conversations with your team and do not be afraid to make tough decisions if the fit is not right. Mark's journey is proof that slowing down is not a sign of weakness, but the fastest way to truly scale your MSP.
