The Corporate Transparency Act (CTA) is a sweeping federal statute requiring individuals with significant interests in LLCs and other entities registered under state or tribal law to disclose personal information, unless explicitly exempt. This information is stored in a Treasury Department database maintained by the Financial Crimes Enforcement Network (FinCEN) and accessible by the IRS, federal and foreign law enforcement, and intelligence agencies without court approval. (State authorities must obtain judicial authorization.) Affecting over 32 million entities, the CTA imposes severe penalties for noncompliance, including fines of up to $10,000 and imprisonment. Initially set to take effect on January 1, 2025, for pre-existing entities, the implementation timeline has been disrupted by legal challenges.Join us as we delve into the constitutional controversies surrounding the CTA. Our speaker, Prof. Thomas Lee, was the lead lawyer in NSBA v. Yellen, the first of the CTA lawsuits filed in the Northern District of Alabama in November 2022. The district court issued a permanent injunction on March 1, 2024, igniting a wave of similar lawsuits, including Texas Top Cop Shop, where a nationwide preliminary injunction was granted in May 2024.The Supreme Court is currently considering a stay application in Texas Top Cop Shop, and the Eleventh Circuit's decision on the government's appeal in NSBA v. Yellen remains pending. Dean's chat welcomes Dr. Michael Dujela! Dr. Dujela practices in Olympia Washington and is currently the fellowship Director for the Advanced Surgical Foot and Ankle Fellowship- Washington Orthopedic Center. Listen in, as we dive deep into what fellowship training can offer. We'll hear the personal experiences of Dr. Dujela and how fellowship for him was an opportunity to finesse his skills and seek different opportunities.   He graduated from Brigham Young University with a Bachelor's in Science. He continued his Graduate education studying Genetics at Westchester University before going on to complete his Podiatric Medical Degree with the Ohio College of Podiatric Medicine. He completed his surgical residency training under Dr. Gerard Yu at the Foot and Ankle Surgical Residency Training Program, at University Hospitals Health System, in Southwest General Cleveland, Ohio. His journey continued into private practice and a desire to seek additional training experiences internationally. Tune in, as he describes this process and how he took his family with him on this journey through a Multi-Center, European AO Fellowship with multiple leaders in Foot and Ankle Surgery. Come along as he describes the opportunity he had to work in different hospitals in six different cities throughout Germany and Switzerland. He then went onto complete a US based Fellowship program under Dr. Thomas Lee, MD and Dr. Chris Hyer DPM at the Orthopedic Foot and Ankle Center in Columbus Ohio before returning to his practice in Washington.   We also discuss his experiences working in a multitude of leadership positioning throughout the profession including: current President-elect for the American Board of Foot and Ankle Surgeons and the American College of Foot and Ankle Surgeons; Chairman for the Annual Scientific Conference for the American College of Foot and Ankle Surgeons this year. He is the Past Chairman and a 5-year committee member of the National Education and Scientific Affairs Committee with the American College of Foot and Ankle Surgeons and has been Instrumental faculty in the collaborative effort between the AO Foundation and the American College of Foot and Ankle Surgeons to bring back the basic surgical principal courses offered through the AONA. Thomas Lee, Harvard University Since the first seismograms were recorded in the late 19th century, the seismological community has accumulated millions of ground motion records on both paper and film. While almost all analog seismic recording ended by the late 20th century, replaced by digital media, the still-extant archives of paper and film seismograms are invaluable for many ongoing scientific applications. This long-running record of ground motion is crucial for developing understanding of how both natural and anthropogenic events have changed the Earth and its processes throughout the last century. Today, most of these records are housed in institutions with limited resources, which must prioritize certain objects or types of objects for preservation and access. For example, when seismologists today are forced to triage collections, the bulky paper-records are oftentimes more at-risk for deaccessioning than more compact film copies. However, alterations introduced in reformatting (i.e., paper to film) as well as preservation requirements of the various records are not often fully understood or appreciated. To make these decisions in an informed way, it is vital to know the stability of the recording media and the level of accuracy that can be obtained from these different records. For example, image distortion and available color depth in paper and microfilm copies can result in discrepancies in derived time series which could lead to significant errors in products such as earthquake magnitude and location. We present lessons learned from recent experiences with modern archiving and processing of legacy seismic data. These include techniques for data rescue (including both scanning and conversion to time series), the importance of characterizing the full processing chain, and the importance of involving archivists and citizen science in preservation efforts.

Welcome to the Hughes Hubbard Anti-Corruption & Internal Investigations Practice Group's podcast All Things Investigation. In this podcast, I joined by Hughes Hubbard Special Counsel, Thomas Lee to discuss the recent decision declaring unconstitutional the Corporate Transparency Act (CTA) in the case of NSBA v. Yellen. Thomas Lee  specializes in appellate law and constitutional issues. With nearly a decade of tenure at the firm and an impressive 21 years of teaching constitutional law at Fordham Law School, Lee is highly respected in his field. Lee and the HughesHubbard team brought the lawsuit on behalf of the National Small Business Association arguing the CTA was a constitutional over-reach, as it mandated the reporting of beneficial ownership data to combat money laundering and criminal activities. The constitutional claims included no Congressional authority for this regulation, privacy concern and lack of a foreign treaty ratified by Congress requiring the law. Drawing from his extensive background in constitutional law, they successfully argued that this federal regulation challenges traditional state regulation of entity formation and exceeds governmental power. #033- Today we speak with Thomas Lee from First Place For Youth.  First Place For Youth, headquartered in downtown Oakland, serves transition age foster youth - ages 16-25 in five Bay Area Counties, plus Los Angeles County.  First Place for Youth provides vocational and life skills so these youth can problem solve and live through the seasons of life.  The organization's goal is to….“change the child welfare system into a child well being system where we are making sure in the most simplest terms that every young person who is aging out of foster care has a fighting chance to be able to go out and achieve their own hopes and dreams.”  The organization was founded in 1993 by Amy Lemley and Deanne Pearn, 2 graduate students attending Cal's Goldman School of Public Policy.  They were struck by how many foster youth found themselves in poverty and homeless after aging out.
