The Corporate Transparency Act (CTA) is a sweeping federal statute requiring individuals with significant interests in LLCs and other entities registered under state or tribal law to disclose personal information, unless explicitly exempt. This information is stored in a Treasury Department database maintained by the Financial Crimes Enforcement Network (FinCEN) and accessible by the IRS, federal and foreign law enforcement, and intelligence agencies without court approval. (State authorities must obtain judicial authorization.) Affecting over 32 million entities, the CTA imposes severe penalties for noncompliance, including fines of up to $10,000 and imprisonment. Initially set to take effect on January 1, 2025, for pre-existing entities, the implementation timeline has been disrupted by legal challenges.Join us as we delve into the constitutional controversies surrounding the CTA. Our speaker, Prof. Thomas Lee, was the lead lawyer in NSBA v. Yellen, the first of the CTA lawsuits filed in the Northern District of Alabama in November 2022. The district court issued a permanent injunction on March 1, 2024, igniting a wave of similar lawsuits, including Texas Top Cop Shop, where a nationwide preliminary injunction was granted in May 2024.The Supreme Court is currently considering a stay application in Texas Top Cop Shop, and the Eleventh Circuit's decision on the government's appeal in NSBA v. Yellen remains pending. Welcome to the Hughes Hubbard Anti-Corruption & Internal Investigations Practice Group's podcast All Things Investigation. In this podcast, I joined by Hughes Hubbard Special Counsel, Thomas Lee to discuss the recent decision declaring unconstitutional the Corporate Transparency Act (CTA) in the case of NSBA v. Yellen. Thomas Lee  specializes in appellate law and constitutional issues. With nearly a decade of tenure at the firm and an impressive 21 years of teaching constitutional law at Fordham Law School, Lee is highly respected in his field. Lee and the HughesHubbard team brought the lawsuit on behalf of the National Small Business Association arguing the CTA was a constitutional over-reach, as it mandated the reporting of beneficial ownership data to combat money laundering and criminal activities. The constitutional claims included no Congressional authority for this regulation, privacy concern and lack of a foreign treaty ratified by Congress requiring the law. Drawing from his extensive background in constitutional law, they successfully argued that this federal regulation challenges traditional state regulation of entity formation and exceeds governmental power. China has stolen our technology, fused their civil and military economies together, and are now negotiating with Russia. President Biden issued the first veto of his presidency, rejecting a bill that would force financial institutions to maximize the return of investors so they can instead focus on ESG and climate change. Republicans are trying to protect the retirement savings of elderly Americans, but Biden is claiming Republicans are the ones trying to destroy them. Totalitarians have perfected the art of changing the language, and the radical left has done this to push their Marxist agenda. The enemy is getting stronger and stronger, and these pseudo-Conservatives have no official position for stopping it. Also, Donald Trump has done things for the American people that none other President has. Establishment Republicans have always hated him because they wanted Jeb Bush, and smear anyone in the party who defends Trump. Landmark Legal Foundation led the way showing that the NSBA worked with the DOJ, the Department of Education, and the White House to push for federal law enforcement investigations into parents speaking out against CRT in schools. The Garland memo classifying parents as domestic terrorists was unconstitutional and exposes how far the Biden administration went to silence political opponents. Also, the Manhattan Grand Jury in Donald Trump's case was told to stay home today, which means there is either disagreement in the DA's office or that Alvin Bragg and his staff do not think they can get a majority of the jurors to go along with their plot. They're starting to downplay the Manhattan case while building up cases in Georgia and D.C which is appalling. The courts in D.C. are working faster than ever and are packed with left-wing Democrats to take down Trump at any cost. Next, Governor Ron DeSantis and Donald Trump are the two leading candidates for the Republican nominee for President, and we're going to need every vote to win in 2024. Some Republicans would rather lose based on their positions which are not necessarily conservative positions than win the presidency, which will doom the country and re-elect President Biden. Protesting parents were called “domestic terrorists” and the NSBA wanted them looked at under the Patriot Act. Ducey gets right with Covid and signs bill prohibiting vaccine mandates in our public schools. Study shows parents pulled kids in greater numbers from locked down/virtual schools during Covid hysteria.    Knut emails Jeff to share Flagstaff's possible first in the nation carbon dioxide removal (CDR) 26:53-43:25 plan as part of their carbon neutral by 2030 plan which will surely be expensive and most likely ineffective. + Jeff talks about a USA that can't feed its baby's and rely on foreign country for formula. Things were destined to go bad  when 50% are relying on the government for baby formula. The future of schools is changing. The current education system is in need of change more than ever. Schools should focus on what students want to learn, and not what teachers want to teach them. Students should have the opportunity to explore their interests and passions in a safe environment.   The nation's schools are under more pressure than ever to educate kids for an information-rich, high-tech, entrepreneurial, global economy that demands a highly trained, informed, adaptable, and competent workforce. Today, postsecondary education is required for 80% of well-paying occupations.   A school that embraces design thinking will be able to create a more innovative environment for students by encouraging them to experiment with new ideas, engage in teamwork, take risks, and develop relationships with other students who have different skillsets from them.  The design process is one that starts with a problem and works through the steps of finding the solution.   Today's guest, Thomas Murray works with Future Ready Schools as the director of innovation. Doc clarifies the issues around threats toward school officials, discusses the National School Board Association's (NSBA) under-informed hyperbolic letter to president Biden, Attorney General Merrick Garland's knee jerk memo directing the FBI to figure out strategies to address school threats within the next 30 days, reactions from state-level school board associations, and how your local school district board of education might implement changes including recording audiences attending board of education (BOE) meetings. Doc matches solutions to these issues and also refreshes our minds to how similar matters have been effectively addressed in the past, including FDR's 1930s letter writing campaign. NSBA LETTER TO BIDEN REGARD THREATS TO SCHOOLS. On September 29, 2021, the NSBA, an advocacy group, sent a letter to President Biden with the heading: Federal Assistance to Stop Threats and Acts of Violence Against Public Schoolchildren, Public School Board Members, and Other Public School District Officials and Educators. In the letter, NSBA rolled off this 97-word sentence in which it put some parents in the arena with domestic terrorists: “As these acts of malice, violence, and threats against public school officials have increased, the classification of these heinous actions could be the equivalent to a form of domestic terrorism and hate crimes. As such, NSBA requests a joint expedited review by the U.S. Departments of Justice, Education, and Homeland Security, along with the appropriate training, coordination, investigations, and enforcement mechanisms from the FBI, including any technical assistance necessary from, and state and local coordination with, its National Security Branch and Counterterrorism Division, as well as any other federal agency with relevant jurisdictional authority and oversight.” AG GARLAND MEMO TO FBI. On October 4, 2021, US Attorney General Merrick Garland send a memorandum to the Director of Federal Bureau of Investigation directing the FBI to convene meetings with federal, state, local, Tribal, and territorial leaders in each federal judicial district within 30 days in order to facilitate strategies for addressing threats against school administrators, board members, teachers, and staff, and will open dedicated lines of communication for threat reporting, assessment, and response. STATE SCHOOL BOARD CHAPTERS NOT ON BOARD. The organization Parents Defending Education is curating a running tally of state school boards that have withdrawn from NSBA over the Biden letter (18 state school board associations have bailed from NSBA) as well as state school board associations answers to the following three questions: (1) As the [state association] has not yet commented on the National School Board Association's September 29 letter to President Biden that requested federal intervention in local school board issues – which likened civic participation to “domestic terrorism and hate crimes” and cited the Patriot Act – Parents Defending Education (PDE) would like to know whether your organization was involved in the creation of this letter and whether you agree with its substance and tone. If not, have you contacted the NSBA to let them know? (2) Can you please tell us how, going forward, your organization defines “intimidation,” harassment,” and “threat”? (3) Finally, do you plan to report individuals in your state to the U.S. Department of Justice – or do you believe that concerns can be adequately managed by local and state law enforcement? STATE RESPONSES BURN NSBA. It's apparent that state's are displeased with NSBA and the Garland Memo. Here's the Delaware School Board Association response to PDE's questions: “The DSBA has seen school board meeting protests, some of which have become quite impassioned, however we have received NO reports of violence or threats of violence toward school staff or school board members.  The DSBA does NOT condone violence or threats of violence toward students, staff or board members.  After consultation with the Governor's office, the Public Health Department and the Delaware Department of Education the DSBA developed and issued guidance to school board presidents regarding how to best handle school board meeting protests, which included the ultimate use of LOCAL law enforcement if absolutely necessary.  This guidance was issued prior to the NSBA September 29 2021 letter.  The NSBA letter to President Biden was unnecessary and quite frankly not helpful.” ARE THERE OTHER OPTIONS? Doc believes threats of violence toward school officials is happening, but over-stated by NSBA and Garland. Also, the National Threat Assessment Center has been effective in mitigating school threats for 20 years. Reviewing school board meeting video footage is at the bottom of the FBI's prioritization list. FDR ASKED FOR LETTERS. When FDR was president, the country was hammered by the Great Depression and fears of war. In his fireside chats, he asked listeners to write letters to him describing their plights. More than 8,000 letters a day arrived at the White House - many accusatory and fiery. Doc described why this approach worked, and how it might be one of the strategies considered to make people feel that they are being heard. FOLLOW DR. Then Keri shares an analysis from her pastor blaming much of today's leftist dysfunction on an over abundance self-esteem. Carter disagrees, arguing that what we're seeing is a lack of true self-esteem, which is being replaced by a cheap secondhand substitute for self-esteem. When Carter brings up a "mama bear" meme shared by the wife of a couple arrested for selling nuclear secrets, Keri explains the existence of the "mama bear" group, and the two speculate on the psychology of women who seek to infantilize the "oppressed."
