“No parent should have to outlive their child.” It is a saying most of us have heard before. For parents who have to continue on after losing a child, the question becomes, how do you cope?Sedona Wan de Guzman faced challenges from the moment she was born. She arrived three months early, suffered a brain injury, spent six months in intensive care, underwent brain surgery and was eventually diagnosed with hemiplegic cerebral palsy.Still, to the amazement of her doctors, nurses, and even her parents—Amy Wan and Jonar de Guzman—Sedona was making great progress.Throughout the process of finding the right treatments for their little girl, Wan and de Guzman joined support groups with other parents navigating through the same process. They quickly learned that caring for a child with special needs was hard, but for single moms, those with language barriers, or those who have to leave their child to work and tend to the needs of other loved ones, the process is much harder.Just 17 months later, Sedona developed meningitis, a type of infection that causes swelling in the brain and spinal cord. Thank you for coming out and being interviewed. You deal in an area of expertise of the law that’s beyond my scope of understanding. You’re bringing it down to where people like me can participate, and I definitely want to get into that part of it. I promise we’ll keep this about 30,000 feet as much as possible and we’ll drill down when we need to because I know the law. You can go down some rabbit holes. Tell us a little bit about yourself and how you became the securities and syndication guru that you are. I actually started my career in the federal government. We were doing interesting things in DC, international trade and international regulatory affairs. When I moved back to LA, there’s not much of an international trade law industry out in LA except for import-export compliance paperwork which was very different from negotiating free trade agreements. I started over. I became general counsel of an early stage real estate crowdfunding platform at that time. The interesting thing about that crowdfunding platform is that I had to deal with two different areas of law, one on the real estate lending side and then one on the actual security side. We did private lending. We would make hard money, private money loans to folks flipping houses and then we would fractionalize those loans and turn it into a security and sell it to accredited investors through our marketplace. The Promise and Peril of Blockchain and ICOs with Amy Wan
On today’s show we welcome Amy Wan, an attorney who specializes in real estate fund syndication for entrepreneurs. Amy is based in Los Angeles, where she runs her company Bootstrap Legal. The underlying goal of the company is to democratize access to legal council by decreasing the amount of billable hours for drafting legal documents. Amy had not intended on going into law and, in fact, she was studying biology towards being a doctor or pharmacist. After going through the motions of her degree she eventually landed in USC Law School studying human rights law and later international trade law. Amy then moved to California with her husband and found a job at Patch of Land. It was here that she became interested in the idea of legal access democratization, something she would draw from with her own company. Title IV of the Act, however, is proving to be where the real action is. The SEC’s implemented the rules for Regulation A+ on June 19. An article by Amy Wan at Crowdfund Insider provides some key statistics about offerings being conducted under the act. 105 offerings were filed, 44 of which were “qualified” by the SEC. Elio Motors raised almost $17 million earlier this year. Paul Elio joined me twice in the last year to discuss his offering, here and here. The scale of that offering suggests appropriately that Reg A+ offerings are not intended for idea-stage or seed-stage transactions. They may be best seen as a path to an early and more affordable IPO, as the shares of a company that has completed a Reg A+ offering can be listed.
