From The Vault:Private Investigators and Dealmakers are Teaming up More Often than Ever!We covered an unusual topic in this episode, that we learned wasn't so unusual afterall. Private investigations within the M&A space. As buyers and sellers become more leary of the trustworthiness between them during dealmaking, the advisory team is completing the circle of trust by having what they disclose verified. Our guest today is Tom Jaeb, Founder and Managing Director of JR Risk Advisors. Tom's background in private investigations goes back to working with his brother's PI firm in 1993. When that firm sold, he and his brother took a year off to honor the Non Compete and then launched J2 Risk Advisors. This time around, their sole focus is on M&A transactions, being hired by PE firms, Investment Bankers, and others in the Dealmaking space. They verify all kinds of information that has been disclosed, and watch for red flags in areas that could be missed by the untrained eye.You'd think that a credit report, courthouse search, and online search would bring up enough to make a case for or against a deal going through, but J2 digs deeper. They conduct research that examines the Press, Social Media, College Degrees, and other background sources as well.Tom says that most deals are free of 'red flag' items that would derail a transaction. However, he said that each search uncovers things that weren't necessarily discussed or disclosed, simply because the buyer or seller didn't think it was relevant. Say for instance a lawsuit settlement that the company was a party to 10 years ago. The key to deciding whether research and analysis are necessary is to determine if there are patterns of behavior or isolated incidents. When it's a pattern, it's a red flag, but if it's something that happened once many years ago, they're not going to be as concerned.Tom shared some intriguing client stories that you will find surprising! He said that Private Investigations during the dealmaking stages are more common than you think. We covered the big commercial hit album "Brothers In Arms" back in episode 154, but many afficianados of Dire Straits consider their finest work to be the album that preceeded this one. Love Over Gold is their fourth studio album, released in late September 1982 and on the charts in June 1983. For this album, prime mover and lead vocalist Mark Knopfler, bassist John Illsley, and percussionist Pick Withers are joined by new members Hal Lindes on guitars and Alan Clark on keyboards. The songs on this album are longer than your standard single, particularly the majestic 14-minute "Telegraph Road." Despite their length, "Private Investigations" was released as a single in the UK and reached number 2on the charts. The shortest song, "Industrial Disease" (still clocking in at 5:50) was released as a single in the US. It would reach number 75 on the Billboard Hot 100, but would be a staple of rock radio stations at the time.A number of songs were written and recorded during the "Love Over Gold" sessions, but subsequently discarded from album release. Amongst these was the song "Private Dancer," which was instead provided to Tina Turner for her comeback album of the same name. Turner would take this song to number 7 on the US charts, and see her career reinvigorated by the success of her "Private Dancer" album."Love Over Gold" was a number 1 album on a number of charts, including Australia, Austria, and the UK, and reached number 19 on the US Billboard 200 albums chart.Rob brings us this outstanding, deep, and thought-provoking album for this week's podcast.Telegraph RoadThis lengthy masterpiece was inspired while Knopfler was riding in his tour bus down the 70-mile road of the same name. The song narrarates the development and history along the road as the decades roll past. It is easy to describe this song as prog rock, but it also contains one of the best guitar solo riffs you will hear. Industrial DiseaseGoodness me, goodness me! We have to highlight the US single from the album. The title comes from a term for work-related illness, and the term in this song references both individual work illness and the decline of British industry in general. The reference to Dr. Parkinson is a British professor and satirist who is famous for the phrase "work expands to fill the time available for its completion." ENTERTAINMENT TRACK:Overture to the Marriage of Figaro by Mozart (from the motion picture “Trading Places”)Eddie Murphy and Dan Aykroyd star in this comedy about a yuppie and a homeless man who are forced to trade places as the result of a bet by two rich stock brokers. STAFF PICKS:Murder By Numbers by The PoliceBruce initiates the staff picks with a dark song about becoming a serial killer. This Police song appears on the cassette and CD version of the album "Synchronicity," but was left off the vinyl due to lack of space. It was written by Sting and Andy Summers, the only collaborative song on the album, and was recorded in a single take. Rock of Ages by Def LeppardLynch brings us a huge song from Def Leppard's "Pyromania" album. Producer Mutt Lange counts off the nonsensical "Gunter Glieben Glauten Globen," to open the song, and the lyrics form an anthem suitable for arena show openers. Joan Jett's "I Love Rock 'n' Roll" was an inspiration to the creation of this anthem.Don't Pay the Ferryman by Chris deBurghWayne's staff pick takes a fantasy approach to the story of Charon and the crossing of the river Styx, advising not to pay until the trip is done. Irish artist Chris deBurgh broke into the US top 40 with this song, peaking at number 34. Lines from Shakespeare's play "The Tempest" can be heard in the bridge to the song.The Walls came Down by The Call Rob finishes the staff picks with a song that is inspired by the Biblical tale of the fall of Jericho. Lead singer Michael Been would pull biblical references into his lyrics, including this song. The Call formed in 1980 in California, and blended rock, New Wave, and post-Punk. Private Investigators and Dealmakers are Teaming up More Often than Ever!We covered an unusual topic in this episode, that we learned wasn't so unusual afterall. Private investigations within the M&A space. As buyers and sellers become more leary of the trustworthiness between them during dealmaking, the advisory team is completing the circle of trust by having what they disclose verified. Our guest today is Tom Jaeb, Founder and Managing Director of JR Risk Advisors. Tom's background in private investigations goes back to working with his brother's PI firm in 1993. When that firm sold, he and his brother took a year off to honor the Non Compete and then launched J2 Risk Advisors. This time around, their sole focus is on M&A transactions, being hired by PE firms, Investment Bankers, and others in the Dealmaking space. They verify all kinds of information that has been disclosed, and watch for red flags in areas that could be missed by the untrained eye.You'd think that a credit report, courthouse search, and online search would bring up enough to make a case for or against a deal going through, but J2 digs deeper. They conduct research that examines the Press, Social Media, College Degrees, and other background sources as well.Tom says that most deals are free of 'red flag' items that would derail a transaction. However, he said that each search uncovers things that weren't necessarily discussed or disclosed, simply because the buyer or seller didn't think it was relevant. Say for instance a lawsuit settlement that the company was a party to 10 years ago. The key to deciding whether research and analysis are necessary is to determine if there are patterns of behavior or isolated incidents. When it's a pattern, it's a red flag, but if it's something that happened once many years ago, they're not going to be as concerned.Tom shared some intriguing client stories that you will find surprising! He said that Private Investigations during the dealmaking stages are more common than you think. The managing partner of Dinolt Becnel & Wells Investigative Group LLC and the author of two investigative books, Philip Becnel has been a private detective for twenty-five years. His first book, Introduction to Conducting Private Investigations, is on its third edition and has sold over 10,000 copies. His second book, Principles of Investigative Documentation, came out in its second edition in January 2024. Philip's firm specializes in plaintiff-side employment litigation and qui tam investigations, but he investigates “anything worth investigating.” He has testified as an expert witness, including about the reasonable standards of documenting an internal investigation. He has a bachelor's degree in anthropology from George Mason University and a master's in criminal justice from Boston University. He is a licensed private investigator in Virginia, Maryland, West Virginia, and Washington, D.C.

Episode 94 Brianna Maitland 17 year old Brianna Maitland vanished without a trace on Friday night March 19, 2004 after she left her shift at the Black Lantern Inn in Montgomery, Vermont. Her co-workers watched her drive off in her Green 1985 Oldsmobile at around 11:20PM. They had asked her to hang out and share a meal, but she was tired and had to work her second job early the next morning. In the hours after Brianna laft work, her car was spotted by multiple witnesses backed into the wall of a barn house about a mile from the Black Lantern Inn. One of the witnesses was a young man who had dated Brianna. He claimed that he found her car abandoned against the barn home with its doors open and headlights on, but there was no sign of Brianna, so he turned off her lights and shut the doors before leaving. Another witness, a police officer, discovered the car and when he saw Brianna's uncashed paychecks inside from the Black Lantern Inn, he headed there to try and figure out what was going on, but by the time he arrived, they were closed. Rather than report the incident, he left for a long weekend get away, setting into motion a set of cicumstances that caused a delay in anyone even realizing Brianna was missing. Hours after the police officer had come upon the scene, a group of travelers spotted the odd scene of the car backed into the barn. It was so odd, they stopped to take photos and investigate the scene. A broken necklace and some of Brianna's belongings were found inside and outside of the car. The car was towed, and 2 days would pass before anyone realized Brianna was missing. Officially, Brianna was never seen again, although there were reported sightings of her in other states thought to be cases of mistaken identity. Brianna's parents, Bruce and Kellie Maitland, were left to wonder what happened to their daughter. Along the way, they had to hear all kinds of rumors about Brianna, and what may have happened to her and who may be responsible. Brianna's case was thought by some to possibly be linked to the disapperance of Maura Murray, another high profile missing persons case in New England. Maura vanished from New Hampshire a month before Brianna, and as in Brianna's case, her car and odd clues were left behind. The Maitlands found a friend, advocate, and ally in Private Investigator Greg Overacker who has worked doggedly on Brianna's case for years. In this episode, he discusses the case, and tried to sort out fact from fiction. He also discusses the book he wrote on Brianna's case. When Brianna Maitland vanished, she was described as White, with Brown haid and Hazel eyes. She stood about 5ft5 and weight around 116 pounds.
