Welcome to the Hughes Hubbard Anti-Corruption & Internal Investigations Practice Group's podcast All Things Investigation. In this podcast, I joined by Hughes Hubbard Special Counsel, Thomas Lee to discuss the recent decision declaring unconstitutional the Corporate Transparency Act (CTA) in the case of NSBA v. Yellen. Thomas Lee  specializes in appellate law and constitutional issues. With nearly a decade of tenure at the firm and an impressive 21 years of teaching constitutional law at Fordham Law School, Lee is highly respected in his field. Lee and the HughesHubbard team brought the lawsuit on behalf of the National Small Business Association arguing the CTA was a constitutional over-reach, as it mandated the reporting of beneficial ownership data to combat money laundering and criminal activities. The constitutional claims included no Congressional authority for this regulation, privacy concern and lack of a foreign treaty ratified by Congress requiring the law. Drawing from his extensive background in constitutional law, they successfully argued that this federal regulation challenges traditional state regulation of entity formation and exceeds governmental power. In this episode we bust open the troll inspired myth that Marwa Elselehdar, the recent first female appointed sea captain in Egypt was NOT responsible for the Ever Given damn jam in our Patriarchy Alive and Well segment and then we are chatting with Jelena Vermilion from the Sex Workers Action Network (SWAN) Waterloo Region about their work within the Charter Challenge to the majority of sex work laws in Bill C-36. This is important work to ensure that women and gender diverse folks working in sex work receive the support and protection they need to stay safe in their work. All about Jelena: Jelena Vermilion (she/her) is a trans-femme full-service sex worker, porn performer, and activist of almost a decade, who lives with disabilities. She has limited experience being incarcerated, being homeless, working outdoors and on the street, and as an undocumented migrant. She now works primarily out of her rented residence. She has been featured in several national media outlets speaking about decriminalization. Jelena is the Co-Chair of the Sex Workers Action Network (SWAN) Waterloo. She provides professional trainings and public speaking engagements for organizations and agencies who wish to affirm the rights and dignity of sex workers. Notably, Jelena has spoken at McMaster University's School of Labour Studies and the University of Guelph's School of Social Work. In 2018, she was subpoenaed as an expert witness in the R v. Boodhoo case, a Constitutional Challenge to certain sex work laws in Canada. As of March 30, 2021, SWAN Waterloo joined 24 other member groups from all over Canada along with the Canadian Alliance for Sex Work Law Reform to launch another Charter Challenge to the majority of the sex work laws (Bill C-36) currently in place. It's odd that in every other province (Quebec government is appealing the case they lost) except Manitoba you can grow up to four cannabis plants per household. One man, followed by a growing list of supporters is hoping to change that. Jesse Lavoie is launching a constitutional challenge against the law banning recreational growing, which comes with a fine of more than $2,500. Jesse explained the reasons why home growing isn't allowed (hint, they don't make sense as you are allowed to grow for medicinal purposes) and where he's at with the challenge. He also works for Storz & Bickel and gave a great tip for Volcano users. David Wylie of the oz and I dissected the latest stories on This Week in Cannabis News where the restructuring continues at Aurora, some are trying to make medicinal cannabis easier to understand, a legal retail store owner is walking back her comments about the illicit market and we discuss products we love right now. On Jan. 14 the Supreme Court denied the cert petition in State National Bank of Big Spring v. Mnuchin, No. 18-307, which challenged the structure of the Consumer Financial Protection Bureau. At issue was the validity of two key CFPB features—a single director whom the President could remove only for cause, and funding that was independent of congressional appropriations. The bank had been joined in its challenge by the Competitive Enterprise Institute, which coordinated the lawsuit, and the 60 Plus Association. When the case was first filed in 2012, eleven states joined it in a broad challenge to Dodd Frank. After the plaintiffs were dismissed by the district court for lack of standing, the bank’s case was reinstated in a D.C. Circuit decision written by then-circuit judge Kavanaugh—a fact which likely led to his recusal from consideration of the cert petition. The second part is all about the Constitutional Challenge brought by the Toronto Distilling Company to the Liquor Control Board of Ontario’s ambiguous proprietary charge to distillers – a 140% mark-up on all sales by a distiller at their shop. I’ll note that since we recorded this, Ontario’s Finance Minister has announced a 61.5% spirits tax is to be passed in the legislature. This has been largely received as being bad news for micro distillers, and a lot of folks in the whisky world are pisssssssed off with Charles Sousa and Kathleen Wynne.
