Over the last ten years, we have seen a marked shift from the Delaware Chancery Court chipping away at corporate board member liability claims. In a number of seminal cases involving Boeing airplane crashes (In re the Boeing Co. Derivative Litig., No. 2019-0907 (Del. Ch. Sept 7, 2021)), and deadly listeria outbreaks from tainted ice cream (Marchand v. Barnhill, 212 A.3d 805 (Del. 2019)), Delaware Courts have upheld plaintiffs' cases against claims of failing to adequately plead violations of the standards set forth in Caremark, 698 A.2d 959 (Del. Ch. 1996), (establishing basic pleading requirements to withstand motions to dismiss). In this episode, Mike Volkov provides a comprehensive update on the recent Caremark decisions issued by the Delaware Chancery Court, underscoring their importance for accountability and governance in the corporate world.Caremark oversight duties stem from the well-established duty of loyalty and its subsidiary duty of good faith. To plead a Caremark claim, a plaintiff is required to put forth adequate facts from which a factfinder can make a reasonable inference that the fiduciary acted in bad faith. Under Caremark, bad faith can be established when a fiduciary: “(1) utterly fail[s] to implement any reporting or information system or controls," or (2) having implemented such a system or controls, consciously fail to monitor or oversee its operations, which results in a failure to act or attend to a risk or problem requiring their attention or response. Last year, the Chancery Court made a groundbreaking decision, extending the so-called Caremark oversight obligations and governance requirements to senior management in the McDonald's case. In re McDonald's Corp. S'holder Derivative Litig., 289 A.3d 343 (Del. Ch. 2023). This ruling is one of the most significant developments in recent years, advocating for increased accountability for oversight and governance failures.Recent cases, such as the Boeing 737 MAX crashes and the Listeria outbreak from tainted Blue Bell ice cream, have highlighted failures in proper board governance and oversight responsibilities.In a case involving Segway, the Chancery Court dismissed a motion against an officer for failing to detect financial discrepancies, emphasizing the need to demonstrate a lack of good faith in monitoring central compliance risks.The trend in Delaware Chancery Court decisions is moving towards holding directors and officers accountable for failures to act in response to indications of potential illegal conduct, with a focus on bad faith actions.The Boeing case exemplifies the consequences of board members ignoring safety concerns and focusing solely on the bottom line, leading to tragic outcomes that could have been prevented with proper oversight and accountability.ResourcesMichael Volkov on LinkedIn | TwitterThe Volkov Law Group

We discuss his season running at both Hickory and at Wake County and hooking up with Kres Van Dyke to run this season and more!Bryant Barnhill is no stranger to late models or the Solid Rock Carriers Cars Tour. After all, he attempted to run the first race at Southern National so it was only appropriate that he competed in the 100th at Larry King Law's Langley Speedway. The Florence Motor Speedway standout joins JoJo and Julian to discuss his season on the tour so far. From a solid tenth place finish at Florence to some lows including holding his breath to qualify at ACE and the disappointment of not qualifying at Hickory. The Conway South Carolina native tells us about his small team, his foray into the Craftsman Truck Series during Covid and a lot more!Bowman Gray Stadium returned to action after two weeks off due to rain and Lee Jeffrey's picked up his second win of the season in the Brad's Golf Cars Modifieds. Jody and Julian break down the action and the other racing from the stadium which has extremely tight points battles in nearly every division.The boys break down the action from Sonoma and argue about their Power Rankings heading into the off week. The Solid Rock Carriers CARS Pro Late Model Tour ran at Dillon Motor Speedway which featured Tristan Mckee becoming the youngest driver ever to win on the tour at just 12 years old. They also preview the Solid Rock Carriers CARS Late Model Tour race from Dominion this weekend and Jody tells us all about the trends.Father's Day is this weekend. Today we have Cuzzo in the house! Yes my actual biological first cousin. I was so excited to have on her on the show and highlight some of her accomplishments and talents! Dr. Silnettra Barnhill is a native of Kinston NC, and an Alumnus of North Carolina Agricultural and Technical State University and Winston Salem State University. She has her Doctorate in Special Education and is a recent graduate from Northcentral University. Dr. Barnhill is a single mother of 3, a motivational speaker, a poet, an author, and an Occupational Therapist. In addition, Dr. Barnhill loves spending time with her family and just enjoying life. Her motto is "Live life to the fullest". One of her many endeavors, includes her love for her sorority. She is a proud member of Zeta Phi Beta Sorority Incorporated where she serves as President of her chapter, Alpha Alpha Epsilon Zeta Chapter of Pittsboro NC. In her chapter she loves serving the community as well as helping her chapter soar through new heights through many community service activities. Another passion of Dr. Barnhill's is writing poetry, which has driven her writing of books and becoming an author. She is a 4x time published author as well as poet. She released her first poetry book in 2019, "Unveiling the Shadow: Beyond the Counterfeit Image Second Edition", available on Amazon and has since published her first relationship book, "21 Lessons My Mother Never Taught Me: I am an Alpha Woman", released in July 2020. In addition, she has published her dissertation on Proquest titled "Post-Secondary Transition Planning Among African American Special Needs Graduates and Parents in North Carolina: A Phenomenological Study", released February 2022. As a poet, she has spoken at college graduations, book clubs, professional meetings, fashion shows, scholarship fundraisers, and open mics. In life her goal has always been to inspire others.
