Craig Cooke is a successful entrepreneur who had the foresight to start a “digital first” company utilizing the Internet long before “digital first,” “digital transformation,” and other buzzwords of today were created. With extremely limited resources of $1,300 and an Apple computer, he started RhythmNet.com. Over the years of struggle, adaptation, and repositioning the brand, “Rhythm“ was sold to a world-class digital creative agency in 2019. Craig stayed with the company for just over 3 years, completing a 26-year marathon of running the company as CEO. During his tenure at Rhythm®, Craig worked with middle market to large enterprise companies, such as American Honda Motors, Beats by Dr. Dre, ZO Skin Health, Irvine Company, The Travel Corporation, Segway, U.S. Bank, FivePoint, Online Trading Academy, Allergan, Abbott Labs, Takeda Pharmaceuticals, and many other B2C and B2B brands. This is a big episode for Designed for Life, as we proudly reach number 100! We are delighted to have Dean Kamen, an American engineer, inventor, and businessman, on the show. Dean is known for his inventions of the Segway, iBOT, and Slingshot (a water purification system) and for founding what he proudly calls his greatest invention, FIRST. In this episode, we investigate the mindset of a serial inventor to discuss what drives a high-school student to set up a business that yields $60,000 before he finishes school and then pushes him to overcome design challenges, legislation, and the challenges posed by naysayers as he follows his belief that engineering can be a power for good. Chris Hatherall is the principal of Warrington UTC, a design and technology teacher, and a Design & Technology Association Trustee. Last year, he came across FIRST and set up a robotics challenge for his local primary schools, which was hugely successful. This year, the challenge has spread to more UTC's nationally and is open to primary colleagues nationally through this network. From small beginnings, FIRST (For Inspiration and Recognition of Technology) has become a global challenge, with events across multiple countries and nearly three million students competing. Dean's vision was to harness the passion seen openly for sporting events held in large stadiums with hugely competitive students and turn this into one of the world's biggest and most exciting STEM activities. 2025 is the 35th year of FIRST activities. Last year's competition saw 3,468 teams enter, including almost 87,000 students and 27,700 mentors across 28 countries, including the USA, Canada, China, and Turkey. It is an open competition open to all, and while it is truly competitive, it emphasises the need for collaboration, respect, and teamwork. Welcome back to The Daily Mastermind. This Monday morning, I want to dive into a topic that aligns perfectly with the start of a new week: Mindset. As a firm believer in the power of mindset, I find Mondays the perfect time to recalibrate and set our intentions for the days ahead. Today, we're going to talk about how you can begin living your destiny right now. If you've been following along, you know that we've been discussing various lessons from one of my mentors, Robert Stuberg, and his program called "Creating Your Ultimate Destiny." This program outlines 12 specific steps or resources on how to create your ultimate destiny. The Quote of the Day Before we get into the nitty-gritty, let's start with the quote of the day. Denzel Washington said, "If you don't fail, you're not even trying." I believe this quote is incredibly powerful because it inspires us to take action, regardless of the outcome. Often, we find ourselves overthinking our goals and desires without taking the necessary steps to achieve them. Failure is not the enemy; inaction is. So, What Is Your Ultimate Destiny? Last Monday, we talked about the concept of destiny and how it's essentially what you want it to be. Your destiny is shaped by your beliefs, and these beliefs are formed through your life experiences. While you can't always control the events in your life, you can control the meaning you assign to them. Ultimately your thoughts and beliefs shape your experiences. Why You Shouldn't Pursue Happiness One key takeaway from last week is that you shouldn't chase happiness directly. Instead, pursue your destiny by becoming the person you want to be, achieving the results you aspire to, and contributing to the well-being of others. True happiness comes as a byproduct of living your destiny. Living Your Destiny Now Let's move forward to today's focus: How do you start living your destiny now? It all comes down to your decisions. St. Thomas Aquinas once said: Three things are necessary for the salvation of a man: To know what he ought to believe, to know what he ought to desire, and to know what he ought to do. This quote is a great Segway into our topic. Your decisions will enable you to live your destiny in the present moment. Here are four simple steps to help you define and act on your destiny: Decide What You Desire in Your Life Determine what you want your life to be like. Instead of focusing on what you want to do or have, think about the kind of life you desire. Decide What Beliefs Will Lead You to Fulfill That Desire Your beliefs shape your reality. Decide which beliefs will lead you to attain your desired life, and consciously adopt them, even if you don't fully believe them yet. Decide What You Have to Do to Get What You Want Outline the actions you need to take to achieve your goals. Just Do It Commit to taking action, no excuses. Action is simple but requires unwavering commitment. Challenges While Living Your Destiny While the steps are straightforward, challenges will arise. Here are a few you might encounter: Feeling Like Something is Missing You might feel there's something missing in your life. This could be a relationship, an opportunity, or even a sense of security. These feelings can make you focus on what you lack rather than what you can achieve. Doubting Possibility Maybe you know what you want but don't believe it's possible. This lack of faith can stop you from taking action. The key is to believe in your power and take action anyway. Keep Moving Forward It's important not to get complacent. Happiness and destiny are ongoing journeys, not destinations. Focus on doing what you love daily. Engage in activities aligned with your unique talents and passions. Reflect and Plan Think about experiences in hindsight that you would have handled differently. Use these reflections to better align your daily actions with your ultimate destiny. Create a Vision Board Brainstorm ways to integrate the things you love into your daily life. This can involve creating a vision board to visualize your goals and dreams. A Weekly Challenge for You This week, I challenge you to identify what you truly want in life and find ways to incorporate those desires into your daily routine. In this episode of "Sleepless in Singapore," I take you on a journey to South Africa with my adventurous friend Hatim. The following days are a whirlwind of experiences: from an insightful slum tour to the breathtaking Kirstenbosch National Botanical Garden, where we admire unique African flora. We indulge in ice cream at Tapi Tapi, enjoy a dramatic drive through the mountains to a secluded Airbnb, and savor a traditional braai under a starlit sky. Our journey wraps up with a visit to Stellenbosch's wineries, a Segway tour, and a final night of local food and dance in Cape Town.

Over the last ten years, we have seen a marked shift from the Delaware Chancery Court chipping away at corporate board member liability claims. In a number of seminal cases involving Boeing airplane crashes (In re the Boeing Co. Derivative Litig., No. 2019-0907 (Del. Ch. Sept 7, 2021)), and deadly listeria outbreaks from tainted ice cream (Marchand v. Barnhill, 212 A.3d 805 (Del. 2019)), Delaware Courts have upheld plaintiffs' cases against claims of failing to adequately plead violations of the standards set forth in Caremark, 698 A.2d 959 (Del. Ch. 1996), (establishing basic pleading requirements to withstand motions to dismiss). In this episode, Mike Volkov provides a comprehensive update on the recent Caremark decisions issued by the Delaware Chancery Court, underscoring their importance for accountability and governance in the corporate world.Caremark oversight duties stem from the well-established duty of loyalty and its subsidiary duty of good faith. To plead a Caremark claim, a plaintiff is required to put forth adequate facts from which a factfinder can make a reasonable inference that the fiduciary acted in bad faith. Under Caremark, bad faith can be established when a fiduciary: “(1) utterly fail[s] to implement any reporting or information system or controls," or (2) having implemented such a system or controls, consciously fail to monitor or oversee its operations, which results in a failure to act or attend to a risk or problem requiring their attention or response. Last year, the Chancery Court made a groundbreaking decision, extending the so-called Caremark oversight obligations and governance requirements to senior management in the McDonald's case. In re McDonald's Corp. S'holder Derivative Litig., 289 A.3d 343 (Del. Ch. 2023). This ruling is one of the most significant developments in recent years, advocating for increased accountability for oversight and governance failures.Recent cases, such as the Boeing 737 MAX crashes and the Listeria outbreak from tainted Blue Bell ice cream, have highlighted failures in proper board governance and oversight responsibilities.In a case involving Segway, the Chancery Court dismissed a motion against an officer for failing to detect financial discrepancies, emphasizing the need to demonstrate a lack of good faith in monitoring central compliance risks.The trend in Delaware Chancery Court decisions is moving towards holding directors and officers accountable for failures to act in response to indications of potential illegal conduct, with a focus on bad faith actions.The Boeing case exemplifies the consequences of board members ignoring safety concerns and focusing solely on the bottom line, leading to tragic outcomes that could have been prevented with proper oversight and accountability.ResourcesMichael Volkov on LinkedIn | TwitterThe Volkov Law Group
