Deborah Gottesman is a lighting Designer in Michael's neck of the woods. Gottesman Associates has been designing lights since 1999. Deborah stresses, as a lighting designer, to consider what's best for the client. For instance, one client who was visually impaired, needed to see everything. So a design with contrast and shadows, which would be pleasing for most of us, just wouldn't work for this person. The “intention” in this case was flat, even lighting, and that was the best design for that customer. Deborah has a unique contextual understanding of lighting from all perspectives; her career spans over 30 years in all facets of the lighting industry including design, engineering, management, education, and manufacturing. An electrical engineer with an MBA in Real Property, Deborah has successfully worked on projects in many sectors, with particular expertise in Heritage, Residential, and Commercial projects. She has taught lighting at all levels to a wide audience from students at colleges and universities to senior architects. Deborah currently sits on the Illuminating Engineering Society Residential Lighting Committee, and is a past president of the Toronto Section. She also currently sits on the Canadian National Committee of the Commission Internationale de L'Eclairage (CIE).

Real Property Sales and Transfers: Real property law encompasses a wide range of topics, including land sales, leases, zoning regulations, and mortgage law, each critical to the orderly transfer and use of land. This chapter offers an overview of the historical development of property law and its cornerstone role in legal systems. It also outlines the structure of the study guide and how each chapter contributes to a holistic understanding of real property sales and transfers. Legal Foundations of Property Sales. Contractual Elements in Property Sales. At the heart of any property sale is the contract, a binding agreement between buyer and seller. For a contract to be legally enforceable, it must contain several key elements: Offer and Acceptance. The first essential element of a valid real estate contract is the offer and acceptance. The buyer must make a clear and unambiguous offer to purchase the property, specifying the terms such as the purchase price, closing date, and any contingencies. The seller must then unequivocally accept the offer, thereby creating a mutually binding agreement. The offer and acceptance form the foundation of the contract, as they establish the fundamental terms upon which the parties have agreed to proceed with the real estate transaction. Consideration. Consideration refers to the value exchanged between the parties in the contract. In a real estate sale, the consideration is typically the purchase price that the buyer agrees to pay the seller in exchange for the transfer of ownership. Consideration is a critical element, as a contract without consideration would be deemed unenforceable as a mere "gift." The amount of consideration can vary widely depending on the property's location, condition, market values, and other factors. Legal Capacity. Both the buyer and seller must have the legal capacity to enter into a real estate contract. This generally means they are of legal age (typically 18 years old) and are of sound mind, meaning they can understand the nature and consequences of the transaction. Contracts entered into by minors or those deemed mentally incompetent may be voidable, as they lack the legal capacity to bind themselves to the agreement. Mutual Consent. The contract must be entered into willingly by both parties, without any duress, coercion, or undue influence. If one party was forced or unduly pressured into the agreement, the contract may be deemed unenforceable on the grounds of lack of mutual consent. Courts will carefully examine the circumstances surrounding the formation of the contract to ensure that both the buyer and seller freely and voluntarily agreed to the terms. Lawful Purpose. Finally, the purpose of the real estate contract must be legal and not contrary to public policy. Contracts involving the sale of property for illegal activities, such as operating a brothel or a drug lab, would be unenforceable as their purpose is unlawful. The courts will scrutinize the intended use of the property to ensure the contract's legality and conformity with relevant laws and regulations. These five key elements - offer and acceptance, consideration, legal capacity, mutual consent, and lawful purpose - form the foundation of a legally enforceable real estate contract. Common for residential rentals, it offers stability for both parties; the tenant agrees to stay and pay rent for the entire term, and the landlord cannot increase the rent or terminate the lease without cause. Periodic Lease: Often month-to-month, this lease renews automatically at the end of each period until either party decides to terminate, providing flexibility but less stability than a fixed-term lease. At-Will Lease: Less common, it allows either party to terminate the lease at any time, provided sufficient notice is given. Sublease: Occurs when a tenant rents out the property to another individual under the terms agreed upon in their original lease. This means they are of legal age and have the mental capacity to understand the terms and consequences of the agreement. Legal Purpose: The contract must be for a lawful purpose. Let's start with a question: Why is Real Property law a critical component of the Bar Exam? The simple answer is that Real Property touches on many aspects of our lives - from the ownership of our homes to the zoning laws that dictate what can be built in our neighborhoods. It's a foundational area of law that every attorney should be familiar with, whether you specialize in real estate transactions or not. Now, to lay the groundwork, let's clarify two terms you've probably heard a lot: Real Property and Personal Property. At its core, the distinction is quite straightforward. Real Property refers to land and anything attached to it. This can include buildings, trees, minerals, and even the rights associated with the land, like air rights. On the flip side, Personal Property is essentially everything else. It's the movable objects that you own. Your car, your laptop, your clothes - these are all examples of Personal Property. The key difference lies in mobility and permanence. Real Property stays put; Personal Property can move with you. Understanding the types of Real Property interests is crucial for navigating Real Property law. These interests determine what rights you have over a property. There are several types, but today we'll focus on three main ones: Fee Simple Absolute, Life Estate, and Leasehold Interest. Fee Simple Absolute gives you the most complete ownership of property possible. You own the land and can do with it as you please, subject to laws and regulations, of course. It's the most common form of property ownership and, unless specified otherwise, what people usually mean when they talk about owning property. Next, we have the Life Estate. This is a bit more specialized. A Life Estate gives someone the right to use and benefit from a property for the duration of their life. However, they can't sell the property, and upon their death, it passes to another designated person, known as the remainderman. Lastly, there's the Leasehold Interest, which you're likely familiar with if you've ever rented an apartment. This gives you the right to use and occupy the property, but only for a predetermined period. Unlike Fee Simple Absolute, you don't own the property; you just have a temporary right to use it. Along with understanding these interests, it's important to get comfortable with key legal terminologies in Real Property law. Terms like "easement," which is the right to use someone else's land for a specific purpose, or "encumbrance," which refers to a claim or liability attached to the property, like a mortgage or lien. These terms are the building blocks for more complex Real Property concepts we'll cover in later episodes. So, why does all this matter for the Bar Exam? Well, these concepts form the basis of many Real Property questions you'll encounter. Fundamental Concepts and Distinctions. Now, let's delve into one of the foundational distinctions within property law: real property versus personal property. Real Property. Real property pertains to interests in land and anything attached to it. This includes not only the land itself but also structures like buildings, trees, and minerals beneath the surface. The legal rights associated with real property are extensive and form the basis of various legal doctrines. Personal Property. On the other hand, personal property encompasses movable items. It includes things like furniture, vehicles, and personal belongings. Understanding this distinction is crucial as it lays the groundwork for more nuanced discussions in the realm of property law. Historical Context and Evolution. To truly appreciate property law, we must step back in time and explore its historical context and evolution. Ancient Legal Systems. Fast forward to modern times, and we witness property law adapting to address contemporary challenges. It has evolved in response to technological advancements, environmental concerns, and shifting societal norms. This question comes from Sam who writes: I have 7 acres near a major boat ramp North of Houston that I am looking to develop.  The area has grown 4.11% per year for the last 2 years according to the Census. With a major development up the road I expect this trend to continue. I am having trouble finding info on income growth do you have any input on where to find this data? Do you have a Development Pro-Forma that I could look at? I don't know what I don't know and would love to learn for your experience/mistakes.
