He founded Heaviland Landscape Management in 1985, leading it as Owner and President until its acquisition by BrightView Landscapes in 2019. Kerry has a passion for passing the opportunity ladder down to young people who are just starting their career path within the property and refurbishment sector, in particular the social housing sector, this led to Kerry being one of the first careers enterprise advisors for the North West, and founder member for Women in Social Housing North West. Michael joined KPMG in Hungary from his native Vancouver, Canada in 1990. While in Hungary, Michael participated in and led numerous assignments including advising on both sale and acquisition (M&A) mandates, due diligence engagements, financial structuring, business and property valuations, business plan reviews, financing and investigations. His clients have included major property investment funds, developers, multinationals, private equity groups and large local companies. “Just keep those assets frozen a little longer…” ___ P was an owners corporation that owned the common property in a building. P sued the developer, D, in relation to alleged defects P afflicting the building - a breach of the HBA statutory warranties: [9] P tried to organise site inspections of various experts to investigate and hopefully quantify the defects but COVID restrictions frustrated that: [12] P's pre-inspection estimate of damage was ~$1m and, P said, that was likely to increase after inspection: [13] D owned Lot 2 in the building: [18] P's lawyers became concerned that D might sell Lot 2 and P's lawyers raised this issue with D's lawyers: [21] Without P's knowledge, D transferred Lot 2 to Q (a person who had a relationship with D) for a recorded price fo $3.78m, but with no money changing hands: [25], [26] This left D with around $900K to pay any judgment P might get in the defect proceedings: [29] P applied for, and got, a “freezing order” preventing Q from selling Lot 2, unless in an arm's length transaction with the price paid to be held on terms both agreed: [37] At the time the order was made, D had around $635K: [38] The Court accepted there was a good, arguable case that the transfer of Lot 2 to Q was voidable, a transaction to defraud D's creditors - s37A, Conveyancing Act: [41] At the time of the hearing Q was already restrained by freezing orders. Today's discussion is P's application to extend them. P sought an extension of the freezing orders to get its defect evidence on: [46] D and Q did not oppose an extension but sought a reduction from the full value of Lot 2 to $800K, following a deposit of $200K into a trust account, and after giving an undertaking not to deal with Lot 2 without P's knowledge: [48] The Court accepted a freezing order is a drastic remedy, not to be used improperly as additional security: [50] Because P undertook to bring s37A proceedings, with the potential to void the transfer of Lot 2 from D to Q, the Court extended the freezing order for Lot 2 (or its sale proceeds) by 4 months: [53]

Our guest today has a story that is very similar to mine in that he has a heart for service and this manifested itself first in the military, later in local law enforcement and finally in his very own service business, Leedy Farm and Property Services. Chuck Leedy moved away from his home in Dryden, Virginia a couple of times during his life.  But ultimately, after having children, he decided he wanted to return home and farm.  The challenge for him in doing that was what would he do to produce the income he would need for household expenses not covered by farm revenue. Chuck decided upon entrepreneurship, but his did not happen suddenly.  He was working as a maintenance technician for McDonald's at four different restaurants and building his business on the side.  As he continued to build his business he discovered that the reputation he had built for himself in the community from serving as a law enforcement officer was helping him to get business.  This was only natural as people inherently trusted him to be on their property. Chuck went through the "crazy time" like so many entrepreneurs do when they are trying to transition from their full-time job to full-time self-employment.  Finally, after working many hours per week between the business and the job he was able to break away and become a full-time entrepreneur.  Once this happened he was able to focus more on his business and his farm.  Now he is on a great trajectory to live the life for himself and his family that he has envisioned. ADVICE FROM CHUCK: COMMUNICATE: Chuck and I both learned through our careers in law enforcement that communication with customers is key.  When he gets busy, something goes wrong or the farm demands his attention he can maintain positive relationships with customers through good communication. REPUTATION: Chuck has a great reputation in his community, and he does not take that lightly.  That is something that needs to be protected. RELIABLE: Customers want somebody that they can depend on.  You need to be reliable for them to truly trust that they can rely on you. PERSONAL HABIT THAT MAKES CHUCK SUCCESSFUL: ORGANIZED DRIVE: Chuck has a drive that helps him finish what needs to get done.  And he compliments his time in the military for making him organized to get all the different things finished that he has on his schedule. BEST BUSINESS ADVICE EVER GIVEN TO CHUCK: This advice was given to Chuck by his grandfather: "If it's worth doing, it's worth doing it right the first time". Josh Flynn, CEO of Seabreeze Property Services headquartered in Portland, ME, grew up loving the outdoors and spending the majority of his time in the woods or on his grandparents 4 acre cut flower farm on the banks of the Spurwink river in his hometown of Scarborough. While being most comfortable playing in the dirt, there wasn't a clear cut career path for where he would end up until well after he left home. A need to explore the world beyond New England, he attended the University of Richmond in Richmond, VA graduating with an Environmental Studies degree after an initial track in business didn't have the right feel about it. Before graduation he made the commitment to join the United States Peace Corps and fulfilled a 27 month term serving as an Environmental Education and Conservation volunteer in Pindoty, Paraguay, a small farming community an hour bus ride away from the capital of Asuncion. There he gained the practical skills along with leadership abilities only enhanced by conducting everything in an adopted language. Returning to the United States included a 4 month spell of piecing part-time jobs together before returning to his roots at Wollam Gardens, a commercial cut flower farm outside of Washington D.C. There he continued to grow his managerial skills and spent 3 years growing the business and serving as it's General Manager. Returning to Maine in 2016, after a short stint in retail and a small landscape company, he joined Seabreeze and through the course of 4 years went from supervisor to CEO of one the region's largest landscaping and winter maintenance companies. He hopes to continue to grow the company and provide the best opportunities for those interested in a career in landscaping as well as the highest quality service in the area. He tries to use his story as an example when explaining what's possible in this industry as a career and through dedication, constantly learning, and hard work anyone has the chance to grow and become a leader. He continues to serve his community by volunteering with Junior Achievement as well as the Good Shepherd food bank. He also currently serves as an executive committee member for MELNA, the Maine Landscape and Nurserymen's Association.
